2 INVITATION FOR BIDS Wastewater Sludge Hauling and Disposal Hardin County Water District No. 1 ( DISTRICT") is requests bids to provide Wastewater Sludge Hauling and Disposal services for its Radcliff Wastewater Treatment Plant in Radcliff, Kentucky, and also for the WWTP at Fort Knox. Bid documents are on the DISTRICT website under Bid Information at Interested parties may also ask that bid documents be mailed by contacting Mr. Daniel Clifford at , ext 216, or to dclifford@hcwd.com. Bids must be received no later than 2:00 pm (EST) May 26, The DISTRICT reserves the right to award or reject any and all bids or to waive technical defects, irregularities and omissions, if in its judgment, is in the best interests of the DISTRICT. Final contract is to be awarded and approved only after approval by the DISTRICT s Board of Commissioners. Page 2

3 Invitation to Bid Wastewater Sludge Hauling and Disposal For Fort Knox and Radcliff Wastewater Treatment Plants 1. DISTRICT GENERAL INFORMATION: Hardin County Water District No. 1 ( DISTRICT") owns and operates the Radcliff wastewater treatment and collection system ("RWWS") and the Fort Knox wastewater treatment and collection system ( FKWWS ). The Radcliff wastewater treatment plant is located at 350 East New Street, Radcliff, Kentucky. The Fort Knox wastewater treatment plant is located at Bldg South Carolina Street, Fort Knox, Kentucky. 2. INTENT: The DISTRICT intends to receive bids from qualified companies (CONTRACTOR s) to provide wastewater sludge hauling from the RWWS and the FKWWS to dispose of at an approved landfill. 3. SCOPE OF SERVICES REQUESTED: DISTRICT is requesting all tasks related to completing the project. Tasks for this project include the following: a. The scope of work is to haul and dispose of wastewater sludge at the Radcliff wastewater treatment plant (RWWTP) and the Fort Knox Wastewater Treatment Plant (FKWWTP) in container(s) provided by the CONTRACTOR. The sludge must be transported to an approved landfill. In 2016 the RWWTP produced approximately 2,333 tons of sludge, and the FKWWTP produced 826 tons. The sludge volume consists of 15% to 20% solids on average from both facilities. The sludge produced at both facilities has been tested and is listed as non-hazardous waste. The DISTRICT's preference is the Pearl Hollow Landfill (PHL), located at 1620 Audubon Trace, Elizabethtown, Kentucky Alternate landfills will be considered, however, the DISTRICT reserves the right to award a bid to the CONTRACTOR taking sludge to the PHL. b. FREQUENCY OF REMOVAL: It is anticipated that under normal conditions, sludge pickup and transport will occur Monday-Friday from 9:00 am to 4:00 pm. Conditions may arise, that will require sludge to be picked up and transported on weekends or holidays or alternate times during a 24 hour day, at the sole discretion of the DISTRICT. The DISTRICT shall give 24 hours notice prior to request for special pickups, outside the normal conditions listed above. The CONTRACTOR shall schedule "normal" pick up's with the DISTRICT's representative and under no circumstances shall scheduled sludge removal be delayed more than 48 hours. Boxes will need to be left onsite (minimum of two (2) in Radcliff and one (1) at FKWW). CONTRACTOR must be able to set and pull (full) roll off boxes in the loading areas. c. Bid amount shall be all inclusive and include all fees to include, but not limited to; landfill fees, tipping fees, hauling fees, environmental fees, fuel surcharges, and container lease - rental charges. Bid amounts or bid form may not be modified by adding any additional surcharges, allowances, seasonal surcharges. Any modifications may cause the bid to be considered non- Page 3

4 responsive by the DISTRICT. d. Each monthly invoice shall include a copy of the landfill tipping receipt that clearly shows the number of loads and the tons per load. e. Bids shall include providing 30 cubic yard, water tight containers. Again, these will be held onsite at all times. When a full container is picked up and empty shall be dropped off. 4. CALENDAR OF EVENTS: Date May 7, 2017 May 26, 2017 May 29 - June 9, 2017 June 20, 2017 June 23, 2017 July 1, 2017 Task Invitation for Bids release date Bids due no later than 2:00 pm (EST) May 26, 2017 at the DISTRICT's service center located at 1400 Rogersville Road, Radcliff, KY Evaluation of bids DISTRICT's Board of Commissioners considers bids and staff recommendation and approval of selected contractor Execution of agreement Service begins 5. VENDOR QUALIFICATIONS: a. Minimum five (5) years experience in the sludge hauling and disposal business, specifically hauling wastewater treatment plant sludge. b. Must provide all required licenses, certifications and permits. c. Proof of current insurance to meet the specifications listed in section x of these bid documents. d. Must employ drivers with CDL licenses, licensed to operate in Kentucky e. Must be able to produce letter or evidence that company is current and able to be provided credit by the receiving landfill. 6. INSURANCE REQUIREMENTS: Policies described in this section shall be for the mutual and joint benefit and protection of the CONTRACTOR and the DISTRICT. All required policies shall be primary policies not contributing to, or in excess of, policies which the DISTRICT may already carry. a. Insurance required shall be with companies qualified to do business in the State of Kentucky with a general policyholder's financial rating of not less than A- as set forth in the most current edition of "Best's Insurance Reports". Deductible amounts as the CONTRACTOR may deem to be reasonable for the project, but in no event greater than $25,000. b. No such policies shall be cancelable or subject to reduction in coverage limits or other modification except after thirty (30) days prior written notice to the DISTRICT. The CONTRACTOR shall not do nor permit to be done Page 4

5 anything which shall invalidate the insurance policies referred to in this section. If any insurance policies referred to in this contract are cancelled or terminated for any reason, the DISTRICT, at its own discretion, may terminate this Agreement effective immediately. c. Indemnity. The CONTRACTOR agrees to indemnify and save the DISTRICT harmless from and against all claims, demands, liability, damages, suits, actions or causes of action of every kind and nature, which may be brought or asserted against the DISTRICT arising out of negligent acts, errors or omissions of the CONTRACTOR or the CONTRACTOR's sub-contractor in the performance of this agreement. The limits of insurance set forth above shall not limit the liability of the CONTRACTOR hereunder. d. The CONTRACTOR will be required to provide LIABILITY INSURANCE as listed herein. A copy of the Insurance Binder, Certificate of Liability Insurance, Endorsements for Additional Insured, or other proof of required insurance must be made available to the DISTRICT at the time of execution of the contract. The minimum required coverage will be: 1) Limits of Commercial General Liability shall be, at minimum, as follows: (1) Each Occurrence $1,000,000 (2) Damage to Rented Premises (Ea occurrence) $100,000 (3) Medical Expense (any one person) $5,000 (4) Personal and Adv Injury $2,000,000 (5) General Aggregate $2,000,000 (6) Products - Comp/OP Agg $2,000,000 2) Limits of Automobile Liability (for Any Auto), shall be, at a minimum, as follows: (1) Combined Single Limit (Ea accident) $1,000,000 (2) Underinsured motorist $100,000 (3) Uninsured motorist combined $100,000 3) Worker's Compensation and Employee Liability (1) Worker's Compensation based on statutory limits (2) E. L. each accident $1,000,000 (3) E. L. disease - each employee $1,000,000 (4) E. L. disease - policy limit $1,000, BID SUBMISSION: Bids shall be delivered to the DISTRICT's Service Center located at 1400 Rogersville Road, Radcliff, Kentucky on the date and time specified in this document. The DISTRICT, shall not, under any circumstances, accommodate for late arrivals or delays by the United States Postal Service or any private delivery service or for delays caused by any other occurrence. All bids shall be manually and duly signed by an authorized corporate officer, principal or partner with the authority to bind said CONTRACTOR. All bids shall be in a sealed envelope with the following information clearly visible: Page 5

Date and time of submission deadline A bid received after the deadline may be accepted at the sole discretion of the DISTRICT. Receipt by the DISTRICT of a bid received after the closing date and time as stated herein shall not be construed as acceptance of the bid. 8. DURATION OF OFFER: Bids submitted in response to this solicitation are irrevocable for 90 days following the deadline for submission of bids. This period may be extended by written mutual agreement between a responder and the DISTRICT. 9. LENGTH OF CONTRACT: Contract shall be for one (1) year with an additional year added upon agreement by both parties. Subsequent additional years may only be by agreement of both parties and would be subject to prior approval by the DISTRICT s Board of Commissioners. 10. ALTERNATE BIDS: A bidder may submit an alternate bid, but only if those terms are beneficial to the DISTRICT. Examples of alternate bid terms could be extending the term, alternate size equipment / containers, or other. An alternate bid shall be submitted on a separate bid form and be clearly marked Alternate Bid. The CONTRACTOR shall also include a full description of the differences proposed from the base bid, how this would benefit the DISTRICT and what exceptions are specifically being proposed from the base bid terms. The DISTRICT reserves the right to accept or reject any alternate bids, regardless of how the CONTRACTOR characterizes the perceived benefits to the DISTRICT. 11. RIGHTS RESERVED BY THE DISTRICT: The DISTRICT reserves the right to: a. Reject any and all bids received in response to this bid request. b. Waive or modify any information, formalities, irregularities, or inconsistencies in bids received. d. The selection of the CONTRACTOR shall remain the sole and final decision of the DISTRICT s Board of Commissioners. 12. DISTRICT reserves the right to share any answers with any other interested parties or known proposers. 13. COMPOSITION OF SLUDGE CAKE: The DISTRICT will provide stabilized wastewater sludge cake at approximately 15% to 20% total solids. Attachment A shows the most recent (2016) reported parameters for the dewatered sludge cake. 8 BID CERTIFICATION & SUBMITTAL FORM By signing below, the undersigned does hereby agree and certify the following terms, understanding and commitments; 1. The bidder, including officers, partners or principals, have thoroughly read and understand all sections of the Request for Bids and that any exceptions or variances requested have been submitted with their bid, all questions have been asked and answered and that the fee(s) submitted with the bid include all required items, services and product. 2. That all information and answers are correct for all parties to the best of their knowledge, and that should any information be found to be materially incorrect or false, the District may terminate any contract or agreement with the parties. 3. By submitting a bid, the Proposer agrees to release the District from any liability resulting from the District's disclosure of such materials and the information contained in them. 4. By submitting a bid, the Proposer also agrees to defend any legal or administrative action seeking release of materials the Proposer believes to be trade secret information and will indemnify and hold harmless the District, its agents and employees from any judgments or damages awarded against any of them in favor of any party requesting the materials, including any costs connected to that defense. If a request is made under Kentucky Statutes for release of any materials submitted by a bidder that the bidder deems to be trade secret information, the District will notify the bidder of such a request, but the District will have no obligation to commence or defend any action to prevent the disclosure of any materials, including materials the bidder believes to be trade secret information or otherwise confidential. 5. That no member of the bidders company, its employees, principals or partners have not given, offered to give, nor intends to give at any time hereafter, any economic opportunity, future employment, gift, loan, gratuity, special discount, trip, favor, or service to a District employee or Commissioner in connection with this bid and offer. 6. That the undersigned have the authority and approval to submit this bid and bind their corporation or organization to the terms required in the Request for Bid and if selected for further consideration will in good faith negotiate with the District to provide additional pricing or cost information, and to enter into an agreement for completion of this transaction and purchase. 9 SIZE CERTIFICATION The Federal Acquisition Regulation, Part 19, requires Hardin County Water District No. 1 ( the District ) to make reports on the value of subcontracts (this includes purchase orders) that are issued to the various companies providing services and supplies to the District in support of government contracts. For the most part the business size is a self-certifying issue that places the responsibility of the size/status declaration on the company that is making the certification.
