This Permit allows DWR and FCGMA access to TRGC's property for the purpose of installation, maintenance, and operation of a computerized weather station to collect weather information necessary for the CIMIS Program. 2 STATE of California DEPARTMENT OF WATER RESOURCES The Resources Agency Weather Station Name: Moorpark Weather Station Number: 217 ETo Station Date March PN:!oo-oso-os REVOCABLE PERMIT TO USE LAND FOR CIMIS WEATHER STATION (upermit") This agreement is made on this 26 day of March by and between the STATE of California, Department of Water Resources, and the Tierra Rejada Golf Club, LLC and Fox Canyon Groundwater Management Agency. Permission is hereby granted by The Tierra Rejada Golf Club, LLC., herein called "TIERRA REJADA", to the State of California, Department of Water Resources, herein called "STATE", Fox Canyon Groundwater Management Agency, herein called "FOX CANYON" and their agend contractors, subject to the conditions expressed below, to enter upon and use a portion of TIE'RRA REJADA's property without charge, herein called "SITE", in the County of Ventura, which Site is outlined on the attached map for California Irrigation Management Information System (CIMIS) facilities, appurtenances and incidents. This Permit includes permission for STATE and FOX CANYON to pass over other portions of TIERRA REJADA's property not specified herein which are approved in writing in advance by Tierra Rejada solely for entrance to and exit from SITE, and subject to the following conditions: 1. STATE will use the SITE for the installation, maintenance and operation of a computerized weather station to collect weather information necessary for estimating crop water use under local conditions. This activity is an essential part of CIMIS, which is a project of the California Department of Water Resources to provide irrigation management information to California growers and irrigation water managers. TIERRA REJADA hereby grants STATE and FOX CANYON a revocable, non-exclusive PERMIT, during the time that this agreement is in effect and a reasonable period thereafter for removal of the weather station, to enter upon and use the real property at the SITE as well as any other portions of Tierra Rejada property approved in writing in advance by TIERRA REJADA needed solely for entrance and exit from the SITE for reasonably necessary access, installation, removal, operation or maintenance of the CIMIS station. This provision gives STATE and FOX CANYON a revocable PERMIT only, and does not convey or grant any real property interest in SITE or its vicinity. 2. SITE will be a grassy area with an approximate size of 150 feet by 650 feet. At the discretion of ownership, ownership will be responsible to irrigate and maintain the grass. 3. FOX CANYON will be responsible for the purchase, installation, repair, maintenance and removal of a fence around the weather station if fencing is required. 1of6 Item 2E-1 - Page 2 of 8

3 4. FOX CANYON, at its expense, will provide all equipment necessary for a complete CIMIS weather station and equipment needed for repair. All equipment will meet STATE'S specifications for CIMIS weather station equipment. The programming of the datalogger will be identical to existing programming used in the CIMIS weather station network. Any exception to the programming used must be approved by STATE. The CIMIS weather station equipment will be used to measure and record regional weather patterns surrounding the SITE. 5. FOX CANYON, at its expense, will be responsible for the maintenance and repair of the weather station and will maintain the weather station using STATE maintenance procedures. STATE will train at least two FOX CANYON personnel on weather station maintenance procedures. FOX CANYON must use an aspirated psychrometer in their maintenance program. When requested by TIERRA REJADA or FOX CANYON, STATE will help troubleshoot problems with the weather station. FOX CANYON will be responsible for the repair or replacement of all weather station equipment and sensors. 6. STATE may decide in the future to cease operation of certain sensors in the weather station and/or begin using new and different sensors. If a different sensor is deemed necessary by STA TE, FOX CANYON will obtain the new sensor within six (6) months of notification by STATE. The sensor will be installed by STATE. 7. FOX CANYON will be responsible for the installation and monthly service charges for cellular phone service to the weather station. 8. STATE'S CIMIS computer will contact the weather station automatically several times a day. The data will be checked and flagged by the quality control program. ETo will be calculated and all data (hourly and daily) will be stored in the computer's database. All data will be public information. 9. STATE will be responsible for the installation of the weather station for operation. STATE will also be responsible for initial calibration of the weather station, and for annual calibrations. 10. This PERMIT shall be effective for five years from the date of its execution, subject to prior revocation by any party with ten (10) days prior written notice to the other party. Within a reasonable amount of time after termination, FOX CANYON shall remove any weather station hardware and fence around weather station (if a fence is required per ST ATE) and shall promptly repair any damage to the SITE at its expense. 11. All costs incurred by STATE for installation, training, troubleshooting, and operation, and any labor costs incurred by ST ATE for repair or maintenance of equipment at the SITE pursuant to this Agreement shall be without cost or charge to TIERRA REJADA and/or FOX CANYON. 12. STATE, FOX CANYON, and TIERRA REJADA agree to exercise reasonable precautions to avoid damage to people or property. FOX CANYON and STATE each agree that it is responsible for its own actions under this Agreement. 2 of6 Item 2E-1 - Page 3 of 8

To the extent permitted by law, STATE agrees to indemnify and hold TIERRA REJADA and its officers harmless from and against any liability arising out of STATE's actions in implementing the project that is the subject of this revocable PERMIT, but only in proportion and to the extent such liability, loss, expense, attorney's fees, or claims for injury or damages are caused by or a result of the negligent or intentional acts or omissions of STATE, its officers, agents, or employees. Such indemnity will include any losses relating to any claim made, whether or not a court action is filed. The parties understand and agree that FOX CANYON is not an agent of STATE. 14. To the extent permitted by law, FOX CANYON agrees to indemnify and hold TIERRA REJADA and its officers harmless from and against any liability arising out of FOX CANYON's actions in implementing the project that is the subject of this revocable PERMIT, but only in proportion and to the extent such liability, loss, expense, attorney's fees, or claims for injury or damages are caused by or a result of the negligent or intentional acts or omissions of FOX CANYON, its officers, agents, or employees. Such indemnity will include any losses relating to any claim made, whether or not a court action is filed.
