Purpose SCHIEFFER, as SUPPLIER of complex products for international industry, is obliged to guarantee its customers and consumers the level of quality that is legally required, contractually agreed and to be reasonably expected of its products and services. These quality guidelines (QGL) are the contractual definition of the technical and organisational general conditions between SCHIEFFER and SUPPLIER, which are necessary for the attainment of the joint commitment that is "Zero Defect Quality" 2. The scope of the agreement The regulations contained in these QGL are valid for all current and future purchase agreements between SCHIEFFER as purchaser and SUPPLIER as seller. This agreement regulates the quality requirements for all development activities and/or contractual products that are produced specially for and/or supplied especially to SCHIEFFER during the lifetime of the agreement. If individual regulations of these QGL conflict with other higher priority contracts (development contracts, framework agreements, general supply contracts, PPM agreements etc.), then these regulations shall not apply

2 Should SUPPLIER obtain preliminary deliveries (input materials, software, services, means of production or test materials) for the production or quality assurance of the contractual items from a third party (SUB-CONTRACTOR), then SUPPLIER shall ensure the quality of these pre-deliveries either using his own resources or by contractual involvement of the SUB-CONTRACTOR in the quality assurance system of SUPPLIER. 3. Requirements SUPPLIER shall maintain a quality assurance system at least in accordance with DIN EN ISO 9001 in the currently valid version. SUPPLIER guarantees that its products and services are free from any defects and hence are of the agreed quality standard (specifications) possess the properties promised comply with the recognised rules of engineering there exists no separate agreement on the ppm level, for components and raw materials 50 ppm (automotive usage) and 100 ppm (non-automotive) are valid as agreed. SUPPLIER has to nominate a person as product safety officer Produktsicherheitsbeauftragter and provide this information to SCHIEFFER. 4. Audit SUPPLIER will grant SCHIEFFER (or a subsidiary company or its clients) access to his operating facilities and plants, in as much as is required to verify the existence and functioning of the quality assurance system of SUPPLIER, or a client of SCHIEFFER demands it. The same is valid for subcontractors of SUPPLIER. The following can be reason for an audit: Awarding a contract to a new supplier Process evaluations due to, among other reasons, client requirements or standard requirements Process-relevant changes to the facilities, production sites or QM system A repeated negative level of quality in the products/services delivered Negative SUPPLIER evaluations The CONTRACTUAL PARTNERS shall agree the date for the audit in good time. 5. Quality planning of contractual products for the automotive sector As a safeguard for "Zero Defect Quality", SUPPLIER is obliged to document and to confirm advance quality planning as per the specifications in accordance with VDA and QS 9000 (APQP) as well as - 2 -

3 the project planning. SUPPLIER shall equip himself with testing and measuring equipment so that it can be demonstrated that all agreed characteristics are in accordance with the technical documentation. If testing is sub-contracted out to external laboratories, the testing laboratory for the respective test must be accredited in accordance with ISO/ICE or a comparable national standard. As part of the quality planning process, the following Manufacturing feasibility analyses and commitments FMEA (product, process) Process capability evidence short term > 1.67, long term > 1.33 Process flow chart Control plan for all process steps including re-qualification testing Measurement systems analysis, MSA 4 (or later) or in accordance with VDA guidelines Packaging planning IMDS EMPB (initial sample test report) in accordance with VDA procedure PPF-level 3 or in accordance with QA 9000-procedure PPAP-level 3 shall be carried out, confirmed and submitted, preferably as a (.pdf,.xls) file. Series production shall only be begun after written approval has been received. Approval given should be applied for again in the following cases: If processes are altered If production locations are changed If means of production are changed If suppliers are changed Regular annual re-qualification testing for measurements, materials and functioning shall be carried out. If the scope has not been defined, then the scope is valid as given in EMPB / PPAP. SCHIEFFER is to be allowed at all times to inspect the planning documentation. 5.1 Quality planning for contractual products in all other sectors (non-automotive) As a safeguard for "Zero Defect Quality", SUPPLIER is obliged to carry out advance quality planning. SUPPLIER shall equip itself with testing and measuring equipment so that it can be demonstrated that all agreed characteristics are in accordance with the technical documentation. 4 should be carried out, confirmed and submitted, preferably as a (.pdf,.xls) file. For approval of series production or re-approval after changes, the same conditions as found in section 5 shall apply. 6. Final inspections SUPPLIER is obliged, in accordance with his effectively introduced QM system, to carry out an outgoing goods test, to ensure that his products or the products delivered on his behalf are free from defects. SUPPLIER shall be responsible for determining a testing plan (sample testing or 100% testing) and shall present this plan to SCHIEFFER. Non-capable processes shall fundamentally be subject to a 100% test In the event of a complaint, the next three production runs shall be subject to 100% monitoring; for raw materials, the number of sample tests shall be doubled and the goods shall be labelled appropriately. The type of labelling will be communicated as part of the complaint. The additional costs shall be borne by SUPPLIER. It may be agreed that the supply of certificates in the form of inspection certificates in accordance with DIN EN can serve as proof of the conformity of important characteristics, these shall be made available to SCHIEFFER by SUPPLIER upon request and free of charge. In relation to production processes, process data and test values are to be recorded and evaluated. The same is also true for product data. Both sets of records shall be made available within 24 hours (automotive) or 48 hours (nonautomotive) upon request and free of charge. 7. Testing by SCHIEFFER As implementation of the necessary inspections described in Section 6 of this agreement shall be carried out exclusively by SUPPLIER, SCHIEFFER will test the contractual items upon delivery only in terms of the type of product, quantity, and perhaps externally for clearly visible signs of damage to the packaging incurred during transit. The CONTRACTUAL PARTNERS expressly agree that there exist no further inspection and notification duties in accordance with the residing law of the land where the Schieffer Company has its operations. Complaints about defects that become apparent as part of further processing will be made within two (2) working days after detection of the defect

5 8. Defective contractual products, corrections, preventive measures SCHIEFFER will report defective contractual products from SUPPLIER with a test report and/or . SUPPLIER will receive rejected products together with a notice of defects for analysis, unless otherwise agreed. SUPPLIER shall bear all costs for the correction and analysis of faults. SCHIEFFER furthermore reserves the right to assert a claim for damages for additional processing going beyond the normal scope of such processing costs, in particular documentation of the faults and settlement to its customers. SCHIEFFER retains the right to claim a lump-sum compensation payment. The amount of the lump sum will be agreed upon separately. If, for operational and in particular for manufacturing or technical reasons, SCHIEFFER should not deem it reasonable for the correction of defects to be carried out by SUPPLIER or for the defective product to be replaced, or if this should be impossible for SUPPLIER, then SCHIEFFER has the right to remedy the defects itself at the expense of SUPPLIER or to have the repairs carried out by a third party. SUPPLIER shall address the notice of defects using the "8D-Report" method. In the notification of defects, the Ishikawa diagram and the "5 Why Method" can be called upon for fault analysis. SUPPLIER shall submit, within 24 hours and without needing to be asked, a report about the immediate measures that have been introduced, any possible further affected material, and the (presumed) cause of the defect. The deadline for the report on the cause of the errors shall begin with the submission of samples or other suitable documents for evaluation. 9. SUPPLIER evaluation system SCHIEFFER expects 100% on-schedule deliveries in the agreed upon quality and quantities and continuously evaluates the quality of the products delivered. All incoming consignments will be recorded and evaluated. The number of defects, the delivery date, the amount delivered as well as the level of service will all be included in the evaluation. Furthermore, the quality management and environmental management will also be evaluated. SUPPLIER will be informed of the result of the evaluation in writing. SUPPLIERs shall be classified into three classes, A, B and C. In the event of a general rating in class "C" or an individual rating in class "C", a statement concerning measures to be implemented for improvement is to be submitted in written form a maximum of four weeks after receiving the rating, and these measures are to be implemented within ninety days. Evidence of the implementation of these changes should be submitted unrequested. The declared aim is prioritised collaboration with class A - Suppliers. 10. Documentation, information The documentation of the results of process testing, quality testing and audits carried out by SUPPLIER, including all planned and implemented corrective measures, should be performed in such a way that SUPPLIER, using the documentation for help, can prove completely and without - 5 -

6 gaps that the drawing requirements and performance requirements and specifications were fulfilled and documented over the complete development and delivery period. It is essential that batch identification and traceability (until this becomes technically impossible) of the raw materials, machines, tools and personnel that were used is maintained. If it is not possible to trace back, all products that were manufactured in the affected time period shall be considered defective. SUPPLIER is obliged to store all relevant documentation for the contractual products for a time period of at least fifteen (15) years after the last delivery of the products, provided that no longer periods of time have been agreed upon. If requested to by SCHIEFFER, SUPPLIER shall make all documentation available within 24 hours and shall allow SCHIEFFER to inspect the records. SCHIEFFER will inform SUPPLIER in written form and in good time when the requirements for the contractual items change. SUPPLIER will inform SCHIEFFER of any changes within the system that have been agreed upon or of changes in the procedures for quality assurance, and of changes of materials, production sites, production processes, sub-contracted parts, datasheets and other documents. The information shall be submitted in good time and completely so that SCHIEFFER will be able to check for any possible consequences and to raise any objections before the respective change to the contractual item comes into effect. If SCHIEFFER remains silent, this does not release SUPPLIER from his sole responsibility for the properties and reliability of the contractual items. If Schieffer discovers that contractual items do not meet the requirements placed on them, SUPPLIER will be informed of this immediately. 11. Packaging and labelling Packaging and labelling should fundamentally comply with the following guidelines along with the article-specific specifications (established using a packaging data sheet): Delivery only with the correct accompanying documents (delivery note), indicating the complete order number, identity number, address for delivery, number of items, weight and franking as well as any warning labels for any possible hazardous materials and specific identification labelling. Labelling of every package with an identity number, order number, weight and number of items and specific identification labelling. Provided that no separate specifications have been made, samples shall be labelled separately as initial sample, sample etc. and shall be delivered with the appropriate report, for example the initial sample test report. 12. Liability The agreement on quality objectives, quality measures and intervention thresholds (e.g. ppm targets) does not free SUPPLIER from the contractual and legal liability for warranty claims and claims for damages as a result of defective deliveries

7 Provided that no other agreements have been made, SUPPLIER undertakes to take out the following insurance (blanket coverage) until the expiry of the statute of limitations/termination of liability, and to prove this to SCHIEFFER as requested: Product liability insurance with an insurance coverage of a minimum of 5 million per personal injury or property damage. Automotive supplier liability insurance (financial damages due to a recall or defectiveness of products) with an insurance coverage of a minimum of 5 million per claim. 13. Other Alterations and/or additions to these QGL must be carried out in writing to become valid. If individual provisions of these QGL should be invalid or impracticable, or should they become invalid or impracticable, all other provisions in these QGL shall remain unaffected by this.
