(Incorporated in the Cayman Islands with limited liability) (Stock Code: 419) STRATEGIC COOPERATION FRAMEWORK AGREEMENT WITH CHINA LIFE INSURANCE (OVERSEAS) COMPANY LIMITED This announcement is made by the Company pursuant to Rule of the Listing Rules and Inside Information Provisions under Part XIVA of the Securities and Futures Ordinance (Cap. 571, Laws of Hong Kong). The Board is pleased to announce that on 16 October 2013, the Company and China Life Insurance (Overseas) Company Limited entered into the Strategic Cooperation Framework Agreement in relation to the formation of a strategic partnership and agree to carry out multi-field business cooperation, including product development cooperation, customer resources cooperation, business cooperation, marketing channel cooperation and investment cooperation, for resource sharing, interconnection and a reasonable value chain expansion that foster mutual development. The Strategic Cooperation Framework Agreement serves as a framework document for cooperation between the Parties. All specific business mentioned herein is subject to the signing of a specific business contract in order to stipulate the details of and the respective rights and obligations under the strategic partnership. The Company will make further announcement(s) in respect of the specific business contract(s) as and when appropriate. This announcement is made by the Company pursuant to Rule of the Listing Rules and Inside Information Provisions under Part XIVA of the Securities and Futures Ordinance (Cap. 571, Laws of Hong Kong). 1

2 THE STRATEGIC COOPERATION FRAMEWORK AGREEMENT The Board is pleased to announce that on 16 October 2013, the Company and China Life Insurance (Overseas) Company Limited entered into the Strategic Cooperation Framework Agreement in relation to the formation of a strategic partnership and agree to carry out multi-field business cooperation for resource sharing, interconnection and a reasonable value chain expansion that foster mutual development. Details of the strategic partnership between the Company and China Life (Overseas) are as follows: (1) Cooperation on Product Development Leveraging on their own advantages, the Parties shall foster in-depth cooperation on product innovation to explore new products which combine insurance with the health industry products and/or retirement products and expand into new markets jointly. (2) Cooperation on Customer Resources The Parties agree to further refine the action plan for customer resources sharing and, in compliance with relevant regulations, proactively procure the sharing of their customer management information systems in order to carry out effective customer database marketing. (3) Business Cooperation The Parties agree to foster comprehensive business cooperation and to form partnership with each other on terms which are the same as those available to the Company to conduct the following businesses: The Company undertakes to choose China Life (Oversea) s products as preferred insurance products. The Company undertakes that the Group shall give priority to the products and services offered by the various subsidiaries of China Life Insurance (Group) Company, China Life (Oversea) s parent company. Such products and services include but not limited to such commercial insurance as life and property insurances, as well as enterprise annuity fund management, account management and investment management. The Company agrees that the Group shall make all their facilities for health management, sports and leisure, healthcare and convalescence available to high-end customers of China Life (Overseas) and its group companies at market-rated prices, so that these high-end customers will have priority access to such resources. 2

3 (4) Cooperation on Marketing Channels The Parties agree to share their marketing channels and, in compliance with relevant regulations, proactively carry out such activities as cooperative marketing, joint marketing and promotion. (5) Cooperation on Investment The Parties agree that, in compliance with the law and the agreed guidelines for investment, China Life (Overseas) shall have the right of first refusal to invest in any new shares or bonds issued by the Company. In addition, the Parties agree that China Life (Overseas) may collaborate with the Company in investment projects in areas of health management, health preservation and retirement service industries when conditions are satisfied. The Agreement shall remain in effect for five years, and shall automatically renew for additional five years upon expiration should the Parties consider it necessary. The Strategic Cooperation Framework Agreement serves as a framework document for cooperation between the Parties. All specific business mentioned herein is subject to the signing of a specific business contract in order to stipulate the details of and the respective rights and obligations under the strategic partnership. The Company will make further announcement(s) in respect of the specific business contract(s) as and when appropriate. To the best of the knowledge, information and belief of the directors of the Company after having made all reasonable enquiries, China Life (Overseas) and its ultimate beneficial owner are third parties independent of the Company and its connected persons. REASONS FOR THE ENTERING INTO OF THE STRATEGIC COOPERATION FRAMEWORK AGREEMENT The Company is incorporated in the Cayman Islands with limited liability and, through its subsidiaries, is principally engaged in the health industry and media business. The Company is developing the health industry, especially the development of the Cloud Healthcare Platform for information service management, as well as health preservation and retirement projects in the PRC, under the Jiuhao brand. The Company has also commenced the development of its flagship China Jiuhao Health Town in Beijing, Haikou and Sanya. The Group plans to build China s first chain of membership-based health maintenance complexes China Jiuhao Health Town in the next ten years. The Group will also combine the Cloud Healthcare Platform for information service management, Bayhood No.9 Club and Beijing Health Maintenance Si He Yuan and Hotel as our first flagship project. 3

4 The strategic cooperation with China Life (Overseas) can allow the Group to further extend its health preservation and retirement product line into the insurance industry. Products from the Group s sports and leisure platform (for example, Bayhood No.9 Club ), healthcare services platform (including but not limited to the Green Healthcare Channel offered by China-Japan Friendship Hospital) and health preservation and retirement complexes (for example, Beijing Health Preservation Si He Yuan and Hotel) can well combined with the life insurance and medical insurance products of China Life (Overseas), offering the insured more comprehensive coverage especially on their healthcare, health preservation and retirement needs. The Group can also tap into the extensive sales and marketing channel and customer database of China Life (Overseas) for promotion of the Group s various products and memberships. In addition, the cooperation with China Life (Overseas) enables the Group to get access to a large pool of customers who are the right targets for our Cloud Healthcare Platform, a cloud-based platform for healthcare information management system to be developed across the nation together with China- Japan Friendly Hospital, which can collect, accumulate, analyze and provide instant feedback on individual s healthcare information.
