1 New Agent Contract Agreement This Agent Agreement (" Agreement" ) is by and between National Agents Alliance (NAA) and the agent named below (the "Agent" ). Therefore, in consideration of the foregoing and the mutual provisions hereinafter set forth and for other good and valuable consideration and intending to be legally bound hereby, the parties hereto agree as follows: 1. The Agent shall comply with all federal, state and local laws, regulations and rules applicable to the Agent's solicitation of insurance products, and all rules, policies, procedures, and standards which are provided to the Agent by NAA or by any NAA Carrier. 1. The Agent shall hold the appropriate insurance license(s) in the state of solicitation and in the state where the application is signed prior to submitting an application for insurance to NAA. IL The Agent shall complete pre-contracting or appointment paperwork with the NAA Carrier prior to soliciting the sale of a product, if required. C. The Agent shall not alter, modify, waive, or amend any of the terms, rates or conditions of any advertisement, brochures, applications, policies, contracts or other material NAA provided to the Agent by NAA or any NAA Carrier unless submitted and approved in writing by NAA and/or the NAA Carrier. The Agent shall not create any material that references NAA or NAA Carriers unless submitted and approved in writing by NAA and/or the NAA Carrier. 2. The Agent agrees to indemnify and hold harmless NAA against any and all claims, actions, damages, losses and liabilities (including, without limitation, reasonable attorneys' fees) (collectively "Losses" ) arising from a breach of this Agreement or any wrongful, unlawful, or tortious act or omission, or allegedly wrongful, unlawful or tortious act or omission, on the part of the Agent or any of the Agent's agents or employees. Notwithstanding the foregoing, the Agent shall not be obligated to indemnity NAA for the amounts of any Losses which have actually been reimbursed to NAA pursuant to errors and omissions liability insurance maintained by the Agent. 3. The Agent agrees to immediately repay to NAA all compensation received from policies in which premiums have been returned or in which the policy or compensation has been subject to recapture. The Agent agrees to be subordinate to the right of NAA to offset or apply all compensation received against any indebtedness of you or your Agents to NAA or NAA Carriers. The Agent agrees that any reasonable attorneys' fees associated with the collection of such compensation shall be the responsibility of and shall be reimbursed by the Agent to NAA. 4. Agent certifies that he or she has never been convicted of a federal or state felony involving dishonesty or breach of trust; or if so, that Agent has received written authorization from the applicable state insurance commissioner specifically referencing Section 1033 of the Violent Crime Control and Law Enforcement Act of 1994, subsection (3) (2) granting permission to work in the insurance industry. 5. The Agent will not use or disclose nonpublic personal information, i.e., personally identifiable information, including but not limited to financial or health information, that is not publicly available (eprotected Information" ), about individuals who seek to obtain or obtain insurance As of 10/1 9/2009

The Agent will treat Protected Information as confidential and access to Protected Information will be limited to those officers, employees, agents or representatives of the Agent who need to use the information in connection with underwriting, claims administration or other servicing of products and/or services for a particular consumer or customer. The Agent will not use or disclose, or permit any of its officers, employees, agents or representatives to use or disclose Protected Information except: as necessary in underwriting, administering claims, or otherwise servicing the consumer or customer transaction requested or authorized by the consumer or customer; or as otherwise permitted under the Gramm-Leach-Bliley Act and related federal and/or state regulations and legislation. The Agent will establish appropriate standards for safeguarding Protected Information within the Agent's control, i.e., the Agent will establish his/her own internal security guidelines. 6. The relationship between the parties may be terminated by either party upon 30 days notice in writing by ordinary mail to the last known address of the other party; provided, however, that the parties' obligations hereunder relating to confidentiality, non-disclosure, indemnification and re-payment shall survive the termination. 7. This Agreement can only be amended and modified by a written instrument properly executed by you and an authorized officer of NAA. 8. I am fully aware and understand that as a licensed insurance agent it is my responsibility to completely understand the products, commission schedules, commission chargeback provisions, and other pertinent features and benefits pertaining to the companies and products that I contract with and to properly solicit these products to consumers in accordance with the insurance solicitation laws and consumer protection laws within the state(s) where I hold a resident and/or non-resident license. 9. I understand and acknowledge that if I have no E&0 coverage that NAA does not provide it for me and that I am responsible for my own coverage. The parties herein agree that this Agreement will be executed as of the later of the two dates below. 3 Lead Program Checklist ml Any agent wishing to participate in the NAA lead Program MUST COMPLETE and return the following forms: GMRIGeographical Mailing Request To be completed by Distributor only. Must indicate the Counties AND number of leads you are requesting on a weekly basis. This form generates a standing order to be shipped twice per week. Writing Agents, do not fill this form out your manager is responsible for this. Mortgage Lead Program Letter of Agreement This form must be signed on page 2 by the agent and manager unless direct to NAA. Both pages must be submitted to the Lead Billing Office. Agent Agreement This form must be completed, and signed on page 5, and submitted to the Lead Billing Office. Pre-Authorized Check Agreement To be completed if you wish to pay for leads through a direct draft from your checking or savings account. You must attach a VOID check or savings form (from your bank). Any agreements received without this information will be considered incomplete and the agent will not be available to receive leads. Please keep in mind that any leads requested for an agent without the above forms in place WILL BE CHARGED TO THE DISTRIBUTOR no exceptions. 4 Mortgage Lead Program Letter of Agreement gg National Agents Alliance, This letter is confirmation of our agreement concerning my request to be a participant in the Mortgage Lead Program made available by National Agents Alliance, its affiliates, subsidiaries, and successors (collectively, "NAA"). I am a duly licensed insurance agent and as an independent contractor of NAA, I have entered in to an agency contract to sell insurance for insurance companies with which NAA has entered into marketing agreements. A list of the current insurance companies with which NAA has agreements is attached to this letter, and I understand that NAA may modify this list from time to time. The term "NAA Contracted Insurance Companies" shall collectively refer to all the insurance companies with which NAA has marketing agreements at the time I buy leads. I understand that NAA may enter into a Lead Agreement with any agent who has an agreement with an NAA Contracted Insurance Company. I seek to buy leads from NAA for my use and for use by my down line agents in connection with selling insurance and recruiting insurance agents for the NAA Contracted Insurance Companies. 1. LeadS: NAA has developed a Lead Program for qualified members of its sales to buy leads from NAA for use solely in connection with the sale of insurance and recruiting insurance agents for NAA Contracted Life Insurance Companies. 1.1 I request that NAA supply me with leads at the rate assigned to my commission level and in the geographical area(s) described in the Geographical Mailing Request ("GMR") which shall be appended to and made part of this agreement upon its execution. I can change the geographic territory for which I am requesting leads by filling out a new GMR and submitting it to NAA. The other terms of this agreement will remain unchanged. 1.2 I agree to diligently work the number of leads requested on a weekly basis, and to ensure that any leads provided by me to my down line agents are diligently worked. 1.3 I agree and understand that all leads provided to me or my down line agents must only be used to sell insurance through an NAA Contracted Life Insurance Company or to recruit insurance agents to sell insurance through an NAA Contracted Life Insurance Company. I also agree and understand that if I use leads provided to me by NAA to sell insurance or recruit agents for any other insurer or through another agency, NAA may terminate my contract with the NAA Contracted Insurance Carriers and may terminate this Lead Agreement, and further NAA may recover all commissions earned on such sales and recruits from me. 1.4 NAA agrees to make commercially reasonable efforts to supply the leads to me on a weekly basis so long as I am in compliance with the terms of this agreement. 2. Payment For Leads 2.1 I agree to pay for each lead received by me, and any applicable postage and/or handling fee as detailed on my invoice via the payment method I have selected on the scheduled payment date. In the event I default on my obligation to pay NAA for leads, I shall be responsible for payment of interest and NAA's collection costs, including but not limited to reasonable attorney's fees also agree to pay all override charges for leads received by my down line agents who participate in the Lead Program. (Override charges are the amount equal to the difference in cost between the charge to such agent level in accordance with agents' contract level, and the charge for my contract level) agree and understand that I am also responsible for my down line agent's share of any lead costs, should that agent fail to pay these lead costs as required by their agreement with NAA. I agree to guarantee payment and performance of my down line agent(s') lead costs, plus interest, attorneys' fees, and collection costs. NAA is not required to pursue any remedy from any other person before seeking payment from me under this agreement. I will remain obligated to pay on this guarantee even if the down line agent(s') obligation is discharged in bankruptcy. I agree that NAA may modify the obligations of my down line agents without any notice to me, and such modifications shall not affect my obligations under this guarantee. 2.4 To secure this obligation, I hereby grant NAA a security interest in all commissions and any bonus amounts payable to me from NAA or others resulting from sales made through NAA and I will execute any documents requested by NAA to perfect such security including but not limited to Pre-Authorized Check. I hereby authorize any NAA Affiliated Life Insurance Company to make payment of such commissions and bonuses directly to NAA, but only in the event of default of the payment obligations contained

5 herein. Mortgage Lead Program Letter of Agreement II 3. Termination/Amendment of Agreement: 3.1 I may withdraw from the Lead Program with 30 days written notice to NAA. During the 30-day period, I agree that I will be responsible for the cost of leads distributed to me, for my share of the cost of the leads distributed to my down line agents, and for any uncollectible lead charges accumulated by my down line agents. 3.2 NAA may terminate or suspend my participation in the Lead Program upon written notice by NAA, with or without cause. I further understand and agree that I am not entitled to participate in the Lead Program if any of my contracts with the NAA Contracted Insurance Companies are terminated, if my license to sell insurance is suspended or revoked, or if I default on any of my obligations in this agreement. I understand that I am obligated to pay for all leads billed prior to and for a period of not more than 30 days following my termination from the program. 3.3 This agreement may be amended only in writing, signed by both Agent and an authorized NAA signatory, except that the list of NAA Contracted Insurance Companies may be modified by NAA upon written notice by NAA to me and the GMR may be modified upon written notice by me to NAA This agreement shall be governed by North Carolina law, without regard to conflict of laws principals. I agree to submit to jurisdiction in North Carolina and that the sole forum for any dispute arising out of or relating to this agreement or my relationship with NAA shall be in the Superior Court of Alamance County, North Carolina. This transfer of funds will go to National Agents Alliance ("NAA") electronically. In return, a statement detailing lead charges will be generated by NAA and sent to you via or faxed to your office. This process is automatic and guarantees that your lead flow will continue without interruptions due to misdirected or late payments. Please be sure to maintain sufficient funds in your account to cover lead charges and be sure to update your account register with statements provided by NAA. If accounts are accessed and not have sufficient funds, a $35 charge will be added. I/We hereby authorize, as a convenience to me, to pay National Agents Alliance, Inc. ("NAA"), hereinafter called COMPANY, to initiate debit entries and/or correction entries due to my/our account indicated below, and do authorize the depository named below, hereinafter called DEPOSITORY, to debit the same to such account. I agree that all rights in respect to each withdrawal shall be the same as if a check were drawn and signed personally by me the undersigned. 10 Carrier Marketing Agreement THIS CARRIER MARKETING AGREEMENT (this "Agreement" ) is made and entered into effective as date written next to the Independent Contractor's signature below, by and between SUPERIOR PERFORMERS, INC. d/b/a NATIONAL AGENTS ALLIANCE, a Virginia corporation having its primary place of business in North Carolina ("NAA") and the individual or entity executing the agreement as set forth below (the "Independent Contractor" ). WHEREAS, NAA and Independent Contractor are engaged in forming and maintaining a cohesive marketing organization for the sale of insurance products; and, WHEREAS, NAA has obtained the rights to be an independent marketing organization or managing general agency for Contracted Insurance Companies (as defined below); WHEREAS, NAA is willing to permit the Independent Contractor to engage in sales of products of the Contracted Insurance Companies, subject to the terms of this Agreement and the requirements of such insurance companies; WHEREAS, NAA is engaged in activities or is a party to contracts which require maintaining the confidential nature of certain activities and information so as to properly perform under said contracts or so as to maintain NAA's competitive advantage in the marketplace; and, WHEREAS, the Independent Contractor will have access to or knowledge of the confidential information regarding NAA's business activities or confidential information used in NAA's business activities or confidential information used in NAA's business or industry; and WHEREAS, NAA desires to make Independent Contractor aware of the confidential nature of these activities and the information and to obtain from Independent Contractor a commitment not to disclose any confidential information, except as provided herein; and WHEREAS, NAA has an investment in its client, vendor, independent contractor, and employee relationships, and these relationships are necessary and important to the continued success of its business; and WHEREAS, the Independent Contractor is prepared to acknowledge the pre-existing nature of these relationships and to refrain from interfering with or disturbing these relationships to the detriment of NAA. NOW THEREFORE, in consideration of (i) a contract to sell the products of the Contracted Insurance Companies through NAA's relationship with such companies, (ii) marketing incentives from time to time made available by the Contracted Insurance Companies through NAA, (iii) access to marketing tools (including, but not limited to, leads, NAA's website use, etc.) and (iv) other new good and valuable consideration, the receipt and legal sufficiency of which is hereby acknowledged, it is hereby agreed as follows: 1. Non-Disclosure of Information. a. The Independent Contractor recognizes and acknowledges that certain confidential and proprietary information (the "Confidential Information") of NAA, as may exist from time to time, are valuable, special and unique assets of NAA's business, and that access to and knowledge of this confidential information are valuable to the Independent Contractor for the performance of the Independent Contractor's duties. Such Confidential Information includes, but is not limited to any and all business of technical information such as: Any and all methods, formulas, processes, techniques, practices, marketing and sales information, personnel data, financial data, plans, and all other know-how and trade secrets which are in the possession of NAA, no matter what the source, and which have not been published or disclosed to the general public; ii. NAA's business methods and practices, including pricing methods, contract terms, and practices; iii. Compilations of data or information, including but not limited to NAA's business, customer lists, agents list, agent address lists, leads lists, potential customers list and list of contact information for customers and agents of NAA; iv. Any other information that is not generally known to the public, including but not limited to information about NAA's operations, personnel, products or services, which if misused or disclosed, could have a reasonable possibility of adversely affecting the business of NAA. Independent Contractor agrees to treat all information obtained from NAA as confidential, whether written or oral and regardless of whether it is marked or otherwise designated to be confidential. The Independent Contractor recognizes and acknowledges that NAA has undertaken efforts to maintain the confidentiality of the Confidential Information. While under contract or associated with NAA and for a period of five (5) years following the termination of the provision of services for whatever reason, the Independent Contractor agrees that he will not disclose such Confidential Information to any person, firm, corporation, association or other entity for any reason or purpose whatsoever, nor shall the Independent Contractor make use of any such Confidential Information for his own purposes or for the benefit of any person, firm, corporation, or other entity (except NAA) under any circumstances. 11 Carrier Marketing Agreement constituting a trade secret under the applicable state or federal statute protecting trade secrets shall have the greater of (x) the protections afforded in this Agreement or (y) the protections afforded pursuant to such statute. Exceptions. After the termination of the Independent Contractor's provision of services to NAA these restrictions shall not apply to such Confidential Information: which is then, or from time to time thereafter in the public domain (provided that the Independent Contractor was not responsible, directly or indirectly, for permitting such Confidential Information to enter the public domain without NAA's consent); which is obtained from a third party which is not obligated under an Agreement of confidentiality to NAA, or iii. which was known to Independent Contractor prior to disclosure by NAA; provided, that such information is not subject to another Confidentiality Agreement with or other obligation of secrecy to NAA or any other party. Required Disclosure. In the event that Independent Contractor is requested or required (by oral questions, interrogatories, request for information or documents, subpoenas, civil investigative demand or similar legal process) to disclose any Confidential Information supplied to Independent Contractor in the course of Independent Contractor's provision of services with NAA, it is agreed that Independent Contractor will provide NAA with prompt notice of such request(s), so that NAA may seek an appropriate protective order or, if appropriate, waiver of compliance to the provisions of this Confidentiality Agreement. Independent Contractor will use Independent Contractor's best efforts to obtain, or assist NAA in obtaining, such a protective order. It is further agreed that, if in the absence of a protective order or the receipt of a waiver hereunder, Independent Contractor is nonetheless, in the opinion of Independent Contractor's counsel, legally compelled to disclose the information to any tribunal or governmental authority or else stand liable for contempt or suffer other censure or penalty, Independent Contractor may disclose such Information to such tribunal or authority. Independent Contractor will not be liable for such disclosure unless it was caused by or resulted from a previous disclosure not permitted by this Confidentiality Agreement. d. Notification of Disclosure. Independent Contractor shall promptly notify NAA in writing of any unauthorized, negligent or inadvertent use or disclosure of the Confidential Information of which Independent Contractor has knowledge. Definitions: "Affiliates" shall mean the affiliates of NAA, including without limitation, Pro Data Research, LLC and K.I.T. Marketing, LLC, each of whom are deemed to be third-party beneficiaries to the terms of this Agreement. "Contracted Insurance Companies" shall mean any insurance company with whom NAA has served as an IMO during the twelve (1 2) months immediately prior to the termination of the services of Independent Contractor to NAA (including without limitation, The Independent Order of Foresters, Mutual of Omaha, Liberty Life Insurance Company and Old Mutual Financial Network). "Final Expenses Insurance" shall mean permanent insurance policies payable on the insured's deaths to cover costs associated with the death of the insured, including but not limited to funeral and burial expenses, with a face benefit amount of no greater than $20, "Group Life Insurance" shall mean term insurance covering a group of people where the underwriter's consideration is the size and turnover of the group and the financial strength of the group, and where individual proof of insurability is not a consideration in underwriting. "IMO" shall collectively mean a master general agent, managing general agent or independent marketing organization. "Life Insurance Products" shall have the same meaning as is customary for life insurance products or life insurance policies that are the same or substantially similar to those life insurance products or life insurance polices sold, marketed, promoted or transacted by NAA during Independent Contractor's relationship with NAA; provided, however, that the term 'Life Insurance Products' shall also include annuities and annuity contracts and provided further that the term 'Life Insurance Products' shall not include Final Expense Insurance and Group Life Insurance. "Third Party Life Insurance Company" shall mean any life insurance for whom NAA does not currently serve as its IMO. By way of example and not of limitation, nothing herein shall prohibit the Independent Contractor from selling a term life insurance product with a return of premium rider of a Third Party Life Insurance Company if the life insurance companies represented by NAA do not offer a term life insurance product with a return of premium rider. Conflicting Insurance Companies and IMO's: It i s the intent of the parties to form a cohesive sales force for the sale of life 5NN N A T lo N A L A G E N T s A L LIA N G E As of 10/1 9/2009

12 Carrier Marketing Agreement insurance products nationwide. Therefore, NAA and Independent Contractor shall cooperate to use their collective best efforts to recruit and maintain a cohesive sales force. Therefore: No Third-Party Life Insurance Companies. During the term of Independent Contractor's appointment with NAA and so long as NAA shall make available to Independent Contractor for sale to consumers the Life Insurance Products of at least two (2) or more insurance companies, in the territory of the United States, the Independent Contractor shall not sell Life Insurance Products of any Third-Party Life Insurance Company. b. NAA as Sole IMO for Contracted Insurance Companies. During the term of Independent Contractor's appointment with NAA and for a period of twelve (1 2) months following termination of that appointment with NAA, Independent Contractor will not directly or indirectly obtain any other appointment with the Contracted Insurance Companies to solicit or to sell Life Insurance Products without prior written consent from NAA. Independent Contractor agrees that if it is already contracted with a Contracted Insurance Company through an entity other than NAA, then Independent Contractor hereby requests all Contracted Insurance Companies to terminate Agent's contract with such other entity and to appoint Agent only through NAA. Master General Agent; Independent Marketing Organization. Independent Contractor acknowledges and understands that NAA has a relationship with certain insurance companies as an IMO in which NAA recruits and manages agents to sell insurance for those insurance companies ("the downline agents") and NAA is "upline" to all such agents. The Independent Contractor is a downline agent of NAA and is appointed to sell insurance as a general agent or producer of the insurance companies. During the term of this Agreement and for a period of two (2) years following the termination of Independent Contractor's provision of services to NAA or as a downline agent of NAA, the Independent Contractor shall not: (a) contract as an IMO with, or (b) provide similar or related services as provided by an IMO, including but not limited to the recruitment, solicitation, or provision of sales leads to downline agents, to any Contracted Insurance Company. 5. Non-Solicitation of Customers. During the term of Independent Contractor's provision of services to NAA or as a downline agent of NAA and for a period of two (2) years following the termination of such services, the Independent Contractor shall not: (a) solicit or otherwise establish or seek to establish any business relationship relating to the sale of Life Insurance Products with the customers of NAA, except on behalf of NAA or as a downline agent of NAA whereby NAA shall receive compensation from a Contracted Insurance Company for any sales resulting from such solicitation: (i) who were customers during the twelve (1 2) months immediately preceding the termination of Independent Contractor's provision of services to NAA; or (ii) with whom the Independent Contractor had contact while an Independent Contractor of NAA or of NAA's affiliates; or, (b) encourage or advise such customers to sever, discontinue or not renew any agreement or relationship to NAA. For purposes of this Agreement, the term "customers" includes, without limitation, insurance agents purchasing leads from NAA or its Affiliates and individuals to whom downline agents of NAA have sold Life Insurance Products of Contracted Insurance Companies. 6. Non-Solicitation of Vendors. D u r ing the period of time Independent Contractor provides services to or as a downline agent of NAA and for a period of two (2) years following the termination of Independent Contractor's provision of services to or as a downline agent of NAA, the Independent Contractor shall not, directly or indirectly, encourage or advise the vendors or service providers of NAA (including, but not limited to, Contracted Insurance Companies and insurance agents) to sever, discontinue or not renew any Agreement or relationship to NAA. This provision shall apply to all vendors or service providers: (i) who were vendors or service providers during the twelve (1 2) months immediately preceding the termination of the provision of services; or (ii) with whom the Independent Contractor had contact while an Independent Contractor of NAA, or of its affiliates. 7. Non-Solicitation of Employees and Independent Contractors. During the period of time Independent Contractor provides services to or as a downline agent of NAA and for a period of two (2) years following the termination of Independent Contractor's provision of services to or as a downline agent of NAA, the Independent Contractor shall not, directly or indirectly: (a) solicit for the provision of services or employment any employee or independent contractor of NAA or its Affiliates, (b) advise or recommend to any other person that they employ or solicit for provision of services any employee or independent contractor of NAA or its Affiliates, or (c) encourage or advise such employees or independent contractors to sever, discontinue or not renew any agreement or relationship to NAA or its Affiliates, or (d) otherwise establish or seek to establish any business relationship with any such employee or independent contractor relating to the sale of Life Insurance Products. 8. 13 Carrier Marketing Agreement time, notwithstanding the terms of any other Agreement entered into between the parties, provided however the ongoing provisions of this Agreement shall continue in accordance with their terms. Because the Independent Contractor may be utilizing the intellectual property of NAA pursuant to a non-exclusive, limited license or without permission, upon termination of Independent Contractor's provision of services to NAA or to the Contracted Insurance Companies, for whatever reason, Independent Contractor shall: a. Immediately deliver to NAA all property and materials including but not limited to all business and technical information under this section, regardless of whether or not it is confidential or proprietary which pertains to or belong to NAA. b. Immediately cease holding himself or itself out as being affiliated with NAA in any way, including, without limitation, through use of internet websites, internet addresses, addresses, business cards, use of NAA's name, trademarks and logos, and so forth; and, c. Immediately transfer to NAA any URL, domain name or website identification utilizing the intellectual property of NAA, including without limitation the initials "NAA." 9. Breach and Enforcement. In executing this Agreement, Independent Contractor acknowledges that he has carefully read and considered and understands all of the provisions of this Agreement. Independent Contractor agrees without reservation that each of the restraints contained in this Agreement are necessary for the reasonable and proper protection of the legitimate business interests of NAA and that each and every one of those restraints is reasonable in respect to subject matter, length of time and geographic area. Independent Contractor expressly acknowledges that NAA would suffer irreparable injury in the event of a breach or threatened breach of these covenants, NAA shall be entitled to an injunction restraining Independent Contractor from breaching said covenants; provided, however, that nothing herein shall be construed as prohibiting NAA from pursuing any other remedies available for such breach or threatened breach, including but not limited to the recovery of damages from Independent Contractor. 10.Extension of Restrictions. During any period of time in which the Independent Contractor is in violation or contravention of any provision of this Agreement, the duration of any applicable period of restriction shall be suspended and shall not resume until such time as the Independent Contractor is in full compliance to the terms of said provision, so as to provide NAA to the full benefit of the period of non-competition or non-solicitation. 11.Waiver of Breach. The waiver by either party of a breach of any provision of this Agreement shall not operate or be construed as a waiver of any subsequent breach. 12.Governing Law; Submission to Jurisdiction. NAA has offices in Alamance County, North Carolina and conducts a substantial amount of its business activities from that location, including without limitation, the lead program from which the Independent Contract purchases lists of potential customers from NAA or its Affiliate, Pro Data Research, LLC. This Agreement shall be governed by and construed in accordance to the laws of the State of North Carolina, without regard to principles of conflict of laws. This Agreement shall be regarded as made under the laws of the State of North Carolina and that the laws of said State shall be applied in interpreting its provisions in all cases where legal interpretation shall be required. Each of the parties hereto hereby irrevocably an unconditionally agrees: a. to be subject to, and hereby irrevocably and unconditionally submits, to the exclusive jurisdiction of the courts of Alamance County, North Carolina and of the federal district court, which includes Alamance County, for the purposes of any action, suit or proceeding (including appeals to their respective appellate courts) arising out of this Agreement or the transactions contemplated hereby (and agrees not to commence any action or proceeding except in such courts), and b. to the fullest extent permitted by law, that service of process may also be made on such party by prepaid certified mail with a proof of mailing receipt validated by the United States Postal Service constituting evidence of valid service, and that service made pursuant to this provision shall have the same legal force and effect as if served upon such party personally within the State of North Carolina. 13.Assignment. The rights and obligations of NAA under this Agreement shall inure to the benefits of and shall be binding upon the successors and assigns of NAA. 14.Entire Agreement. This instrument contains the entire Agreement of the parties with respect to the subject matter hereof. The

14 Carrier Marketing Agreement Agreement may not be changed orally, and any chance or amendment must be in writing signed by the party against whom enforcement of any waiver, modification, extension or discharge is sought. 15.Construction/ Severability. Construction. All pronouns used herein shall be deemed to refer to the masculine, feminine, or neuter gender as the context requires. The headings and other captions in this Agreement are for convenience and reference only and shall not be used in interpreting, construing or enforcing any of the provisions of this Agreement. Severability. The provisions of this Agreement and all of its subparts herein are separate and independent, regardless of the use of the words "and" or "or". Any provision of this Agreement and all of its subparts herein or any word, clause, sentence, or other portion thereof shall be modified or deleted in such a manner as to make the provision hereof, as modified, legal and enforceable to the fullest extent permitted under applicable law. Liquidated Damages. Independent Contractor acknowledges that the disclosure of Confidential Information and engaging in the prohibited acts of solicitation would likely result in economic loss or damage to NAA, its Affiliates and their business. The parties hereto recognize that it would be difficult to determine the actual amount of these damages; therefore, the parties agree that NAA shall be entitled to liquidated damages in the amount equal to the amount of the all payments, commissions, and bonuses paid to Independent Contractor by NAA and the Contracted Insurance Companies for the immediately preceding twelve (1 2) month period. The parties hereto agree that this amount represents a fair and reasonable approximation of the actual damages that may be incurred by NAA in the event of the unauthorized disclosure of Confidential Information. It is further provided that, in the event of breach by the Independent Contractor, the Independent Contractor shall forfeit all amounts remaining due and owing to the Independent Contractor at the time of termination. Nothing in this Agreement shall prevent or prohibit NAA from seeking injunctive relief from any court of competent jurisdiction for any breach of this Agreement by Independent Contractor. 16.Attorneys Fees. Should it become necessary to enforce any provision of this Agreement in either a court of law or equity, the prevailing party in any such action shall be entitled to recover its costs related to enforcement or the collection of any sum and damages provided under this Agreement, including reasonable attorneys' fees. 17.Consent to Electronic Agreement & Notice; Method of Acceptance. Electronic Agreement & Notice. In the event that the Independent Contractor enters into this Agreement by electronic means through the NAA's website or by , Independent Contractor hereby agrees and consents that this Agreement shall be legally binding upon Independent Contractor's estate, heirs, executors, administrators, personal representatives, successors and assigns. Independent Contractor hereby waives any and all defenses that this Agreement was not in writing or properly executed as may be required by the statute of frauds or any other similar law, rule or regulation. Independent Contractor hereby agrees that NAA fulfills its obligation to deliver to Independent Contractor any document, statement, notice, or other communication if sent via electronic delivery. Documents sent by electronic delivery will contain all the information as it appears in the printed hardcopy version as prepared and distributed by the originator, with the possible exception of graphic insertions such as photographs or logotypes. Electronic delivery may be in the form of an , an electronic mail attachment, or in the form of an available download from the NAA website. Independent Contractor represents that Independent Contractor will download the relevant document promptly after receiving notice of its availability. Should Independent Contractor experience any difficulty opening a document electronically delivered by NAA, Independent Contractor will promptly advise NAA in order to allow NAA to make the required delivery by other means. Failure to advise NAA of such difficulty within forty-eight (48) hours after delivery shall serve as an affirmation that Independent Contractor was able to receive and open said document. b. Method of Acceptance. Independent Contractor indicates acceptance of the Agreement and all of the terms and conditions contained or referenced in the Agreement by signing below or by clicking on the "I Accept" button (or terms substantially similar to "I Accept" indicating Independent Contractor's acceptance of the terms of this Agreement) in connection with the contract application with NAA. Independent Contractor agrees and intends that this action creates an electronic signature that has the same legal force and effect as a handwritten signature. 18.Third Party Beneficiaries. Due to the integrated use of services and products by Independent Contractor from NAA and its Affiliates, the Independent Contractor and NAA agree that all of NAA's Affiliates, including without limitation Pro Data Research, LLC and K.I.T. 15 Carrier Marketing Agreement and non-solicitation provisions contained herein relating to the business of NAA and its Affiliates and any losses suffered by such Affiliates as a result of Independent Contractor's breach of any terms of this Agreement.
