1 Welcome to the Michelin Advantage Program for NPAA Members. This program gives NPAA Members an opportunity to purchase Michelin, B.F Goodrich, and Uniroyal tires at discounted prices. To get set up as a Michelin Advantage Program Member click on the following link You will be directed to complete a form to start that will start the process to get you set up on this money saving program. This form has been designed for businesses and as such you will need to complete the form as indicated on the copy of the example form below. Make sure to add your Member Number in the appropriate box. Upon completing this form on line you will click on submit at the bottom of the form and will receive a notice that the form has been submitted. (Note: The approval process for your application may take up to 14 days, so plan accordingly) Once the application is approved you will receive an with the next steps which will include registering the credit card you will use to purchase the tires. With these steps complete you are ready to go to any participating Michelin brands dealer and buy your Michelin, BFG or Uniroyal tires, While at the dealer, let the salesperson know that you are a Michelin Advantage Consumer Association Program member so they can fill out the correct paperwork to get you your discounts. They can also assist in finding the tires that best fits your needs. The savings you will experience with this program will typically be anywhere from $15 per tire on up to $40+ per tire depending on the brand and size you are purchasing. That s $60-over $160 per set of four tires! You will be able to check pricing on the Michelin Advantage Progam site once you are set up. 4 1. SCOPE OF PROGRAM The Michelin North America, Inc. ( MNAI ) Commercial Association Advantage Program (the Program ) is intended for purchases of MNAI products (new MICHELIN and BFGoodrich commercial truck tires) through commercial associations ( Commercial Association ) by a member network of individual, commercial entities (the Members ). MNAI products purchased by Members through the Program shall be installed on equipment that is directly owned or controlled by each respective Member or Members. Products, once purchased by the Members, shall not be resold. 2. DELIVERY Since delivery of product is made directly by the Authorized MNAI Dealer ( Dealer ) who accepts the order of the Members, MNAI shall not be liable for any loss suffered or costs incurred by the Members resulting, directly or indirectly, from failure or delay in shipment. MNAI shall, however, use commercially reasonable efforts to provide inventory to the Dealer in adequate amount to fill the order of the Members. However, MNAI shall not be liable for any losses or costs incurred by Commercial Association or Members resulting, directly or indirectly, from failure or delay in shipment of MNAI products due, in whole or in part, to: (i) shortage of MNAI products or materials; (ii) interruption of transportation or utility facilities; or (iii) any cause beyond MNAI s reasonable control or without the fault or negligence of MNAI. MNAI may suspend performance of its obligations to fill Member orders, even if accepted, without obligation to Members during the occurrence of any excusable delay. Excusable delays shall include, but not be limited to, results from acts of God or public enemy, restrictions, prohibitions, priorities or allocations imposed by governmental authority, strikes or labor disputes, lack of or inability to obtain raw materials or supplies, floods, fires, earthquakes, epidemics, or unusually severe weather. 3. PAYMENT TERMS Members shall make payments to MNAI solely by credit card. If Member is claiming an exemption from any federal, state or local tax or environmental fee imposed on the sale or use of products sold under this agreement, an exemption certificate for the tax or fee must be on file with MNAI Customer Service Department prior to the claim. Failure to have the exemption certificate on file at the time of sale releases MNAI from any obligation to refund the tax or to support Member in seeking a refund. Should MNAI agree to refund the tax or support Member in seeking a refund on sales prior to MNAI having the exemption certificate on file, MNAI may impose a 25% service charge to cover its administrative costs. 4. PRODUCT RETURNS In the event the a Member desires to return unused, current production MNAI products purchased through the Program, the Member shall so advise MNAI in writing and inform MNAI of the location of the products. MNAI shall have the right to inspect such products and, at its sole discretion, may approve the return of the products by the Member, whereupon the Member shall ship the products, freight pre-paid, to the MNAI Dealer from whom they were purchased so that such MNAI Dealer can process a reverse delivery receipt and any and all other documentation required by MNAI. No tires may be returned directly to MNAI. Credit for products properly returned shall be issued at the net invoice price paid by Member; therefore, less any discounts, credits, allowances, and other benefits received by Member s current purchase price thereof, whichever is less. 5. WARRANTY The products sold to Members are subject to MNAI s applicable standard Limited Warranty. 6. FINANCIAL AND OPERATING INFORMATION If the Commercial Association wishes to avail itself of the Program for its Members as eligible to purchase products, Commercial Association agrees, as a condition of membership, to establish a bill-to number with MNAI at the time of its application for membership in the Program. The participating Members will purchase products via credit card and shall be solely responsible for all such purchases. Further, as a condition of continued membership in the Program, Commercial Association agrees to: o o Provide prompt notice in writing to MNAI of any substantial change in the ownership or management of Commercial Association and its subsidiaries and/or divisions. Provide a mechanism through which the Members of the Commercial Association may obtain information relating to the Program and access documents and/or web portal for enrollment purposes. 7. CONSTRUCTION, MODIFICATION, AND TERMINATION OF PROGRAM MEMBERSHIP These Conditions of Sale shall be governed and construed in accordance with the law of the State of South Carolina without regard to any conflict of laws provision. Any Party may terminate the Program relationship at any time for any reason by notifying the other Party(ies) in writing. However, the

5 Members shall accept and pay for all MNAI products delivered to the Member before MNAI receives or issues a written notice of termination. These Conditions of Sale, as they may be revised by MNAI from time to time at its sole discretion, shall apply to any purchases made by the Members pursuant to the Program or any published revision in effect at the time of the purchase, all of which cumulatively constitute the complete agreement of MNAI, the Commercial Association and the Member. Any attempt by Commercial Association or Members to vary in any way from this agreement (whether by additional, conflicting or different terms contained in any purchase order submitted by a Member or otherwise) is hereby expressly rejected by MNAI and the terms and conditions contained in this agreement only shall control. The specifications for tires and/or the prices charged therefore, as periodically offered under the Program and/or North America Commercial Association Advantage Customer Price List, are subject to change at any time at MNAI s sole discretion.
