2 General Terms and Conditions ADMINISTRATIVE REQUIREMENTS - Contractors shall comply with all management and administrative requirements established by Washington Administrative Code (WAC), the Revised Code of the State of Washington (RCW), and any subsequent amendments or modifications, as applicable to providers licensed in the State of Washington. ALL proposals submitted become the property of Clark County. It is understood and agreed that the prospective Proposer claims no proprietary rights to the ideas and written materials contained in or attached to the proposal submitted. Clark County has the right to reject or accept proprietary information. AUTHORSHIP - Applicants must identify any assistance provided by agencies or individuals outside the proposers own organization in preparing the proposal. No contingent fees for such assistance will be allowed to be paid under any contract resulting from this RFP. CANCELLATION OF AWARD - Clark County reserves the right to immediately cancel an award if the contractual agreement has not been entered into by both parties or if new state regulations or policy make it necessary to change the program purpose or content, discontinue such programs, or impose funding reductions. In those cases where negotiation of contract activities are necessary, Clark County reserves the right to limit the period of negotiation to sixty (60) days after which time funds may be unencumbered. CONFIDENTIALLY: Proposer shall comply with all applicable state and federal laws governing the confidentiality of information." CONFLICT OF INTEREST - All proposals submitted must contain a statement disclosing or denying any interest, financial or otherwise, that any employee or official of Clark County or the appropriate Advisory Board may have in the proposing agency or proposed project. CONSORTIUM OF AGENCIES - Any consortium of companies or agencies submitting a proposal must certify that each company or agency of the consortium can meet the requirements set forth in the RFP. COST OF PROPOSAL & AWARD - The contract award will not be final until Clark County and the prospective contractor have executed a contractual agreement. The contractual agreement consists of the following parts: (a) the basic provisions and general terms and conditions, (b) the special terms and conditions, (c) the project description and goals (Statement of Work), and (d) the budget and payment terms. Clark County is not responsible for any costs incurred prior to the effective date of the contract. Clark County reserves the right to make an award without further negotiation of the proposal submitted. Therefore, the proposal should be submitted in final form from a budgetary, technical, and programmatic standpoint. DISPUTES: Clark County encourages the use of informal resolution to address complaints or disputes arising over any actions in implementing the provisions of this RFP. This does not preclude or impede the formation of a consortium of companies and/or agencies for purposes of engaging in jointly sponsored proposals. INTERLOCAL AGREEMENT - Clark County has made this RFP subject to Washington State statute RCW Therefore the bidder may, at the bidders option, extend identical prices and services to other public agencies wishing to participate in this RFP. Each public agency wishing to utilize this RFP will issue a purchase order (or contract) binding only their agency. Each contract is between the proposer and the individual agency with no liability to Clark County. LIMITATION - This RFP does not commit Clark County to award a contract, to pay any costs incurred in the preparation of a response to this RFP, or to procure or contract for services or supplies. LATE PROPOSALS - A proposal received after the date and time indicated above will not be accepted. No exceptions will be made. ORAL PRESENTATIONS: An oral presentation may be required of those prospective contractors whose proposals are under consideration. Prospective contractors may be informed that an oral presentation is desired and will be notified of the date, time and location the oral presentation is to be conducted. OTHER AUDIT/MONITORING REQUIREMENTS - In addition, auditing or monitoring for the following purposes will be conducted at the discretion of Clark County: Fund accountability; Contract compliance; and Program performance. PRICE WARRANT - The proposal shall warrant that the costs quoted for services in response to the RFP are not in excess of those which would be charged any other individual or entity for the same services performed by the prospective contractor. PROTESTS must be submitted to the Purchasing Department. REJECTION OF PROPOSALS - Clark County reserves the right to accept or reject any or all proposals received as a result of this RFP, to negotiate with any or all prospective contractors on modifications to proposals, to waive formalities, to postpone award, or to cancel in part or in its entirety this RFP if it is in the best interest of Clark County to do so. SUBCONTRACTING - No activities or services included as a part of this proposal may be subcontracted to another organization, firm, or individual without the approval of Clark County. Such intent to subcontract shall be clearly identified in the proposal. It is understood that the contractor is held responsible for the satisfactory accomplishment of the service or activities included in a subcontract. VERBAL PROPOSALS: Verbal proposals will not be considered in making the award of any contract as a result of this RFP. WORKERS COMPENSATION INSURANCE The contractor shall comply with R.C.W. Title 51- with minimum coverage limits of $500,000 for each accident, or provide evidence that State law does not require such coverage. FOR ALTERNATIVE FORMATS Clark County ADA Office; V (360) ; TTY (360) ; ADA@Clark.wa.gov ENVIRONMENTALLY RESPONSIBLE PURCHASING PROGRAM - Clark County has implemented an Environmentally Responsible Purchasing Policy with a goal to reduce negative impacts on human health and the environment. Negative environmental impacts include, but are not limited to, greenhouse gases, air pollution emissions, water contamination, waste from the manufacturing process and waste in packaging. This policy also seeks to increase: 1) water and energy efficiency; 2) renewable energy sources; 3) use of products with recycled content; 4) product durability; 5) use of products that can be recycled, reused, or composted at the end of its life cycle. 4 Request for Proposal # 497 Investment Consultant for 457 Deferred Compensation Plan Review Part I Proposal Requirements Section IA General Information 1. Introduction The Clark County Human Resources Department is seeking proposals from consulting firms with demonstrated experience in Deferred Compensation Plans (457 and 401(a), including plan design and administration, record keeping, investment option selections, monitoring, and trustee/fiduciary education. The County proposes to involve the consultant to review the County s Deferred Compensation Plans with the Goals and Objectives of this Plan review to achieve quality and diversity of investment options, obtain competitive provider and fund fees, seek sufficient administrative resources to cover program expenses, provide high quality customer service for participants including retirement education, limit the amount of administrative coordination requirements of Plan Administrator, re-design the 401(a) plan and participation requirements, and limit the impact and disruption of plan changes on participants. The successful firm will be required to enter into a services contract containing a not-toexceed dollar amount with the County. 2. Background Clark County s Human Resources Department manages the County s 457 Deferred Compensation Programs. The County s 457 Deferred Compensation program was established in 1988 in accordance with Internal Revenue Code Section 457. All plan assets are placed in a trust for the exclusive benefit of participants and beneficiaries in compliance with federal legislation. A Deferred Compensation Committee is comprised of individuals who hold the following positions and who have provided administrative oversight of the Plan: Chief Deputy Prosecuting Attorney; Director, Human Resources; and Manager, Benefits & HRIS. The Plan is administered to comply with Clark County s Deferred Compensation Plan document as amended on January 1, The County contracts with the following Investment Providers, ING, ICMA, Nationwide and has an agreement with Palena & Associates to broker funds through American Funds, Symmetra (Safeco), Putnum, Great American and Fortis/Hartford. Between all Investment Providers there are approximately 175 investment options available to participants. As of December 31, 2006, the Plan had approximately $38 million in assets. Four local representatives provide one-on-one enrollment, communication/education, and retirement counseling services for the Plan. The Investment Providers Home Office customer service representatives are also available to answer participant questions and provide support to the local representatives. Record keeping services are performed at the Investment Providers Home Offices. The Investment Providers offer websites with a variety of services available online. There are approximately 1900 County employees eligible to participate in the plan. About 846 employees participate actively in the plan as of April 30, Note: Some employees contribute to multiple plans and may be counted more than once. The average annual contribution in 2006 was approximately $4,000. The total amount of contributions in 2006 were nearly $3.4 million. Participants pay administrative fees and fund fees, which vary with Investment Provider and specific funds. The County s 401(a) Plan is provided to executive level managers only, with a county paid contribution of 2.5%. Employees may make an irrevocable contribution ranging from 5% to 20%. The employer contribution can be made to either the 401(a) plan or the 457 plan. As of March 31, 2007 plan assets were approaching $1.1 million.

5 3. Scope of Project The County is seeking proposals from consultants with demonstrated experience in Deferred Compensation Plans to conduct a thorough review of the County s Plans. The Goals and Objectives of the Plan review are to: Offer a select portfolio of diverse investment options with appropriate fees. Meet fiduciary responsibilities. Evaluate the existing 401(a) deferred compensation plan for participation and the design to support staffing and employment needs. Ensure efficient and effective administration of the plans. Provide a valuable service to employees for retirement planning, education, and administration. Provide a smooth implementation of changes for participants The County proposes to involve the consultant to conduct a thorough review of the existing programs. The scope of services expected from a Consultant will include: 1. Meet with the Deferred Compensation Project Committee (Evaluation Committee) to obtain clear direction. 2. Investment strategy guidelines/policy development including recommendation of process to select investment options. 3. Review structure of current plans, which may include review of the Plan document, fund performance and reporting, fees, key elements of contract provisions, such as the Market Value Adjustment on applicable funds, the quality and breadth of the current fund line-up, and benchmark these factors against similar plans. 4. Review and recommend plan design/participation changes for the 401(a) plan. 5. Conduct RFP for vendor selection for 457 and 401(a) plans. 6. Make recommendation regarding investment consulting. 7. Provide Fiduciary education. 8. Present final recommendation(s) to the committee including a transition plan, how the county will be assisted in the transition phase, and selection of administrator and investment options; conduct contract negotiations, map existing investment options to new investment options, and assist with communication of changes. 9. Provide consulting services regarding technical or legal questions, as necessary. 10. Assist drafting new plan documents or amendments to existing plan documents. 4. Project Funding Allocation of funds for this RFP will be established based on the funds requested in the selected proposal. The complete cost estimate should include all anticipated travel related expenses and/or miscellaneous expenses. 5. Timeline for Selection The following dates are the intended timeline: Proposals due June 29, 2007 Proposal review/evaluation period June 30 - July 10, 2007 Interviews July 27, 2007 Selection committee recommendation By August 7, 2007 Contract negotiation August 22 31, 2007 Contract intended to begin September 1, 2007

6 Section IB Work Requirements 1. Required Services The selected consultant will professionally perform the tasks listed in the scope of services for this project. The selected consultant shall be expected to work closely with the Deferred Compensation Project Committee and designated staff to accomplish these goals. The selected consultant shall have extensive experience in working with plans the size and complexity of the County s plans. The selected consultant will provide a description of implementation of plan re-designs at other governmental entities, including the effect on the culture, the participants, and the political environment 2. County Performed Work The County will provide the selected consultant with information of current structure and documents which may include: The Plan document, any available brochure(s), lists of funds, schedule of fees, key elements of contract provisions, such as the Market Value Adjustment on applicable funds, and quarterly reports from Investment Providers. A project manager has been assigned by the County and will oversee the work and provide support as needed. 3. Deliverables &Schedule Deliverables and schedule for this project shall include: 1. Meet with Deferred Compensation Project committee Sept 1 Oct 12, 2007 to finalize project plan, steps, and timeframes 2. Final recommendation to committee By March 31, Plan change implementation Second quarter 2008 All deliverables from this contract will become the property of Clark County. 4. Place of Performance Contract performance may take place in the County s facility, or the Consultant s facility. 5. Period of Performance A contract awarded as a result of this RFP will be for 12 months and is intended to begin on August 1, 2007 and end July 31, Clark County reserves the right to extend the contract resulting from this RFP for a period of two (2) one (1) year periods, with the same terms and conditions, by service of a written notice of its intention to do so prior to the contract termination date.

7 7. Insurance/Bond A. Commercial General Liability Insurance Prior to the signing of a contract, contractor selected must show evidence of a certificate of commercial liability for a minimum of $500,000 combined single limit. B. Professional Liability (aka Errors and Omissions) The Proposer shall obtain, at Proposer s expense, and keep in force during the term of this contract Professional Liability insurance policy to protect against legal liability arising out of contract activity. Such insurance shall provide a minimum of $2,000,000 per occurrence, with a maximum deductible of $5,000. It should be an Occurrence Form policy. If the policy is Claims Made, then Extended Reporting Period Coverage (Tail coverage) shall be purchased for three (3) years after the end of the contract. C. Automobile If the Proposer or its employees use motor vehicles in conducting activities under this Contract, liability insurance covering bodily injury and property damage shall be provided by the Proposer through a commercial automobile insurance policy. The policy shall cover all owned and non-owned vehicles. Such insurance shall have minimum limits of $500,000 per occurrence, combined single limit for bodily injury liability and property damage liability with a $1,000,000 annual aggregate limit. If the Proposer does not use motor vehicles in conducting activities under this Contract, then written confirmation to that effect on Proposer letterhead shall be submitted by the Proposer. D Proof of Insurance Proof of Insurance shall be provided prior to the starting of the contract performance. Proof will be on an ACORD Certificate(s) of Liability Insurance, which the Proposer shall provide to Clark County. Each certificate will show the coverage, deductible, policy period and amount of coverage. and shall name Clark County as an additional insured. Policies shall be endorsed to state that coverage will not be suspended, voided, canceled or reduced without a 30 day written notice by certified mail (return receipt requested) to the County. It is the Proposer s responsibility to provide evidence of continuing coverage during the overlap periods of the policy and the contract. Cancellation of a policy is grounds for termination of the Contract. All policies must have a Best s Rating of A-VII or better. 8. Plan Holders List All proposer s are required to be listed on the plan holders list. Prior to submission of proposal, review the posting at: If your organization is NOT listed, submit the Letter of Interest to ensure your inclusion. See Attachment B. Proposals received by Clark County by proposers not included on the Plan Holders List may be considered non-responsive. 9. Prospective Contractor's Administration Any organization operating a program funded by Clark County shall have demonstrated administrative and accounting capabilities necessary to safeguard all public funds.

Proposal Clarification Pre-Submittal Meeting / Clarification There will be no pre-submittal meeting or site visit scheduled for this project. Questions and Requests for Clarification regarding this Request for Proposal must be directed in writing, via , to the person listed on the cover page. The deadline for submitting such questions/clarifications is June 15, An addendum will be issued no later than Monday June 18, 2007, to all recorded holders of the RFP, if a substantive clarification is in order. To review questions and answers regarding this RFP please visit our web site: Section IIB Proposal Submission 1. Proposals Due Sealed proposals must be received no later than the date, time, and location specified on the cover of this document. The outside of the envelope/package shall clearly identify: 1. RFP Number and; 2. TITLE and; 3. Name and address of the proposer. Responses received after submittal time will not be considered and will be returned to the Proposer - unopened. Proposals received with insufficient copies (as noted on the cover of this document) cannot be properly disseminated to the Deferred Compensation Project Committee and other reviewers for necessary action, therefore, may not be accepted. 2. Proposal For purposes of review and in the interest of the County, the County encourages the use of submittal materials (i.e. paper, dividers, binders, brochures, etc.) that contain postconsumer recycled content and are readily recyclable. The County discourages the use of materials that cannot be readily recycled such as PVC (vinyl) binders, spiral bindings, and plastic or glossy covers or dividers. Alternative bindings such as reusable/recyclable binding posts, reusable binder clips or binder rings, and recyclable cardboard/paperboard binders are examples of preferable submittal materials. Proposers are encouraged to print/copy on both sides of a single sheet of paper wherever applicable; if sheets are printed on both sides, it is considered to be two pages. Color is acceptable, but content should not be lost by black-and-white printing or copying. All submittals will be evaluated on the completeness and quality of the content. Only Proposer s providing complete information as required will be considered for evaluation. The ability to follow these instructions demonstrates attention to detail. Additional support documents, such as sales brochures, should be included with each copy unless otherwise specified.

9 Section IIC 1. Cover Sheet Proposal Content This form is to be used as your proposal Cover Sheet See Cover Sheet - Attachment A 2. Project Team Provide the name of your company, home office address, and local office address, if any. Provide the year in which your company was founded. Identify the key personnel who will be assigned to work with the County on a day-to-day basis. For each of the individuals identified, describe the directly related work experience of the proposed key personnel demonstrating their experience with public sector 457 and/or 401(a) Deferred Compensation Plans both nationally and in the State of Washington and which are of similar size and complexity as the County s plan. You are encouraged to cite specific examples of recent work that demonstrates this experience. Specifically address the following: 1. The number of years the staff to be assigned has been engaged in public sector 457 Deferred Compensation Plans advisory services and 401(a) Executive Deferred Compensation plans. 2. Experience with IRC 457 and 401(a) regulations. 3. Experience conducting RFP s. 4. Experience with re-structuring Deferred Compensation Programs and transition management. 5. Qualification of Investment Consultant(s). Confirm that your firm is an SEC-registered investment advisor or exempt from registration. A description of not more than three projects similar in size and scope prepared by your firm including client, reference and telephone numbers, staff members who worked on each project, budget, schedule and project summary. Descriptions should be limited to one page for each project. If joint consultants or sub consultants are proposed provide the above information for each. The county is sensitive about avoiding even the appearance of any conflict of interest on the part of professionals employed in a consulting capacity. Throughout the term of the contract with the County, the consultant will be required to immediately disclose in writing to the County any potential or possible conflict of interest that the consultant believes may have arisen. The County will reserve the right to require actions on the part of the consultant to resolve the situation to the County s satisfaction, or, at the sole option of the County, to immediately terminate the contract. Please fully and completely disclose any real or potential conflicts of interest you believe may exist in the event your firm is selected as the County s consultant and discuss how you would propose to handle the situation. Is your company licensed to do business in the State of Washington? List all claims or lawsuits filed against your organization in the last five (5) years.

10 3. Respondent s Capabilities Demonstrate that your firm has the resources and meets the following requirements: 1. Have conducted RFPs within the last three (3) years for Plans with a minimum of assets over $30 million. 2. Have conducted RFPs for governmental agencies within the last three (3) years. 3. Have in-depth expertise and understanding of the Internal Revenue Code Section 457 and 401(a). 4. Have extensive experience with Plans the size and complexity of the County s Plan. 5. Have internal procedures and policies related to work quality and cost control. 6. Have the resources available to perform the work for the duration of the project. 7. Been known for professional competence by other employers. Include at least three (3) references with names and current phone numbers. 4. Project Approach and Understanding Please provide a detailed description of the project approach your firm plans to take to meet the scope of services described in Section 1A.3 Scope of Project. Include the following information: 1. Overall scope of work tasks, 2. Provide specific approach your firm plans to take to accomplish the tasks. 3. Schedule and ability to complete the project within the County s required time frame, and 4. Assignment of work within your firm s work team. 6. Proposed Cost The proposal shall include the consultant s total costs associated with the project either on a per-hour basis, including cost estimates as reasonably as possible, or fixed-price basis. Both proposed cost methods must have a not-to-exceed limit. In addition, the cost shall include the hourly rates of each person associated with the project, as well as the estimated number of hours each staff member will be expected to work on each task. The complete estimate should include all anticipated travel related expenses and/or miscellaneous expenses. 7. Supportive Information Supporting material must include references, and may include other pertinent information. References must include the contact person s name, agency, address, and phone number, their role in the project (e.g. project manager, etc.), name of the project, and when the work was done.

11 Request for Proposal # 497 Investment Consultant for 457 Deferred Compensation Plan Review Part III Section IIIA Proposal Evaluation & Contract Award Proposal Review and Selection 1. Evaluation and Selection: Proposals received in response to this RFP will be evaluated by a Review Committee. Committee review results and recommendations may be presented to an appropriate advisory board prior to the consent process with the Clark County Board of Commissioners. Minimum Qualifications 1. Specific Experience the consultant must have experience providing similar services to at least three (3) public sector clients who have a 457(b)/401(a) Deferred Compensation Plan. Please provider their names, contact person, telephone number and addresses. 2. General Experience the consultant must have at least five (5) years of experience in the area of Deferred Compensation. 3. Restrictions the selected firm will not be eligible to submit a response to, or be a part of, any other firm s response to the finalized plan administration RFP. Any proposal that does not demonstrate that the proposer meets these minimum requirements by the deadline for submittal of proposals will be considered non-responsive and not be eligible for award of the contract. 2. Evaluation Criteria Scoring Each proposal received in response to the RFP will be objectively evaluated and rated according a specified point system. The proposal will be evaluated by the Deferred Compensation Project Committee. Up to three (3) of the firms with the highest scoring proposals will be interviewed by the committee. Firms invited for an interview must include the staff the county will be working with in the interview. A one hundred (100) point system will be used, weighted against the following criteria: Maximum Score 1. Project Approach 30 points 2. Assigned Project Staff 20 points 3. Experience of Firm and Sub consultants 20 points 4. Cost 15 points 5. Results of Reference Checks 15 points

12 Section IIIB Contract Award 1. Consultant Selection The evaluation process is designed to award the contract to the Respondent whose proposal best meets the requirements of this RFP, and not necessarily to the respondent with the least cost proposal. The final selection, if any, will be based on the evaluation committee s recommendation after analysis of the technical, management, and cost elements of the proposal and oral presentations, if required. 2. Contract Development The successful consultant will be required to enter into a not-to-exceed Professional, Technical, and Consulting Services contract. The proposal and all responses provided by the successful Proposer may become a part of the final contract for Professional Services. 3. Award Review The public may view proposal documents after contract execution. However, any proprietary information so designated by the Proposer as a trade secret will not be disclosed unless the Clark County Prosecuting Attorney determines that disclosure is required. At this time, Proposers not awarded the contract, may seek additional clarification or debriefing, request time to review the selection procedures or discuss the scoring methods utilized by the evaluation committee. 4. Kick-off Meeting Contract negotiations will be completed following the interview on July 27, The County intends to complete negotiations by August 31, Following approval of the contract by the Clark County Board of Commissioners a kick-off meeting with the Deferred Compensation Project Committee will be scheduled.
