1 Five Guys What Make the Shake Giveaway Giveaway Instructions To enter the giveaway, persons must fill out the qualification form with the required information. Persons may enter the giveaway starting July 14 at 9 a.m. EST until September 6, 2015 at 9 p.m. EST. Maximum one entry per person. The giveaway prizes are forty-eight (48) STEIN5 FIVE GUYS promotional items. Including but not limited to: t-shirts, sweatshirts, gift cards, etc. Official Rules 1. NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. ALL FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS APPLY. 2. PARTICIPATION CONSTITUTES ACCEPTANCE OF RULES AND DECISIONS, CONSENT TO USE AND RELEASE OF CLAIMS. By entering this giveaway, each participant warrants that he or she has read and agrees to abide by all giveaway rules and that he or she is not prohibited from participating in the giveaway. Participation in this contest constitutes participant s full and unconditional acceptance of these Official Rules and the decisions of the Stein5 Five Guys Franchise group ( Stein5 Five Guys ) its affiliates, employees and agents, which are final, binding and non-negotiable in all respects. Each participant agrees to release, discharge, indemnify and hold harmless Stein5 Five Guys and its affiliates, employees, officers, directors, agents, representatives, advertising and promotion agencies and prize suppliers from any liability arising from or related to the giveaway, including without limitation, (a) unauthorized

2 human intervention in the giveaway; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) copyright printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) personal injury, death, and property damage; and (f) claims based on publicity rights, defamation, or invasion of privacy. Further, participants fully and unconditionally release all claims for consideration, copyright infringement and all other claims of any nature relating to the use of their entry, name or likeness. 3. ELIGIBILITY: This giveaway is open to adults 18 and older who are U.S. residents. Proof of age and identity must be furnished upon request. Employees of Stein5 Five Guys and its agents, affiliates and immediate family members of all such persons, are not eligible to participate in this giveaway. Stein5 Five Guys reserves the right, at its sole discretion, to cancel, terminate, suspend, or amend this giveaway at any time for any reason. STEIN5 FIVE GUYS further reserves the right to amend these giveaway rules at any time without prior notice, at its sole discretion. Stein5 Five Guys reserves the right to disqualify any participant for any reason, including, but not limited to, violation of these Official Rules, copyright infringement or infringement of the rights of a third-party. 4. TO ENTER: This giveaway period will run on or about July 14 at 9 a.m. EST until September 6, 2015 at 9 p.m. EST ( Giveaway Period ). To enter this giveaway, participants are asked to: (i) Visit the STEIN5 FIVE GUYS Facebook pages (if not previously done so) to gain access to the app or click on an ad and enter information on qualification form Entrants must enter the giveaway during the Giveaway

3 Period. Maximum of one entry per person. By entering the giveaway, participants agree to abide by these Official Rules. Persons participating under false pretenses or in any way tampering with this giveaway will be disqualified. STEIN5 FIVE GUYS is not responsible for telecommunications, network, electronic, technical or computer failures of any kind. STEIN5 FIVE GUYS is not responsible for any lost or misdirected mail sent by participant or STEIN5 FIVE GUYS. 5. PRIZES: STEIN5 FIVE GUYS will randomly select one (1) winner per participating location, once a week for an 8 week duration, resulting in forty-eight (48) total winners by the campaign end date on or about September 6, Winners will each receive a prize to be chosen by a STEIN5 FIVE GUYS representative. The odds of winning will depend on the number of entries received. The winners are responsible for taxes and any and all other costs and expenses not listed above. All decisions of STEIN5 FIVE GUYS in this giveaway are final, binding and nonnegotiable. No prize may be transferred or substituted. 6. IDENTIFICATION OF POTENTIAL WINNERS. STEIN5 FIVE GUYS will notify the potential winners by telephone and/or address with the information on file for the winners on or about the week of September 6, If unable to make contact with a winner within ten (10) days after STEIN5 FIVE GUYS s first attempt to notify a winner, or if a winner fails to claim the prize in accordance with these Official Rules, that winner forfeits the prize. To accept and receive a prize, the winner must provide a correct mailing address and sign for their prize upon delivery. The signature will confirm the winner understands the Official Rules, and

4 releases STEIN5 FIVE GUYS from all claims and/or future obligation. The winners names may also be posted on any STEIN5 FIVE GUYS social media page or owned website and in other printed and non-printed media. 7. SPONSOR: This giveaway is sponsored by STEIN5 FIVE GUYS Cafeterias. 8. MISCELLANEOUS. By entering this giveaway, participants consent to STEIN5 FIVE GUYS s use of their name, likeness, image and biographical data for advertising and promotional purposes without additional compensation, except where prohibited by law. PERSONAL INFORMATION FROM PARTICIPANTS WILL BE COLLECTED BY ENTERING THIS GIVEAWAY, PARTICIPANTS SHOULD REVIEW STEIN5 FIVE GUYS s Privacy Policy, which can be found at us/privacy- policy.aspx By entering this giveaway, the participant authorizes STEIN5 FIVE GUYS to contact him or her for commercial purposes via mail, telephone, or address listed on the participant s entry form. There will be no use of participant s name or other personal information for future commercial purposes except as in accordance with STEIN5 FIVE GUYS s Privacy Policy. The laws of the State of North Carolina govern this Agreement.

5 AUTHORIZATION AND RELEASE I am a legal resident of the United States and presently 18 years or older. I represent that (a) I unconditionally agree to and accept the Official Rules of STEIN5 FIVE GUYS s Holiday Gift Card Give-a-way (b) I have complied with the Official Rules, and I have perpetrated no fraud or deception in entering the Giveaway or in claiming any prize. I agree to release and hold harmless STEIN5 FIVE GUYS as well as its related companies, and their respective officers, directors, employees, agents, representatives, attorneys, and advisors, whether individually or collectively, in their personal, and professional capacities (the Released Parties ) from and against any claim or cause of action arising out my of participation in the Giveaway or receipt or use of any prize, including, but not limited to any injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from my participation in the Giveaway or any prize obtained by me through the Giveaway. I understand that there may be elements of the prize that STEIN5 FIVE GUYS does not control. STEIN5 FIVE GUYS does not warrant that the prize will meet my expectations.
