PROGRAM DESCRIPTION _ 1.1 GENERAL 1.2 FACILITY MCOE Repair Program: Provides customers a factory-authorized OEM option for repair of their Byron Jackson and Pleuger pumping equipment. o All repairs are performed by MCOE / Flowserve Authorized Service Personnel. o Repaired to OEM Standards. o Repairs made to Byron Jackson and Pleuger pumps, motors, and cables, as well as MSX solids handling pumps. Contact the MCOE for information on repairs for other Flowserve equipment not listed. MCOE Mercury to Double Mechanical Seal Conversion Program Provides customers a factory-authorized OEM option for conversion of their mercury sealed Byron Jackson motor to double-mechanically sealed. o Scope of repair includes the installation of a new top case, converted lower casing, two SiC/SiC mechanical seals, and replacement of all consumables (oil, elastomers. etc.) o Mercury decontamination is performed by the only EPA authorized facility in North America, and results in the reclamation of 99.9% of the mercury. A certificate of decontamination is available upon request. MCOE Byron Jackson Exchange Program Provides the customer the option of exchanging their existing Byron Jackson motor for a rebuilt motor of the same specification. MCOE Special Stocking Program Provides the customer the option to develop a customized stocking program with the MCOE team. Flowserve offers storage & maintenance services for customer owned motors used in critical applications. Select appropriate round cable size from selection chart ( For 90 C rating ) 2. Add per foot sufficient round cable with clamps to flat cable to cover distance from top of the pump bowls to the surface. Submersible cable beyond the surface plate may not meet local electrical codes. 3. All flat cables are furnished with 3 copper conductors and cross linked polyethylene (XLP) insulation, with no outer jacket. A complete flat cable includes a molded terminal box, gasket, clamp, and factory splice from the flat cable to the round cable. The flat cable will be long enough to pass the pump bowl assembly and will include inner and outer cable guards. Overall length is based on the mid length lead. 4. All round cable is furnished with 3 copper conductors, one ground lead, cross linked polyethylene (XLP) insulation and a nitrile rubber outer jacket. 5. Cable pricing listed above only applies to cables and cable assemblies purchased in conjunction with a new or rebuilt motor, a pump, or a motor repair. Any other components which are found to require replacement or rework will be quoted separately as adders. 3. The minimum inspection fee to return a mercury-sealed motor is the decommission price for that size motor, as listed above. This fee is included in the conversion pricing listed above. Contact the factory to obtain a Return Material Authorization number prior to shipping any equipment, per section of this document. 4. All converted motors will be supplied with two tungsten-carbide seals installed. 5. Please note that these prices are for 4-pole Byron Jackson motors. Contact the factory to obtain conversion pricing for 6-pole (900 RPM) motors, or for any other Byron Jackson motor not listed above. 6. Unless explicitly stated otherwise, all seal conversions will be regarded as repair services and will carry a 90 day warranty on materials and workmanship per Flowserve s Current Worldwide Terms and Conditions of Sale. 7. 12 Plant Site means the location of the Plant. Product means any process, equipment, information, service, output or other thing of value which incorporates or results directly or indirectly from the Equipment or Services. Services means work, direction of work, technical information or technical consulting and advice or other services furnished by Seller to Purchaser under this Agreement for use in or in connection with the Plant. Services may be performed on or off of the Plant Site and include such activities as the installation, testing, alignment, startup, operation, repair and maintenance of the Equipment. TYPE OF SERVICES INCLUDE: 1. Pump, Valve, or Seal Specialist services which provide normal technical assistance of installation, testing, alignment, startup, operation, repair and maintenance. 2. Training Instructor services which provide normal curriculum and lesson plan development, classroom and hands-on instruction. 3. Reliability/Vibration Specialist services which provide normal instruction, monitoring, data collection and evaluation of equipment vibration. 4. Field Machining Supervisor services which provide on-site management and coordination of tooling and manpower requirements. Operates all field processing equipment to complete each project. 5. Field Machining Support Technician services which provide on-site assistance to Field Machining Supervisor for safety and assistance in the operation of all field processing equipment to complete each project. 6. Field Engineer services which provide on-site project management, evaluation and repair assistance in the areas of component hydraulics, metallurgy, vibration and dynamics. 7. Engineering Consultant services provide Flowserve office support in all areas of planning, evaluation, manufacture, analysis, troubleshooting and repair. 8. Millwright Craft Labor services provide the hands-on work under the technical direction and liability of Flowserve. 9. Project Supervisor services which provide complete supervision support for projects with seller supplied labor. SECTION 3. SALES AND SIMILAR TAXES. In addition to the rates and prices specified herein, the amount of any present or future sales, use, excise or other similar tax applicable to the work hereunder shall be paid by Purchaser, or in lieu thereof Purchaser shall provide Seller with a tax-exemption certificate acceptable to taxing authorities. SECTION 4. CANCELLATION. Purchaser may cancel this Agreement only upon written notice and upon payment to Seller of reasonable and proper cancellation charges. If in the opinion of Seller the financial condition of Purchaser does not justify continuance of the work to be performed hereunder on the terms of payment agreed upon, Seller may require full or partial payment in advance or shall receive reimbursement for its reasonable and proper cancellation charges. In the event of bankruptcy or insolvency of Purchaser or in the event any proceeding is brought against Purchaser, voluntarily or involuntarily, under the bankruptcy or any insolvency laws, Seller shall be entitled to cancel this Agreement at any time during the period allowed for filing claims against the estate and shall receive reimbursement for its reasonable and proper cancellation charges. SECTION 5. SUSPENSION. In the event Purchaser elects to suspend work under this Agreement, Purchaser shall notify Seller one week in advance of the suspension date. This notification shall be in writing and include the anticipated suspension period. Seller shall advise Purchaser of the price adjustment which shall be based on Seller s ability to reallocate manpower, material and equipment during the suspension period. SECTION 6. WARRANTIES. A. Equipment. Seller warrants that the Equipment shall be free from defects in material, workmanship and title, be of best quality and conform to the terms of the purchase order. Accessories supplied by Seller but manufactured by others carry whatever warranty the manufacturers of such accessories conveyed to Seller and which can be passed on to Purchaser. Seller s obligations under this warranty shall expire one (1) year from initial Equipment start-up or eighteen (18) months after shipment, whichever occurs first. B. Services. Seller warrants that the Services shall be performed in accordance with industry practices. Seller s warranty obligations for service work shall expire ninety (90) days from the date of initial start-up or six (6) months after completion of the service work, whichever occurs first. C. Conditions Applying to Warranties. 1. The warranty for Equipment is conditioned upon the Equipment being received, unloaded, stored, handed, installed, tested, maintained and operated in a proper manner. 2. Neither the warranty for Equipment nor the warranty for Services shall be applicable in the event that failure to meet such warranty is the result of acts or omissions of persons (other than Seller or Seller s suppliers in connection with the work performed by them hereunder), accidents or alteration, abuse or misuse of the Equipment or alteration or misuse of the Services. 3. The conditions of any tests and the basis of any calculations in connection with the warranties for Equipment or Services shall be acceptable to Seller and Purchaser, and the tests may be witnessed by representatives of either. Measurement readings shall be based on Plant instrumentation; if applicable, and actual readings shall be utilized. In lieu thereof Purchaser or Seller may, at its expense, provide temporary special test instruments. Purchaser and Seller reserve the right to inspect and calibrate any instruments to ensure accuracy of measurements, and such expenses shall be borne by the party exercising such right. D. Remedy. 1. If the Equipment or any part thereof does not conform to the warranty for Equipment, Seller shall thereupon promptly correct such nonconformity by repair or replacement F.O.B. Seller s factory. 2. If any of the Services do not conform to the warranty for Services, Seller shall perform such Services again. 3. Purchaser shall give Seller written notice of any defect, damage or nonconformity as soon as possible in order to permit Seller to make a timely investigation of the facts. 4. In connection with the performance of any corrective work, all removal and reinstallation of the Equipment shall be performed by Purchaser. Purchaser shall, at its expense, be responsible for removing, reinstalling, replacing or supplying any equipment, materials or structures which are necessary to provide reasonable access to the Equipment to be repaired or replaced. Any decontamination or radiation protection necessary in connection with the removal or on-site repair of the Equipment shall be performed by Purchaser without cost to Seller. 5. Title to and risk of loss of any Equipment being repaired shall remain with Purchaser at all times during the correction period wherever the repair takes place; provided, however, that Seller shall bear the risk of loss of any Equipment being repaired while such Equipment is away from the Plant Site. Transportation costs with respect to any replacement Equipment shall be paid by Seller. E. Repaired or Replacement Equipment; Reperformed Services. When Equipment is repaired or replaced or a Service is reperformed, the Equipment repaired or its replacement or the reperformed Service shall be subject to the same warranties, the same conditions and the same remedies provided for the original Equipment or Service; provided that the warranty period for the repaired or replacement Equipment or reperformed Service shall be for the same duration as the warranty period for the original Equipment or Service extending from the date of repair or replacement of the repaired or replacement Equipment or the reperformance of the Service; provided, however, that the warranty period shall expire in no event later than twenty-four (24) months after the delivery of the original Equipment or performance of the original Service plus the time (subsequent to the day written notice is received by Seller of nonconformance or failure) taken by Seller to repair or replace the Equipment or to reperform the Service. F. Exclusivity of Warranties. THE EXPRESS WARRANTIES SET FORTH HEREIN ARE THE EXCLUSIVE WARRANTIES OF SELLER, AND NO OTHER WARRANTY, EXPRESS OR IMPLIED IN FACT OR BY LAW, IS APPLICABLE, INCLUDING ANY WARRANTY AS TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR USE OR PURPOSE. SECTION 7. GENERAL LIMITATIONS OF LIABILITY. Seller s total liability to Purchaser for all claims of any kind, whether based on contract, tort (including negligence), strict liability or otherwise, for any loss or damage arising out of, connected with, or resulting from the performance or breach of this Agreement shall in no event exceed the amount of the price of the specific Equipment or Service which gives rise to the claim. In applying the monetary limitation of Seller s total liability, such liability shall be reduced by the sum of (1) any damages paid to Purchaser by Seller, (2) any costs incurred and settlements made by Seller under Section 6 and (3) any refund of the price for the Equipment or Services in the event of a rescission. In all cases where Purchaser s claim, whether based upon contract, tort (including negligence), strict liability or otherwise involves defective work or nonconforming Equipment or Services, or damage resulting therefrom, Purchaser s exclusive remedies and Seller s sole liability shall be those specifically provided in Section 6. Seller shall not be responsible for the acts and workmanship of the employees, contractors, subcontractors or agents of Purchaser. Seller shall not be liable for any property damage (including the equipment within the work description) or personal injury caused by (a) the negligence or fault of Purchaser s employees, contractors, subcontractors, agents or materialmen, (b) failure to observe Seller s advice, (c) failure or malfunctioning of any tools, equipment, facilities or devices not furnished by Seller, which is caused by defects therein not observable by Seller s visual inspection or (d) use of instruments or the making of adjustments by Purchaser s employees, contractors, subcontractors or agents. In addition when maintenance service is performed, Seller s liability for any loss or damage shall not include units or parts of equipment upon which maintenance was not performed, loss or damage caused by defects not observable by Seller or units or parts returned to use at the request of Purchaser. In no event, whether based upon contract, tort (including negligence), strict liability or otherwise, and whether arising before or after completion of its obligations under this Agreement, shall Seller be liable to Purchaser for losses or damages caused by reason of unavailability of the Plant. Plant shutdowns or service interruptions (including but not limited to loss of use, profits or revenue, inventory or use charges, cost of purchased or replacement power, interest charges, cost of capital or claims of customers), or special, consequential or penal damages of any nature, and Purchaser will indemnify Seller against any such claims by third party, including without limitation Owner. The liability, if any, for any claims, whether based upon contract, tort (including negligence), strict liability or otherwise, for any loss or damage arising out of, connected with, or resulting from, the performance or breach of this Agreement, shall be limited to specifically identified written claims submitted prior to the expiration of the applicable warranty period set forth in Section 6. The provisions of this Section shall also protect Seller s suppliers, shall apply to the full extent permitted by law regardless of fault and shall survive termination, cancellation or completion of the work hereunder. Purchaser shall not sell the Equipment, Services or Product or otherwise transfer any interest therein without first securing from the transferee limitations of liability at least equivalent to that afforded Seller and its suppliers as provided in this Section and, if applicable, nuclear liability protection as provided in Section 8. SECTION 8. PROTECTION AGAINST NUCLEAR LIABILITY. A. Government Indemnity and Insurance. If the Plant is a nuclear power plant located in the United States, Purchaser shall obtain and maintain, or shall require Owner to obtain and maintain, without cost to Seller, for the Plant in which the Product or Equipment are to be used or the Services are to be performed, the following: 1. An agreement of indemnification as contemplated by Section 170 of the Atomic Energy Act of 1954, as amended (herein called the ( Act ); and 2. Nuclear liability insurance from ANI or MAELU, or both, in such form and in such amount as will meet the financial protection requirements of the United States Nuclear Regulatory Commission pursuant to Section 170 of the Act. The agreement of indemnification and nuclear liability insurance shall be in affect during the entire period that the Product, Equipment or Services are utilized in the Plant and shall remain in effect until decommissioning of the Plant. In the event that the nuclear liability protection system provided by Section 170 of the Act is repealed, modified, expires or is otherwise not available. Purchaser shall, without cost to Seller, maintain in effect during the period the Product, Equipment or Services are utilized in the Plant and until decommissioning of the Plant to the extent available on reasonable terms and consistent with industry practice, liability protection through government or private contractual indemnity, limitation of liability and/or liability insurance in order to avoid a material impairment of the protection afforded Seller and its suppliers by the nuclear liability protection system of the Price-Anderson Act. 3. Seller and Purchaser shall comply with the Provisions of 10 CFR Part 21 Reporting of Defects and Noncompliance. B. Property Damage Waiver. If the Plant is a nuclear power Plant, neither Seller nor its suppliers shall have any liability to Purchaser or its insurers for nuclear damage to any property located at the Plant Site, and Purchaser shall indemnify Seller and its suppliers against any such liability. If Purchaser sells or otherwise transfers the Equipment or Services to a Plant which is a nuclear power plant, Purchaser shall secure from Owner an agreement that neither Seller or its suppliers shall have any liability for nuclear damage to any property at the Plant Site and that Owner shall indemnify Seller and its suppliers against any such liability. C. Removal, Sale, Transfer or Lease. If the Plant is a nuclear power plant, Purchaser agrees, or Purchaser shall secure from Owner an agreement, not to remove the Equipment or any items of equipment upon which Services have been performed or to which Services directly relate from the Plant Site (except temporarily for repair work or permanently to a nuclear repository) or sell or otherwise transfer any interest therein or in the Services (including but not limited to the bulk sale or transfer of electrical output from the Plant) or lease from others equipment or nuclear fuel for use in the Plant or at the Plant Site, without first providing Seller with written assurances of limitation of and protection against liability (nuclear and non-nuclear) following the proposed removal, sale, transfer or lease at least equivalent to that afforded Seller and its suppliers in Sections 7 and 8. In the event of a sale, transfer or lease such assurances shall be obtained by Purchaser or Owner from the buyer, transferee or lessor as applicable. Removal, sale, transfer or lease contrary to the provisions of this Section shall, in addition to any other legal or equitable rights of Seller, make Purchaser or Owner the indemnitor of Seller and its suppliers to the same extent that Seller and its suppliers would have been protected had such removal, safe, transfer or lease not taken place. SECTION 8. GENERAL. Any assignment (including by operation of law or otherwise) of this Agreement or any rights hereunder by Purchaser without written consent of Seller shall be void. No understanding, promise or representation, and no waiver, alteration or modification of any of the provisions hereof, shall be binding upon Seller unless approved in writing by an authorized representative of Seller. The rights and obligations of the parties under this Agreement shall be interpreted and governed in all respects by the laws of the State of California. Seller will perform all work in accordance with all federal and state safety and health laws, including but not limited to the United States Occupational Safety and Health Act of 1970 and all standards, rules, regulations and orders issued pursuant to such federal and state safety and health laws. This Agreement contains the complete agreement between the parties. All previous and collateral agreements (including letters of intent or purchase orders issued by Purchaser), representations, warranties, promises and conditions relating to the subject matter hereof are superseded by this Agreement. 13 2.2 BYRON JACKSON SEAL CONVERSION PROGRAM Description Emerging legislation and environmental / material handling concerns resulted in Flowserve s discontinuation of all mercury sealed motors in March In an effort to support our clients in this transition phase, Flowserve subsequently adopted a standard Byron Jackson Seal Conversion Program. The program is designed with the customer in mind, and focuses on upgrading all Byron Jackson motors to current revision standards with minimal impact on the customer s system. Please note that all mercury sealed motors returned for repair will be subject to this program, with the sole exception of those repairs that are deemed to be covered under warranty per Flowserve s Current Standard Terms and Conditions General Seal Information The mechanical seals used in Byron Jackson motors are engineered bellows type seals consisting of a stationary face of impregnated carbon and rotating face of tungsten carbide, with retainer materials and O-rings compatible to the product pumped. (Typically Hastalloy is used for seawater metal parts). Two seals are utilized to maximize the life of the motor. Though historically better known for their mercury seals, Byron Jackson has over twenty years of success with the double mechanical seal configuration. The outer seal acts as the primary seal, and has virtually zero differential pressure from ID to OD due to the pressure balancing system in the motor. The seal is lubricated with the motor oil by centrifugal force. Any water that leaks into the motor from the primary seal (OD to ID) falls to the bottom of the seal chamber between the seals (See chart in Appendix A for leakage rates). The water then goes down the communication line to the bottom of the motor bypassing the critical components such as the windings and bearing system. The oil is non-hygroscopic and since the water is heavier than the oil, the water stays at the bottom of the motor. As the outer seal is lubricated (and leaking a small amount of oil), water fills the motor lower storage can through the balance line to the communication line level. The communication line will fill and then the seal chamber between the seals will fill. The inner seal then becomes the primary seal. The inner seal is pressurized by the oil circulation system and leaks very little extending the motor life 2 or 3 more years. Total life expectancy for the double mechanical seal configuration is greater than 10 years for a 24/7 operation. 16 Food grade mineral oil is circulated throughout the motor, providing lubrication to the seals and the bearings. The motor wall acts as a heat exchanger for cooling the return oil. 17 2.2.3 Mercury-to-Double Mechanical Seal Conversion Process Per Flowserve s standard mercury-to-double mechanical seal conversion process, the following parts will be replaced or modified: Top Case o The top cases on Byron Jackson mercury sealed motors are not designed to accept mechanical seals, as they lack a seal chamber and a port for the seal communication line, as illustrated below in Figure The top case will be replaced completely with one designed for double mechanical seals. The rotor will not require replacement, as the same rotors are used in both mercury and double mechanically sealed motors. The choice between these two options is at the discretion of Flowserve and is based on inventory availability and estimated cost. Both options are equally suitable. Balance Lines o The balance line guide rails on the outside of the stator and lower can will be modified to accept two lines, rather than the single line present on mercury sealed motors. 18 Consumables o All consumables will be replaced during the seal conversion process. This includes all gaskets, O-rings, terminals, and oil, as well as the seals themselves. Hardware o Certain size Byron Jackson motors may also require the replacement of some of the top case hardware, including the cable gland plate and studs. The above listed items are standard for all seal conversions and do not include replacement or rework related to any existing damage that may be present when the motor is submitted to undergo the conversion process. This number is used by our receiving personnel to determine what was received, and how to route it upon receipt. It will also act as the customer s reference number for future status updates. DO NOT ship any equipment to the factory without first obtaining an RM number. Flowserve also requires that a purchase order be supplied by the customer at the time the RMA number is issued. No work will commence on the job until an acceptable purchase order has been received by Flowserve. The submitted PO will act as a contingency purchase order, and only applies to the inspection and quoting process. Please refer to section for applicable inspection charges. A quote for the full repair amount, inclusive of the applicable inspection fee and any adders for additional damage, will be provided by Flowserve following tear-down and inspection. All seal conversion pricing will be in accordance with section of this document. Please note that the inspection fee is only invoiced when the job is scrapped, returned to the customer in a disassembled state, or otherwise closed out per the customer s disposition. The process outlined below in Figure applies specifically to Byron Jackson mercury-sealed motors. Bethlehem Apparatus has developed the technologies and processes to allow mercury removal from nearly any material in a nondestructive, completely environmentally friendly way. The process recovers nearly 100% of mercury present and also allows the mercury to be recycled and reused as quadruple distilled mercury. A certificate of decontamination is available upon request Warranty Unless otherwise noted, all mercury-to-double mechanical seal conversions will be warranted for ninety (90) days against defects in materials or workmanship, per Flowserve s current standard worldwide terms and conditions of sale Motor Decommissioning For Byron Jackson mercury-sealed motors that are nearing the end of their service life, and that are not economical to convert to double-mechanical, Flowserve offers a motor decommissioning program that complies with all local, state, and federal guidelines for the disposal of mercury-contaminated products. The same Return Material process outlined in section applies, with the exception that Flowserve will not inspect the components, nor generate a quote or report. The motor will be decontaminated by an EPA authorized vendor (Bethlehem Apparatus, per section 2.2.6) and will be disposed of in accordance with EPA guidelines for mercury handling. A certificate of decontamination is available upon request. Standard net pricing for decontamination / decommission of Byron Jackson mercury-sealed motors is per section of this document. 2.3 MCOE REPAIR PROGRAM Description Flowserve s Taneytown Operation is the only factory authorized repair center for Byron Jackson and Pleuger motors in the United States. This facility has the capability to repair Flowserve manufactured motors, pumps, and cables. Repair of non-flowserve manufactured pumps is performed on a case-by-case basis Please contact the factory for more information. If time permits, repair is often a more cost-effective option compared to replacement. All repaired motors are assembled from customer owned parts and, when necessary, the use of refurbished and/or new parts. Repaired motors are also subject to the same rigorous electrical and mechanical tests as a new motor. To preclude the possibility of terminal burnout, it is recommended that a new Flat Cable Assembly be purchased and installed on all Byron Jackson repaired motors. Motors that are non-standard will only be inspected or repaired after the sales/service department has given authorization for their return. All such service will be on a cost plus basis. 23 2.4 MCOE EXCHANGE PROGRAM Description In order to better serve our customers by providing expeditious solutions, Flowserve offers Rebuilt Byron Jackson motors in select sizes. Rebuilt motors are assembled from reconditioned, used components and, when applicable, new components as well. All consumables (seals, elastomers, etc.) will be from new stock. Though a rebuilt motor is manufactured to the same quality as a new motor, and carries the same warranty, the lead time for a rebuilt motor is typically shorter than for a new replacement, and the price is modified by an Exchange Credit granted for the return of an identical motor. Unless otherwise noted, all rebuilt motors will be subject to the conditions below: 1. All Byron Jackson type M rebuilt motors are assembled from reconditioned used parts and, when necessary, new parts as well. A rebuilt motor undergoes the same rigorous electrical and mechanical tests as a new motor and, in effect, is exactly comparable. 2. Rebuilt motor are shipped to replace motors of the same horsepower and size that have been used in the field. If a motor of a different size is returned, the maximum credit issued will be for the size of the rebuilt motor shipped or the size of motor returned, whichever is smaller. To receive full credit, the returned motor shall be a complete unit suitable for rebuilding, complete with shipping caps and motor half-couplings, and within the conditions previously stated. 3. Prior to shipping, the customer must contact the factory for a Return Material number and proper shipping instructions, per Section (Type-H) and Section (Type- M) of this document. 4. A new Flat Cable Assembly should be purchased and installed on all Byron Jackson rebuilt motors to preclude the possibility of terminal burnout. 5. All motors requiring exchange within one year from date of shipment, not due to defective materials and/or workmanship, will be credited in accordance with factory inspection. 6. Freight for the return of the Exchange Motor is the responsibility of the customer. The price of any motor part(s) that are not returned will be deducted from the allowance. Any Transportation charges incurred by Flowserve will be deducted from the allowance. 7. Trade-in credit can ONLY be applied to the purchase of a rebuilt motor, and is not applicable for new motors. 8. Flowserve s current Worldwide Terms and Conditions of Sale will apply to all rebuilt motors. 26 3.2.1 Byron Jackson General Description A Byron Jackson pumping unit is the combination of a vertical turbine pump assembly and a submersible, oil filled, mercury or mechanically-sealed induction motor. The pump element is driven by the motor shaft through a jaw type coupling. Power is supplied to the motor through a submersible power cable, which is supported on the riser or column pipe. Pipe is normally furnished in various lengths, threaded on both ends, and is supported by a surface plate or well seal flange. Submersibles are suitable for the most demanding deep well services in cities, mine shafts, parks and airfields. They are particularly adapted to deep settings and high heads, which are beyond the practical limit of deep well turbine pumps, which would require long drive shaft and numerous column shaft bearings. These rugged and reliable units offer a significant total life cycle advantage and are ideal for installations in residential districts where noise from surface equipment is prohibited or objectionable. 27 Available Seal Types Single Mechanical Seal The Byron Jackson single mechanical seal design is used with pressurized motors in hydrocarbon storage caverns and inclined / horizontal installation water services. The motor is pressurized from an external, grade mounted oil reservoir tank permitting the use of a single mechanical seal. The operator has to monitor only the oil reservoir for seal leakage and oil can be added without having to shut down the unit. Double Mechanical Seal The double mechanical seal design incorporates two separate, highly engineered bellowtype seals, providing dual protection for the motor. Pressure balancing lines are used to equalize the pressure differential across the seals, minimize leakage and provide maintenance free service. The inner seal diverts any pumped fluid leakage through a communication line to the storage reservoir at the bottom of the motor, giving maximum protection to the motor windings. Oil-filled Motor All Byron Jackson submersible motors are filled with a pure, non-hygroscopic, U.S. Food & Drug Administration (FDA) approved, highly refined mineral oil of superior dielectric strength. This oil is effectively contained by the mechanical seal. The oil-filled design provides excellent insulation and lubricating qualities and eliminates the possibility of internal or pumped fluid corrosion. Cooling the Motor An ideal environment is provided by the circulation of the continuously filtered oil to all internal motor components. Oil is pumped across both thrust-bearing faces and forced up through the rotor gap. It lubricates the bronze radial sleeve bearings and then flows down the outside of the stator laminations through special heat exchanger passages. Pump-Motor Coupling The rugged stainless-steel coupling provides a positive connection between pump shaft and motor, designed to transit pump thrust in either direction to the motor thrust bearings. Thrust Bearings The Byron Jackson precision-machined solid or pivot shoe thrust bearings continuously carry the up and down pump thrust loads. There is no metal-to-metal contact as the mirror lapped bearing surfaces are supported on a film of filtered oil. Lower thrust bearing face incorporates exclusive lubrication pockets to reduce start up friction. Low In-Rush Current The special Byron Jackson stator-rotor design has motor characteristics that are ideal for submersible pump applications. 47 4. APPENDIX _ 4.1 FLOWSERVE WORLDWIDE TERMS AND CONDITIONS OF SALE 1. APPLICABILITY: These Worldwide Terms and Conditions of Sale ("Terms") shall govern all sales of Seller's Equipment or Services to Buyer "(Order"). These Terms supersede any prior written or oral agreement, understanding, representation or promise, and any pre-printed or standard terms and conditions contained in Buyer's request for quote, purchase order, invoice, order acknowledgement, or similar document. These Terms may not be amended, supplemented, changed or modified except by concurrent or subsequent written agreement, signed by an authorized representative of Seller and Buyer. Seller's acknowledgement of Buyer s purchase order shall not constitute acceptance of any terms and conditions contained therein, regardless of how such terms and conditions may be prefaced or described. 2. DEFINITIONS: Buyer means the company who accepted Seller's offer or is named in the Order. "Equipment" means all equipment and parts manufactured and sold by Seller. Seller" means the company named on the Order for Equipment or Services. Service(s)" means work, direction of work, technical information or technical consulting and advice or other services furnished by Seller to Buyer. 3. DELIVERY / SUSPENSION / FORCE MAJEURE: For the delivery of Equipment within the United States, delivery shall be made EXW (in accordance with INCOTERMS 2010, as amended) Seller's plant. For the delivery of Equipment outside the United States, delivery shall be made FCA Seller's plant. Shipping dates are approximate and are based on prompt receipt of all necessary information. In case of delay in furnishing complete information, dates of shipment may be extended for a reasonable time. In the event Seller provides transport services these will be quoted as a lump sum price based on destination and shipping mode. In the event Buyer requests a delay or suspension in completion and/or shipment of the Equipment or any part thereof for any reason, the parties shall agree upon any cost and/or scheduling impact of such delay and all such costs to Buyer's account. Any delay period beyond thirty (30) days after original scheduled shipment date shall require Buyer to (i) take title and risk of loss of such Equipment, and (ii) make arrangements for storage of such Equipment with the Seller or other party. Seller's invoice, which is contractually based on shipment, shall be issued upon Seller's readiness to ship the Equipment. Seller shall not be liable for delay in delivery due to causes beyond its reasonable control including, but not limited to, acts of God, acts of government, acts of Buyer, fires, labor disputes, boycotts, floods, epidemics, quarantine restrictions, war, insurrection, terrorism, riot, civil or military authority, freight embargoes, transportation shortages or delays, unusually severe weather or inability to obtain necessary labor, materials or manufacturing facilities due to such causes. In the event of any such delay, the date of delivery shall be extended for a length of time equal to the period of the delay. 4. WARRANTY: Subject to the limitations in Section 17 herein, Seller warrants that the Equipment shall be free from defects in material, workmanship, and title. If it appears within twelve (12) months from the initial Equipment startup or until eighteen (18) months after shipment, whichever occurs first, that the Equipment or any part thereof does not conform to this warranty, and Buyer so notifies Seller within a reasonable time after discovery, Seller shall thereupon promptly correct such nonconformity by repair or replacement EXW Seller s factory or service center. Seller's sole obligation and Buyer's sole remedy under this warranty is repair or replacement at Seller's election. Seller's warranty obligation for Services shall be the earlier of either ninety (90) days from the date of initial startup or six (6) months after completion of the Service work. Seller shall not be responsible for any on-site costs, including removal and reinstallation of any warranted Equipment. Buyer agrees to provide Seller reasonable and clear access to its Equipment which may include removal of materials or structures as well as supplying any equipment, materials or structures which are necessary to provide reasonable access to the Equipment being repaired or replaced. All Equipment repaired or replaced will be re- warranted only for the remainder of the original warranty period. THE EXPRESS WARRANTY SET FORTH HEREIN IS THE EXCLUSIVE WARRANTY OF SELLER, AND NO OTHER WARRANTY, EITHER EXPRESSED OR IMPLIED, INCLUDING WARRANTY OF MERCHANTABILITY OR FITNESS FOR PURPOSE, SHALL APPLY. Seller is not responsible for repairs or alterations made by others without mutual written agreement between Seller and Buyer. Seller does not warrant the Equipment or any repair/replacement part against the effects of erosion, corrosion, or normal wear and tear due to operation or the environment. The warranty and remedies set forth herein are conditioned upon proper storage, installation, use and maintenance of the Equipment in all material respects, and in accordance with Seller s written recommendations. Replacement parts or repairs furnished under this warranty shall be subject to the warranty provisions herein for the remaining original warranty period. 5. PAYMENT: All prices are net cash thirty (30) days from date of Seller's invoice, unless otherwise stated in Seller s proposal, quotation, or offer. Should Buyer for any reason default in the payment of the contract of purchase, Buyer agrees to pay all collection costs, attorney fees and expenses incurred in collecting payment, including interest on the amount due at the maximum legal rate. All transportation, insurance and similar charges incident to delivery shall be paid by Buyer. Seller shall issue its invoice upon shipment, or upon notice to Buyer that Seller is ready to ship, whichever is earlier. Depending on the value of the order, Seller may at its sole discretion require progress payments. If Buyer s financial condition is or becomes unsatisfactory to Seller, Seller reserves the right to: (a) require payment from Buyer on a Cash In Advance (CIA) basis; (b) require a letter of credit or other acceptable security before shipment; or (c) cancel shipment at any time prior to delivery of the Equipment without further obligation or liability on the Seller's part. 6. CHANGES: Buyer may request modifications as to the amount, scope and/or nature of the Equipment to be supplied by a written change request. If, in the opinion of Seller, any modification will affect the agreed fixed price and/or time of delivery, Seller will notify Buyer thereof in writing and will not be obligated to perform any modification unless agreed to by Seller. Buyer shall confirm that such change is authorized and accepted by issuing an Order revision. 7. BUYER CANCELLATION: Buyer may cancel this Order only upon written notice and payment to Seller of reasonable and proper cancellation charges. Notwithstanding the foregoing, Buyer reserves the right to cancel any portion of an Order affected by any insolvency or suspension of Seller s operations or any petition filed or proceeding commenced by or against Seller under any state or federal law relating to bankruptcy, arrangement, reorganization, receivership or assignment for the benefit of creditors. 8. SET-OFF: All amounts that Buyer owes Seller under an Order shall be due and payable according to the terms of an Order. Buyer is prohibited from, and shall not set-off such amounts or any portion thereof, whether or not liquidated, against sums which Buyer asserts are due it, its parent affiliates, subsidiaries or other divisions or units under other transactions with Seller, its parent affiliates, subsidiaries or other divisions or units. 9. NON-DISCLOSURE AND NON-USE OF SELLERS INFORMATION: Buyer agrees that it will not use Seller s data for the manufacture or procurement of Equipment which are the subject of an Order or any similar Equipment, or cause said Equipment to be manufactured by, or procured from, any other source or reproduce said data and information or otherwise appropriate them without the written authorization of the Seller. Buyer agrees that it will not disclose or make available to any third party any of Seller s data or other information pertaining to this Order which is proprietary to Seller without obtaining Seller s prior written consent. 10. SPECIAL TOOLING AND DATA: Unless otherwise agreed in writing, all material, software, data processes, equipment, facilities and special tooling, which term includes but is not limited to jigs, dies, fixtures, molds, patterns, special taps, special gages, special test equipment, other special equipment and manufacturing aids and replacements thereof, used in the manufacture of the Equipment covered by an Order shall be and remains the property of Seller. Seller retains all rights, title and interest in drawings, engineering instructions, specifications, and all other written data, if any, furnished and/or specified to be supplied with the Equipment. 11. EXPORT / IMPORT: Buyer agrees that it will comply with all applicable import and export control laws and/or regulations, including without limitation those of the United States and/or other jurisdictions from which the Equipment and/or technology may be supplied or to which the Equipment and/or technology may be shipped. TAXES: Seller s price, unless otherwise agreed, shall be fixed and does not include, and Seller is not responsible for, payment of any tax levied for sales, use, excise, valueadded, goods and services, business (franchise or privilege) or any duties, charges or other such taxes. Seller is only responsible for any tax imposed on Seller, by taxing authorities in Seller s jurisdiction, which are based on Seller s revenue, income, net income, net assets, net worth, or capital or any taxes imposed in lieu thereof. If Seller is required to pay any taxes or other charges that are the responsibility of the Buyer, then Buyer shall promptly reimburse Seller those amounts. 13. ASSIGNMENT: Neither party shall assign an Order or any portion thereof without the advance, written consent of the other party, which consent shall not be unreasonably withheld. 14. WAIVER / SEVERABILITY: Failure by Seller to assert all or any of its rights upon any breach of an Order shall not be deemed a waiver of such rights either with respect to such breach or any subsequent breach, nor shall any waiver be implied from the acceptance of any payment of service. No waiver of any right shall extend to or affect any other right Seller may possess, nor shall such waiver extend to any subsequent similar or dissimilar breach. If any portion of these Terms are determined to be illegal, invalid, or unenforceable, for any reason, then such provision shall be deemed stricken for purposes of the dispute in question and all other provisions shall remain in full force and effect. 15. APPLICABLE LAW / DISPUTES: This Order shall be interpreted in accordance with the laws of the jurisdiction in which the Seller s facility accepting the Order hereunder is located, exclusive of any choice of law provisions. The Seller and Buyer expressly agree to exclude from this Order the United Nations Convention on Contracts for the International Sale of Goods, 1980, and any successor thereto and the Contracts (Rights of Third Parties) Act of Except as otherwise specifically agreed in writing by Buyer and Seller, any dispute relating to an Order placed by a Buyer incorporated in the United States which is not resolved by the parties shall be adjudicated by a court of competent jurisdiction in the state of Texas. All disputes arising out of or in connection with an Order placed by a Buyer incorporated outside the United States that shall be finally settled by binding arbitration in London England, under the Rules of Arbitration of the International Chamber of Commerce then in effect by one or more arbitrators appointed in accordance with said Rules. 16. COMPLIANCE WITH LAWS / ANTI-BRIBERY: Seller and Buyer agree to comply with all applicable laws, regulations, codes and standards, including but not limited to those of the United States and other jurisdictions where the parties conduct business. Additionally, Buyer has not and will not offer, promise, authorize or make, directly or indirectly, any payments (in money or any other item of value), contributions or gifts to any non-u.s. government agency, department, official or government owned or controlled entity in order to obtain or retain business, or secure any other improper business advantage, which would violate the U.S. Foreign Corrupt Practices Act and/or any other applicable anti-bribery laws. 17. LIMITATION OF LIABILITY / EXCLUSION OF CONSEQUENTIAL LOSS: The remedies set forth herein are exclusive, and the total liability of the Seller with respect to this Order, or any breach thereof, whether based on contract, warranty, tort (including negligence), indemnity, strict liability or otherwise, shall not exceed the Order price of the specific Equipment or Service which gives rise to the claim. In all cases where Buyer claims damages allegedly arising out of defective or nonconforming Equipment or Services, Buyer's exclusive remedies and Seller's sole liability shall be those specifically provided for under Section 4 "Warranty". IN NO EVENT, WHETHER ARISING BEFORE OR AFTER COMPLETION OF ITS OBLIGATIONS UNDER THE CONTRACT, SHALL SELLER BE LIABLE FOR SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES OF ANY KIND (INCLUDING BUT NOT LIMITED TO LOSS OF USE, REVENUE OR PROFITS, INVENTORY OR USE CHARGES, COST OF CAPITAL, OR CLAIMS OF CUSTOMERS) INCURRED BY THE BUYER OR ANY THIRD PARTY. 18. GENERAL PROVISIONS: (a) No Action, regardless of form, arising out of transactions under the Order, may be brought by the Buyer more than one (1) year after the cause of action has accrued. (c) In the event Buyer has reason to believe the Equipment could be subject to a claim for damages or personal injury, Buyer shall immediately provide Seller with written notice of such claim, and shall provide Seller reasonable opportunity to inspect said Equipment and/or investigate the basis for such potential claim. (d) UNLESS OTHERWISE SPECIFICALLY PROVIDED IN SELLER'S QUOTATION, EQUIPMENT AND SERVICES HEREUNDER ARE NOT INTENDED FOR USE IN ANY NUCLEAR OR NUCLEAR RELATED APPLICATIONS. IF SELLER'S QUOTATION EXPRESSLY STATE THAT THE EQUIPMENT AND SERVICES ARE INTENDED FOR NUCLEAR OR NUCLEAR RELATED APPLICATIONS, SELLER'S ADDENDUM (P-62) FOR NUCLEAR LIABILITY PROTECTION IS HEREBY INCORPORATED. Buyer (i) accepts the Equipment and Services in accordance with the restriction set forth in the immediately preceding sentences, (ii) agrees to communicate such restriction in writing to any and all subsequent purchasers or users, and (iii) agrees to defend, indemnify and hold harmless Seller from any and all claims, losses, liability, suits, judgments and damages, including incidental and consequential damages, arising from the use of the Equipment or Services in any nuclear or nuclear related applications, whether the cause of action be based in tort, contract or otherwise, including allegations that the Seller's liability is based on negligence or strict liability. 19. TRANSLATIONS / GOVERNING LANGUAGE: English shall be the legal language of this Order, and all parties waive any right to use and/or rely upon any other language, translation or interpretation. 51 INCOMING GOODS FORM INSTRUCTIONS FOR INCOMING EQUIPMENT Many products manufactured or serviced by Flowserve Corporation handle potentially hazardous chemicals which may be injurious to property or personnel. Products returned without proper attention given to the safety requirements noted below will not be accepted and will be shipped back to the Consignor. Return of Material Which Has Been in Service NOTE: Include all applicable MSDS s for the service fluids parts were exposed too (with the exception of air, clean water or clean steam). AIR, CLEAN WATER, or CLEAN STEAM SERVICE If the product in question was in air, clean water, or clean steam service simply drain or empty free liquids before returning. PLACE THIS FORM ON OUTSIDE OF BOX DECLARING THE PART WAS IN AIR, CLEAN WATER, OR CLEAN STEAM SERVICE. NON-HAZARDOUS REFINED OIL If the product in question was in a non-hazardous refined oil service, parts must be cleaned or decontaminated (drained and flushed if necessary) according to standards or procedures established by the customer s handling procedure on file at the Flowserve facility performing the service. CRUDE OIL AND ALL HAZARDOUS CHEMICALS Specific steps must be taken to properly decontaminate products and remove all chemicals. As a Minimum: 1. Products must be drained and/or flushed to remove potentially hazardous chemicals as per standards or procedures established by the customer s handling procedure on file at the Flowserve facility performing the service. NOTE: Decontamination has been performed if done in accordance with the best known procedures available to the customer for rendering the equipment to the least hazardous state practicable. In addition, Flowserve policy, and in many locations regulations in most countries require that employees be advised of and trained regarding hazardous chemicals they may be exposed to. 53 ADDENDUM D PUMP DIVISION Customer shipping instructions for Byron Jackson Mercury Seal Submersible Pumping Unit: Copy of Federal Regulations, Department of Transportation, RF 49, Section , , and , attachment "A" of this letter. After Removing Unit From Well: Perform the following steps # 1 through # 14 before unit is laid out horizontally; after unit is laid out horizontally follow steps # 15 through # 20. If the steps are not followed properly, mercury can be spilled out of the motor and may present a health hazard to the well servicing personnel and factory repair personnel. Before Unit Is Laid Out Horizontally: 1. Remove shaft button screw (806-2), shaft adjusting button (130) and shims (262-6 and 262-7). Loosen set screw (806-1) and remove key (676-1), if possible. 2. Lubricate shaft with some form of penetrating oil. 3. Use puller tool (preferably three-arm type), if required, to remove coupling (529). 4. Wrap coupling (529), key (676-1), set screw (806-1), shims (262-6 and 262-7), self-adjusting button (130), and screw (806-2) and put with alignment parts (265, and 690-4) and wrenches to be placed in the shaft shipping cap. 5. Loosen case closure nut (003-7 R.H. Thread) three full turns, freeing seal baffle (014). 6. Lubricate ring (200) and gasket (744-5) inside the seal baffle closure cap (112). 7. Using a twisting motion, press seal baffle closure cap (112) down over shaft extension and baffle lip. Continue pressing down until gasket (744-5) is over the lip and the baffle (014) can be felt to bottom. 8. Install baffle cap screw (806-4) and use a eight inch crescent or similar wrench to torque cap screw (806-4) to Nm (35 foot pounds). 9. Check to see that case closure nut (M-084), ring (M-083) and gasket (M-082) are loose and free. 10. Place coupling and components in shaft shipping cap (112-1) with its gasket (744-6) and bolt cap securely in place. 11. Elevate motor to drain oil into proper waste control container. 12. Remove casing drain plug from bottom side of lower casing. Remove case vent plug (609) at top of motor and allow motor to fully drain. Wrap motor in leak proof plastic lining, minimum of (8) eight mills thick, seal in upright position. Wrap all components in plastic before placing unit in shipping container for inner containment. 16. Return Material Number and Serial Number of motor must be marked on shipping container and bill of lading. See attachment "A", sheet number 2 - how to label and address shipping container. 17. Wrap motor and all components in plastic. Insure plastic seal is in upright position before placing unit in shipping container, (container with no openings) to contain leakage if it occurs. 18. Returned Goods form and this letter must be signed and returned to Flowserve before a return material number will be issued to return motor to factory. I hereby declare that the contents of this consignment are fully and accurately described above by the proper shipment name and are classified, packaged, marked, and labeled, and are in all respects in proper condition for transportation according to applicable international and national government regulations.
