12 TERMS AND CONDITIONS 22 FREQUENTLY ASKED QUESTIONS Q. How can I find out what heat outputs I need? A. Your installer should be able to confirm the exact requirements for each of your rooms, but you can use the following simple calculation as a guide. 1. Find the volume of your room in cubic metres = height x width x length in metres 2. Multiply the volume by 60 to find the Watts requirement. If you need to know the BTU equivalent, multiply your Watts by For example: A bathroom 1.8m x 2.4m with ceiling 2.4m = a volume of cubic metres, multiply by 60 = 622 Watts Btu s = watts multiplied by Note: These calculations assume two outside walls and a standard cavity wall construction; calculations for other construction methods or conservatories may vary. You should always confirm your BTU/Watt requirements with your installer. Q. Where should radiators be placed? A. Traditionally radiators were located below or near windows because they had single glazing and the cold air helped generate a flow of warm air around the room. In more modern properties insulation, double-glazing and draught proofing means that you can place a radiator in almost any position, to maximise the use of space. Q. Do different designs affect output? A. Output is determined by the surface area. Therefore the greater the surface area the higher heat output achieved. By altering the size, shape or number of tubes or columns in a radiator you can adjust the output achieved. Q. What is a Direct system? A. Direct heating systems usually use your hot water supply to heat towel rails in your bathroom. If you use this method of heating in the bathroom the radiators or towel rails will need to be made from either stainless steel or brass to avoid corrosion and contaminating the hot water supply. Q. What are Electric and Dual fuel radiators? A. Electric radiators (E): Gives designer warmth as a stand-alone radiator. For areas where there is no central heating. Dual fuel radiators (D): This is plumbed into the central heating system and can be used when the heating system is switched off. Provides all year round airing. 1. GENERAL Unless otherwise expressly agreed in writing by us, these conditions shall form part of this offer and no conditions inconsistent therewith, shall be deemed to override or vary these conditions notwithstanding their being proffered by you at a date later than this offer. They shall apply not only to the present transaction but to all future business between us except in such cases as the contrary may be agreed by us in writing. 2. TITLE Title to the Goods shall remain our property until paid for in full. 3. PRICES All prices are strictly net unless otherwise quoted. We reserve the right to increase the prices quoted should there be any increase in the cost of labour, materials, duties, rates of exchange, freight or other charges, expenses and costs payable by us before delivery. Unless otherwise expressly stated by us in writing, all orders are accepted on the condition that Goods will be charged at the prices ruling on the day of delivery. 4. CREDIT & PAYMENT TERMS We require a minimum of 50% of the total amount due to commission an order, the balance being paid prior to or on delivery unless credit facilities have been granted by us in writing and not withdrawn when payment shall be made strictly 30 days after date of delivery (unless terms to the contrary have been agreed by us in writing). Remittances are to be made direct to the Company s Head Office. We reserve the right to charge interest on all overdue accounts at a rate equal to 7% above HSBC s base rate for the time being in force for the period from upon which the payment became due until the date of actual payment. 5. PERFORMANCE No liability will be accepted by us or our servants, agents or sub-contractors for failure to attain any performance figures quoted unless we have specifically guaranteed them unless they are quoted in our official catalogue in force at the date of delivery. We reserve the right to amend our performance specification from time to time but should we do this between the date of order and the date of delivery, we will advise you. 6. DESPATCH All quoted despatch dates are given bona fide, and are such as we expect to achieve, and every effort will be made to adhere to them.we shall not accept any liability for failure to despatch within such a time. Time for despatch shall be extended for a reasonable time if delay is caused by instructions or lack of instructions from you. Despatch time may be extended during holiday periods and factory shutdown. 7. DELIVERY Unless otherwise specifically agreed in writing, on each occasion, Goods shall be deemed to be delivered from time of their being handed over by us to the carrier for delivery (where appropriate) from handling (or posting) delivery orders or delivery instructions to you or your agents (including carriers or forwarding agents), or (in cases when Goods are to be held by us to your order) on the expiration of ten days from the date of notification to you that the goods are ready for collection, from which moment, the Goods shall, be your risk. In the absence of express agreement, Goods will be insured against loss or damage in transit only. Not withstanding the earlier passing of risk, title in the Goods shall remain with us and shall not pass to you until the amount due under the invoice has been paid in full and until title passes you shall hold the goods as bailee for us and shall store or mark them so that they can be identified as our property. 8. GUARANTEE and LIABILITY 8.1 All the Goods are guaranteed for a period of 12 months from the date of invoice. 8.2 The manufacturers guarantee will within this period of 12 months repair or at our discretion replace any Goods which are proved to our satisfaction to be defective in material or workmanship Provided Always that this obligation will not apply where:- the Goods have been altered in any way whatsoever or have been subjected to misuse or unauthorised repair; or the Goods have been improperly installed or connected; or the Serial Numbers on the Goods have been removed, misused or are unavailable upon request during claims; or You have failed to observe or perform the requirements of any maintenance procedures relating to the Goods; or You have failed to notify us of any defect or suspected defect immediately the same comes to your knowledge; or You are in breach of this or any other contract made with us. Our liability will under no circumstances extend beyond the repair or replacement of the product supplied by us. Claims for either labour in replacement or damage to property are not admissible. Any Goods replaced will belong to us. 8.3 Save as provided in Clauses 8.1 and 8.2 we will be under no liability under the Contract for any personal injury, death, loss or damage of any kind whatsoever whether consequential or otherwise including but not limited to loss of profits and we hereby exclude all conditions, warranties and stipulations express or implied, statutory, customary or otherwise which but for such exclusion would or might subsist in your favour except that such exclusion will not apply to:- any implied condition that we have or will have the right to sell the Goods when the property is to pass; or when you deal as a consumer (as defined in Section 12 of the Unfair Contract Terms Act 1977), any implied term relating to description merchantability quality fitness or sample. 8.4 In no circumstances will we or our servants, agents or sub-contractors be liable for any loss or damage of any kind whatsoever (except arising from death or personal injury) whether consequential or otherwise caused directly or indirectly by any negligence on our part or on part of any of our servants, agents or sub-contractors in connection with or arising out of the manufacture or supply of the Goods or in connection with any advice or statement given or made by or on our behalf. 9. CANCELLATION OR ALTERATION Orders can not be cancelled except with our consent and on terms that will indemnify us against loss. If notice is given in writing before manufacture has commenced, requests for cancellation or orders will be accepted without charge if made within three days of despatch of acknowledgement of order. 10. STORAGE If we do not receive instructions within 14 days after notification that the goods are ready for despatch, Goods will be delivered to you at the address specified in the order. We are prepared in an emergency, if our storage facilities permit, to store goods on a temporary basis at such a charge as we may deem reasonable in the particular circumstances. Any charges for storage or for demurrage after despatch, must be paid for by you before despatch. 11. RETURN OF GOODS FOR CREDIT Only in exceptional circumstances and by previous written agreement with us will we accept back for credit items that have been supplied against firm orders or which have been manufactured by us in accordance with specification but have not yet been delivered, provided the goods to be returned are new and adequately packed and are of standard colour and unused. The net value of Goods returned will be credited to you subject to a minimum charge of 25% thereof which will be made to cover restocking costs. 12. UNAVOIDABLE LOSS OR DELAY We can accept no responsibility for loss or delay occasioned by war, civil commotions, strikes, lock outs, trade disputes, shortage of labour, fire accident or destruction of plant, machines, apparatus or materials or loss or damage to any of our suppliers or in transit or any act of God or force majeure or other circumstances over which we have no control. 13. INSTALLMENT DELIVERIES Orders may be executed by installments. Each INSTALLMENT shall be a separate contract payable separately. If payment of any INSTALLMENT is not made within the time stipulated, we shall be entitled to suspend further deliveries until payment is made or we may, at our option, terminate the contract. 14. DELAY, WRONG DELIVERY & DAMAGED GOODS All consignments are advised and it is essential that immediate notification should be given if the goods are not received within 10 days of advice; otherwise no claim for non-delivery can be accepted. No claim for damage in transit or shortages will be accepted if signed for RECEIVED IN GOOD CONDITION or UNCHECKED or NOT EXAMINED (or similar) unless they are signed for as DAMAGED or SHORT DELIVERED and we are notified in writing within 3 days after delivery and are given an opportunity to verify the shortages or damage. The company will then at its option: Repair or replace any goods or part of goods so damaged; or allow to you credit in respect thereof in such amount as may be agreed with you or in default as fixed by us at our discretion. Our liability under this condition shall be limited to repairing, replacing or allowing credit as aforesaid. 15. SAMPLES All goods supplied F.O.C. are for DISPLAY ONLY (and NOT FOR RE-SALE), and remain the property of RADIATING STYLE LTD. until paid for in full. 16. JURISDICTION The contract shall be governed by the laws of England and English Courts shall have sole jurisdiction in all matters arising out of the Contract. 23
