2 Market information It sounds like a beer revolution: Meanwhile the wave of Artisan and Craft Beers has conquered the whole world. Small and independent breweries stir up the brewing scene. The phenomenon which started 30 years ago in the USA has developed its own dynamics and causes quite a stir in Brazil, too. In the last decade, beer production in Brazil has grown by an impressive 64%, jumping from 8.2 billion to 13.4 billion liters per year (Sicobe). Hence, it is a booming market and the third largest producer in the world, only behind the United States and China, and surpassing Russia and Germany. Brazil is also one of the largest beer consumers nations in the world. The annual average liters consumed per inhabitant grows each year. In the meantime more and more people look for products that show differentiation, an attribute strongly found in craft beers. In 2015 were 372 microbreweries in Brazil. The number shows a growth of 17% compared to the year before. According to unofficial estimations, there are around 600 microbreweries by now. Besides there is a huge number of home breweries which provides an indication of a vivid home brewing scene. Despite its large territorial area, 91% of Brazil's microbreweries are located in the south and southeast regions, concentrated in 6 of the country's 28 states. FORMS OF EXHIBITING: The following forms of exhibiting are available for companies: hall space with stand and package (in sizes 3m² to 12 m²) 3.1 GENERAL SERVICES: Planning, organization and execution at the exhibition and support for the exhibiting companies before and during the exhibition. 3.2 SERVICES SPECIFICALLY FOR EXHIBITORS: The organizer provides the stand equipment components/articles for use by the exhibitor on a hire basis for the duration of the event. These must not be damaged. Damaged components/articles will be repaired or renewed at the cost of the exhibitor. The exhibitor is not entitled to a reduction of the exhibiting fee if individual services are not used. The rented space (exhibition space) is handed over to the exhibitor in as seen

7 condition. The organizer is not responsible for the structural condition of the rented hall spaces and the stand construction material. 4. STAND CONSTRUCTION AND DISMANTLING: Construction of stands to from 8:00 to 11:00 p.m. Objects on display can be delivered during stand construction until :00 a.m. Dismantling of stands from 11:00 p.m. until :00 p.m. Vehicles can pass the hall on from 11:00 p.m. on only. 5. EXHIBITING FEE The prices stated on the application forms apply. The exhibiting fee is not reduced if individual services are not used. 6. PAYMENT TERMS A deposit of 20 % of the expected exhibiting fee for the desired space plus the statutory rate of VAT ( deposit amount ) is charged to the exhibitor with the application. The deposit amount becomes payable on the date stated on the deposit invoice. The contract between the organizer and exhibitor does not take effect until admission is confirmed. The total exhibiting fee plus any charges and the statutory rate of VAT in each case becomes payable by the exhibitor on admission. The deposit amount will be deducted. The balance is due for payment on receipt of the final invoice. Invoice amounts are due for payment in Euros in full and without charges by the stated deadline. 7. NOTES Applications are processed in the order of their date of receipt. Please also observe the General Conditions for Participation (GCP), which are supplemented by these Special Conditions for Participation (SCP). 8 General Conditions for Participation (GCP) of NürnbergMesse GmbH (NM) for pavilions at trade fairs and exhibitions in Germany and abroad 1. Form of event Pavilions organized by NM take the form of groups of exhibitors at international or national trade fairs or exhibitions or of special events organized independently of such trade fairs or exhibitions. 2. Eligibility for application Eligible to participate in pavilions are companies, associations, institutions and organizations (hereinafter referred to as exhibitors ) whose products and services fit in with the concept of the (exhibition) event and comply with Section 7 and 8 of these GCP. The responsibility for checking for compliance with these conditions rests solely with NM. 3. Application and admission 3.01 The binding application to participate must be received by the stated deadline on the application form provided by NM, which must be fully completed and signed by an authorized signatory to acknowledge acceptance of these GCP and the enclosed Special Conditions for Participation (hereinafter referred to as SCP). Any conditions and/or reservations of the exhibitor regarding the application are not permitted and will be ignored The deadline for application to participate in the respective event is shown in the enclosed application The receipt of the application is confirmed by NM in writing. This confirmation is automatically generated and is valid without a handwritten signature. The application itself or confirmation of its receipt does not constitute any legal claim to admission or to a certain size and/or location of the stand. In particular, NM is entitled to reduce the size of registered stand spaces at its own discretion if the display space available is oversubscribed and also to assign additional spaces if this appears necessary for the organization and planning of the pavilion and can be reasonably expected of the exhibitor The exhibitor s application and admission is checked by NM according to the display space available, the fulfillment of the requirements of the GCP and SCP by the exhibitor based on the information given in the application form and with regard to the overall setting and concept of the pavilion Exhibitors who have not settled their financial obligations to NM in respect of earlier events can be excluded from admission The contract between NM and the exhibitor becomes legally effective on sending confirmation of admission to the exhibitor. If the content of the confirmation of admission differs substantially from the content of the application, the contract will be concluded according to the confirmation of admission, unless the exhibitor objects in writing within 2 weeks after receipt of the confirmation. A plan showing the location and dimensions of the stand will be enclosed with the confirmation of admission. NM is not liable for any differences in dimensions and resulting minor differences between the planned and actual size of the stand. Swapping the allocated stand space with another exhibitor or hiring part or all of the stand space to a third party is not permitted without the consent of NM After admission of the exhibitor NM can assign him a different display space than the space planned in the confirmation of admission, if this is necessary to preserve the overall impression of the pavilion if not all the display space offered is hired and a space of essentially equivalent size and dimensions is provided for the exhibitor. Should circumstances beyond the control of NM, such as official orders or instructions from the trade fair or exhibition management, compel NM to move or change individual stands, entrances, passageways or exits after confirmation of admission, no claims can be asserted for this reason. NM shall notify the exhibitor of such measures without delay The application and the obligation to pay the exhibiting fee remain legally binding after confirmation of admission, even if, for example, the exhibitor s import requests are not fulfilled completely or at all by the relevant body, the exhibits do not arrive at the event in time (e.g. due to loss, transport or customs delay) or at all, or entry visas for the exhibitor or his representatives are not available in time. 4. Co-exhibitors 4.01 Stand spaces are only hired out as one whole space and only to one contract partner, who is only authorized to include previously nominated co-exhibitors on his stand after prior written approval by NM. If NM agrees, the exhibitor must ensure that the co-exhibitor accepts the GCP and SCP in writing and complies with these conditions The exhibitor is liable for negligence on the part of his co-exhibitors and their performing agents in the same way as for his own negligence. The same applies to vicarious agents. 5. Assignment, offsetting, right of retention The assignment of the exhibitor s claims against NM is excluded. Offsetting claims by the exhibitor is also excluded, unless a claim exists against NM that is undisputed, legally effective or ripe for adjudication. 6. Withdrawal from contract 6.01 NM is entitled to cancel the admission or withdraw from the contract in the following cases: An application to commence insolvency proceedings against the exhibitor's assets is lodged, rejected for lack of assets, or insolvency proceedings have already been commenced. The exhibitor is obliged to notify NM of the existence of such circumstances without delay. The conditions for confirmation of the stand space are no longer fulfilled by the registered exhibitor or the organizer subsequently becomes aware of reasons that would have justified the refusal of admission if they had been known in time. The exhibitor fails to pay the exhibiting fee or parts of it by the stipulated dates and allows a period of grace granted by the organizer to expire without settling the payment. The organizer also reserves the right to assert claims for damages in these cases. The exhibitor himself has no claims to damages The exhibitor can withdraw from the contract up to the application deadline, which is shown in the SCP If an exhibitor withdraws after the application deadline but before admission, the deposit paid in accordance with Section 4 of the SCP is forfeited The exhibitor cannot withdraw after admission. If the exhibitor nevertheless waives the right to occupy the allocated stand space, he shall pay the full exhibiting fee if NürnbergMesse cannot hire out the space to another exhibitor, or 40 % of the exhibiting fee for processing charges if the space is hired out elsewhere by NM, subject to a maximum of EUR The exhibitor retains the right to prove that no damage at all or considerably less damage occurred The exhibitor s withdrawal (Section 6.02 to 6.03) or his waiver of the right to occupy the allocated stand space (Section 6.04) does not become effective until NM receives his written declaration. 7. Stand equipment, design and labeling Furnishing and individual design of the stands in excess of the services provided by the pavilion organizer and stated in the SCP are a matter for each exhibitor, who is also responsible for the costs. The type of design is, however, determined by the building regulations applicable at the event location and by the building guidelines of NM. The stand height is 2.50 m. Exhibits can be installed above this height in individual cases, subject to prior approval by NM. The exhibitor is obliged to coordinate his individual design measures with NM. If the design of a stand does not comply with the requirements of Section 7, NM is entitled to have this removed or changed at the cost of the exhibitor. 9 8. Exhibits, direct sales and stand personnel 8.01 All exhibits and their exact designation must be listed individually in the application as per Section Exhibits with a risk of fire or a strong smell or exhibits whose demonstration generates noise may only be exhibited with prior approval by NM. Exhibits must not be removed during the event. The protection of copyrights or other industrial protection rights for exhibited objects is the responsibility of the exhibitor. The exhibition of goods governed by the War Weapons Control Act (German KWKG) and their models or other presentations is prohibited. If the civil version of goods requiring an export license in accordance with the Foreign Trade Act or the Foreign Trade Regulation and models or other presentations of these goods are exhibited, no reference of any kind to their use for military purposes is permitted. Direct sale (individual sale to visitors) is only possible with prior approval by NM and must comply with the relevant regulations of the exhibition organizer. The exhibitor is obliged to provide expert stand personnel with appropriate language knowledge for the entire duration of the event If exhibited goods do not meet the requirements of Section 8.01, NM is entitled to request the removal of these goods at the cost of the exhibitor. If the exhibitor fails to remove the goods within a reasonable period after a written request to do so, NM can demand a contract penalty of EUR 5, Transport, assembly and dismantling of exhibits and stand equipment The transport of exhibits to and from the stand, the storage of empty containers, the use of lifting and conveying systems, the use of personnel for packing and unpacking, the assembly and dismantling of exhibits, repacking and other related activities are the sole responsibility of the exhibitor. NM accepts no liability whatsoever for these tasks. 10. Insurance, liability and accident protection It is the responsibility of the exhibitor to arrange insurance of the exhibits against all risks during transport and the event, especially against damage, theft etc. We urgently recommend taking out a suitable exhibitor insurance policy NM bears unlimited liability only in cases of intent or gross negligence and for damage due to loss of life, bodily injury or damage to health. In all other cases NM is only liable in the event of a breach of cardinal obligations. Cardinal obligations are obligations of fundamental importance for the proper execution of the contract and which the exhibitor can expect to be regularly fulfilled; if NM is legally obliged to take out liability insurance cover or this is the usual practice; if NM has claimed a special degree of trust or holds a qualified position of trust. In these cases, however, NM is only liable for typical foreseeable damage (thus not usually for consequential damage) and then only for maximum EUR 100, per case of damage. The limitation of liability applies to entrepreneurs, legal persons under public law and special assets. Moreover, liability due to slight or ordinary negligence is excluded. This limitation of liability also applies to the conduct of the performing and vicarious agents of NM. priority at all times. NM is not liable for damage and other disadvantages that result for the exhibitor NM is entitled to postpone, shorten, extend or cancel the pavilion and temporarily or finally close individual parts or all of the event if unforeseeable events, such as force majeure, natural disasters, war, unrest, strikes, failure or obstruction of transport and/or communication connections, necessitate such action. In case of postponement, shortening, extending or closure of the event, the exhibitor has no claim to compensation for any damage caused to him as a result. The exhibitor may withdraw from the contract if he has no further interest in participating in the event as a result of such action and therefore waives his right to occupy the space allocated to him. Such withdrawal shall be notified in writing within a reasonable period after being informed of the change. In this case the obligations of the exhibitor are governed by Section In case of cancellation of the event, NM shall not be liable for damage or other disadvantages resulting for the exhibitor. 13. Statutory limitation All claims of the exhibitor against NM lapse within 6 months. The statutory period of limitation commences at the end of the month in which the last day of the event occurs. 14. Final provisions and Severability clause The detailed scope of services covered by the exhibiting fee is defined in the SCP If the exhibitor has placed orders with NM for special services at extra cost, the costs incurred for such services will be charged to the exhibitor In case of discrepancy, the Special Conditions for Participation take priority over the General Conditions for Participation The reciprocal rights and obligations arising out of this contractual relationship are governed by the law of the Federal Republic of Germany The place of fulfillment is Nürnberg. The place of jurisdiction is also Nürnberg if the exhibitor is an entrepreneur, merchant or a legal person under public law or has no general place of jurisdiction in the country. NM is also entitled to take legal action against the exhibitor at his general place of jurisdiction If individual provisions of the GCP or SCP are or become fully or partly void, inapplicable or impracticable or if this contract contains a gap, this shall not affect the validity of the remaining provisions. In such cases the parties are obliged to replace the void, inapplicable, impracticable or incomplete provision with an effective, applicable, practicable and complete provision that corresponds as closely as possible to the originally intended business purpose Agreements that deviate from these conditions or supplementary provisions must be made in writing The exhibitor is liable for any damage to persons or objects caused culpably by himself, his employees, his representatives or his exhibits and equipment The exhibitor is obliged to mount safety devices on exhibited machines or equipment, which must comply with the trade association s accident prevention regulations. NM is entitled at its discretion to prohibit the exhibition or operation of machines or equipment for accident prevention reasons. 11. Circulars After allocation of the stand spaces, the exhibitors will be informed about the preparation and organization of the pavilion by means of circulars. The exhibitor is solely responsible for the consequences of failure to comply with these circulars. 12. Proviso Laws, regulations and directives of the responsible bodies in the Federal Republic of Germany and the respective host country that deviate from these GCP and SCP or cause additional restrictions take General Conditions for Participation for Pavilions Page 2 of 2
