If you do not agree to these Terms, do not participate in the Sweepstakes. Seagram s Rewards Credits may be redeemed for Rewards Merchandise available through Pernod-Ricard USA, LLC ( Sponsor ). Sponsor reserves the right to modify or terminate the Sweepstakes at any time and in any manner, in whole or in part, as outlined below, even though such changes may affect the value of the Seagram s Rewards Credits ("Credits") already accumulated or the availability of Rewards Merchandise. You agree that you will review these Terms periodically and that you shall be bound by these Terms and modifications hereof. 1. Sweepstakes Period: The Seagram s Loyalty Program and Sweepstakes (the Sweepstakes ) begins August 1, 2016 at 12:00:01 a.m. Eastern Time ( ET ) and ends December 31, 2016 at 11:59:59 p.m. ET (the Sweepstakes Period ). 2. Eligibility: Open to legal residents of the 50 United States and the District of Columbia (excluding AL, AR, IN, ME, MD, MN, MS, MT, NE, NC, ND, SD, VT, WV, and WY), 21 years of age or older as of date of participation. Employees of Sponsor, Don Jagoda Associates, Inc. ( Administrator ), their respective affiliates, parents, subsidiaries, divisions, suppliers, distributors, prize partners and advertising, promotional and judging agencies (collectively, the Sponsor and its Administrators ), affiliates, and suppliers, distributors, and retailers of alcohol-beverage products, and each of their respective employees, shareholders, directors, officers, members, assigns and agents and their immediate family members and/or those living in the same household of each are not eligible to participate or win. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void in AL, AR, IN, ME, MD, MN, MS, MT, NE, NC, ND, SD, VT, WV, WY and where

Participation constitutes participants full and unconditional agreement to these Official Rules and Sponsor s and Administrator s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. 3. Your Rewards Account: To register for the Sweepstakes and set up your Seagram s Rewards Account ( Account"), you must register at ( Site ). You must complete all required information as indicated. While registering, you must accept these Terms, after which registration is complete and you are a Member ( Member ). Only Members will accrue Credits and be able to redeem Rewards Merchandise. Members earn Credits by purchasing Seagram s products at participating retailers and uploading their receipts on the Site or participating via mail-in. Member Account summaries may be viewed on the Site. Sponsor will attempt to credit Members' accounts with Credits on a timely basis. However, each Member shall have the responsibility of ensuring that his or her Credits are properly credited. Any claim for Credits not credited accurately must be received by Sponsor by 11:59:59 pm ET on January 31, 2017 or otherwise such Credits shall no longer be valid or usable. Sponsor shall have no liability for any printing, production, typographical, mechanical or other errors in the Credits summaries distributed by Sponsor or its agents, for any delay or failure to credit Credits to Member Accounts or for any failure to provide Account summaries as outlined herein. Sponsor reserves the right to invalidate Credits from a Member s Account with notice if it determines in its sole discretion that such Credits were improperly credited to such Member's Account or were obtained fraudulently or otherwise in violation of these Terms. Sponsor reserves the right to require proof of accrual of Credits and Sponsor reserves the right to delay the processing or redemption of any Credits without notice, in order to assure compliance with the Terms outlined herein. Members, by participating in the Sweepstakes, are responsible for maintaining the confidentiality of an individual Member s Account username and password and for restricting access to Member's computer, and Member agrees to accept responsibility for all activities that occur under Member s username or password. Without limiting any other remedies, Sponsor may suspend or terminate any Member Account if Sponsor suspects in its sole discretion that any Member or other person has engaged in fraudulent activity in connection with this Sweepstakes. Credits do not constitute property, do not entitle a member to a vested right or interest and have no cash value. As such, Credits are not redeemable for cash, transferable or assignable for any reason. The sale, barter, transfer or assignment of any accumulated Credits, other than by Sponsor, is strictly prohibited. Any Credits which Sponsor deems in its sole discretion to have been transferred, sold, bartered or assigned in violation of the Sweepstakes' Terms may be confiscated and/or canceled. Participation in the Sweepstakes is subject to the Terms, as well as policies and procedures that Sponsor may adopt or modify from time to time. Any failure to abide by the Terms or any policies or procedures implemented by Sponsor, any conduct detrimental to Sponsor, or any misrepresentation or fraudulent activities in connection with this Sweepstakes, or failure to act in a manner consistent with federal, state, provincial or local laws, regulations or ordinances, may result, in addition to any rights or remedies available to Sponsor in law or equity, in the termination of membership in the Sweepstakes, as well as forfeiture of any Credits accrued to date and any other benefits earned in connection therewith, in Sponsor s sole discretion.

3 4. How to earn Credits/Sweepstakes Entries: There is NO PURCHASE NECESSARY to participate in the Sweepstakes. California residents are only eligible to receive Rewards valued at up to $4.99, as indicated in the Rewards Store on the Site. a) ONE via Qualifying Purchase/MMS: During the Sweepstakes Period, you may enter by first purchasing any Seagram s product ( Qualifying Purchase ). Then, send a text message with the keyword REWARDS to the short code Next, you will receive a text message back with instructions to click on the URL provided and complete the registration form, including uploading a photo of your receipt indicating the purchase(s) on the receipt as well as the date the purchase was made (the Receipt Upload ) (Qualifying Purchase must be completed by December 31, Receipt Upload must be completed by January 15, 2017). Upon validation of your Receipt Upload, you will receive one (1) entry (the Sweepstakes Entry ) into the random drawing and an with instructions to create or log in to your Account to redeem Credit(s) towards Rewards merchandise (as outlined below) (the Reward Redemption ). You will earn credits based on the number of Seagram s products indicated on the Qualifying Purchase receipt (as outlined below). For example, if your Qualifying Purchase receipt indicates that you purchased two (2) Seagram s products (one at 200 milliliters and one at 750 milliliters), you will receive three (3) Credits. Limit: One (1) Sweepstakes Entry/Reward Redemption per Qualifying Purchase. You will receive a thank you text message following receipt of your text message with instructions to click on the URL provided and complete the registration form and upload a photo of your receipt. Then, visit (the Site ) and complete the registration form, including uploading a photo of your Qualifying Purchase receipt indicating the purchase(s) on the receipt as well as the date the purchase was made (the Receipt Upload ) (Qualifying Purchase must be completed by December 31, 2016; Receipt Upload must be completed by January 15, 2017). 4 c) THREE via Mail-In: No Purchase Necessary. To receive a receipt via mail-in without making a purchase (the Participation Receipt ), send a self-addressed, stamped envelope to: Seagram s Loyalty Program and Sweepstakes, PO Box 7730, Melville, NY You will receive a Participation Receipt via mail in approximately two (2) weeks. Then, you must follow the instructions outlined on the Participation Receipt to visit a URL and complete all required registration information, as well as include the code outlined on your Participation Receipt ( Code Redemption ), to receive one (1) Sweepstakes Entry into the random drawing and one (1) Credit toward Reward Redemption. Limit one (1) Reward Redemption per self-addressed stamped envelope. All mail-in Requests for Participation Receipts must be handwritten and mail-in Reward Redemptions must be postmarked by December 31, 2016 and received by January 7, 2017 to be eligible. All mail-in Sweepstakes Entries/Reward Redemptions become the exclusive property of Sponsor and none will be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, illegible, misdirected or postage-due mail-in Sweepstakes Entries/Reward Redemptions, which will be disqualified. All Sweepstakes Entries/Reward Redemptions must be made at the URL/Site by 11:59:59 pm ET on January 31, 2017 (for all Qualified Purchases made by December 31, 2016 and Mail-in Requests postmarked by December 31, 2016). There is a limit of one (1) Sweepstakes Entry/Reward Redemption per person per day, regardless of method of Sweepstakes Entry/Reward Redemption. In the event of a dispute as to the identity of a Member, the Member will be deemed authorized account holder of the account used to enter. Authorized account holder of the mobile account is defined as the natural person who is assigned to the mobile account by an internet service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning addresses. NOTE ABOUT ENTERING THE SWEEPSTAKES VIA TEXT USING A DEVICE: When you use your device and/or transmit data via your device, standard data/text messaging rates may apply according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers' rate plans may vary, and you should contact your wireless carrier for more information on rate plans and charges relating to your participation in this Sweepstakes. Check your device s capabilities for specific instructions. 5. Rewards Merchandise: Specific rewards ( Rewards ) values will be posted on the Site for Members to choose from (as outlined below). Rewards are subject to change, in Sponsor s sole discretion and are subject to availability. Each Member is solely responsible for ensuring that their shipping address is correct in the Sweepstakes records prior to ordering Rewards Merchandise. Sponsor's obligation regarding delivery of Rewards Merchandise is satisfied upon shipment to the address for the Member contained in the Sweepstakes records as of the date of redemption. Sponsor is not responsible for lost or stolen Rewards Merchandise. Members must allow six to eight weeks for fulfillment of Rewards Merchandise. Sponsor reserves the right to stop sending Rewards

5 Merchandise to any Member that it suspects is using the Rewards Merchandise in violation of these Terms, to be determined in its sole discretion. Sweepstakes Drawings: Ten (10) winners (each, a Winner ) will be selected in a random drawing from among all applicable Sweepstakes Entries received during the Sweepstakes Period. The random drawing will be conducted on or about February 6, 2017, by the Administrator, an independent judging organization, whose decisions are final on all matters relating to the Sweepstakes. The odds of winning a Sweepstakes Prize will depend on the number of eligible Sweepstakes Entries received. 7. Sweepstakes Prize and Approximate Retail Value ( ARV ): Sweepstakes Prize (10 total): A Sponsorselected wireless speaker (ARV: $150 each). Limit one (1) Sweepstakes Prize per person/household. The ARV of the prize listed is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules, and the date the prize is awarded. If the actual purchase price of the prize is less than the ARV stated herein, the Winner will NOT be entitled to a check, cash or other form of payment for the price difference. No substitution or transfer of prize permitted except at the sole discretion of the Sponsor. All federal, state and local taxes are the sole responsibility of each Winner. 8. General Rules: Potential Sweepstakes Prize Winners will be required to confirm his/her mailing address prior to prize award. If a potential Sweepstakes Prize Winner is not reachable at the address provided and a forwarding address is not made available or if prize notification is returned as undeliverable, then the Sweepstakes Prize will be forfeited and an alternate Sweepstakes Prize Winner may be selected from among all of the remaining eligible Sweepstakes Entries received, at Sponsor's sole discretion. All taxes related to the Sweepstakes Prize/Rewards are the responsibility of the Winners/Reward recipients. Prizes/Rewards are nontransferable and no substitutions (cash or otherwise) are allowed. Winners, Reward recipients and all Members, as a condition of entry into the Sweepstakes, agree to release and hold harmless Sponsor and its Administrators, each of their respective agencies, parents, subsidiaries, affiliates, prize partners and each of their respective officers, directors, shareholders, members, employees, agents, assigns, and all others associated with the development and execution of the Sweepstakes (collectively the Released Parties ) from and against any and all liability, claims or actions of any

6 kind whatsoever to persons, including death, personal injury, or property damage, due in whole or in part, directly or indirectly, from the acceptance, possession, use, non-use or misuse of the Sweepstakes Prize/Reward or which may be sustained in connection with submitting a Sweepstakes Entry/Request/Earning Credits/Reward Redemption, or otherwise participating in any aspect of the Sweepstakes, the receipt, ownership or use of Prize/Reward awarded or any typographical or other error in these Terms or the announcement or offering of the Prizes/Rewards. Winners/Reward recipients assume all liability for any injury or damage caused, or claimed to be caused by participation in the Sweepstakes or use or redemption of Prize/Reward. Winners/Reward recipients and all Members give permission to use their name, likeness, and Sweepstakes Entry/Reward Redemption for promotional purposes (including any possible public relations opportunities) without further compensation except where prohibited by law. By entering, Member accepts and agrees to be bound by these Terms. Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Sweepstakes; violates the Terms; acts in an unsportsmanlike or disruptive manner; or acts with intent to annoy, abuse, threaten or harass any other person. The Released Parties are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications, late, lost or undeliverable, damaged or stolen mail, whether caused by the sender, by any of the equipment or programming associated with or utilized in the Sweepstakes which may limit the ability to participate, or by any human error which may occur in the processing of Sweepstakes Entries/Credits/Reward Redemptions in the Sweepstakes. Sweepstakes Entries/Credits/Reward Redemptions generated by script or bot are not eligible. Sponsor reserves the right to cancel, terminate or modify the Sweepstakes if it cannot be completed as planned for any reason, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, technical failures or corruption of any sort. In such event, Sponsor will conduct the drawing from all Sweepstakes Entries received prior to cancellation and award all Rewards claimed prior to cancellation as described below. Void in AL, AR, IN, ME, MD, MN, MS, MT, NE, NC, ND, SD, VT, WV, WY and where prohibited by law and subject to all federal, state and local laws. As a condition of entering the Sweepstakes, Member agrees that: 1) under no circumstance will Member be permitted to obtain awards for, and Member hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for out-of-pocket expenses; 2) all causes of action arising out of or connected with the Sweepstakes, or Prize awarded/reward received, shall be resolved individually, without resort to any form of class action; and 3) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, but in no event will Member be entitled to receive attorneys fees or other legal costs. 9. Redeeming Credits for Rewards Merchandise: Subject to Sponsor s rights to add, delete, or otherwise make changes to the Credits structure and the Rewards as more fully expressed in the preceding Section 4, Credits may be redeemed for Rewards Merchandise as posted and, from time to time, updated on the Site at There are limited quantities of specific Rewards Merchandise. See for details on how to redeem Credits. Credits will be subtracted from a Member's account at the time the member redeems their Credits for Rewards Merchandise.

7 Each redeeming Member is solely responsible for ensuring that their shipping address is correct in the Sweepstakes records prior to redemption. Sponsor s obligation regarding delivery of Rewards Merchandise is satisfied upon shipment to the address for the Member contained in the Sweepstakes records as of the date of redemption. Sponsor is not responsible for lost or stolen Rewards Merchandise. Members must allow four to six weeks for shipment of Rewards Merchandise. No cash will be exchanged for the unused portion of any Member's Credits. Once Credits have been redeemed for Rewards Merchandise, they are no longer valid for any subsequent redemption and they may not be returned or refunded to a Member's Account for any reason. The Sweepstakes and all Credits expire no later than 11:59:59 p.m. ET on January 31, Therefore, all Credit Redemption requests must be communicated to Sponsor as required by these Terms by such time. 10. Modification, Termination or Extension of Sweepstakes Terms: (a) Modification to Terms: Membership in the Sweepstakes is offered at the discretion of Sponsor and it reserves in its sole discretion the right to modify the Terms, Credits redemption values, benefits, reward levels, conditions of participation, rules for issuing, redeeming, retaining, using or forfeiting Credits and Rewards and their respective duration or timing, or any other aspect of the Sweepstakes, in whole or in part, at any time, even though such changes may affect the redemption value of the Credits already accumulated. Sponsor will give reasonable advance notice of any modification of the Terms hereof which may adversely impact your Account. Members understand that the most recent version of the Terms will be located at the Seagram s Loyalty Program and Sweepstakes website. A Member's continued use of the Sweepstakes following the posting on the Seagram s Loyalty Program and Sweepstakes website of conspicuous notice of any modification will indicate Member's acceptance of any modification to the Terms hereof. Any Member may object to the modification to the Sweepstakes and/or its Terms by no longer participating. (b) Termination: The Sweepstakes will terminate at 11:59:59 p.m. ET on December 31, 2016, or earlier at the sole discretion of Sponsor. In the event of early termination, Sponsor shall give conspicuous notice at least one (1) month prior to the date that such termination becomes effective, during which time Members may still accrue and redeem Credits, provided however, that you agree that Sponsor shall not be required to give one (1) month notice if such termination is due to the filing of a petition in bankruptcy, an adjudication of bankruptcy, insolvency, an assignment for the benefit of creditors, or any other discontinuance of business. All Credits must be redeemed prior to the effective date of termination. You should not rely upon the continued availability of the Sweepstakes or any Credits accumulated in connection therewith. (c) Extension: Sponsor may, at its sole discretion, extend the Rewards Redemption portion of the Sweepstakes beyond the expiration date set forth above. In the event Sponsor does extend the Sweepstakes, Sponsor shall give conspicuous notice prior to the date that such extension becomes effective. Members who participate in the Sweepstakes after the extension agree to be bound by the Terms then in effect at the time of Sweepstakes extension.

8 11. Governing Law & Venue: The Sweepstakes shall be governed by and interpreted under the laws of the State of New York without regard to its conflicts of law provisions. By entering, Members agree that any and all disputes arising out of or relating in any way to the Sweepstakes shall be litigated only in courts sitting in New York, NY. The New York courts (State and Federal) shall have sole jurisdiction of any controversies regarding the Sweepstakes and the laws of the State of New York shall govern the Sweepstakes. Each Member waives any and all objections to jurisdiction and venue in these courts and hereby submits to the jurisdiction of these courts. 12.
