3 GENERAL CONDITIONS 1. PROPOSALS A. Proposals shall be received by the Business Administrator/Board Secretary or his designee, prior to the time and place designated in these specifications. Proposals will not be accepted after said time. B. Proposals must be sealed and addressed on the outside of the envelope as follows: To: Daniel P. No bid may be withdrawn for a period of sixty (60) days from the date set for the opening. D. SALES TAX The Edison Board of Education is exempt under the provisions of the New Jersey Sales and Use Tax Act and is not required to pay sales tax. Bidder will be expected to comply with the provisions of the Act and rules and regulations promulgated pursuant thereto to qualify them for exemptions with reference to any and all labor, service and materials supplied to, or furnished in connections with the work performed. 2. RESERVATION OF RIGHTS TO BOARD OF EDUCATION The Edison Board of Education reserves the right to waive any informality or to reject any or all proposals if deemed to be in best interest of the Edison Board of Education. 3. INTERPRETATION No oral interpretation will be made to any bidder as to the meaning of the specifications. Should any questions arise as to the true meaning of any item noted on the specifications, Bidder would immediately make a request in writing to Daniel P. Michaud, Business Administrator/Board Secretary, for clarification

4 An interpretation will be promptly made in the form of an Addendum and issued to all Bidders receiving specifications. All such Addenda shall become part of the contract document. No inquiry received within seven (7) days of the bid due date will be given consideration. Failure of a Bidder to receive such interpretation shall not relieve said Bidder of any obligation under his bid as submitted. All companies submitting proposals must be known to be engaged in the work to be performed and must furnish satisfactory testimonials to the effect. 4. EXAMINATION OF CONTRACT DOCUMENTS Bidders shall thoroughly examine and be familiar with the specifications. The failure or omission of any bidder to receive or examine any form or document shall in no way relieve any Bidder from their obligation with respect to this bid. By submitting a bid, the bidder agrees and warrants that he has examined the specifications required in every part of the project and that the specifications are adequate and the required product can be delivered in accordance with the specifications. 5. AUTHORIZATION TO DO BUSINESS IN THE STATE OF NEW JERSEY a. P.L Chapter 238 The Public Works Contractors Registration Act specified that no contractor or subcontractor shall bid on or engage in any contract (or part thereof) for pubic work which is subject to the provisions of the New Jersey Prevailing Wage Act, P.L c.150 (c.34: et seq.) for the construction, reconstruction, demolition, alteration, repair or maintenance of a public building regularly open to and used by the general public or public institution, and includes any subcontractor or lower tier subcontractor unless they are registered with the Commissioner of Labor. For the purpose of the public works contractor registration act, no pumping station, treatment plant or other facility associated with the utility and environmental construction, reconstructions, demolition, alteration, repair or maintenance shall be regarded as a public building open to and used by the general public or public institution. b. P.L. 2004, c.57 State Contract Business Requisition Program (Business Registration Certificate). A copy of the Business Registration Certificate shall be submitted before any purchase order or other contracting document can be issued. Contractors are responsible for notifying subcontractors!! c. Should the successful bidder be a corporation not organized under the laws of the State of New Jersey, the award of Contract and payment of consideration there under shall be conditioned upon said Corporation promptly filing a certificate of doing business in the State of New Jersey and complying with the provisions of the laws of the State of New Jersey in that regard

DISCLOSURE OF POLITICAL CONTRIBUTIONS The contractor is advised of the responsibility to file an annual disclosure statement in political contributions with the New Jersey election law enforcement commission pursuant to N.J.S.A. 19:44A (P.L. 2005, c.271, s.3) if the contractor receives contracts in the aggregate in excess of $50,000 from public entities in a calendar year. It is the contractors responsibility to determine if filing is necessary. Additional information on this requirement is available from ELEC at or at (see form on page 11). 7. GENERAL REQUIREMENTS All requirements shall form part of these specifications and any subsequent contracts and all requirements contained therein shall be binding upon the contractor. 8. AFFIRMATIVE ACTION SUPPLEMENT During the performance of this contract, the contractor agrees as follows: a. The contractor or subcontractor, where applicable, will not discriminate against any employee or applicant for employment because of age, race, creed, color, national origin, ancestry, marital status, sex, affectional or sexual orientation. b. The contractor will take affirmative action to ensure that such applicants are recruited and employed, and that employees are treated during employment, without regard to their age, race, creed, color, national origin, ancestry, marital status, sex, affectional or sexual orientation. The contractor or subcontractor, where applicable, will in all solicitations or advertisements for employees placed by or on behalf of the contractor, state that all qualified applicants will receive consideration for employment without regard to age, race, creed, color, national origin, ancestry, marital status, sex, affectional or sexual orientation

The contractor or subcontractor, where applicable, will send to each labor union or representative of workers with which it has a collective bargaining agreement or other contract or understanding, a notice, to be provided by the Public Agency Compliance office advising the labor union or workers representative of the contractor s commitments under this act and shall post copies of the notice in conspicuous places available to employees and applicants for employment. e. The contractor or subcontractor, where applicable agrees to comply with any regulations promulgated by the Treasurer pursuant to P.L. 1975, c.127 (N.J.A.C. 17:27), as amended and supplemented from time to time and the Americans with Disabilities Act. f. The contractor or subcontractor agrees to attempt in good faith to employ minority and female workers consistent with the applicable county employment goals prescribed by section 5.2 of the Regulations promulgated by the Treasurer pursuant to P.L. 1975, c.127 (N.J.A.C. 17:27), as amended and supplemented from time to time or in accordance with a binding determination of the applicable county employment goals determined by the Affirmative Action Office pursuant to section 5.2 of the Regulations promulgated by the Treasurer pursuant to P.L. 1975, c.127 (N.J.A.C. 17:27), as amended and supplemented from time to time. g. The contractor or subcontractor agrees to inform in writing all recruitment agencies, including employment agencies, placement bureaus, colleges, universities, labor unions, that it does not discriminate on the basis of age, race, creed, color, national origin, ancestry, marital status, sex, affectional or sexual orientation, and that it will discontinue the use of any recruitment agency which engages in direct or indirect discriminatory practices. h. 7 10. AWARD OF CONTRACTS FOR PURCHASE (a) Award, if made, will be to the lowest responsible bidder. The owner reserves the right to reject the bid of any bidder whom in the judgment of the Owner is not in a position to perform the contract. Bidding shall be in conformance with the applicable requirements of the New Jersey Local Public Contract Guidelines. The Contractor must comply with all regulations regarding Prevailing Wages in accordance with N.J.S.A. 34: et seq. (if applicable). Bids must be delivered in person or by a representative of the bidder. Bids mailed must be in the hands of the Business Administrator/Board Secretary by bid opening date and hour, Friday, February 26, 2016 at 10:00 a.m. Board assumes no responsibility for bids not delivered by the due date and will reject all bids received after opening date and time. All bid documents must be attached to bid at the time of opening of the bids. Failure to adhere to bid documents will result in automatic rejection of bids. Bid prices must remain in effect for a period of one (1) year from the date of acceptance of bid. Bids, which are incomplete, conditional, or obscure, will be rejected. Prices submitted should be net -- delivered, uncrated, set in place, etc. Price shall include all charges. Any item that is bid as an equivalent product must have detailed specifications attached to the bid. If through visual inspection or upon review of specifications the Edison Board of Education cannot determine equality, the board shall have the authority to have item(s) tested by an independent certified testing laboratory of the Boards choice. The expense of said testing will be borne by the bidder

8 11. WORKER AND COMMUNITY RIGHT TO KNOW ACT, L.1983, CHAPTER 315, N.J.S.A. 34:SA- 1 ET. SEQ. All vendors who supply products containing chemicals listed on the Workplace Hazardous Substance list shall comply with the following requirements: (a) (b) (c) Provide Material Safety Data Sheets or Hazardous Substance Fact Sheets for each substance listed. These are to be submitted with each shipment. Each product container is to be labeled with the identity of its chemical contents and Chemical Abstract Number (CAS) or Trade Secrets Registry Number (TSRN) with all necessary identification requirements. Provide updated information as it becomes available. 12. BID ITEM CONFORMITY All items bid on must conform to descriptions and specifications. Where a special make of any article is specified, bidder may quote price on an article equally good, in which case the bidder MUST state on the proposal, the quantity, the maker s name, model, catalog and style numbers, and must give all other pertinent information. Substitutes must be specified equivalent product. Failure to change the description as above indicated will be interpreted to mean that the bidder intends to furnish the particular make of article called for in the specification, and the Edison Board of Education will insist upon delivery of the specified item. Substitutions will not be permitted after bids have been opened and accepted by the Edison Board of Education. 13.
