2 Introducing Broker Agreement 1. Parties to this Agreement This Agreement ("Agreement") is between the Introducing Broker (the "IB") and LLC Finex 1970 ("Brokerage company"), The IB is engaged in the business of soliciting Clients ("Clients") for Foreign exchange ("FX") transaction, and desires to introduce the accounts of the Clients to,,tbilisi Traders Club LLC, which will maintain such Client accounts and/or serve as counterparty to trades in such accounts. 2. Purpose of the Agreement This Agreement sets forth the terms and conditions of the contracted relationship between the IB and LLC Finex Pursuant to such contracted relationship, IB will refer prospective, suitable FX Clients to, LLC Finex 1970, if it determines to accept such Clients, will open and maintain FX accounts for such Clients and/or serve as counterparty to trades in such accounts. 3. No Agency, Partnership or Joint Venture It is expressly understood and agreed that neither this agreement nor anything in it shall constitute or be deemed to establish a partnership, agency relationship or joint venture between IB, (or any of its offices, employees or agent) and, LLC Finex 1970 (or any of its offices, employees or agents). Consequently, neither IB nor any of its offices, employees or agents shall hold themselves out to others (including, without limitation, prospective Clients) as having any relationship with, LLC Finex 1970 other than as specifically set forth in this agreement. 4 LLC Finex 1970 Obligations to the IB (I) LLC Finex 1970 will perform its obligations under this agreement in compliance with all applicable laws. (II) LLC Finex 1970 agrees that throughout the term of agreement, it will not solicit or accept any Clients who were introduced to LLC Finex 1970 by the IB pursuant to the terms of this agreement without treating such Client as having been so introduced. (III) Once having accepted a Client account, and subject to its General Terms Agreement with said Client, LLC Finex 1970 will open and maintain an account for said Client and/or execute appropriate FX transactions for said Client; and maintain proper records, of all Client transactions and other activity undertaken on behalf of the Client.

3 (IV),, LLC Finex 1970 will provide the IB with access to such systems as may be necessary to enable the IB to view and/or extract information relating to transactions and other financial data in the Client accounts, provided the Client has taken all requisite action authorizing such access by the IB. (V) LLC Finex 1970 will deal with all cash, securities and other property of a Client as required by applicable law and subject thereto as directed by the Client or the IB, in the event the IB is duly authorized by the Client to issue such directions. LLC Finex 1970 LLC will have no responsibility with respect to cash, securities or other property of a Client held by the IB or any third party or otherwise not within LLC Finex 1970 s care, custody or control. LLC Finex 1970 will inform the IB when it has knowledge that any Client has failed to deposit or maintain proper margin or incurred a deficit balance in any Client account or is otherwise in breach of any obligation to LLC Finex 1970 under the General Terms Agreement. N37, 0107, Tbilisi, Georgia info@hdforex.com Phone: Right to Reject Clients and Terminate Clients Accounts LLC Finex 1970 shall have the right, in its sole discretion, to reject to do business with any proposed Client. In addition, and subject only to the General terms agreement between LLC Finex 1970 and the Client, LLC Finex 1970 may, in its sole discretion, terminate any Client account without prior notice. If,, LLC Finex 1970 rejects a proposed Client account or terminates the account of an existing Client, the IB may introduce or refer said Client to another person or entity for the purpose of opening, and transacting business in, an FX account. 6. IB's Responsibilities (I) IB agrees to make only honest and accurate representations concerning FX trading, LLC Finex 1970 and all other matters in its dealings with potential and existing Clients. In this regard, IB agrees never to hold itself out as an employee, agent or partner of LLC Finex 1970 (II) It is the IB's responsibility to be fully familiar with all available and relevant forms, applications and agreements, as well as with all procedures and practices of LLC Finex 1970,so that IB will be a well-informed source of information to both prospective and existing Clients. (III) IB shall disclose to each and every prospective Client the fact that IB will be compensated by LLC Finex 1970 the Client's referral to LLC Finex 1970

4 (IV) IB is responsible for providing necessary technical and other trading and related support to Clients, and agrees to have adequate personnel dedicated to such tasks as necessary to meet its obligations. 7. IB Compensation (I) LLC Finex 1970 shall compensate IB in accordance with the terms and provisions of Appendix 1 hereof. LLC Finex 1970 will pay IB only with respect to trades done for Client accounts actually introduced to LLC Finex 1970 by IB. (II) IB will have compensation account for which it will receive compensation. (III) The termination of this agreement shall result in the immediate of any and all compensation due to IB under the terms and provisions of this agreement. (IV) LLC Finex 1970 will compensate only IB with respect to the Client accounts. LLC Finex 1970 will not compensate and will not have any relationship with, any agent, employee or affiliate of IB or any party that is involved in any way with IB. 8. Ownership and Proprietary Information and Confidentiality IB has no right to or claim to any of the property or trading or other proprietary information of LLC Finex 1970 acknowledges that any information imparted by LLC Finex 1970 to IB is confidential and has been developed through the expenditure of substantial skill, time, effort and money. IB will not publish, distribute or otherwise make available to third parties and information denied from,, LLC Finex 1970 or relating to any copyright, trademark, trade secret or other intellectual property rights belonging to LLC Finex 1970 without the prior written approve of LLC Finex LLC Finex 1970 Responsibilities (I) LLC Finex 1970 shall be responsible for the administrative functions regarding the opening, maintenance and closing of the FX accounts referred to it by the IB. (II) LLC Finex 1970 will provide the IB's referred accounts with access to its trading platform and other support necessary for the Client to engage in FX trading. (III) LLC Finex 1970 will provide IB with such information as LLC Finex 1970 determines is necessary and appropriate to keep IB informed of the status of the referred accounts.

5 (IV),, LLC Finex 1970 will not exercise any trading discretion over any of the accounts introduced by the IB. Consequently, LLC Finex 1970 will not be responsible for any losses which may be incurred as a result of persons who exercise such trading discretion. 10. Term of this Agreement (I) This agreement shall remain in effect for three (3) years from the date first set forth herein. (II) Either party hereto, by written notice to the other, may terminate this agreement. Such termination shall be effective immediately upon receipt by LLC Finex 1970, in the event of termination by the IB, or upon mailing by LLC Finex 1970, in the event of termination by LLC Finex 1970 (III) In the event of termination by IB, IB shall be entitled to the compensation set forth in this agreement with respect to all FX trading through and including the date of termination. (IV) Upon the termination of this agreement, the parties hereto agree to cooperate with each other with respect to the liquidation and/or transfer of open positions in Client accounts, and the closing or transfer of the Client accounts. 11. Governing Law This agreement, as well as any alleged breach hereof, shall be governed, interpreted, construed and enforced in accordance with the laws in Georgia.
