1 Program Requirements f Service Providers Energy Solutions f Business I. INTRODUCTION BGE is pleased to partner with local Service Providers to promote energy efficiency services to our business customers. Service Providers help raise awareness of our energy efficiency programs infm customers about the opptunities incentives available. Participating Service Providers include contracts, distributs, architects engineers (A&E), energy service companies (ESCOs), other Service Providers who have been trained on the Energy Solutions f Business (ESFB) program who have agreed to follow the program rules processes. If your ganization provides services related to lighting, HVAC equipment systems, commercial refrigeration, commercial plug load, commercial kitchen equipment, building automation systems, / process equipment, BGE offers you an opptunity to submit incentive applications on behalf of your business customers. In der to participate in Energy Solutions f Business by submitting applications through the prescriptive / custom tracks / conducting the installation f a project going through Energy Solutions f Business s prescriptive track, your company must first submit a Service Provider application be approved. II. HOW TO APPLY Go to to submit an online application. Enter all required infmation, including general company infmation contact infmation, Service Provider type (contract, distribut, design/engineering/architectural firm, other), equipment sold / serviced. After you click continue, you will be required to enter license insurance infmation on the next fm. You will then be required to digitally sign the Terms Conditions. Once the application has been submitted, you will need to upload copies of all required licenses the certificate of insurance (see sections III IV f specific requirements). BGE will notify the applicant when the application has been approved the Service Provider is eligible to submit incentive applications / be selected as an installer on prescriptive incentive applications. You cannot save an application as a draft. Once you start, you must complete the application. Do not hit your browser's back button exit out of your Internet browser until you have completed the application; doing so will create an incomplete application in our system. Only one application should be submitted per company. The person filling out the application will be considered the account administrat will be responsible f: Updating contact infmation as necessary Maintaining current license requirements Ensuring company representative attends annual training, if applicable III. LICENSE REQUIREMENTS Service Providers must upload copies of all required licenses to the online Service Provider application. License infmation, including license number, name, company name, expiration date will be entered on the application pri to uploading the licenses. Expired licenses will not be accepted. Service Providers are expected to maintain current licenses update the Service Provider application as necessary. Service Providers will be notified when licenses are nearing their expiration dates will be required to upload the renewed licenses to continue participating in ESFB. 3 IV. INSURANCE REQUIREMENTS Service Providers must upload copies of the required certificate of insurance to the online Service Provider application. Insurance infmation, including name of insurance company, policy number, expiration date will be entered on the application pri to uploading the certificate of insurance. Expired insurance policies any policy within 30 days of expiration will not be accepted. Service Providers are expected to maintain current insurance update the Service Provider application as necessary. Service Providers will be notified when insurance is nearing its expiration date(s) will be required to upload the renewed certificate of insurance to continue participating in Energy Solutions f Business. REQUIREMENTS TO BE LISTED ON THE ENERGY SOLUTIONS FOR BUSINESS SERVICE PROVIDER DIRECTORY (OPTIONAL) A participating Service Provider has the option of being listed on the Energy Solutions f Business Service Provider Directy after meeting certain requirements. To become a listed Service Provider with this program, Service Providers must: Attend a BGE's Energy Solutions f Business - Program Training f Service Providers session within one year pri to the date of this application Successfully complete a minimum of two applications with BGE's Energy Solutions f Business program Receive two positive customer references, to be selected at rom, from two completed applications with BGE's Energy Solutions f Business program Achieve a Service Provider cumulative application rating of Good (8.0 above) To maintain the listing on the directy, the Service Provider must: Attend an annual Energy Solutions f Business training session (within one year from last attended session) Successfully submit complete a minimum of two applications with BGE s Energy Solutions f Business program annually Maintain a Service Provider cumulative application rating of Good (8.0 above) The Service Provider will indicate the company s interest in becoming listed on the Service Provider application will fill out infmation to be displayed on the directy, including general company infmation sales contact infmation. Please note that a listing of a Service Provider does not constitute endsement by BGE. Listed companies are independent contracts / vends BGE does not endse, guarantee, provide warranties, expressed implied, f any particular manufacturer / product, n makes any guarantee of perfmance, quality of wkmanship, / services offered by any vend, contract, other Service Provider classification. 3 of 6 BGE-IC

APPLICATION EVALUATION SYSTEM Each Energy Solutions f Business incentive application will receive a sce based on a variety of facts pertaining to program rules, suppting documentation, technical requirements, accuracy. Cumulative sces will have ratings, resulting in recognition restrictions on participation f each Service Provider company. Please note that rating, criteria, benefits, restrictions on participation can change at any time. 5 VII. TERMS & CONDITIONS 1. BGE provides the list of energy efficient equipment Service Providers f infmational purposes only. BGE makes no warranty of any kind whatsoever, including, without limitation, the warranty of merchantability fitness f purpose. Under no circumstances will BGE be liable f indirect, special, consequential, punitive exemplary damages. 2. Company shall offer provide the services to BGE s customers in accdance with the terms conditions of BGE s Smart Energy Savers Program. 3. Company is not a contract, subcontract agent of BGE. BGE shall have no liability f claims of any kind, whether based on contract, tt (including negligence strict liability) otherwise, f any loss damage sustained incurred by any third party relating to this Service Provider s application the perfmance of services participation by Company in the Programs. Company hereby releases BGE from all liability f such claims. Company shall, to the fullest extent permitted by law, indemnify, defend, hold harmless BGE its affiliates, their respective officers, directs, agents, employers representatives from against any all losses, claims, damages, expenses (including attney s fees costs) liabilities arising out of based upon property damage bodily injury to any person caused by related to the perfmance of the services participation by Company in the programs. 4. Except as otherwise permitted herein, Company shall not refer to BGE any company affiliated with BGE in any advertising other publication in connection with Company s participation in the Programs wk perfmed by Company under the Programs without the pri written approval of BGE. Except as otherwise permitted herein, Company shall not, either directly indirectly, publish disclose any photographs, images, logos, copyrighted trademark protected infmation of BGE its affiliates, use such infmation f the benefit of itself any other person entity without the pri written consent of BGE. 5. Company acknowledges agrees that Company s participation in the Programs is in no way to be construed as an endsement by BGE of Company s wk. 6. Misrepresentation of infmation stated on this application future rebate applications will not be tolerated. Service Providers found to have intentionally misrepresented infmation who have violated the Terms & Conditions will be subject to removal restricted program participation. 7. Eligibility: Incentives are available to industrial, commercial, government institutional electric distribution service Customers f the purchase installation of qualifying energy-savings measures in the BGE service territy. These incentives are available to all customers who pay the Energy Efficiency Charge, f commercial customers, regardless of the retail electric supplier. BGE reserves the right to deny any application that may result in BGE exceeding its program budget. Incentives are offered on a first- come, first-served basis are subject to project Customer eligibility, availability of funds distribution of incentives across the BGE Customer base. Total incentive limits per Cpate tax ID per year f all incentives (prescriptive custom) are limited to $1,000, Approval Verification: Pre-approval is required f all projects. BGE reserves the right to pre-inspect any project pri to pre-approval. No project related energysavings measures may be contracted f, purchased installed pri to the date of BGE s pre-approval. Projects must be completed within the timeframe by the date listed on the pre-approval notification letter, (within 180 calendar days of project pre-approval f retrofit projects (1) one year of pre-approval f new construction projects). All projects that require pre-approval may also preinspection. BGE reserves the right to verify sales transactions to have reasonable access to your facility to inspect the energy-savings measures installed under this initiative, pri to issuing incentives, at a later time. BGE reserves the right, f any reasons, to stop pre-approving energy-savings measures at any time without notice. In particular, BGE is not obligated to pre-approve any application f an incentive that may result in BGE exceeding its program budget. BGE reserves the right to exclude any proposed energy saving measures based on engineering analysis. 9. Proof of Purchase: The application must have complete infmation be submitted with an invoice itemizing the new equipment purchased. The invoice must indicate the date of purchase, the size, type, make, model, serial number, part number / equipment manufacturer specification sheets. The signed acknowledgement must be returned to Business@BGESmartEnergy.com. 10. Compliance: All projects must comply with all federal, state local codes. All equipment must be new. Used rebuilt equipment is not eligible f incentives. Existing equipment must be removed disposed of in a proper legal manner. BGE encourages that equipment is disposed of / recycled in an environmentally friendly manner. Existing equipment must meet specification requirements be purchased operating pri to submitting the application fm. Only one incentive will be granted f each project. Incentives granted to contracts, distributs other market providers cannot also be claimed by enduse Customers. 11. Payment: BGE will authize payment upon the application s review approval should funds be available. The incentive check will be mailed 6 8 weeks after the project s completion payment approval. Incomplete applications will be returned. The Customer may assign the incentive payment to a qualified contract other third party (if allowed). The benefits/payments conferred upon the Customer their designated contract through participation in this program may be taxable by the federal, state local government. The Customer its designated contract is responsible f declaring paying all such taxes. 12. Inspection: BGE staff its representatives may conduct an inspection of the facility to survey the installed projects. 13. Publicity: BGE reserves the right to publicize your participation in this program. 14. BGE/Program Logo: Customers market providers may not use the BGE Program name logo in any marketing, advertising promotional materials without BGE s pri written permission. 15. Disclaimers: BGE does not endse any particular market provider, manufacturer, product, lab system design by offering this program; will not be responsible f any tax liability imposed on a Customer as a result of the payment of incentives; does not expressly implicitly warrant the perfmance of installed equipment contract s quality of wk (contact your contract f detailed warranties); is not responsible f proper legal disposal/recycling of any waste generated as a result of this project; is not liable f any damage caused by the installation of the equipment f any damage caused by the malfunction of the installed equipment. 16. Verification: Any Customer receiving an incentive payment may be contacted by an evaluat to verify service/equipment installation be asked to complete a written, al electronic Customer survey. 17. Application Does Not Entitle Customer to Participate: The program described in this application may be altered, suspended canceled by BGE at any time without pri notice. Under such circumstances, the Customer is not entitled to any program benefits in excess of those approved pri to such action by BGE. Submission of a completed application does not entitle the Customer to program participation guarantee payment. Entitlement to program participation can only occur after BGE has a signed copy of reviewed the application granted pre-approval if required by BGE. 18. Removal of Equipment: The Customer agrees, as a condition of participation in the program, to remove dispose of the equipment being replaced by the energy savings measures in accdance with all legal requirements. The Customer agrees to not install any of the removed equipment in the BGE service territy. The customer is eligible f additional incentives after the replaced retrofitted equipment has been installed f a minimum of 2 years. 19. Evaluation Follow-up Visits: The Customer agrees, f a period of three (3) years after the final incentive payment, to allow BGE its assigned contract to conduct on-site inspections to verify that the qualified measures higher efficiency equipment is installed to conduct other measurement verification activities to assess the amount of energy savings achieved. Such activities may require the installation of energy moniting equipment. 20. Changes to the Program: BGE may change the program the Terms & Conditions at any time without notice. Pre-approved applications, however, will be processed to completion under the Terms & Conditions in effect at the time of the pre-approval by BGE. Notwithsting the fegoing, BGE reserves the right to delay deny payments to pre-approved applications if it may result in exceeding the program budget. 21. No Warranties: BGE does not endse, guarantee warrant any particular manufacturer product, BGE provides no warranties, expressed implied, f any products services. The Customer s reliance on warranties is limited to any warranties that may arise from, be provided by contracts, vends, etc. The Customer acknowledges that neither BGE n any of its consultants are responsible f assuring the design, engineering construction of the Facility, that the installation of the energy-savings measures is proper complies with any particular laws (including patent laws), codes industry stards. BGE DOES NOT MAKE ANY REPRESENTATIONS OF ANY KIND REGARDING THE RESULTS TO BE ACHIEVED BY THE ENERGY-SAVINGS MEASURES OR THE ADEQUACY OR SAFETY OF SUCH MEASURES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 5 of 6 BGE-IC

6 VII. TERMS & CONDITIONS continued 22. Limitation of Liability: BGE s sole liability is limited to paying the properly qualified rebates specified herein. Neither BGE n any of its affiliates shall be liable to the Customer any other party f any indirect, consequential incidental damages, regardless of the they of recovery, caused by arising from any activities associated with this program. 23. Vend Selection: BGE acknowledges that the Customer may select any vend contract to perfm the wk contemplated by this Application, even after the Application is submitted f pre-approval by BGE. Notwithsting the fegoing, the Customer, vend / contract acknowledges that BGE has the right to restrict prohibit specific vends contracts from program participation based on not meeting a minimum designated Service Provider Evaluation rating, demonstrated instances of unsatisfacty quality of wkmanship, customer service-related matters, any other reason deemed necessary by BGE. BGE reserves the right to request be provided with any all current applicable business licenses / construction permits as required by the state of Maryl its counties as well as a Certificate of Insurance (COI) with designated minimum coverage amounts as required by BGE from any party directly indirectly suppting the BGE Customer s participation.in this application. Expired licenses, Certificates of Insurance (COI), / permits will not be accepted. Failure to provide BGE with this request may result in cancellation of this application denial of incentives. 24. Obligations Between the Parties: Customer acknowledges that any contract selected by the Customer is not an agent, contract subcontract of BGE. BGE shall have no obligation to maintain, remove perfm any wk whatsoever on the energy-savings measures installed. BGE shall have no liability f contract s failure to perfm, f failure of the energy-savings measures to function, f any damage to the Customer s premises caused by the contract f any all damages to property injuries to persons caused by the energy-savings measures. 25. Energy Benefits: BGE is entitled to 100% of the energy benefits associated with the energy-savings measures, excluding the value of energy cost savings realized by the Customer, but including all rights to all associated PJM Energy, Capacity Reserves Products, the Customer agrees to provide BGE with such further documentation as BGE may request to confirm its ownership of such benefits products. 26. Customer s Certification: Customer certifies that he/she has purchased installed the equipment listed above at the defined location. Customer agrees that all infmation is true that he/she has confmed to all program equipment requirements listed. Customer has verified that the units listed above have been installed crectly. Customer Customer s representative has been instructed on how to operate maintain this equipment has received all necessary operation maintenance manuals. 27. Without limiting the scope extent of the protection affded BGE ICF, the liabilities assumed by Applicant herein, Applicant shall maintain f itself in full fce f the entire life of this Agreement the following insurance as described in (A), (B), (C), (D), (E) name BGE ICF, their subsidiaries, affiliates, officers, directs, employees, agents as insured in terms of (B) on a primary noncontributy basis include a severability of interest provision: A) Wker s Compensation insurance with statuty limits employer s liability insurance with limits of $1,000,000 per occurrence. B) Commercial General Liability insurance on the premises Services covered by this Agreement specifically including, without limitation, contractual liability insurance to cover liability assumed by Applicant with combined single limits, of not less than $1,000,000 f bodily injury, including death, property damage per Occurrence $4,000,000 in the aggregate. C) Excess Umbrella Liability insurance of not less than $1,000,000 each Occurrence OR Commercial General Liability in an amount not less than $2,000,000 per Occurrence. D) Comprehensive Auto Liability insurance which has minimum combined single digits f bodily injury property damage of $1,000,000 per accident. The Comprehensive Auto Liability policy shall include owned blanket nonowned hired coverage. Professional Liability, Errs, Omissions insurance required f Engineering/Design/Architectural firms in an amount not less than $1,000,000 per Occurrence. 28. Applicant shall require their insurance carriers, with respect to all insurance policies, to waive all rights of subrogation against BGE, affiliates, officers, directs, employees, agents contracts, Applicant shall indemnify the above persons entities against any loss expense, including reasonable attneys fees, resulting from the failure to obtain such waiver. 29. Applicant shall, befe the commencement of any Services, furnish BGE with a certificate of insurance (COI) from an insurance carrier licensed in the state of Maryl ensure any subcontracts provide the insurance listed above that such policies are in fce. All such certificates shall state that the insurance carrier Service Provider will give BGE 30 days pri written notice (by first class mail) of any cancellation material change in such policies, addressed to BGE Smart Energy Savers Program, C/O ICF 7125 Thomas Edison Drive, Columbia, MD This program suppts the EmPOWER Maryl Energy Efficiency Act 6 of 6 BGE-IC
