4 The Austin Energy Load Cooperative Program ( Program ) is a voluntary program in which qualifying commercial customers can help Austin Energy reduce overall system load during peak demand periods. Participating customers that reduce their energy usage during Curtailment Events earn an incentive of $1.45 per kwh curtailed, up to $58,000 annually. Simple curtailment activities used by businesses in the program include turning off non-essential lighting, signage and decorative features, pre-cooling or cycling refrigeration and HVAC systems, as well as delaying non-essential production. The program runs from June 1 through September 30 each year, and Austin Energy anticipates approximately 15 Curtailment Events lasting 2-3 hours each between the hours of 4:00PM and 8:00PM. Participants are given at least one-hour notice before each Curtailment Event. To participate, customers must complete the attached Austin Energy Load Cooperative Program Enrollment Form. 1. Definitions Curtailment Season means June 1 September 30 excluding Independence Day and Labor Day. Curtailment Event means a request by Austin Energy for participating customers to curtail loads. A Curtailment Event may take place between 4:00PM and 8:00PM on weekdays and will not exceed 3 hours. 2. Eligible Customers In order to be eligible to participate in the Program, customers must have a curtailable load of 20 kw or greater and may not be enrolled in ERCOT s Emergency Response Service for participation from 4:00PM to 8:00PM in the Curtailment Season. Customers with multiple sites can aggregate to meet the 20 kw curtailable load requirement. 3. Energy Profiler Online Participating customers will receive free online access to Energy Profiler Online ( EPO ) Basic for single meters or Load Profiler Standard for multiple meters while enrolled in the Program. EPO allows customers to monitor their daily energy usage over the internet through a secure website. 4. Metering Equipment All participating customer sites must be served by Interval Data Recorder (IDR) meters that can be remotely monitored by Austin Energy. If a customer facility requires installation of an IDR meter to participate in the Program, Austin Energy will install the necessary equipment at no cost to the customer. Austin Energy may remove the IDR meters if the customer leaves the Program or if the Program is discontinued by Austin Energy. Page 1 of 2

5 5. Curtailment Event Notification Participating customers are given at least one-hour notice before each Curtailment Event. Notification will be provided in the form of an and/or cell telephone to the customer contacts indicated in the Austin Energy. 6. Incentive Payments Austin Energy will pay participating customers an incentive payment rate of $1.45/kWh for reduced kwh up to a maximum aggregate incentive payment of $58,000 per fiscal year. Incentives will be paid by check or by a credit on the customer s Austin Energy electric bill, depending on the selection made on the Austin Energy Load Cooperative Enrollment Form. Incentives must exceed $ to be eligible for a payment or credit to be made. An incentive payment will be paid as one lump sum at the end of the Curtailment Season. 7. Enrollment Termination Customers may terminate their enrollment at any time. Austin Energy may terminate a customer s enrollment for a lack of participation or if the Program is discontinued. 8. Start-up and Optional Testing If necessary, customers will participate in testing of the curtailment notification system prior to the start of the actual Program operation. Customers will not receive incentive payments for testing. 9. Standby Generators Standby or emergency generators shall not be used to offset load. Only load reductions qualify for incentive. 10. Limitation of Liability Austin Energy will not be liable for any indirect, special, incidental, punitive, or consequential damages, including but not limited to business interruption, loss of profits, or expenses incurred arising out of the customer s curtailment of electric usage. 11. Environmental Attributes and Credits Participants assign all rights to environmental attributes and credits resulting from energy savings to Austin Energy. This includes renewable energy and carbon offset credits. Page 2 of 2
