1 Become an Instructor NJRA RTI is seeking instructors for the following course: Microsoft Excel Based Project Finance Trainer is to provide classroom instruction on one or all three levels of Excel Based Project Finance Beginners, Intermediate and Advanced The curriculum should include the following subject matter, but not necessarily in the training structure outlined: Review financial and lenders terminology and discuss the types of financing available for real estate development projects (Commercial, Mixed-Use, Retail, Office, Industrial, etc.) Develop project financials, assumptions and modeling using Microsoft Excel Review rules of thumb for estimating development soft costs and annual operating expenses Determine debt capacity and calculate loan payments and underwriting ratios using Microsoft Excel Perform financial and sensitivity analysis based on different project scenarios Assess projects using underwriting ratios and other factors used by lenders to analyze projects Review conditions of project loan applications and required documents and discuss negotiable loan terms and conditions Examine the different approaches to real estate appraisals, assumptions listed in an appraisal report, and appraisal impact of real estate project modeling Discuss risks and strategies to minimize project loan risks Examine and apply various options used to close financing gaps and improve project feasibility Discuss how taxes, abatements and tax credits impact real estate transactions Request for Qualifications (RFQ) All potential consultants are required to complete a Request for Qualification (RFQ) application. The NJRA Redevelopment Training Institute uses the Request for Qualifications (RFQ) process to maintain a database of qualified instructors who are capable of teaching our required courses. The RFQ process is on a rolling basis and interested parties may submit at any time. NJRA RTI generally employs two types of instructors: (1) those who apply as individuals and (2) those who apply as members of an organization. Individual applicants need to complete Part II of the Request for Qualifications (RFQ), attach an updated resume and provide a one paragraph biographical sketch. Those applicants, who are from an organization, need to submit the same documents and have a Principal from their organization fill out Part I of the Request for Qualifications (RFQ). 1

2 Instructors are selected in accordance with the NJRA RTI s equal employment opportunity goals for diversity and fairness. Based on qualifications and experience, applicants are added to the pool of eligible instructors. Candidates are selected from the general pool. General Requirements Potential instructors must fill out the RFQ application form and submit it for review. If accepted a Letter of Agreement (LOA) will then be drafted for signature by both parties. Once these steps are completed the prospective trainer will then be added to the Instructor Database for consideration. Letters of Agreement are effective for a period of three years. Specific services, dates and times of instruction, fees and expenses will be set forth in a subsequent contract, (the Training Assignment) executed by the Executive Director or other individual with delegated authority who will also approve the invoices submitted by the contractor/consultant. You must also provide a copy of your current Business Registration Certificate (BRC). Executive Order 134 In order to safeguard the integrity of Authority procurement by imposing restrictions to insulate the award of Authority contracts from political contributions that pose the risk of improper influence, purchase of access, or the appearance thereof, Executive Order 134 was signed on September 22, 2004 ( EO 134 ) pursuant to the requirements of EO 134, the terms and conditions set forth in this section are material terms of any contract resulting from this Request for Qualifications (RFQ). For the purpose of this section, the following shall be defined as follows: Contribution means a contribution reportable as a recipient under The New Jersey Campaign Contributions and Expenditures Reporting Act. P.L. 1973, c.83 (C.10:44A-1, et. seq.), and implementing regulations set forth at N.J.A.C. 19:25-7 and N.J.A.C. 19: , et. seq. Currently contributions in excess of $300 during a reporting period are deemed reportable under these laws. Business Entity means any natural or legal person, business corporation, professional services corporation, limited liability company, partnership, limited partnership, business trust, 2

3 association or any other legal commercial entity organized under the laws of New Jersey or and other state of foreign jurisdiction. It also includes (i) all principals who own or control more than 10% of the business entity that is a corporation for profit, as appropriate; (ii) any subsidiaries directly or indirectly controlled by the business entity; (iii) any political organization organized under 26 U.S.C.A. 527 that are directly or indirectly controlled by the business entity, other than a candidate committee, election fund, or political party committee; and (iv) if a business entity is a natural person, that person s spouse or child, residing herewith. Breach of Terms of Executive Order 134 Deemed Breach of Contract It shall be a breach of the terms of the contract for the Business Entity to (i) make or solicit a contribution in violation of this Order; (ii) knowingly conceal or misrepresent a contribution given or received; (iii) make or solicit contributions through intermediaries for the purpose of concealing or misrepresenting the source of the contribution; (iv) make or solicit any contribution on the condition or with the agreement that it will be contributed to a campaign committee or any candidate or holder of the public office of Governor, or to any State or county party committee; (v) engage or employ a lobbyist or consultant with the intent or understanding that such lobbyist or consultant would make or solicit and contribution, which if made or solicited by the business entity itself, would subject the entity to the restrictions of EO 134; (vi) fund contributions by third parties, including consultants, attorneys, family members and employees; (vii) engage in any exchange of contributions to circumvent the intent of EO 134; or (viii) directly or indirectly, through or by and other person or means, commit and act which would subject that entity to the restrictions of EO 134. Certification and Disclosure Requirements The Authority shall not enter into a contract to procure from any Business Entity services or any material, supplies or equipment, where the value of the transaction exceeds $17,500, if the Business Entity has solicited or made any contribution of money, or pledge of contribution, including in-kind contribution to a candidate committee and/or election fund of any State or county political party committee during certain specified time periods. Additionally, prior to awarding any contract or agreement to any Business Entity, the Business Entity proposed as the intended awardees of the contract shall report all contributions made during the preceding four years to any political organization organized under 26 U.S.C. 527 of the Internal Revenue Code that also meets the definition of a continuing political committee within the means of N.J.S.A. 19:44A-3(n) and N.J.A.C. 19: Accordingly, the Business Entity shall submit with its qualifications the Executive Order 134 Certification and Disclosure form attached hereto. A separate Certification and Disclosure is required for each person and/or organization defined as a Business Entity. Please note that more than one Certification and Disclosure may be required from your firm. Failure to submit the Certification and Disclosure(s) may be cause for rejection of the RFQ. 3

4 Further, the Contractor is required, on a continuing basis, to report any contributions it makes during the term of the contract, and any extension(s) thereof, at the time any such contribution is made. A copy of the Continuing Disclosure of Political Contributions is attached hereto. State Treasurer Review The State Treasurer or his/her designee shall review the Disclosure submitted pursuant to this section, as well as any other pertinent information concerning the contributions or reports thereof by the intended awardees, prior to award, or during the term of the contract, by the contractor. If the State Treasurer determines that any contribution or action by the contractor constitutes a breach of contract that poses a conflict of interest in the awarding of the contract under this solicitation, the State Treasurer shall disqualify the Business Entity from award of such contract. Executive Order No. 117, is designed to enhance New Jersey s efforts to protect the integrity of government contractual decisions and increase the public s confidence in government. The Executive Order builds on the provisions of P.L. 2005, c. 51 ( Chapter 51 ), which limits contributions to certain political candidates and committees by for-profit business entities that are, or seek to become, State government vendors. Executive Order No. 117 extends the provisions of Chapter 51 in two ways: The definition of business entity is revised and expanded so that contributions by the following individuals also are considered contributions attributable to the business entity: Officers of corporations and professional services corporations, with the term officer being defined in the same manner as in the regulations of the Election Law Enforcement Commission regarding vendor disclosure requirements (N.J.A.C. 19: ), with the exception of officers of non-profit entities; Partners of general partnerships, limited partnerships, and limited liability partnerships and members of limited liability companies (LLCs), with the term partner being defined in the same manner as in the regulations of the Election Law Enforcement Commission regarding vendor disclosure requirements (N.J.A.C. 19: ); and Spouses, civil union partners, and resident children of officers, partners, LLC members and persons owning or controlling 10% or more of a corporation s stock are included within the new definition, except for contributions by spouses, civil union partners, or resident children to a candidate for whom the contributor is eligible to vote or to a political party committee within whose jurisdiction the contributor resides. Reportable contributions (those over $ in the aggregate) to legislative leadership committees, municipal political party committees, and candidate committees or election funds for Lieutenant Governor are disqualifying contributions in the same manner as reportable 4

5 contributions to State and county political party committees and candidate committees or election funds for Governor have been disqualifying contributions under Chapter 51. Executive Order No. 117 applies only to contributions made on or after November 15, 2008, and to contracts executed on or after November 15, Evaluation Process: Proposals will be reviewed in light of the major criteria below, which are not listed in any particular order of importance: Experience and capability of the firm or individual to provide the services required.
