1 REQUEST FOR PROPOSALS Security Contractor Mission Bay Open Space System MJM Management Group ( MJM ), acting on behalf of the Office of Community Investment and Infrastructure (the Successor Agency to the Redevelopment Agency of the City and County of San Francisco) (the "Agency") is seeking proposals from qualified security firms ( Contractor.) This Request for Proposals ( RFP ) describes Mission Bay Open Space System, the services to be provided by the selected Contractor, and the process for Contractor selection. PROJECT DESCRIPTION Mission Bay, a former rail yard, industrial site and shipyard, is a 303-acre multi-use project under development along San Francisco s western waterfront. Today, it is home to the University of California, San Francisco (UCSF) research campus, biotech and other major companies, neighborhood serving retail, residential housing (market rate, condominiums, affordable and senior housing) and parkland. AT&T Park, home of the San Francisco Giants, sits nearby to Mission Creek, which is lined with houseboats. Its first parks opened in 2004 and over 12 acres of parks are developed currently. When completed, the project will include 41 acres of public open space, including parks along Mission Creek, the bay frontage and eight acres within the UCSF campus. Today s parkland includes landscaped gardens and open space that incorporate walkways, bicycle paths, formal seating areas, basketball, tennis and volleyball courts, a public kayak pier, and gated dog play area. Some of these places coexist along shoreline and wetland areas. Mission Bay, a project started by the San Francisco Redevelopment Agency, and continued by the Office of the City Administrator, is the City s newest neighborhood and business center that continues to evolve today. 2 RFP Due Date Tuesday, June 13, 2017 at 2:00 pm Interviews Week of June 19, 2017 Selection Announced Wednesday, June 28, 2017 General procedures for the Proposals A pre-submittal meeting will be held at Mission Creek Pavilion on Wednesday, May 31, The meeting will include an overview of RFP and provide an opportunity to ask questions. Although attendance is not mandatory, it is highly recommended. All questions and requests for additional information regarding this RFP must be received in writing by MJM by on or before the date and time as shown above. All addendums, responses and additional information will be distributed to all registered RFP holders. MJM reserves the sole right to determine the timing and content of the response, if any, to all questions and requests for additional information. Questions and information requests should be directed to the Site Manager, at chickey@missionbayparks.org. Although it is not necessary to register to receive a copy of the RFP or to submit a Proposal, it is strongly recommended as it will permit MJM to mail addenda information and respond to inquiries. Only registered RFP-holders will receive responses to all written questions, addendums and any additional information distributed prior to the Proposals submission date. Please note written questions, addendums, and any additional information about this solicitation will be posted on the Agency s website ( Proposals should be submitted electronically in PDF file format to chickey@missionbayparks.org All bids must be received by MJM by 2:00 PM on Tuesday, June 13, 2017 CONTRACT STRUCTURE MJM will enter into a Personal Services Contract ( Contract ) Attachment # 12 with the selected Contractor for a term ending on June 30, The selected Contractor will begin providing the services described in this RFQ on August 1, MJM will have the right to terminate the Contract with or without cause, upon proper notice. SCOPE OF SERVICES The Scope of Services, general requirements and work to be done are detailed in Attachment #1, Scope of Services. Page 2 of 10

3 MINIMUM QUALIFICATIONS Contractor shall have the following qualifications: 1. Contractor shall possess and maintain a valid private security services license from the Department of Consumer Affairs, Bureau of Security and Investigative Services. Contractor shall have been continuously providing security services similar to that specified herein for a minimum of five years, and shall have worked on at least five projects of this type and scope. 2. Contractor shall have previous experience in working in similar public outdoor spaces. 3. Contractor shall have previous experience in providing event security. 4. Contractor shall be a professional, bonded security contractor at time of proposal and continuously throughout the term of the Contract. 5. All security officers must be licensed by the California State Bureau of Security and Investigative Services. 6. Contractor shall secure insurance and provide performance and payment bonds as stipulated in Agency s policies, found below. SELECTION CRITERIA MJM will make the selection of the Contractor based on the following factors: 1. Experience, qualifications, and approach of the Contractor in providing security services in similar public outdoor areas. 2. Ability and experience interacting courteously and professionally with the public. 3. Demonstrated ability to work effectively with diverse populations; 4. Ability to comply with the Agency s policies, including but not limited to nondiscrimination, equal benefits, minimum compensation, healthcare accountability, small business enterprise requirements, and insurance; 5. Ability to satisfy the insurance and indemnification requirements; 6. Approach and plan to providing the services described in the Scope of Services; and 7. Reasonableness of hourly rates. SUBMISSION OF PROPOSALS Proposals must contain all of the following information: 1. A description of qualifications and any areas of specialty and professional capabilities. Page 3 of 10

4 2. A brief written description of the contractor s operation including facilities, financial capabilities, and experience of key personnel. 3. A list of current and recent clients, including dates services were provided, as well as a more detailed description of up to three contracts completed or in progress that are most relevant to the services to be provided pursuant to this RFQ. Please specify the role of the firm and include reference information including locations, client names and titles, addresses, phone numbers, and type of client/organization. MJM will contact references. 4. A description of the proposed management and staffing structure for the Gardens. Identify key staff and their responsibilities. Include key staff resumes including any relevant professional designations, licenses, qualifications, and experience. 5. Proposed approach to and plan for providing the Scope of Services (Attachment # 1). 6. Proposed hourly rates (regular, overtime and holiday rates) to fully perform the Scope of Services. 7. A signed Small Business Enterprise Agreement (Attachment #2). 8. A signed Declaration of Nondiscrimination in Contracts and Benefits (Attachment #3). 9. A signed Minimum Compensation Policy Declaration (Attachment #4). 10. A signed Health Care Accountability Declaration (Attachment #5). 11. Complete responses to all Disclosure Questions (Attachment #6). 12. A signed Statement of Compliance with Agency Policies & Certification of Applicant (Attachment #10) AGREEMENT TO COMPLY WITH AGENCY POLICIES Each Contractor shall acknowledge receipt and understanding of the following Agency s contracting requirements and policies and state its ability and willingness to comply with each of them: A. Small Business Enterprise Program The Agency has adopted a Small Business Enterprise ( SBE ) Program which establishes a 50% SBE participation goal for professional, personal services, and construction contracts. MJM will consider whether a firm is an SBE when evaluating proposals for this project. Meanwhile, Contractors on OCII projects should make a good faith effort to award 50% of all subcontracts to bonafide SBEs. An SBE must be certified and accepted by the Agency in order to count the SBE s participation towards the goal. OCII no longer directly certifies SBE s however OCII will honor firms certified with the City and County of San Francisco as a Local Disadvantaged Business Enterprises (LBEs) that are consistent with the SBE certification standards. Additionally, OCII will accept the information on documented small Page 4 of 10

5 economically disadvantages businesses (SBE, MBE and WBE) certifications from the following jurisdictions: State of California--Small Business Enterprises (SBE) Federal and any other local jurisdiction. In order to be recognized as an economically disadvantaged SBE, the business must have an average gross receipt income based on the three most recent tax returns that does not exceed $10 Million Dollars for General Services Contractors. OCII will make the final determination on the consistency of the certification standards and acceptance or denial of certifications listed above. In addition, Contractor s attention is directed to the First Consideration provision of the SBE Program which provides first consideration in awarding contracts in the following order: (1) Project Area SBEs, (2) Local SBEs (outside an Agency project or survey area, but within San Francisco), and (3) all other SBEs (outside of San Francisco). Non-local SBEs should be used to satisfy participation goals only if Project Area SBEs or Local SBEs are not available, qualified, or if their proposals or fees are significantly higher than those of non-local SBEs. (See SBE Agreement, Attachment #2). Further information on the criteria for determining eligibility is located in Attachment #2. Contractor s Duty of Loyalty Contractor for itself and its subcontractors, if any, agrees to abide by the Agency s duty of loyalty, which appears at Section IX.H. (Prohibited Activities of Present and Former Employees, Commissioners and Consultants) of the Agency s Personnel Policy and which states in part the following: Unless approved in advance in writing by the Agency, no present or former employee, Commissioner or consultant of the Agency shall knowingly act for anyone other than the Agency in connection with any particular matter in which the Agency is a party, or has a direct and substantial interest, and in which he or she participated personally and substantially as an Agency employee, Commissioner or consultant whether through decisions, recommendations, advice, investigation or otherwise. Violation of this section by a present employee, consultant or Commissioner may, in the case of an employee or consultant, be grounds for discharge or termination of the consultant contract, and in the case of a Commissioner, be considered misconduct in office pursuant of California Health and Safety Code Section C. Limitations on Contributions Through execution of this Agreement, Contractor acknowledges that it is familiar with section of the San Francisco Campaign and Governmental Conduct Code, which prohibits any person who contracts with the Agency for the rendition of personal services, for the furnishing of any material, supplies or equipment, for the sale or lease of any land or building, or for a grant, loan or loan guarantee, from making any campaign contribution to (1) the Mayor or members of the Board of Supervisors, (2) a candidate for Mayor or Board of Supervisors, or (3) a committee controlled by such office holder or candidate, at any time from the commencement of negotiations for the contract until the later of either the termination of negotiations for such contract or six months after the date the contract is approved. Contractor acknowledges that the foregoing restriction applies only if the contract or a combination or series of contracts approved by the same individual or board in a fiscal year have a total anticipated or actual value of $50,000 or more. Contractor further acknowledges that the prohibition on contributions applies to each prospective party to the contract; each member of Page 5 of 10

6 Contractor s board of directors; Contractor's chairperson, chief executive officer, chief financial officer and chief operating officer; any person with an ownership interest of more than 20 percent in Contractor; any subcontractor listed in the proposal or contract; and any committee that is sponsored or controlled by Contractor. Additionally, Contractor acknowledges that Contractor must inform each of the persons described in the preceding sentence of the prohibitions contained in section Finally, Contractor agrees to provide to the Agency the names of each member of Contractor's board of directors; Contractor's chairperson, chief executive officer, chief financial officer and chief operating officer; any person with an ownership interest of more than 20 percent in Contractor; any subcontractor listed in the proposal or contract; and any committee that is sponsored or controlled by Contractor. D. Nondiscrimination in Contracts and Benefits The Agency has established a policy prohibiting discrimination in contracting, which includes a prohibition on discrimination in providing benefits between employees with spouses and employees with domestic partners. Contractors shall complete Attachment #3. Entities that have received certification from the San Francisco Contract Monitoring Division (formerly Human Rights Commission) regarding their compliance with the Equal Benefits Ordinance of the City and County of San Francisco will be deemed in compliance with the Agency s policy. For further information, see instructions contained in Attachment #3 or contact the Agency s Contract Compliance Department at E. Minimum Compensation Policy and Health Care Accountability Policy The Agency has adopted a Minimum Compensation Policy ( MCP ) for all contractors under personal services contracts that require the payment of a minimum level of compensation to employees (Attachment #4). Moreover, Contractor agrees that any employees performing work or services for Contractor may be subject to local laws governing prevailing wage rates, hours and working conditions, and benefits applicable to similar work or services performed in San Francisco. For guidance on labor standards specific to the City and County of San Francisco, Contractor should seek direction from the San Francisco Office of Labor Standards and Enforcement(OLSE). Contractor further agrees that the inclusion of the above provision shall not be construed to relieve Contractor or any subcontractor from the pertinent requirements of any applicable Federal labor standards provision. Where minimum rates of pay required under State or local law are higher than the minimum rates of pay required by or set forth in applicable Federal labor standards, said State or local minimum rates shall be the applicable minimum rates of pay for such classifications. In addition, Contractor shall comply with the Health Care Accountability Policy ( HCAP ) which requires that contractors offer certain health plan benefits to their employees or participate in a health benefits program developed by the City s Department of Public Health, or make a payment in lieu of such benefits to the City s Department of Public Health (Attachment #5). 7 Contractors shall either submit a completed MCP Declaration Form and HCAP Declaration Form or state its intent to comply with these Agency policies. F. Insurance The selected Contractor must procure and maintain insurance against claims for injuries to persons or damages to property, which may arise from or in connection with the performance of the work under the contract by the contractor, its agents, representatives, employees or subcontractors. Unless otherwise approved by MJM or the Agency, the selected Contractor must maintain insurance with an insurance company that has an A.M. Best rating of A: VII with the following coverage s and limits: General Liability: $2,000,000 per occurrence; Automobile Liability: $1,000,000 per accident for bodily injury and property damage; Workers' Compensation and Employers Liability: Workers' Compensation limits as required by the State of California and Employer's Liability limits of $1,000,000 for bodily injury by accident and $1,000,000 per person and in the annual aggregate for bodily injury by disease. (Required only if Contractor has employees); Professional Liability: $1,000,000 per occurrence; and the insurance requirements may be modified by the Agency s Risk Manager in his/her sole discretion. G. Indemnity The selected Contractor shall defend, hold harmless and indemnify MJM Management Group, the Agency, the City and County of San Francisco and their respective commissioners, members, officers, agents and employees from and against all claims, loss, damage, injury, actions, causes of action and liability of every kind, nature and description directly or indirectly arising out of or connected with the performance of the Agency contract and any of the contractor's operations or activities related thereto, excluding the willful misconduct or the gross negligence of the person or entity seeking to be defended, indemnified or held harmless. H. Disclosure Questions Each consultant shall Complete Attachment #6, Disclosure Questions, and submit the completed form as part of its Statement of Qualifications. The selected Contractor shall certify under penalty of perjury under the laws of the State of California that all the information provided in the submittal is true and correct (Attachment #10). 8 A. Equal Employment Opportunity In connection with the performance of the contract, the Contractor shall not discriminate against any employee or an applicant for employment because of race, color, religion, national origin, ancestry, sex, gender, sexual orientation, age (over 40), marital status, pregnancy, medical condition, or disability as specified in federal, State and local laws. The Contractor shall take affirmative action to ensure that applicants are employed, and that employees are treated during their employment, without regard to the above factors. Such actions shall include but not be limited to the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay; other forms of compensation; and selection for training, including apprenticeship. The Contractor shall comply with Executive Order 11246, entitled "Equal Employment Opportunity," as amended by Executive Order 11375, and as supplemented in Department of Labor regulations (41 CFR Part 60). B. Personal Services Contract The selected Contractor will be required to enter into a Personal Services Contract with MJM using MJM s Form Services Contract (Attachment #11). The contractor will be required to comply with all of the provisions of the personal services contract, including, but not limited to, the Agency s policies and provisions regarding indemnification, insurance, small business enterprise requirements, and nondiscrimination in employee benefits and hiring, prevailing wage provisions, permanent workforce agreement and construction workforce agreement. C. Contractor Expenses Applicants responding to this RFP do so at their own expense. MJM will not consider any contractor costs related to this RFP or to negotiating a Personal Services Contract as reimbursable or as eligible costs under the contract. D. MJM Right to Modify or Suspend RFP MJM reserves the right at any time and from time to time, and for its own convenience, in its sole and absolute discretion, to modify or suspend any and all aspects of the selection process, including, but not limited to this RFP, and all or any portion of the contractor selection process in or subsequent to the RFQ; to obtain further information from any contractor, to waive any defects as to form or content of the RFP or any other step in the selection process; to reject any and all responses submitted; to reissue the RFP; procure the desired services by any other means or not proceed in procuring the services; to negotiate with any, all, or none of the respondents to this RFP as to fees, scope of services, or any other aspect of the RFP or services; to negotiate and modify any and all terms of an agreement; and to accept or reject any applicant for entry into a Personal Services Contract. E. Claims Against MJM and the Agency Each applicant by responding to this RFP, waives any claim, liability or expense whatsoever against MJM, the Agency, and its respective officers, commissioners, employees and agents, by reason of any or all of the following: any aspect of this RFP, the selection process or any part thereof; any informalities or Page 8 of 10

9 defects in the selection process; the failure to enter into any agreement; any statements, representations, acts or omissions of MJM and the Agency; the exercise of any discretion set forth or concerning any of the foregoing; and any other matters arising out of all or any of the foregoing. 11 REQUEST FOR PROPOSALS (RFP) Mission Bay Parks Security Contractor Attachment 1 SCOPE OF SERVICES The Contractor will provide security services for Mission Bay Open Space System Mission Bay Parks and will be responsible for providing security services on all areas and components of the property for the Mission Bay Open Space system. The system is currently 17 acres. See Attachment 15 Map. Security Services A. Security Schedule Contractor will provide coverage as requested by Mission Bay Parks Management to best deter and address any potential violations of the Mission Bay Parks Code. Shifts (including ½ hour unpaid lunch break) are generally: Day Shift: Swing Shift: Graveyard Shift: 7:00 a.m. to 3:00 p.m. 3:00 p.m. to 11:00 p.m. 11:00 p.m. to 7:00 a.m. Currently, contractor will provide one guard per shift. As more parcels open, contractor must be prepared to provide three guards per shift. Actual requested coverage may vary. B. Staffing. Contractor will: Provide professional, bonded and uniformed security officers on bikes at the schedule above. In addition, the Contractor will provide a roving security supervisor to verify Swing and Graveyard shifts. C. Equipment. Contractor will: 1. Provide uniforms. Uniform style and color and accessories must be approved by Management. All security personnel must follow Security dress code which is listed in Security Policies and Procedures. All weather jackets, vests and raingear (with the Mission Bay Parks logo) will be provided by Management. 2. Use security wand/point system to be operated during rounds that will allow for generation of reports of locations and times of park rounds and will be responsible for damage caused by their employees. 3. Mission Bay Parks shall provide radio communication and security equipment (including bicycles) in the maintenance yard at the Mission Bay Parks Maintenance office and 1 of 2

12 REQUEST FOR PROPOSALS (RFP) Mission Bay Parks Security Contractor maintenance of said equipment. Contractor will be responsible for damage caused by their employees. D. General Duties. Contractor will: 1. Follow the Mission Bay Parks Security Plan as developed by Management and approved by Agency. The Security Plan addresses the security requirements needed to ensure public safety during daytime and evening activities and protection of the Mission Bay Parks. The Plan also describes the manner and conduct of security officers with respect to the handling of particular situations, including a system for the review and follow-up of patrol and incident reports and other procedures related to the security and protection of the Mission Bay Parks. 2. Ensure that security patrol officers maintain radio contact with the other on duty security officers and Property Management staff. 3. If requested, provide additional officers for special events on a per event basis. 4. Provide a Mobile Supervisor Patrol in emergencies. 5. Refer violators of the Mission Bay Parks Code to the appropriate social service agencies. The Contractor will also refer those in need to appropriate social service agencies and will coordinate with such agencies to assist these agencies in the provision of the needed services. 6. Be responsible for all incident responses and condition reports and will enforce the Mission Bay Parks Code, including hours of operation. 7. Provide a monthly report of activities and accomplishments that includes a summary of park rounds security wand/check point system. 8. Attend Mission Bay Parks meetings, including bi-weekly staff meetings. 2 of 2
