6 Content and layout of the Terms of Business SPF-Danmark* purchases breeding stock* and sells them on. Breeding stock* are primarily purchased from DanAvl herds with red SPF health status. In all transactions involving breeding stock*, SPF* thus acts as both buyer and seller. SPF* purchases pigs from a Seller* and sells them on to a Buyer*. The Seller* and the Buyer* do not enter into a contract with one another but with SPF* via a Business Agreement*. These Terms of Business contain Terms of Purchase, which apply to SPF-Danmark s* purchase of pigs, as well as Terms of Sale, which apply to SPF's* sale of the same pigs. The Terms of Purchase and Terms of Sale are contained in this document in two columns, ensuring that factors concerning the same conditions appear side by side. A number of terms apply jointly to the relationships between SPF* and the Seller* and between SPF* and the Buyer*. Such Common Terms appear across both columns. Terms and phrases marked with an asterisk (*) are defined in Appendix H. Significant changes in the Terms of Business in relation to the 2011 edition are indicated by green shading in the clause column. Clause Terms of Purchase Terms of Sale Common Terms 1. Application, general and individual terms 1.1. These Terms of Business determine the general terms that apply to any agreement with SPF* on the purchase, sale or transport of breeding stock* in Denmark or for export. Any deviation from the Terms of Business shall be expressly stated in the Business Agreement*, cf. clause The Terms Of Business comprise a) Terms of Purchase, which determine the legal position between SPF* and the Seller*, b) Terms of Sale, which determine the legal position between SPF* and the Buyer*, and c) Common Terms, which apply generally and mutually to all three parties*. Should the Seller* have his own terms of sale and delivery or the Buyer* has his own terms of purchase, said terms shall not be used unless they have been accepted in writing by SPF* Where Delivery Agreements are concerned, the Terms of Business are accepted by each of the parties* adding their signatures to the Delivery Agreement*. Where Order Confirmations* are concerned, the Terms of Business are accepted by passive acceptance, and this shall be emphasised in the Order Confirmation*. Where verbal agreements are concerned, the Terms of Business are accepted when the agreement is entered into. In all cases, acceptance shall automatically apply to any subsequent changes, which SPF* is entitled to make without notice. Such changes shall only be advertised on where the current Terms of Business can be viewed The Business Agreement* contains specific conditions which shall apply to the parties* in the agreement. All agreements with SPF* concerning the sale, purchase, delivery* and transport of breeding stock* therefore take the form of a Business Agreement* The parties* to a Business Agreement* are SPF*, the Seller* and the Buyer*, with SPF* purchasing breeding stock* from the Seller* and selling them direct to the Buyer*. The Seller's* legal buyer is thus SPF*, and the Buyer's* legal seller is SPF*. The Seller* is thus the supplier* of the pigs while the Buyer* is the recipient* A Business Agreement* is entered into as either a) a three-party agreement* in which Seller*, SPF* and Buyer* are all parties* to the same agreement, or b) a two-party agreement* in which SPF* as the one party* enters into two separate agreements with the Seller* and the Buyer* respectively Business Agreements* are of three types a) Delivery Agreements, which are three-party or two-party agreements* used for - the establishment of a new sow herd; SPF-Danmark s Terms of Business; Breeding Stock; Purchase, sale and transport in Denmark and for export, 2015 Page 6 of 44

7 Clause Terms of Purchase Terms of Sale - large supplementary consignments; or - ongoing supplementary consignments. Common Terms b) Order Confirmations*, which are three-party or two-party agreements* used for pooled sales at short notice. c) Verbal Agreements, which are two-party agreements* used for pooled sales at very short notice. 2. Commencement date, change and termination of Business Agreements 2.1. Commencement date a) Three-party Delivery Agreements* shall commence when the Seller*, the Buyer* and SPF* have signed the agreement, at the latest 7 working days (15 working days in the case of export) after the date on which the agreement was drawn up. SPF* shall be entitled, without incurring any liability for compensation, to cancel its signed offer of purchase and sale pursuant to the issued Delivery Agreement until the agreement has been signed by both the Seller* and Buyer* if notice of cancellation is given at the latest 14 working days (21 working days in the case of export) after the date on which the agreement was drawn up. b) Two-party Delivery Agreements* shall commence when both parties* have signed the agreement. SPF* shall be entitled, without incurring any liability for compensation, to cancel its signed offer of purchase or sale pursuant to the issued Delivery Agreement until the agreement has been signed by either the Seller* or the Buyer* if notice of cancellation is given at the latest 14 working days (21 working days in the case of export) after the date on which the agreement was drawn up. c) Order Confirmations* shall commence at 12:00 noon two working days after SPF* has issued the Order Confirmation* by ordinary post, * or fax to the Seller* and/or the Buyer*. The agreement shall not, however, commence if the Seller* or the Buyer* or SPF* beforehand has submitted written objections to the content of the agreement. Objections from the Seller* or Buyer* shall be submitted by * or fax to SPF*. Timely objection affects all three parties* and incurs no liability for compensation for any of the parties*. d) Verbal Agreements shall commence as soon as they are entered into Notice of change A Business Agreement* can be changed or terminated without incurring liability for compensation by the parties* with the following notice: a) Delivery agreement concerning one-off consignments: 26 weeks before the agreed delivery week at the latest. b) Delivery agreement concerning ongoing consignments*: 5 weeks before the agreed delivery week at the latest. c) Order Confirmations*: 5 weeks before the agreed delivery week at the latest. The Agreement expires at the end of a week. If notification of change or termination is given later or not at all the other parties* shall be entitled to compensation / fines pursuant to the provisions of Appendix D Validity of change or termination SPF* shall be notified of any changes to a Business Agreement* or its termination. The change or termination shall not become valid until SPF* has provided confirmation of the matter. Confirmation shall be provided in a letter sent to the party* who requested the change or termination, with a copy being sent to the other parties*, at the latest 3 working days after receipt of notification Notification from the Seller* or the Buyer* to SPF* on any change to or termination of a Business Agreement* shall automatically take legal effect in relation to the Buyer* or Seller* from the working day on which SPF* received notification All documents and notifications concerning Business Agreements* may be sent by *, fax or ordinary post. If the Buyer* / Seller* has access to SPF-Portalen*, SPF* shall use the portal to send documents via e- mail*, cf. clause F.2.2. The Seller* and SPF* shall meet certain quality conditions The Seller* shall in relation to SPF* and the Buyer* and SPF* shall in relation to the Buyer* meet the following quality conditions: health conditions a) The herd shall be managed pursuant to SPF-SuS's* health rules* for SPF herds* (the Health Rules*) if the herd has declared SPF health status. b) The herd shall be managed pursuant to the requirements of clause 3.4 if the herd has unknown health status. - DanAvl conditions c) PRC s* rules for DanAvl herds are adhered to in the management of the herd and in the sale of breeding stock*, including PRC s* Rules for multiplication as well as rules/requirements from the PRC committee. d) The breeding stock* shall meet current Danish standards on breeding stock*, e) Pedigree data for the individual pigs shall be correctly stated pursuant to PRC* rules. general SPF minimum requirements on standard and quality f) The breeding stock* shall meet the requirements specified by SPF* in Appendix A. imported, hoof-bearing animals g) The breeding stock* shall have been born and reared in Denmark and shall not at any time have been in contact with imported hoof-bearing animals. h) The Seller* shall immediately notify SPF*, and SPF* shall immediately forward said notification to the Buyer*, should there to the Seller's* property(ies) be purchased or should the Seller* suspect that to his property(ies) are purchased foreign hoof-bearing animals or other such animals that have been in contact with foreign hoof-bearing animals (e.g. pigs, cattle, sheep, goats and deer). use of medicines i) The breeding stock* shall comply with the provisions of the Danish Veterinary and Food Administration s executive order no. 780 of 24/06/2010 (and subsequent amendments) on "Livestock owners' use of medicines for livestock and public policing and food companies' own policing of residual concentrations", including that the breeding stock* are not subject to quarantine. DANISH Product Standard j) The Seller's* herd shall be approved pursuant to the DANISH Product Standard of the Pig Research Centre. k) The Seller* shall immediately notify SPF* in writing if his herd loses its approval and SPF* shall immediately forward said notification to the Buyer* Sale of DanAvl hybrid pigs occurs from herds and complies with the DanAvl product terms: a) DanAvl Dania Hybrid b) DanAvl Basic Hybrid The current product term of the DanAvl herd can be seen here: The product term on the delivery date is valid irrespective of the product term mentioned in the Business Agreement, unless otherwise expressly agreed upon in the agreement SPF health status on delivery* On delivery* of breeding stock* from herds with health status*: SPF*, no symptoms of undesirable infection* shall have been found in the Seller's* herd at the health inspection arranged by SPF-SuS* (cf. the Health Rules*). This health status* is stated on the delivery note accompanying the consignment*. On being unloaded at the recipient herd* specified by the Buyer*, the pigs have the health status* determined by the "Form of transport*", cf. clause 3.4 and the tick on the consignment's* delivery note Unknown health status on delivery* On delivery* of breeding stock* from herds with health status*: "Unknown", SPF* shall accept no liability whatsoever towards the Buyer* for the health status* of the pigs. The Seller* shall however be obliged to notify SPF* at the earliest possible time and prior to the pigs* being SPF-Danmark s Terms of Business; Breeding Stock; Purchase, sale and transport in Denmark and for export, 2015 Page 8 of 44

9 Clause Terms of Purchase Terms of Sale Common Terms loaded if: a) suspicion arises of infection with a disease not previously encountered in the herd b) a clinical outbreak of a production disease occurs, e.g. PRRS, swine dysentery, atrophic rhinitis, pneumonia, etc. In the event of a) or b), pigs may only be sold from the herd if the Buyer* has agreed in advance to receive them. Any information on the health status* of the Seller's* herd or the recipient's* herd given in the Business Agreement* or on the delivery note shall be for information purposes only. SPF* shall not be liable either towards the Seller* or towards the Buyer* for the correctness of said information or for the documentation on which the information is based. SPF* shall only be obliged to record the information on health status* provided by the Seller* or Buyer* respectively and to make such information available to any other parties* involved in the transaction Form of transport* and health status* on receipt The form of transport* influences the health status* the pigs have when they are unloaded at the recipient herd*. The agreed form of transport* shall be stipulated in the Business Agreement*. The following forms of transports exist: a) Form of transport* "SPF": The pigs are transported in an SPF vehicle* and are delivered to the Buyer* with health status*: "same as the Seller herd". b) Form of transport* "Open vehicle*": The pigs are transported in either an SPF vehicle* or in an open vehicle* and are delivered to the Buyer* with health status*: "Unknown". When form of transport* "open vehicle*" is used, SPF* accepts no liability whatsoever for: 1) the health status* of the pigs on delivery*, with the exception of the provisions of clause 3.3, and 2) the health-related sequence of transports, with the exception however of: a. transport sequences involving departures and arrivals at herds with health status*: conventional with PRRS declaration, where the sequence is as stipulated in the Transport Rules* b. transport sequences that are demanded by the authorities or the Pig Research Centre In relation to the Transport Rules*, an open vehicle* shall be considered to be a non-approved carrier's vehicle. 4. Fulfilment/termination of Business Agreements due to health-related conditions 4.1. Consequence of conditional status in Seller's* herd If conditional status is conferred on the Seller's* herd due to suspicion of undesirable infection*, the following shall apply for the various Business Agreements*: a) Delivery Agreements (one-off consignments): - in case of a delivery* for a new establishment or a large supplementation where all pigs are to be delivered to an empty property which is approved to SPF status but which is not in SuS joint operation with other herds before 8 week-numbers after the last consignment*: 1) If the Buyer* within the previous 42 days (conditional health status* day number minus 42, both days inclusive) has received: a. More than 60% of all consignments* specified in the Business Agreement*, the agreement shall continue unchanged and the Buyer* shall take receipt of the consignments* at the agreed times. The Buyer* shall however be entitled without incurring any liability for compensation to postpone the remaining consignments* until he has had the delivered pigs inspected for possible infection, cf. SPF-SuS's* rules for details of secondary conditional health status* for the specific disease concerned. Should said inspection show that no infection exists in the delivered pigs, the Buyer* shall nevertheless be entitled without incurring any liability for compensation to terminate the agreement with immediate effect. Said entitlement to terminate the agreement shall not however apply if the conditional status of the Seller's* herd is cancelled beforehand. b. 60% or less of all consignments* specified in the Delivery Agreement, the Buyer* shall be SPF-Danmark s Terms of Business; Breeding Stock; Purchase, sale and transport in Denmark and for export, 2015 Page 9 of 44

10 Clause Terms of Purchase Terms of Sale Common Terms entitled without incurring any liability for compensation to terminate the agreement with immediate effect. Termination shall be made on the weekday following the conditional health status* date at the latest. 2) Should the Buyer* not yet have received pigs in accordance with the Delivery Agreement and should the conditional health status* in the Seller's* herd continue or be expected to continue, cf. SPF-SuS's* rules, for longer than two week-numbers after the agreed first delivery week, the Buyer* shall be entitled without incurring any liability for compensation to terminate the agreement with immediate effect. b) Delivery Agreements (ongoing consignments*): The agreement shall continue unchanged, but the Buyer* shall be entitled without incurring liability for compensation to cancel any agreed consignments* during the period in which the Seller's* herd has conditional health status*. Once the conditional health status* has been revoked, consignments* shall continue in accordance with the Delivery Agreement discounting the cancelled consignments*. c) Order Confirmations*: As for Delivery Agreements (ongoing consignments*). d) Verbal Agreements: The agreement shall be terminated with immediate effect without liability being incurred by any of the parties*. If the Seller's* herd has blue SPF status, conditional status because of lacking 15-week declaration or lacking/delayed annual status blood samples shall have no consequences for transports which are already planned for the week in which the conditional status is imposed Termination/continuation of a new establishment/supplementation agreement in the event of undesirable infection* in the Seller's* herd If undesirable infection* is ascertained in the Seller's* herd, cf. SPF-SuS's* registration, the Buyer* shall be entitled to terminate a "Delivery agreement concerning the new establishment of or large supplementation of a sow herd" or to allow the agreement to continue. Said termination may take effect immediately without incurring any liability for compensation and shall be notified at the latest two week-numbers after the registration of undesirable infection*. Should the Buyer* not terminate the agreement, he shall be entitled with 4 weeks' notice to terminate all other agreements on the delivery* of breeding stock* from/with other Sellers* if: a) said other agreements concern the delivery* of breeding stock* with higher health status*, as defined in the Health Rules*, than the new health status* of the Buyer's* herd; and b) said other agreements concern breeding stock* for the same new establishment Termination of a new establishment/supplementation agreement in the event of undesirable infection* in the Buyer's* herd If undesirable infection* is ascertained, pursuant to SPF-SuS's* registration, in the Buyer's* herd but not simultaneously in the Seller's* herd, the Buyer* shall without incurring any liability for compensation be entitled to terminate with immediate effect any delivery agreement for the new establishment of or large supplementation of a sow herd if he culls his herd on the release of all pigs on the property. The Buyer's* written notice of termination because of culling shall be given within two week-numbers of the discovery of undesirable infection*. Culling shall be started at least four week-numbers after termination and completed with SPF-SuS s* approval of the emptied and cleaned herd area at the latest eight weeks after the culling was started. Should culling not be completed within the stipulated time frame, the Buyer* but not SPF* shall be liable to compensate the Seller* for breach of the Delivery Agreement for the consignments* which could not be delivered Termination of other agreement types in the event of undesirable infection* in the Seller's* or Buyer's* herds If undesirable infection* is ascertained, pursuant to SPF-SuS's* registration, in the Seller's* herd or the Buyer's* herd, delivery agreements on ongoing consignments*, order confirmations* and verbal agreements shall be terminated automatically from and including the day after SPF-SuS* has given notification to the Seller* or Buyer* of changed health status*. Termination shall not incur liability for compensation on behalf of the parties* Other changes in health status* With the exception of conditional status due to undesirable infection*, the Seller* and the Buyer* shall immediately notify the other parties* of any change in the health status* stipulated in the Business SPF-Danmark s Terms of Business; Breeding Stock; Purchase, sale and transport in Denmark and for export, 2015 Page 10 of 44

11 Clause Terms of Purchase Terms of Sale Common Terms Agreement* at the time the agreement was entered into. The change shall have no consequences for the agreement's continuation Termination/continuation and notification in the event of salmonella occurrence in the Seller's* herd When a Seller* herd is registered as having supplementary status information with: a) a salmonella index of 5.0 or more, or b) classification on salmonella level 2 or level 3, SPF* shall report this state of affairs to the Buyer*. The deadline for said notification of the Buyer* and the consequences of the notification shall depend on the type of Business Agreement*: 1) Delivery Agreement concerning delivery* for the new establishment of or large supplementation of a sow herd a. Notification shall be given at the earliest 3 week-numbers before the first delivery week, but before delivery* b. The Buyer* shall within 8 days hereafter be entitled without incurring any liability for compensation to terminate the agreement with immediate effect if i. the salmonella index is 10 or more, or ii. the salmonella index is 5.0 or more and the salmonella level is 2 or 3. iii. The salmonella status is changed from A to B or C or from B to C 2) Delivery Agreements, ongoing consignments*, and Order Confirmations*: a. Notification shall be given at the earliest 2 week-numbers before the delivery week, but before delivery*. b. The Buyer* shall within 8 days hereafter be entitled without incurring any liability for compensation to terminate the agreement with immediate effect if i. the salmonella index is 10 or more, or ii. the salmonella index is 5.0 or more and the salmonella level is 2 or 3. iii. The salmonella status is changed from A to B or C or from B to C. Should either the salmonella index be 5.0 or more or the salmonella level be 2 or 3, the Buyer* shall be entitled, without incurring liability for compensation, to suspend delivery* of the breeding stock* for as long as the salmonella index or salmonella level remains at or above said limits. Once the salmonella index or salmonella level has dropped to below the aforementioned limits, consignments* shall be resumed in accordance with the Business Agreement*, discounting the refused consignments*. 3) Verbal Agreements: a) At the time the agreement is entered into Immediate termination in the event of compulsory zoonosis or public supervision Should a Seller* herd be subjected to compulsory zoonosis or public supervision by the veterinary authorities, SPF* shall notify the Buyer*, as stated in clause 4.6. The Buyer* shall then be entitled to terminate the agreement with immediate effect and without incurring any liability for compensation. 5. PRC requirements on ban on resale, etc PRC's* Buyer Declaration When purebred DanAvl breeding stock* is purchased, said breeding stock* shall only be delivered after the Buyer* has signed PRC's* "Buyer Declaration and acceptance of Terms of Sale" and PRC* has received the signed declaration. An excerpt of this Buyer Declaration is included in Appendix G Payment of fines Should the Buyer* breach the Buyer Declaration's provisions regarding resale and should PRC* subsequently demand payment of the fine for said breach from SPF*, the Buyer* shall reimburse SPF* for SPF-Danmark s Terms of Business; Breeding Stock; Purchase, sale and transport in Denmark and for export, 2015 Page 11 of 44

The Seller* shall deliver the breeding stock* at the agreed time and shall ensure that they a) fulfil the Terms of the Business Agreement* and the Terms of Business, and b) are fit for transport pursuant to current legislation on the transport of animals If during loading SPF* deems that the breeding stock* are unfit for transport or do not meet the agreed requirements on quality, SPF* shall be entitled to refuse acceptance of the pigs and to cancel the agreement partially or completely. The Buyer* shall accept delivery* of the breeding stock* at the agreed time, and the Seller* and SPF* shall ensure that the breeding stock* a) fulfil the terms of the Business Agreement* and the Terms of Business. The Buyer* shall be obliged to accept the breeding stock* intended for his herd irrespective of them being of less than usual high standard on delivery*, cf. clause however The parties* shall inform each other immediately of any delay. Should the Seller* or Buyer* exceed the agreed delivery time, the other parties* shall be entitled to terminate the agreement fully or partially unless the delay can be ascribed to the introduction of conditional status or ascertained undesirable infection*, cf. clause In the event of the Business Agreement* being cancelled, cf. clauses 6.2 and 6.3, SPF* shall reserve the right to claim compensation for incomplete fulfilment of the Business Agreement*, including any losses incurred as a result of claims raised by the Buyer* or Seller*. Compensation to all parties* shall be limited to the amount calculated pursuant to Appendix D, clause D In the event of the Business Agreement* being cancelled as a result of the Buyer's* or Seller's* circumstances, cf. clauses 6.2 and 6.3, SPF* shall be relieved of all obligations towards the Seller* or the Buyer* with respect to the terminated Business Agreement* or parts thereof. 7. Transport, delivery provisions and risk transfer 7.1. SPF* transports All consignments* pursuant to Business Agreements* shall be transported by SPF* pursuant to the Terms of Business and the Transport Rules*. Special transport conditions shall be stipulated in the Business Agreement* Incoterms All delivery provisions shall be interpreted according to the latest version of INCOTERMS applicable at the time at which the breeding stock* are delivered Unless otherwise agreed, delivery* shall be performed pursuant to the delivery provision EXW (ExWorks) at the Seller's* herd address as stated in the Business Agreement* Seller's* risk before loading The breeding stock* shall remain at the Seller's* liability and risk until SPF* has loaded the consignment*, cf. clause 7.5 however Seller s* risk during transport After loading, the Seller* shall continue to bear the liability and risk for loaded pigs which have not yet been unloaded at the site stipulated by the Buyer* if a) conditional health status* is conferred on the Seller's* herd after loading, Unless otherwise agreed, delivery* shall be performed pursuant to DAP (Delivered At Place) at the Buyer's* herd address as stated in the Business Agreement*. The Buyer* shall thus be liable to pay any duties. Buyer's* risk after loading Regardless of clause 7.3, the Buyer* shall not assume risk for the accidental destruction or deterioration of the breeding stock* until the breeding stock* have been unloaded at the site stipulated by him. Buyer's* risk during transport The following liability and risk shall apply to breeding stock* which have not yet been unloaded at the site stipulated by the Buyer*: a) The Buyer* shall not be entitled to claim compensation from SPF* or from the Seller* for lacking fulfilment of the agreement due to conditional SPF-Danmark s Terms of Business; Breeding Stock; Purchase, sale and transport in Denmark and for export, 2015 Page 12 of 44

13 Clause Terms of Purchase Terms of Sale Common Terms b) the pigs are destroyed or deteriorate in value because of conditions which prevailed prior to loading, c) public authorities inspect/destroy the pigs because of conditions which were caused by or could have been caused by the Seller*, or d) public authorities perform inspection and discover breeding stock* which are not or have not been fit for transport. status being introduced after loading but before the Buyer* assumed liability and risk, cf. clause 7.4 b) Should public authorities destroy the breeding stock* because of conditions which were caused by or could have been caused by the Seller*, the Buyer* shall only be entitled to claim compensation for documented losses and costs if the said conditions were caused by the Seller's* fault or neglect. In the two last-mentioned cases, SPF* shall be entitled on its own behalf or on behalf of the Buyer* to claim compensation for documented losses and costs SPF's* risk SPF* shall bear the risk for any accidental destruction of the pigs or deterioration in their value a) once they have been loaded and the doors of the transport container closed b) during transport (unless the loss is caused by the Seller's* conditions, cf. clause 7.5 b) 7.7. Requirements on access and collection and delivery conditions The Seller* and Buyer* shall guarantee compliance with the requirements on access and collection and delivery facilities specified in Appendix E The Seller* and Buyer* shall guarantee that the person who respectively delivers and receives the breeding stock* and signs the delivery note is authorised to do so Should the Seller* and/or the Buyer* not fulfil their obligations concerning transport conditions, cf. clauses 7.7 and 7.8, SPF* shall be entitled to claim compensation and payment for extra costs, including additional time spent on loading and/or unloading When breeding stock* are sold for export, the Seller* shall be responsible for ensuring that the pigs are correctly marked prior to collection and that a valid "Export owner declaration" signed by the herd's veterinarian is given to the Driver* on collection. 8. Reporting to CHR on transfer of pigs 8.1. On receipt of pigs from an SPF* vehicle, the Buyer*/assembly centre* shall be considered to have authorised SPF* to report the transfer to the Danish Veterinary and Food Administration's transfer register in CHR in accordance with current legislation. However, according to the Danish Veterinary and Food Administration's executive order on the ear-marking, registration and transfer of cattle, pigs, etc., it is the Buyer* who is responsible for ensuring that said reporting is performed. The supplier herd* shall also be recorded in the same report Every transport of pigs performed by SPF* from one Danish herd to another Danish herd (incl. export assembly centres*) shall be reported by SPF*. Transports to foreign recipients* shall be reported via the TRACES system Reporting shall be performed within 7 days of the transfer date. 9. Price determination 9.1. The price of breeding stock* supplied to and from SPF* shall be determined by SPF* on the basis of the prices, quotations, charges and royalties applicable at the actual time of delivery unless another price basis is stipulated in the Business SPF-Danmark s Terms of Business; Breeding Stock; Purchase, sale and transport in Denmark and for export, 2015 Page 13 of 44

Prices and quotations, which shall apply for 1 week at a time with Monday as the first day of the week, shall be a) advertised in the trade press, b) advertised on c) made available by SPF* on request When the Breeding Index is used to determine the price, the index applicable on the Monday of the week in which collection occurs shall apply. The index shall be stipulated by DanAvl and publicised on Vaccination prices are stipulated for individual vaccination programmes in Appendix B Changes in prices and charges SPF* shall be entitled to change prices, e.g. transport prices, and charges, e.g. business charges, without notice, no matter the reason for the change Value of inadequate pigs SPF* shall be entitled to unilaterally determine the value of the breeding stock* which do not meet the requirements of the agreement between the parties*, the Terms of Business or generally applicable Danish standard for breeding stock*. 10. Terms of payment for purchase and sale Payment shall usually be at the Seller's* disposal 7-10 days after the actual collection date SPF* shall guarantee the Seller* payment for all pigs delivered to SPF*, cf. clause 10.4 however SPF* shall be entitled to withhold payment and/or set off payment against any declared claim which SPF* and the Buyer* have against the Seller*. SPF* takes out export credit insurance for all export customers/clients. If this credit insurance cannot be taken out, the breeding stock* have to be pre-paid, unless otherwise agreed: a) The proforma invoice shall be sent to the Buyer* by * 14 days prior to date of delivery and the purchase price* for the shipment/delivery* shall be transferred to SPF* by Buyer s* bank at once. After delivery* of the breeding stock* any payment difference must be settled before date of maturity. b) Upon payment by bill without prepayment the final invoice will be made after delivery* of the breeding stock* and payment has to be settled by bank transfer within 14 days from date of invoice. SPF* reserves the right to demand security for payment of the purchase sum as a precondition for delivery*. The Buyer* shall not be entitled to withhold payment and/or set off payment against any amount due from SPF* unless the counter-claim has been approved by SPF*. 11. Interest The Seller* shall not be entitled to demand the payment of interest in the event of delayed payment by SPF*. SPF* shall be entitled to demand the payment of interest in the event of delayed payment by the Buyer*. The Buyer* shall not be entitled to demand the payment of interest on any amounts paid in advance Where purchase on credit or other postponement of payment is concerned, the Buyer* shall pay interest on the purchase sum at Denmark's National Bank's reference rate plus 7% per annum, cf. clause 11.1 however. Interest shall be charged from and including the tenth day after delivery* has occurred. Retention of title where credit purchases in Denmark are concerned In all credit purchases, including lacking cash payment, SPF* shall retain title to the breeding stock* until the full purchase sum and any added interest and charges are paid in full, cf. the Danish Act on Credit Agreements Where credit purchases are concerned, the Buyer* shall be obliged to feed and care for the delivered breeding stock* in a responsible manner and to keep them insured against injury due to fire or building damage. Insurance reimbursements which become payable due to the occurrence of an insurance-covered event shall be paid to SPF* as long as SPF* retains the title of ownership. 13. Breach of contract and remedies for breach of contract Cancellation, compensation and price reduction Should one of the parties* breach a Business Agreement*, the other parties* shall, as their only remedy for the breach, be entitled to cancel the agreement, claim compensation or a reduction in price as described in these Terms of Business. Cancellation of the agreement shall only be possible if a) a material breach of contract has occurred, cf. clause 13.2, or b) the right to cancel the agreement is expressly stipulated in the Terms of Business. Compensation claim and price reduction shall only be possible pursuant to the conditions stipulated in the Terms of Business Material breach of contract and its consequences By material breach of contract is meant a) that a Business Agreement*, despite a written warning from the other party*, is breached again in the same way; b) gross infringement of the Business Agreement*, Terms of Business or standard business practices; c) anything that can otherwise be considered as material breach of contract pursuant to the general rules of Danish law. In the event of material breach of a Business Agreement*, the injured party* shall be entitled to cancel the agreement in full or in part and to claim compensation from the party* in breach for non-fulfilment of the agreement. Compensation claim and price reduction shall only be possible pursuant to the conditions stipulated in the Terms of Business. The Buyer's* or Seller's* cancellation of their agreement with SPF* shall also apply to the Seller* and Buyer* respectively. Should the Business Agreement* be cancelled because of material breach on the part of the Buyer* or Seller*, SPF* shall accept no liability whatsoever for its obligations towards the Seller* or Buyer* respectively for the cancelled Business Agreement* or parts thereof. In three-party agreements*, SPF* shall determine whether breach on the part of the Buyer* or the Seller* constitutes material breach Irrespective of clause 6.2, the Buyer* shall be entitled to: a) have inadequate breeding stock* destroyed at the cost of SPF* or of the Seller* on prior agreement with SPF*; b) refuse acceptance of breeding stock* if the Buyer* has justified reason to suspect that the breeding stock* on delivery* does not have the agreed health status* Should the Buyer* or the Seller* refuse to fulfil the Business Agreement*, i.e. the Seller* refuses to supply the agreed breeding stock* or the Buyer* refuses to accept the agreed breeding stock*, and this cannot be ascribed to SPF's* conditions, SPF* shall be entitled to cancel the Business Agreement* without said SPF-Danmark s Terms of Business; Breeding Stock; Purchase, sale and transport in Denmark and for export, 2015 Page 15 of 44

16 Clause Terms of Purchase Terms of Sale Common Terms cancellation being considered as breach of the Business Agreement*. 14. Liability, general The amount of compensation shall be determined and calculated by SPF* on the basis of the Terms of Business Costs incurred to document the claim for compensation, including veterinary certificates and consultant reports, shall only be refunded if they were requested by SPF*. Other costs, including consultancy fees and legal aid, shall be refunded by the liable party* if said party* is required to pay compensation. SPF* shall be entitled to invoice its own costs (e.g. visits by consultants and participation in settlement meetings) to the liable party* if its processing of the case takes a disproportionate amount of time Standardisation and maximisation A party* shall only be liable for the loss of other parties* to the extent stipulated in the Terms of Business, including the standardisation and maximisation specified in Appendix D Professional standards shall be followed Compensation shall only be paid to the Seller* or Buyer* if he has followed the usual professional standards in the management of his herd SPF's* payment of compensation SPF* shall only pay the compensation amount to the Seller* or the Buyer* once SPF* has received the compensation amount from the liable party*. SPF's* liability towards the injured party* shall be limited to the amount to be paid by the liable party* or the liable party's* estate Compensation claims shall be clarified by SPF* SPF* shall accept no liability in cases where the Seller* and Buyer* without the participation or acceptance of SPF* have begun or completed negotiations regarding a claim for compensation SPF's* recourse against the Seller* SPF* purchases breeding stock* from the Seller* and sells them on directly to the Buyer*. The Seller* shall be obliged to indemnify SPF* and to compensate SPF* for all direct and indirect losses, costs, expenses or other losses incurred by the Seller's* non-observance of his obligations pursuant to the parties * agreement and these Terms of Business. SPF's* recourse against the Buyer* To the extent that the Seller* or any third party raises claims against SPF* which can be ascribed to the Buyer's* breach of the contract, the Buyer* shall be obliged to indemnify SPF* and to compensate SPF* for all direct and indirect losses, costs or other losses incurred by the Buyer's* non-observance of his obligations pursuant to the parties * agreement and these Terms of Business. The same shall apply if the Buyer* or any third party raises claims against SPF* in relation to product liability or liability for loss due to health status* on delivery*, cf. clause SPF's liability to pay compensation in the event of own fault or neglect Should the Seller* suffer loss as a result of conditions arising from SPF's* fault or neglect, SPF* shall be liable to pay compensation pursuant to the general rules of Danish law, however cf. clauses and Should the Buyer* suffer loss as a result of conditions arising from SPF's* fault or neglect, SPF* shall be liable to pay compensation pursuant to the general rules of Danish law, however cf. clauses and SPF's* liability for any such loss shall be limited in such a way that its total liability cannot exceed DKK 1,000,000 per injured party, however cf. clauses 15.3 and Should the Seller* or Buyer* suffer loss as the result of claims made against him by parties to his own direct contracts, and should the claims of said third parties arise from losses suffered by the Seller* or Buyer* due to SPF's* fault or neglect, SPF's* liability shall be limited to DKK 1,000,000 per injured third party and maximum DKK 3,000,000 for the combined losses of Seller*/Buyer* and third parties, cf. clause 15.5 however. 17 Clause Terms of Purchase Terms of Sale Common Terms Should several Sellers*, Buyers* and/or third parties suffer loss due to the same fault or neglect on the part of SPF*, SPF's* total liability as a result thereof shall be limited to DKK 5,000,000, cf. clause 15.5 however If the total losses of all injured parties exceed the stipulated maximum amounts of DKK 3 million and DKK 5 million respectively, cf. clauses 15.3 and 15.4, the compensation shall be divided amongst the injured parties in relation to the size of their individual documented losses, on the proviso that any individual injured party cannot receive more than DKK 1,000, The stipulated maximum compensation amounts shall not apply if SPF* caused the losses with intent In cases where the Seller* or Buyer* suffer losses as a result of SPF's* fault or neglect or through nonfulfilment of a Business Agreement*, SPF's* liability shall be limited to an amount calculated on the basis of the following: a) The agreed price on the date of delivery, but max. the SPF price* for breeding stock* of the same category and health status*. b) The expected Danish contribution margin per weaner*/finisher* as estimated by Pig Research Centre for the week in which the breach occurred. A 10% surcharge for SPF added value shall be added when the pigs are delivered from an SPF herd* Key figures from the injured party's P-reports/E-inspection reports drawn up by external consultancy firms shall be used to calculate the amount of compensation. If said reports are unavailable, the key figures used by Pig Research Centre to calculate the estimated weaner price at the time at which the fault or neglect occurred shall be used instead. In the case of herd culling, loss shall be calculated on the basis of the "DLBR Production Plan" of the Danish Agricultural Advisory Centre, SvineIT, where the aforementioned production data are used. In all calculations, the compensation limits stipulated in clause 15.7 and Appendix D shall apply SPF* shall in no case be held liable for indirect losses, including legal and consultancy costs, or consequential effects such as lost earnings, loss of goodwill, loss of expected discount, etc. Should SPF's* fault or neglect lead to undesirable infection* in the injured party's herd, operating losses may however be included in the compensation. Furthermore, SPF* shall not be held liable for losses incurred as a result of specification of DANISH status or in the case of sale of pigs from non-danish-approved herds. 16. Liability for consequential losses and health status on delivery Should the Buyer* or a third party claim compensation with reference to product liability or liability as a result of the breeding stock* being infected with a disease which has spread to the rest of his herd, the cause of which can be ascribed to breeding stock* supplied by the Seller*, SPF* shall have full recourse against the Seller*, cf. clause While observing mandatory legislation, SPF's* and the Seller's* a) product liability or b) liability as a result of the breeding stock* being infected with a disease which has spread to the rest of a third party's and/or the Buyer's* herd shall be limited to the greatest possible extent. SPF* and the Seller* shall therefore, among other things, accept no liability for: c) the occurrence of undesirable infection* or suspicion of such infection on delivery* of the breeding stock*; d) delayed consignments* resulting from undesirable infection* or suspicion of such infection causing the delivery time to be postponed or delivery* of the consignment* prevented When breeding stock* with health status* "SPF" are delivered, the Seller* shall not be liable for undesirable infection* in the delivered breeding stock* unless the Seller* acted with liabilityinducing fault or neglect in relation to the Health When breeding stock* with health status* "SPF" are delivered, SPF* and the Seller* shall not be liable for undesirable infection* in the delivered breeding stock* unless SPF* or the Seller* acted with liability-inducing fault or neglect in relation to the Health Rules*, the SPF-Danmark s Terms of Business; Breeding Stock; Purchase, sale and transport in Denmark and for export, 2015 Page 17 of 44

In that event: a) The Seller* shall only be liable if the undesirable infection* is present because the Seller* has caused the loss through intent or gross negligence The Seller* shall not be liable for infection with other diseases, cf. clause 16.4 however, in the delivered breeding stock* unless there was an acute outbreak of the disease in the Seller's* herd at the time of delivery The Seller* shall only be liable for salmonella infection and symptoms of salmonella infection (incl. antibodies in the blood) to the extent specified by the Danish veterinary authorities, PRC* and SPF-SuS*. Transport Rules* or these Terms of Business. In that event: a) The Seller* shall only be liable if the undesirable infection* is present because the Seller* has caused the loss through intent or gross negligence. b) SPF* shall only be held independently liable for loss caused by its own fault or neglect, cf. clause 15 of these Terms of Business. SPF* and the Seller* shall not be liable for infection with other diseases, cf. clause 16.4 however, in the delivered breeding stock* unless there was an acute outbreak of the disease in the Seller's* herd at the time of delivery. The Seller* and SPF* shall only be liable for salmonella infection and symptoms of salmonella infection (incl. antibodies in the blood) to the extent specified by the Danish veterinary authorities, PRC* and SPF-SuS* If a Seller's* herd is in the process of ceasing to be a red SPF herd*, the Seller* shall not supply breeding stock* for introduction to quarantine facilities* at a Buyer's* for the last six weeks before the cessation date. Should a delivery* nevertheless be made within said six-week period, the Seller* shall be liable for any losses incurred by the Buyer* if the breeding stock* must be removed from the quarantine facilities* because of a suspicion that undesirable infection* has been introduced together with the breeding stock*. Compensation shall be calculated pursuant to Appendix D. 17. Obligation to inspect and complaints The Seller* shall have an obligation to check the breeding stock* for visible faults and defects and for deficiencies in number at the latest immediately before collection by SPF*, even though the breeding stock previously has been reviewed by a representative from SPF*. The Buyer* shall be obliged to check the breeding stock* for visible faults and defects and for deficiencies in number immediately upon receipt SPF* shall have no obligation to check the breeding stock* for visible faults and defects during loading as said inspection is entrusted to the Buyer* on his receipt of the pigs. The Seller* shall accept that any visible faults or defects which the Buyer* ascertains on receipt of the breeding stock* are considered to have been present on loading unless it can be documented that the fault(s) or defect(s) has/have arisen during transport It is recommended that complaints be lodged in writing, but verbal/telephone complaints shall also be accepted unless otherwise expressly stipulated elsewhere in the Terms of Business Complaints shall be lodged either with SPF* or directly with the Seller*/Buyer*. Should the Buyer*/Seller* lodge a complaint directly with the Seller*/Buyer* but not simultaneously inform SPF* hereof, he shall not be entitled to seek recompense from SPF* at a later date in the case concerned SPF* shall accept no liability whatsoever in cases where the Seller* and Buyer* have agreed compensation or begun negotiations on compensation without the participation of SPF* or without its knowledge All complaints shall be lodged with/sent to SPF* immediately and without undue delay unless otherwise stipulated in Appendix C. Where export is concerned, complaints shall be lodged with SPF* in all cases. Any subsequent, follow-up complaint on the part of SPF* against the Seller* or Buyer* shall be considered SPF-Danmark s Terms of Business; Breeding Stock; Purchase, sale and transport in Denmark and for export, 2015 Page 18 of 44

19 Clause Terms of Purchase Terms of Sale Common Terms timely if notification of said complaint is provided within 5 working days of SPF* receiving the original timely complaint. Should said complaint deadlines be exceeded or should the complainant fail to lodge a complaint despite the fact that he has discovered or should have discovered the fault or deficiency, the right to compensation shall be lost In compensation claims where defects occur in a large proportion of the consignment*, the Seller* shall be entitled to personally inspect the pigs supplied in the Buyer's* herd within 8 days of the Buyer's* complaint being lodged with SPF* or within any stipulated complaint deadlines which are shorter. Said inspection shall be performed under the observance of a min. 12 hour and max. 24 hour personal quarantine period irrespective of the health status* of the two herds. Said inspection shall always be performed in the presence of the Buyer* and a sales consultant from SPF*. If the Buyer* refuses the Seller* access to his herd, he shall forfeit the right to claim any breach of contract, cf. clause 13.1, for the faults or deficiencies about which he has complained The Seller* shall be obliged to check received statements of sale immediately on receipt. The Buyer* shall be obliged to check received invoices immediately upon receipt. 18. Force majeure The following circumstances shall entitle the parties* to delay delivery* or to cancel a Business Agreement* without incurring liability if the circumstances prevent or delay fulfilment of the Business Agreement* or make its fulfilment disproportionately costly: a) fire, building damage, ventilation breakdown, slurry overflow and similar occurrences on the Seller's* or Buyer's* properties and at slaughterhouses; b) transfer and transport restrictions introduced by the Danish veterinary authorities and/or PRC*, including if appropriate PRC's* termination of the Agreement on Transfer between SPF* and PRC*; c) transfer and transport restrictions introduced by foreign authorities; d) strikes, lockouts and blockades irrespective of whether the parties* are a party* to the matter or the cause of such conflicts; e) lack of means of transport or traffic accidents; f) wars, riots, civil disturbances, natural disasters, exchange restrictions, bans on imports and exports, operational failure or closure of activities, or any similar situation outside the parties'* control. A party* who intends to invoke force majeure shall inform the other parties* of his intention in writing at the latest the day after the force majeure situation arose. 19. Business Agreements in connection with possession, reorganisation or bankruptcy Possession Should a Buyer's* or Seller's* herd be taken into possession by a creditor, his agreements shall be cancelled immediately without any of the other parties* being entitled to compensation for loss. The creditor in possession may enter into a new Business Agreement*. Said agreement shall be cancelled immediately without prior notice when possession is terminated. After the agreement has been terminated, the creditor shall remain liable for the claims that can be assigned to the agreement period Reorganisation Should a Buyer's* or Seller's* business be subjected to reorganisation, Section 12 o of the Danish Bankruptcy Act shall apply Bankruptcy A Business Agreement* shall be cancelled immediately if a Seller* is declared bankrupt. The provisions of the Danish Bankruptcy Act, among others concerning the entry of the estate in bankruptcy into agreements and compensation for the non-fulfilment of agreements, shall come into force. If the herd of the estate in bankruptcy has SPF-status, SPF* shall on its own behalf and on behalf of the Buyer* approve the person appointed by the trustee to perform the day-to-day management of the herd. Transfer of Business Agreements In the event of a property or herd being sold, the Buyer* or Seller* shall be entitled to transfer the rights and obligations contained in a Business Agreement* to the new Owner if the other parties* to the Business Agreement* accept said transfer in writing. Should the other parties* not give their acceptance or should the new Owner not wish to become a party* to the agreements concerned, the Seller* of the property/herd shall retain liability for the fulfilment of the agreement and for the debts incurred as a result of previous consignments* Should the property be sold or converted to another form of ownership (e.g. I/S, Aps or A/S) the provisions of clause 5.1 shall similarly apply. 21. Settlement of disputes, applicable law and venue Applicable law Any dispute or disagreement which directly or indirectly arises concerning the parties'* agreement or its interpretation shall be settled pursuant to Danish law Negotiation The parties* shall be obliged to attempt to settle any disputes amicably through negotiations between the parties* SPF* shall choose the court Should it not prove possible to solve a dispute through negotiations between the parties*, the dispute shall at the discretion of SPF* be settled a) Initially, at SPF's* venue pursuant to the Danish Administration of Justice Act (The Court in Esbjerg) or b) Finally, by the Danish Agriculture and Food Council's* Arbitration Tribunal for the pig sector, SPF- Danmark version" (the "Arbitration Tribunal") pursuant to the rules of the Arbitration Tribunal* applicable at the time at which the dispute is brought before it. Disputes will primarily be brought before the Arbitration Tribunal* when they concern conditions related to PRC's* rules and agreements Right of third party notice SPF* shall at any time be entitled to issue a third party notice to the Seller* and/or the Buyer* during a pending action against PRC*, irrespective of whether this is being heard by the Arbitration Tribunal* or the ordinary courts. The Seller* and/or Buyer* shall be obliged to accept that a pending action brought before the ordinary courts will be retracted and brought before the Arbitration Tribunal* for settlement if, following the action brought before the ordinary courts, SPF* is called as a defendant by PRC* in the Arbitration Tribunal* The Seller* shall be obliged to enter as a party* at the same venue as used by SPF's* Buyer* to raise product liability claims against SPF*. The Buyer* shall also be obliged to accept that SPF* can bring an action against the Buyer* at the same venue as an action against SPF* concerning product liability is being heard Legal action direct between Seller* and Buyer* The Buyer* and the Seller* shall not be entitled to bring legal action against SPF* concerning conditions and requirements on the basis of matters which SPF* is not involved in or bears liability for. In such cases, the Seller* and Buyer* shall take legal action against one another without involving SPF*. Such disputes between the Seller* and Buyer* shall be settled pursuant to the parties'* two-party or threeparty agreement* with SPF* and these Terms of Business. The Seller* and Buyer* shall not attain a better legal position than that which follows from said agreements and terms. 22. SPF approvals and registrations SPF-Danmark A/S has the CVR/VAT no and Export VAT no. 21 Clause Terms of Purchase Terms of Sale SPF-SuS* has approved SPF* as an SPF carrier. Common Terms Pig Research Centre (PRC*) has approved SPF* as a DanAvl vendor. As a DanAvl vendor, SPF* purchases pure-bred DanAvl breeding stock* and cross-bred DanAvl breeding stock* from DanAvl herds and sells said breeding stock* direct to DanAvl herds, AI stations, production herds and vendor multiplier herds The Danish Veterinary and Food Administration has authorised SPF* to carry out transport of pigs under license no. DK-T-S and has registered SPF* as an exporter of pigs SPF* is QS certified and approved in accordance with Danish Transport Standard. Marking All breeding stock* that are bought/sold shall prior to collection be ear-marked with the herd of origin's CHR number on an approved ear tag, cf. the Danish Veterinary and Food Administration s executive order no of 1 December 2009 (and subsequent amendments). Breeding stock* from DanAvl herds shall also be ear-marked in accordance with Pig Research Centre's "Rules for Breeding and Multiplying". Other breeding stock* shall, besides marking with CHR no., also be marked with an individual number on a white ear tag. A.2. A.2.1. A.3. A.3.1. A.4. A.4.1. A.5. A.5.1. A.6. A.6.1. Tail length When registering pigs for sale, the Seller* shall provide information on the incidence of tail docked pigs in the consignment*. If present, tail docking shall have been performed in accordance with the Danish Ministry of Justice s executive order no. 324 of 6 May 2003 (and subsequent amendments). Open wounds At the time of delivery, pigs shall have no open wounds resulting from castration, tail docking, tail biting, ear sucking, flank sucking, etc. Vaccination Vaccination shall be performed pursuant to SPF's* "Vaccination programmes for traded breeding stock*", cf. Appendix B, or pursuant to the Business Agreement*. Race specifications On the delivery* of first-generation hybrids (F1) or back-crossed hybrids, the letter combination of the dam and sire races may be given in random order. The sire race is thus not determined unless specifically stipulated in the Business Agreement*. Gilt* and boar* weight On delivery* to the Buyer's* property, gilts* and boars* shall meet the following minimum weight requirements: Age in days Weight kg Age in days Weight kg Age in days Weight kg Age in days Weight kg A.7. Gestation L, Y and cross-breed gilts which by the end of the 45th week since their birth are not confirmed to be gestating despite mating/attempted mating or lack oestrus shall be compensated. Mated gilts* which are aged less than 28 weeks or more than 45 weeks at mating shall only be sold on the written acceptance of the Buyer*.

23 Appendix A Breeding stock standard and quality For mated gilts*/sows* supplied later than 4 weeks after mating, at least 9.0 live-born, fully developed piglets per mated gilt*/sow* in average per "batch" shall be guaranteed for the first litters after delivery*. (Batch = groups of litters born at less than three-day intervals.) A.9. A.9.1. Boar* virility, etc. When the boars* are 8½ months old (36 weeks), they shall a) have demonstrated their desire to mate (potency and mounting ability), b) have demonstrated their ability to mate (penis erection and intromission), c) have fertile semen. The Buyer* shall not: d) allow purchased boars* to mate before they are over 6 months of age. The right to compensation in accordance with the Terms of Business shall otherwise be lost. e) use purchased boars* for internal AI unless so agreed with the Seller*. Instead, the sows* in the breeding strain shall be re-vaccinated (owner declaration). Vaccination shall be performed according to the guidelines for the vaccine concerned. Colostrum from vaccinated sows* provides maternal protection for the offspring until 6-8 weeks of age. Porcine Parvovirus A valid vaccination programme against Porcine Parvovirus shall consist of 2 vaccinations at 21 days interval irrespective of whether Parvoruvax, Porcilis Ery Parvo, Hiprasuis PE, Suvaxyn Parvo, Eryseng Parvo eller Porcilis Parvo (- and notwithstanding that Porcilis Ery Parvo and Porcilis Parvos are officially approved to give full protection with just one vaccination). 1st vaccination: Gilts aged 22 weeks at the earliest 2nd vaccination: 21 days after the first vaccination Dose/timing: 2 ml Gilts aged 26, 27 and 28 weeks at delivery must have been vaccinated the first time and this shall have been performed by their 26th week of age. Gilts aged 29 weeks or more on delivery must have been vaccinated the first and second times, cf. the above. Vaccination week no. shall be informed on the delivery note. The cost of vaccination is included in the price system from and including the 26th week as a one-off charge of DKK 30. Said charge shall cover both first and second vaccinations irrespective of whether the gilt has only been vaccinated once. If gilts under 26 weeks of age on delivery have been vaccinated the first time and this has been agreed with the recipient the seller shall be entitled to claim DKK 30 for the vaccination, if the Seller has stated the fact in the remarks section of the delivery note. In addition DKK 10 per gilt/mated gilt shall be paid for the second vaccination with combined vaccine against porcine parvovirus and erysipelas. If the vaccinations have not been performed as described above, the price of the gilt shall be set to the 25-week price as the Buyer cannot let the gilt mate until four weeks later. B.3.5. Erysipelas A valid vaccination programme against erysipelas shall consist of at least two vaccinations irrespective of whether Porcilis Ery, Porcilis Ery Parvo, Parvoruvax, Eryseng Parvo or Ruvax is SPF-Danmark s Terms of Business; Breeding Stock; Purchase, sale and transport in Denmark and for export, 2015 Page 25 of 44

The value of a weaner* of the same known or estimated weight on the date of delivery calculated as the "Estimated SPF+Myc price" minus DKK 50. b) "Slaughter value": a. Known, estimated or calculated slaughter weight* [Danish Crown's average purchase price*/kg + remaining payment amount for last financial year] on the date of delivery. The estimated weight shall be calculated on the basis of the weight table in clause A.6.1. D.2. D.2.1. D.3. D.3.1. Slaughter of inadequate breeding stock For female breeding stock* for which the purchase price* has been fully or partially refunded as a result of defects, there shall be no requirement that the pig be slaughtered. The Buyer* shall be entitled to keep it and use it as he wishes. Boars* must always be slaughtered if the purchase price* is refunded in full. In the event of partial refund, SPF* shall determine whether the pig shall be slaughtered. Non-fulfilment of Business Agreements Postponement of consignments*, termination of the Business Agreement* or discrepancies in the number of pigs in individual batches* shall be compensated at the following rates in relation to the time at which notification of change has been given. If several changes have been notified after the original agreement has been entered into, the latest notification shall apply as the basis for calculation of the compensation. D.4. D.4.1. Porcine parvovirus Entitlement to compensation shall be on the condition that both parvovirus vaccinations have been performed in the Seller's* herd and that a veterinary certificate is enclosed with the claim. In addition, a veterinary certificate shall be made available containing a clinical description of the outbreak and the results of laboratory tests on blood samples and foetuses and/or dead pigs. Compensation shall not be provided for parvovirus outbreak among other pigs in the Buyer's* herd. Outbreak in the first litter of purchased, timely vaccinated pigs shall be compensated with: a) For hybrid gilts: DKK 500 per pig affected + 60% of the estimated weaner price in the farrowing week of a 7-kg pig of equal health status* - per lacking piglet in relation to 9.0 per litter. b) For purebred gilts*: DKK 500 per pig affected + 60% of (the base price of a 4-week hybrid gilt in the farrowing week and of equal health status*) per lacking female in relation to 4.0 per litter. D.4.3. D.4.4. Necrotic enteritis (mated gilts*/sows*) Outbreak shall be compensated with DKK 500 per mated gilt*/sow* affected - in addition to standard compensation for lacking born pigs. Entitlement to compensation shall however be on the condition that both vaccinations have been performed in the Seller's* herd and that a veterinary certificate and laboratory confirmation of the occurrence of necrotic enteritis is enclosed with the claim. Congenital tremor Congenital tremor or acute trembling shall be compensated with a) Breeding stock* of up to 16 weeks on delivery*: Purchase price* minus weaner value on the date of delivery b) Breeding stock* of 16 weeks or more on delivery*: Purchase price* minus slaughter value on the date of delivery D.5. D.5.1. Teats Gilts* a) Lacking functional teats in purebred Landrace and Yorkshire pigs shall be compensated with the purchase price* minus the slaughter value (cf. clause D.1.1) on the date of purchase if the Buyer* wishes the pig slaughtered. If the pig is kept, compensation shall be paid in accordance with clause D.6.1b) plus an adjustment of the purchase price* to hybrid level. b) Lacking functional teats in other pigs shall be compensated as follows when the pig has: 12 functional teats: 35% of the SPF price* for a 30-week-old gilt* in the week of delivery 11 functional teats: 45% of the SPF price* for a 30-week-old gilt* in the week of delivery 10 or fewer functional teats a. Purchase price* minus weaner value for pigs of up to 16 weeks of age on delivery*, or b. Purchase price* minus slaughter value for pigs of 16 weeks of age or more on delivery* c) If the number of pigs for which compensation is paid for lacking teats exceeds 10% of the total number of pigs in a consignment* from the same Seller*, an additional compensation shall be paid for the number of pigs in excess of the 10%. Said additional compensation shall be 30% of the calculated compensation for the pigs concerned, cf. a) and b) above. Should the 10% threshold be exceeded in a single claim for compensation, the additional compensation shall be based on the oldest of the pigs. If farrowing occurs prematurely, additional compensation shall amount to 60% of the calculated weaner price* in the week of farrowing for a 7-kg pig of equal health status* for each piglet fewer than nine in the litter. The litter shall not be included in the "batch average", cf. clause A.8.1. Number of pigs in the litters of mated gilts* and sows* Each lacking pig in the "batch average" shall be compensated with 60% of the estimated weaner price for a 7- kg pig of equal health status*. In the event of justified Caesarean, documented veterinary expenses shall be compensated and the sow* and piglets shall be included in the aforementioned "batch average". Death in connection with farrowing shall be compensated with 80% of the purchase price* and surviving piglets shall be included in the aforementioned "batch average". The total compensation amount shall not exceed the purchase price*. Other external defects Tail length a) In the event of lacking notification by the Seller* that the pigs have docked tails, the Seller* shall be invoiced for any additional expenses incurred by SPF* in connection with the consignment*. b) Should a Buyer* suffer loss due to the delivery* of pigs whose tails have been docked by more than half or whose tails have been docked without express agreement in the Business Agreement*, said loss shall be compensated if the Seller* can be identified. Only the following types of loss shall be compensated: 1. reduction in slaughter value 2. fines imposed by the slaughterhouse 3. fines imposed by public authorities as a result of purchased pigs which have been illegally docked by the Seller*. Open wounds Compensation for pigs with open wounds caused by tail biting, tail docking, ear sucking or the like shall be determined by a representative of SPF*. Incomplete marking Uncertain identification due to lacking ear tags or inconsistent marking, cf. Appendix A, clause A.1.1, shall be compensated with DKK 300 per pig. Death Should a pig in the delivered breeding stock* die within 12 hours of receipt (unloading), it shall be compensated by the Seller* with its purchase price*. Specific boar* defects Desire/ability to mate Lacking desire or ability to mate shall be compensated in accordance with clause D Sterility In the event of claims for compensation for sterility or reduced fertility, SPF* shall be entitled to demand mating lists for the entire herd and semen samples of the boar* as documentation. Semen tests shall be performed by a veterinary surgeon or a Hatting-KS consultant. Sterility or greatly reduced fertility shall be compensated pursuant to clause D D.12. D Calculation of compensation for boars Boars* shall be compensated with the difference between the purchase price* and the estimated slaughter value on the day of receipt on the proviso that slaughter weight does not exceed 100 kg. If the boar* was less than 18 weeks on receipt, the "slaughter value" shall be equal to the weaner value on the day of receipt and the weight estimated from the table in Appendix A. Access and exit roads Access and exit roads at the loading and unloading facilities shall consist of firm, stable, well-drained, even surfaces in all kinds of weather. The transport vehicle* shall be able to manoeuvre unhindered by trees, buildings (incl. overhanging roofs) or any other obstructions. Loading and unloading facilities shall be equipped with guttering. There shall be room for the Driver* to move unhindered around the vehicle in connection with loading and unloading, including hatches or gates that ensure the Driver* easy access to the loading and unloading facilities. Loading and unloading In the case of SPF herds*, loading and unloading shall be accomplished via approved facilities, cf. the Health Rules*. In the case of non-spf herds, the facilities provided by the owner of the herd shall be used. Said facilities shall be cleaned before the transport vehicle* arrives. The loading/unloading facilities shall contain a concrete platform measuring at least 1 x 1 m, which the Driver* can use for changing clothes. The platform shall have been cleaned prior to the arrival of the transport vehicle* and shall be cleaned after each visit. The Driver's* entrance to the loading/unloading area shall be kept tidy and clear. The Owner shall provide at least one person to help with loading or unloading. The pigs shall be in suitable condition for transport, cf. clause E.7.2, clean and ready for loading at the Seller's* at the collection time agreed with SPF* or notified by the Driver*. Similarly, the Buyer* shall be ready to take possession of the pigs at the time notified by the Driver*. It shall be possible to unload breeding stock* which is to supplement an existing sow herd at the Buyer's* in one of the following reception facilities: a) Vacant and clean quarantine facilities* which have no direct contact with the pig housing area, b) Clean trailer, located at least 100 m from the property's pig housing facilities. With SPF herds*, the trailer shall be approved by SPF-SuS* and equipped with an approval sign, c) Clean room (antechamber) which has no direct contact with the pig housing facilities during the entire unloading period, incl. the time taken by the Driver* to prepare for unloading. Litter material, manure and cleaning facilities The Seller* shall supply wood flour/sawdust from the herd area immediately before surrendering the breeding stock*. Litter shall be supplied in sufficient quantity (the Driver* shall decide the amount). No litter types other than wood shavings shall be acceptable. The Buyer's* recipient herd* shall accept delivery of litter and manure from the transport vehicle* in connection with unloading. A cleaning area (with firm base) and water supply shall be provided in order that the transport vehicle* can be washed after unloading. The water supply shall be capable of supplying at least 30 litres/minute. Special requirements of Seller* and Buyer* If the Seller*/Buyer* has special requirements regarding transport, including requirements in connection with brand production, SPF* shall be given prior notification of such requirements at the latest when the transport is ordered. If no such notification is given, SPF* shall not be held liable for the non-fulfilment of the special requirements. Space requirements and discrepancies in number of pigs SPF's* transport planning is based on statutory requirements on the space provided per pig and the total weight per load. Such requirements cannot be waived. The Seller* can however - with the Buyer's* acceptance - notify SPF* of discrepancies in number, weight or age up until five days before the agreed delivery date. In such cases, SPF* reserves the right to change the agreed delivery time on the agreed delivery day and to charge the Seller* for any additional transport costs. 34 Appendix E Requirements on loading and unloading conditions and on transport In the event of late or lacking notification of discrepancies, the Driver* shall during loading be entitled to refuse to accept pigs to ensure that statutory requirements are met. The Seller* shall also be obliged to compensate SPF* for any loss in transport earnings in relation to the agreed consignment*. E.7. E.7.1. Statutory requirements on transport and fitness for transport Pigs shall on collection be fit for transport, cf. currently applicable statutory requirements. The Owner shall confirm such fitness by signing the delivery note. The Driver* shall however, despite the Owner's confirmation, retain the unconditional right to refuse to accept pigs which he deems unfit for transport. Should an inspection performed by the authorities reveal that there are/have been pigs on the vehicle which were unfit for transport on collection, clause 7.5.d) shall apply. E.7.2. Criteria for fitness for transport are specified in Annex I, Chapter I of the Transport Regulation (Council Regulation (EC) no. 1/2005: a) No pig shall be transported unless it is fit for the intended journey, and all pigs shall be transported in conditions guaranteed not to cause them injury or unnecessary suffering. b) Pigs that are injured or that present physiological weaknesses or pathological processes shall not be considered fit for transport and in particular if: 1. they are unable to move independently without pain or to walk unassisted; 2. they present a severe open wound, or prolapse; 3. they are pregnant females for whom 90% or more of the expected gestation period has already passed, or female pigs who have given birth in the previous week 4. they are new-born pigs in which the navel has not completely healed; 5. they are pigs of less than three weeks of age, unless they are transported less than 100 km. Furthermore, pigs shall weigh more than 10 kg if the journey from the place of departure to the place of destination exceeds 8 hours. In addition to the above, SPF* shall take precaution to prevent pigs with the following weaknesses/injuries from being handed over for transport: 6. large umbilical hernia, i.e. the hernia shall be smaller than the following maximum sizes/diameters: a. 100-kg pigs: 15 cm b. 30-kg pigs: tennis ball c. 7-kg pigs: table tennis ball 7. scrotal hernia / undescended testicles 8. serious open wounds (e.g. sucking lesions) or serious abscesses 9. tail bites which are incompletely healed 10. lameness 11. prolapsed rectum 12. aural haematoma 13. injury 14. mated gilts* and pregnant sows* after more than 102 days of gestation 15. mated gilts* and pregnant sows* if the journey takes more than 8 hours If there is any doubt about a pig's fitness for transport, the Driver* is authorised by SPF* to decide whether he will refuse acceptance of the pig. E.8. E.8.1. Segregation of pigs during collection and transport In accordance with Council Regulation (EC) no. 1/2005, the following categories of pigs shall be segregated during collection and transport: a) Breeding boars (boars* which have been used for mating purposes) shall always be collected/transported separately from other pigs. b) Sows* shall not be collected/transported together with young boars. c) Gilts* more than 6 months of age shall not be collected/transported together with young boars more than 6 months of age. d) Young boars more than 6 months of age shall only be collected/transported together if they have been reared together or have been kept in the same pen for at least 2 weeks immediately prior to collection. e) Pigs of significantly varying size or age shall not be collected/transported together unless they have been reared together or are used to one another. Delivery notes and pedigree data for breeding stock SPF's* delivery notes shall only be used by the Seller* for sales to SPF* or transports arranged or performed by SPF*. The following shall be stated on the delivery note accompanying every consignment* of pigs: a) the supplier herd's* CHR number and name b) the supplier herd's* health status*, supplementary status information, any conditional health status* and salmonella information c) the recipient herd's* CHR no., name and (possibly) address d) business contract number in the form of a transport number e) the loading and unloading times (date and time) f) loading and unloading information g) form of transport* (SPF vehicle* and/or open vehicle* and transshipment/combined loads*) h) whether transshipment at an assembly centre* has occurred i) the number of pigs and their category j) payment conditions, including any reservation of title k) DanAvl product term of the supplier herd (DanAvl Dania Hybrid, DanAvl Basic Hybrid) on the delivery date. Weight shall only be stated if so stipulated in the contract. In that event, only the weight of the entire load at the time of loading shall be stated. F.1.3. F.1.4. The delivery note shall be signed by the supplier* (or the supplier's* proxy), the Driver* and the Buyer* (or the Buyer s* authorised recipient*). All parties* shall be issued a copy of the delivery note after loading and unloading respectively. Pedigree data and vaccination data of the individual breeding pig* is to be electronically transferred after delivery*. When exporting purebred (pedigree) breeding stock the pedigree data can also be read in the Pedigree Certificate required by the Buyer*. Where export is concerned the pedigree data with PRC registered codes for breeding stock* from litters registered in DanAvl Databank (pigs with code 100, 200 or 300 must be separately stated) shall be transferred electronically to SPF 2 days before delivery at the latest. Equally vaccination data shall be sent 2 days before delivery with the exception of export to countries requiring this information earlier. F.1.5. F.1.6. F.2. F.2.1. If purebred (pedigree) breeding stock* are purchased, the Buyer* shall be entitled to request that the pigs be accompanied by a pedigree certificate in accordance with EU regulations (89/503/EEC: Commission Decision of 18 July 1989 laying down the certificate of purebred breeding pigs, their semen, ova and embryos). Said pedigree certificates shall be issued by PRC* and be sent to the Buyer* within 8 days of completing the consignment*. Where export or transport to countries other than Denmark is concerned, all consignments* shall be accompanied by a CMR freight bill. Said freight bill shall be signed by the dispatcher (supplier* or assembly centre*), SPF* and the recipient*. The freight bill shall state that the consignment* is delivered in accordance with Incoterms 2010, as principal rule DAP Delivery at Place is used, meaning that liability for the pigs is transferred to the Buyer* when the pigs have been unloaded at the recipient's*. Any insurance shall be taken out and paid for by SPF* as far as to the destination herd*. Haulage shall be paid by SPF* while import duties shall be paid by the Buyer*. For air transport or transports through or into countries outside the EU CIP Carriage and Insurance Paid to can be used, which means that the liability for the pigs is transferred to the Buyer*, after unloading the pigs at agreed place of delivery. Insurance up to the agreed place of delivery inclusive of unloading will always be taken out by SPF*. Freight charges will be paid by SPF* and customs duties will be paid by the Buyer*. The password gives access to information which is relevant to the business relations between the Seller*, the Buyer* and SPF*. Mailing via * and use of addresses SPF* shall be entitled, without further agreement with the Buyer*/Seller*, to send post, including Business Agreements*, to the address used as a username on SPF-Portalen*, cf. clause F The Buyer* / Seller* shall be entitled to register additional addresses for receipt of the various categories of post sent by SPF*. The terms and designations used in this Declaration should be understood as defined in the appendix titled Definitions under the Agreement on Transfer, which is available on the PRC* website: Declaration I, the undersigned Buyer*, hereby declare: that I own and run a production pig herd, i.e. a pig herd that does not sell breeding stock* and that is neither directly nor indirectly owned or controlled by or has entered into organised partnership with any breeding programme other than DanAvl, that I run a commercial pig herd at the address(es) stated in Appendix A of the Buyer Declaration with the size also stated in Appendix A, that I do not sell purebred breeding stock* or offspring including semen thereof, that I am informed of and accept the prohibition on resale contained in the Terms of Sale included in this Buyer Declaration. I, the undersigned Buyer*, accept that my vendor (SPF*) or PRC* shall be entitled to issue an injunction against me and claim a fine or compensation if I violate the declarations made in clause G.2.1 including the prohibition on resale. The information given shall be treated in confidence by SPF* and PRC*. Competition I, the undersigned Buyer*, has not entered into organised partnership with any other breeding programme concerning my herd(s), cf. Appendix A of the Buyer Declaration. Use of purchased DanAvl breeding stock I, the undersigned Buyer*, accept that I shall use and house the purebred DanAvl breeding stock* in my own commercial herd and that I am not permitted without the prior written consent of PRC* to resell, house or in any other way allow a third party to use the purchased purebred DanAvl breeding stock* or their offspring, including hybrids thereof, for two years after my last purchase of purebred DanAvl breeding stock*, including semen, cf. clause 6.2 however. In this respect, third party shall include individuals and enterprises which produce weaners* or breeding stock* for use in the Buyer's* herd. The Buyer* shall be entitled to sell a) the purchased purebred DanAvl breeding stock* or their offspring direct for slaughter, b) offspring as weaners* for finisher production, c) offspring to a Buyer* whose herd is approved by PRC* as a breeding or multiplier herd (i.e. DanAvl herds). Inspection and certificates PRC* shall be entitled at any time within normal working hours to inspect my herd (including the collection of blood samples for DNA testing) and my records concerning production data and sale of breeding stock*. PRC's* inspection entitlement shall also apply to any herds belonging to me which are not specified in Appendix A of the Buyer Declaration. G.5.2. G.5.3. PRC* shall be entitled to inspect the purebred DanAvl breeding stock* sold by the Vendor before issuing pedigree certificates and to forward to me a health certificate for the purebred DanAvl breeding stock* sold. When visiting my herd, representatives of PRC* shall observe any agreed quarantine conditions.
