2 I. Background Tulare County is located in the Central San Joaquin Valley with a population of approximately 450,000. TCAG was formed by a joint powers agreement in 1971; that agreement was executed by the County of Tulare and the eight incorporated cities: Dinuba, Exeter, Farmersville, Lindsay, Porterville, Tulare, Visalia, and Woodlake. In 1982, TCAG was designated the Metropolitan Planning Organization for Tulare County. The designation gave TCAG the responsibility for the continuous, cooperative, and comprehensive transportation planning process in Tulare County as required by the federal government. TCAG is responsible for developing the Regional Transportation Plan, Federal Transportation Improvement Program, and Regional Transportation Improvement Program. TCAG s Board of Governors is made up of 17 members which includes: one member form each city, five members from the Tulare County Board of Supervisors, and three members appointed at-large. TCAG s transportation planning staff includes 7 Tulare County employees to carry out the transportation and planning functions of TCAG. The California High-Speed Rail Authority (Authority) is responsible for the planning, designing, building and operation of the first high-speed rail system in the nation. The California High-Speed Rail System (System) will connect the mega-regions of the State, contribute to economic development and a cleaner environment, create jobs and preserve agricultural and protected lands. By 2029, the System will run from San Francisco to the Los Angeles basin in under three hours at speeds capable of over 200 miles per hour. The System will eventually extend to Sacramento and San Diego, totaling 800 miles with up to 24 stations. The Tulare County Association of Governments (TCAG) is requesting proposals from qualified firms to prepare a Cross Valley Rail Corridor Plan along the existing rail corridor between Huron to the west and Porterville to the east, connecting the proposed Hanford High Speed Rail station with communities along this route. Existing rail facilities and Right of Way provide the backbone structure of a potential passenger rail service. The proposed plan should include site identification and other planning accommodations for passenger rail stations in each community, areas where double tracking is needed to accommodate the logistics of moving freight rail through the system at the same time and rail improvements where rail is deficient or missing. In the end, the plan should be a complete vision and plan for a regional passenger system. Implementation and construction would be immediately sought after using federal, state and other funds once the plan is adopted. II. Purpose In partnership with the Authority, the Tulare County Association of Governments (TCAG) will undertake a Station Connectivity Planning effort (the Project) associated with the Kings/Tulare Regional High Speed Rail Station. This effort will inform the design of the High-Speed Rail Station as well as enable cities and county communities to promote Transit Oriented Development (TOD), economic development, encourage revitalization, and facilitate growth in surrounding areas in support of the High- Speed Rail investment. A primary result will be to identify enhancements to multi-modal access connections between the High-Speed Rail Station and the communities along the intended route. The Project will define how the proposed High-Speed Rail station will be accessed by multimodal connections and include an evaluation of TOD, economic development and sustainability opportunities in affected communities.

3 The plan will be funded largely by Station Area Planning funds from the California High Speed Rail Authority, as well as from local contributions. The purpose of Station Area Planning funds is to provide funding assistance to High-Speed Rail station cities to prepare for the economic development and land use changes in their communities that will result from the addition of a High-Speed Rail station within their region. Planning for this type of development is important to the ridership success and development of the High-Speed Rail system. These Station Area Planning funds provided through the Authority are intended to support local governments to initiate station area planning and partnering with the Authority. The work will support and guide design efforts associated with development of the High-Speed Rail system. This Project shall result in a Cross Valley Rail Corridor Plan that is consistent with and supportive of the Federal Railroad Administration (FRA) American Recovery and Reinvestment Act (ARRA) grant guidelines; regional planning efforts required by Senate Bill (SB) 375; the Authority s programmatic and, as available, project environmental documents; and adopted Station Area Development Policies. It is intended that this process include public participation to involve the local community and interested stakeholders in the planning process. III. Budget and Invoicing The budget for tasks outlined in this agreement is set at $600,000. Invoices with a breakdown of which tasks have been completed and the percentage of each task completed should be submitted at the end of each month. All invoices must include a description of work completed and the hourly rate and expenditures for each employee. Direct expenses should include receipts or an acceptable form of backup. Ten (10) percent shall be retained from each invoice until the completion of the contract. This retention will be released to the contractor within 30 days of completion of contract and contract deliverables to the reasonable satisfaction of TCAG. The project budget and scope can be amended up to 50% for additional tasks desired by TCAG. Please note that funding availability for the project is contingent upon a signed agreement between the Tulare County Association of Governments and the California High Speed Rail Authority.

4 V. Proposals Proposals shall contain the following information: 1. Experience and qualifications: Prospective consultants shall provide a summary description of the firm s overall qualifications for this project and previous experience on similar or related engagements. The proposal shall also provide a description of the qualifications and experience of key staff proposed for this project. For each key project staff that works on this project, the proposal must list the location of the office that the employee typically works. Failure to provide the requested information may disqualify a proposal. (8 page maximum) 2. Understanding of the Project: Prospective consultants shall include a brief narrative of the consultant's understanding of the project requirements. The contents of this section are to be determined by the respondent, but should demonstrate understanding of the unique characteristics of this project and the requirements of the project in the scope of work contained in this request for proposals Attachment A. Prospective consultants must identify and state in the proposal the types of information it will need to complete the Scope of Services. (7 page maximum) 3. Project Personnel: Prospective consultants shall designate by name the project manager and primary professional staff to be employed. Primary professional staff shall include staff with a high number of proportionate hours performed on the project and specialized and/or technical staff. The selected consultant shall not substitute the project manager or key professional staff without prior approval by the TCAG Executive Director. (2 pages maximum) 4. Subcontracting: If subcontractors are used, prospective consultants must submit a description of each person and/or firm, the work to be done by each subcontractor, and the proposed budget for each firm. The TCAG Executive Director must approve all subcontractors and no work may be subcontracted nor the subcontractor changed without the prior approval of the TCAG Executive Director. (2 pages maximum per subcontractor) 5. References: 1) Firm. Prospective consultants shall provide names, addresses and telephone numbers for at least three (3) clients for whom the prospective firm has completed similar type projects to that being requested in this RFP. A brief summary statement for each assignment shall be provided, along with a description of the role the proposing firm had in project completion and/or implementation of said projects. 2) Key project personnel. References shall also be provided each for the project manager and the key professional staff employed on this project. Previous projects for key personnel may include work performed outside of the proposing firm if necessary. (5 page maximum) 6. Methodology: Prospective consultants shall describe the overall approach to the project(s), specific techniques that will be used, and the specific administrative and operational management expertise that will be employed. (10 pages maximum) 7. Conflict of Interest: Prospective consultants shall disclose any financial, business or other relationship with TCAG, any of the eight incorporated cities in Tulare County, the County of Tulare, or any of their officers or officials, and the Authority that may have an impact on the outcome of the project. The prospective consultant shall also list current clients who may have a financial interest in the outcome of the project.

5 8. Project Costs: Prospective consultants shall include cost details for the hourly labor rate, administrative and overhead rates and the profit rates for each staff working on the project. The proposal shall include a cost breakdown of the expenses incurred for the project by task, including the employee (with hours) to be assigned to each task, and the proposed total cost of the project. 9. Signature: The proposal shall be signed by an official(s) authorized to bind the consultant and shall contain a statement to the effect that the proposal is a firm offer for a 90-day period. The proposal shall also provide the following: name, title, address, and telephone number of individuals with authority to negotiate and contractually bind the company. 10. Insurance Requirements: TCAG will require the selected consultant to obtain and maintain at its sole cost and expense insurance meeting the requirements set forth in Attachment E. The selected consultant shall maintain said insurance policies in effect during the term of the contract and shall cause all parties supplying services, labor, or materials to maintain insurance in amounts and coverage not less than those specified above. The consultant shall file certifications of this insurance with TCAG prior to commencement of its performance under this agreement and throughout its duration. 11. Harmless Clause: TCAG will require the successful consultant to hold harmless, defend and indemnify TCAG and the County of Tulare, their officers, employees and agents from any liability, claims, actions, costs, damages or losses, for injury, including death to any person, or damage to any property arising out of the consultant's services. 12. Ineligible Bidders: Each consultant must certify that it is not included on the U.S. Comptroller General's Consolidated List of Persons or Firms Currently Debarred for Violations of Various Public Contracts Incorporating Labor Standards Provisions. Attachment B must be properly completed and submitted with the proposal. 13. Title VI of the Civil Rights Act of 1964: The contractor agrees to comply with all the requirements imposed by Title VI of the Civil Rights Act of 1964 (49 USC 2000d) and the regulations of the U.S. Department of Transportation issued there under in 49 CFR Part Equal Employment Opportunity: In connection with the performance of this contract, the contractor shall not discriminate against any employee or applicant for employment because of race, color, age, creed, sex, or national origin. Such action shall include, but not be limited to, the following: employment, upgrading, demotion or transfer, recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. 15. Disadvantaged Business Enterprise (DBE) Policy: It is the policy of the U.S. Department of Transportation that minority and women-owned business enterprises (hereby referred to as DBEs), as defined in 49 CFR Part 23, shall have the maximum opportunity to participate in the performance of contracts financed in whole or in part with federal funds under this agreement. On May 18, 2009, The Tulare County Association of Governments adopted a DBE program goal of 13.5%, 6.75% of which is race-conscious, and 6.75% of which is race-neutral. DBE

6 certification will be favorably considered in the selection process. If the prospective consultants, including sub-consultants, are DBE certified, a copy of the certificate shall be included in the proposal. Certification will be from an agency authorized to make such determinations; i.e., Small Business Administration, State of California, etc. Certification will be reviewed and may not be accepted in the event of irregularities. The proposal must list the percentage of work (by cost expended) to be completed by DBE certified consulting firm(s), prime or sub-consultants. If the percentage is less than 13.5%, an explanation of the attempt and failure to meet this goal must be provided. Failure to provide the requested information may disqualify a proposal. 16. Attachments: are attached herein. Attachments B-D must be included at the end of the submitted proposal. Submittals and Scoring 1. Selection of Successful Consultant: Selection of the successful consultant will be based on information provided in response to the RFP, consultant interviews, information provided by former clients of the consultant for whom work of a similar scope has been done, and consideration of any exceptions taken to the RFP or taken to the proposed contract terms and conditions. Proposals submitted by each consultant will be evaluated separately based on how well each proposal meets the scoring criteria listed below. 7 Local Firm Local firms are required to meet both of the following: - Local office in Tulare County AND at least 51% of the work be conducted by employees in the local office TOTAL POSSIBLE Contract Award: The selected consultant will execute a contract with TCAG after consultant selection approval. The official selection of the consultant, if any, will be made by TCAG at its March 2016 meeting. Unsuccessful proposals will be notified in writing. 3. Modification or Withdrawal of Proposals: Any proposal received prior to the due date and time specified may be withdrawn or modified by written request of the consultant. However to be considered, the final modified proposal must be received by the date and time specified above. All verbal modifications of these conditions or provisions are void and ineffective for proposal evaluation purposes. 4. Selection Process: All proposals submitted in response to this request will be screened by a selection committee using the provided scoring criteria. Proposal opening does not constitute the awarding of a contract. Any contract is not in force until it is awarded by the TCAG Board and executed by TCAG. a. As part of the selection process, TCAG staff will conduct in-person interviews for the top two or three proposals. Determination of the top proposals will be based on preliminary scoring of all proposals received by TCAG s staff in accordance with the description above. Once the required interviews are completed, TCAG staff will conduct a final scoring of these proposals based on information contained in the proposals and obtained in the interviews. Interviews are tentatively scheduled for March 14, 2016 at the TCAG offices at: Tulare County Association of Governments 210 N. Church Street, Suite B Visalia, California b. TCAG may, during the selection process, request from any applicant additional information that TCAG deems necessary to determine the applicant s ability to perform the required services. If such information is requested, the applicant shall be permitted three (3) working days to submit the information requested. c. TCAG reserves the right to select the applicant(s) that in its sole judgment best meets the needs of TCAG. The lowest proposed cost is not the sole criterion for recommending a contract award. TCAG reserves the right to reject any and all proposals and/or negotiate with another party or any other party directly. 5. Rejection of Proposals: Failure to meet the requirements of the RFP will be cause for rejection of the proposal. TCAG may reject any proposal if it is conditional, incomplete, contains irregularities, or has inordinately high or low costs. TCAG reserves the right to reject any and all

8 proposals without cause. TCAG may waive an immaterial deviation in a proposal when it determines that waiving a requirement is in the best interest of TCAG. Waiver of an immaterial deviation shall in no way modify the Request for Proposals documents or excuse the applicant from full compliance with the contract requirements, if the applicant is awarded the contract. 6. Public Record: All proposals submitted in response to this RFP shall become the exclusive property of TCAG. At such time as the selection committee recommends a proposal to the TCAG Board and such recommendation appears on the TCAG Board agenda, all proposals submitted in response to this RFP shall become a matter of public record and shall be regarded as public records. If there are any trade or proprietary secrets included by the consultant, the consultant may provide a different copy of the proposal that would be acceptable to release to the public. 7. Method of Payment: Payment to the selected consultant will be made upon successful completion of project tasks as invoiced by the consultant with a 10% retention withheld. Retention will be released at the completion of all tasks. Pre-award expenses shall not be allowed. Cash advances will not be available. VII. Questions Questions should be directed to Benjamin A. 9 Attachment A Consultant Scope of Work IX. Consultant Scope of Services Described below is the scope of work for the Kings-Tulare Regional HST Station Area Planning project. The scope lists out the project steps along with deliverables and schedule. PROJECT PHASING Phase I will focus on the development of a vision for the development of a regional HST station. This will be accomplished through extensive community engagement. The process will clarify the vision for a compact, functional station connected via a multi-modal network to regional city/transit centers. Phase I will include extensive outreach to major cities in the region with existing downtown bus transit centers (Dinuba, Hanford, Porterville, Tulare and Visalia) to evaluate potential increased demand for ridership in each community generated by connectivity to the HST station. In addition, the visioning will include ways to improve the areas within ½ mile of the bus transit stations to develop housing and ancillary businesses/services attracted to proximity to HSR services. Phase 2 will include technical work to evaluate up to three different vision options to identify land use, economic and transportation recommendations. This phase includes the following components: Identification of land use strategies for communities with existing and future downtown bus transit stations. The proposed project will identify land use and economic development strategies to attract growth to existing city centers and identify ways to promote HSR supportive development interconnected with the high speed train station and other communities in the region. Assess and develop recommendations to improve regional transit/transportation facilities and services to support access to the High-Speed Train Station This component will evaluate transportation systems in the region and develop recommendations to facilitate efficient regional access to the high speed train station. In addition, the project will assess the feasibility and timing of developing future improvements such as Bus Rapid Transit (BRT) and light-rail passenger service along the Cross Valley Rail system. The work will also consider other active transportation and shared use transportation alternatives to HSR station access appropriate for a regional station environment. Phase 3 will include a framework and strategy for implementing the regional HSR station area vision in concert with the HSR system implementation. The Report contents will include the following chapters: Goals and Objectives of the Kings/Tulare HSR Station Regional Connectivity Plan 1. Existing Conditions Report 2. Regional Station Visions 3. Economic, Real Estate, Fiscal and Financing Overlay

Implementation Framework and Strategy SCOPE OF WORK Task 1 - Work Plan Project Management and Project Organization Develop a Project Work Plan (WP), which sets forth the project team organization, detailed work scope, schedule and budget. The WP shall include the Contract Deliverables Requirements List (CDRL) and Project Milestones as the basis for status reporting and invoice preparation. Goals and measures for success for the planning process are included in this WP. The TCAG, and the consultant with the Authority will clarify roles and responsibilities, and reaffirm the project purpose, schedule, and anticipated deliverables. Within one month from the approval of this agreement, TCAG will issue a Request for Proposal for the project. A consultant will be selected within three months from the TCAG approval date. The WP will contemplate the relationship of the High-Speed Rail Train Station Vision in the context of broader community planning and implementation activities. The WP will lay out a roadmap for the implementation of the plan developed as part of the High-Speed Rail station area planning with other existing or on-going related planning activities. The WP will establish a Work Planning Team (WPT) consisting of TCAG, city of Visalia, city of Hanford, city of Porterville, the consultant and Authority personnel. The team will manage work plan issues, provide oversight for the work, and coordinate planning for the station area with concurrent planning projects by all parties in vicinity of the Project. Within the two month following the issuance of the Notice to Proceed to the Project Consultant, a kick off meeting will be held. KINGS-TULARE HIGH-SPEED TRAIN STATION D VISION Task 2 - Community Involvement 1. Project Coordination and Kick-off Meeting Discuss the issues associated with development of the High-Speed Train (HST) Vision, including project goals, opportunities, and constraints; coordinate delivery of relevant background information and documents for the existing conditions analysis. Meet with the Authority team to discuss issues associated with development of the station and discuss the Work Plan and project management approach.

11 2. Community Engagement Plan Create a community involvement Plan to encourage public participation in HST Station Access Vision process, ensuring a high level of community engagement. All materials prepared will be accessible to persons with disabilities, consistent with TCAG s and the City of Visalia s efforts to meet and exceed ADA requirements. The Authority team will be invited to participate in all community meetings and included in the distribution of project reports and newsletters. Community outreach will be done using a three-pronged approach. Extensive outreach will be conducted on a countywide level in both Tulare and Kings County to obtain feedback on the issues surrounding the station site and opportunities for connectivity between the five cities with transit services. Outreach will also be done in the five cities Visalia, Tulare, Dinuba, Porterville and Hanford - to discuss the connectivity and infrastructure development near each of the bus transit stations. Additional outreach to community stakeholders through business and service organizations will also be conducted as needed. The following outreach strategies will be used (all outreach will be conducted in both English and Spanish): Invitation letter to community leaders and stakeholders Newsletters and updates Newspaper noticing for all project events Postcards notifying community of key events Posters at public sites advertising workshops/events Project webpage on TCAG and surrounding cities websites with up-to-date project information, and updates on participating city sites. The community engagement strategy will ensure that community members, including property and business owners, are aware of the process and understand how they can participate in it. 3. Stakeholder Meetings Stakeholders will include transit agencies such as Amtrak, Orange Belt Stages, KART, Greyhound, TCat, Visalia Transit, Cross Valley Rail Corridor Joint Powers Authority, Genesee and Wyoming, the Union Pacific Railroad, business owners from Downtowns, property owners/managers from the agricultural area, staff from TCAG Governments, and the Local Agency Formation Commission (LAFCO). Some of these meetings may be repeated later in the project as more details about the downtown transit centers and the HSR site are developed. 4. Regional Workshops Hold a series of workshops to gain feedback from the community from the two-county region of Kings and Tulare. Components will include a virtual tour of high-speed rail projects and TODs around the world, followed by a small-group conversation among participants about what they liked and disliked in the tour. The workshop will also include an overview of the project and provide an opportunity to ask questions and provide input on issues to be addressed. Then, the group will discuss key community values to be reflected in the Vision.. These countywide workshops, and the five city-specific workshops that follow, will be conducted in both English and Spanish to ensure that all members of the community can participate.

12 5. Newsletters for electronic distribution The project s first newsletter will highlight key information and input gained from the outreach activities. This, and all future newsletters, will be in both English and Spanish. It will be available for wide distribution electronically on participating city and county websites and for blast s. 6. TCAG and Visalia City Council Work Sessions and Updates and Briefings Conduct one work session with TCAG and another work session with the Visalia City Council on station vision and growth opportunities. Provide periodic updates to TCAG and the Visalia City Council about work to date supporting regional growth objectives and connectivity to the HSR system. Provide monthly summaries for use by other communities on project goals, status and findings and/or recommendations. Site Tours Conduct site tour of the HSR station site and bus transit station TOD locations for the project team to identify issues and discuss existing conditions. This tour will include review of existing transportation infrastructure to identify opportunities and challenges. 2. Existing Conditions Report Prepare an existing conditions report summarizing the following key information. The report will consist primarily of graphically rich representations, supplemented with descriptive text. Background on the Authority s plans including ridership, access and parking projections, station design information, and alignment information. The existing and future conditions (without the proposed HST development) of all intersections and roadways within the half-mile radius of the proposed station site and bus transit station TOD locations. Traffic conditions should be obtained from recently completed work. Existing land uses and other site conditions, including existing visual character and quality, key landmarks and gateways, potential land rights retained by Cross Valley Railroad Joint Powers Authority, local destinations, and connections to neighboring areas in the cities and unincorporated county. Current demographic and economic trends regional-wide as well as future projections to establish a baseline for how the region and other key cities population and employment current trends and projections to inform consideration of how high-speed rail may shift, enhance, or otherwise change these trends, rather than trying to characterize current real estate market conditions. Current condition of the existing rail line, weight capacity and limitations. Key documents to be consulted and summarize relevant information relevant to HSR implementation from existing general plans including General Plan Updates, Sustainable Community Plans, RTP plans and County plans.

13 3. Five Regional Workshops These workshops will highlight the results of the existing conditions work. Participants will break into small groups to discuss preliminary ideas for the HSR station site and bus transit station TOD station locations 4. Preliminary Regional Station Vision Use the information from community engagement and existing conditions to identify up to three alternative Visions. Each vision will include a land use and transportation map, highlighting general HSR Station access and TOD at transit centers in nearby population centers, land use types, bicycle and pedestrian circulation, and vehicle circulation. This graphic material will be accompanied by a list of guiding principles and advantages/opportunities, as well as disadvantages/impacts. Summaries should include the following components: Community values and support. Review the vision for consistency with the community feedback and values that have been expressed at the Community Workshops, City Council Work Session. Plans and policies. Review the vision for consistency with existing TCAG and city s plans and policies, and note changes that may need to be considered under each vision. Road network. Review the road network to identify connectivity to the existing roadway system. Identify alternative and active transportation options to be considered under each vision. Include complete street concepts as appropriate. Multimodal Connectivity and Parking Overlay. Consider current and potential transit services, including BRT and light-rail. Assess the extent to which the visions retain and enhance connectivity between transit systems. Review the visions for bicycle and pedestrian circulation and connections to the various transit options. Review the vision with respect to location and size of the parking structure(s) and circulation needs. 5. Online Survey Prepare and administer a brief survey (in both English and Spanish) to participants at the five city-specific workshops. KINGS-TULARE HIGH-SPEED TRAIN STATION VISION EVALUATION Task 4 Economic, Real Estate, Fiscal and Financial Overlay Evaluate and identify the Economic Development Overlay for each Vision to attract housing, new industries, businesses and employment to existing and future city/bus transit stations. Identify land use changes necessary to encourage infill development, including planning for the Cross Valley Rail line. Provide up to five (5) best-practice case studies that apply to the development strategy approach. Provide recommendations for real estate development strategies to attract desired development to the bus transit stations. Identify value capture strategies and estimate potential value capture for potential development. Prepare a value capture and fiscal impact analysis of up to three (3) transit center area development. Deliverables Draft Development Report, including: Economic Development Strategies, including land use changes, development of districting and Real Estate Development Strategies, including Best Practice Case Studies. Value Capture and Fiscal Impact Analysis. Schedule Within 12 months of consultant NTP Task 5 Multi-modal Connectivity and Parking Overlay A multi-modal connectivity and parking overlay to the Vision will be created. It will follow the best practices for multimodal infrastructure planning. This overlay will be consistent with and supportive of the Authority s station access guidance and modal hierarchy. It will also address improved access from all directions and all modes with the highest consideration for safety of vulnerable travelers. Station area transportation access will be considered in the development for the Vision identified in Task 3. Tasks included analyzing the interrelationship between active transportation access, transit access and automobile access, to determine a balance of movement and access to the Regional HSR Station. Components of this analysis will include: Complete Streets analysis, designations, and streetscape improvements to TOD bus transit stations Examine potential regional transit connectivity improvements, including BRT and light-rail passenger service along the Cross Valley corridor and a Cross Valley Station adjacent to the HSR Station Define Future Transportation Needs and Provide Recommendations for updates to local transportation policies

15 Deliverables Multimodal connectivity and parking overlay Follow best practices, consistent with Authority s station access and modal hierarchy and improved access from all directions and all modes. Station Area Transportation Analysis including complete street analysis, streetscapes improvements, potential regional transit connectivity improvements, future transportation needs and recommendations for updates to local transportation policies. Schedule Within 12 months of consultant NTP Task 6 Recommendations A final set of recommendations will be developed summarizing the findings from the additional evaluation. Based upon this information a final gional HSR Connectivity Vision Plan will be identified. It will be informed by tasks 4 and 5 intelligence. This information will be presented to the affected cities and counties, interested government organizations and the Authority Board.. A final recommendation report summarizing the key components of the Vision will be prepared. The report will consist of the following key components: Community values and support. Summary of consistency with the community feedback and values that have been expressed at the Community Workshops, TCAG and City Council Work Sessions, and through the online survey. Plans and policies. Proposed plan and policy revisions necessary to implement the vision scenario. Economics. Assess potential fiscal benefits (revenues); potential for the Tulare, Porterville, Dinuba, Hanford and Visalia Transit Centers to attract existing and new users; and potential other economic-related impacts on adjacent areas. Sustainability Actions. Identification of sustainability activities associated with the Vision Scenario and the regional station development. Parking. Proposed parking arrangements to serve station access and any supporting services necessary for station access. Road network. Identification of any roadway changes necessary to accommodate great streets concepts and improve circulation to the station using alternative and/or active transportation techniques. Rail improvements. Identification of rail improvements, including weight requirements and doubletracking. Multimodal transportation. Proposed transit service improvements including BRT and light-rail connectivity and capacity to serve the regional station needs. Costs and Financing scenario. Provide order-of-magnitude costs and associated financing and value capture techniques to support the regional station area vision. Land Use. Identify land use preservation techniques to be applied around the station site to encourage growth to locate in surrounding city centers, transit oriented communities. IMPLEMENTATION STRATEGY AND NEXT STEPS Task 7 Implementation Planning Develop a framework and strategy for the implementation of the Preferred Regional Connectivity Plan. These will include planning and legislative actions, infrastructure needs, and near term actions. The Implementation Strategy and next steps can include but are not limited to: a. Draft General Plan Amendments and Zoning Code Amendments required for adoption of the Regional Station Area Plan. b. Environmental review (CEQA process) of the Kings-Tulare Regional HST Station Area Plan, General Plan Amendments, and Zoning Code Amendments. c. Development and implementation of a business owner assistance program and/or provision of a streamlined plan review and application process. d. A priority list of projects for implementation. This list of projects will be divided between short-term (1-10 years), mid-term (11-20 years) and long-term (20+ years). e. Pursuit of project funding for identified joint sustainability, development or transportation projects. f. Recommended policy changes for the 2019 Regional Transportation Plan, including the Sustainable Community Strategy. g. Rail improvement phasing plan. Deliverables Implementation Framework and Strategy (draft general plan amendments, environmental review, business owner assistance, streamlined review, project funding, policy changes) Final HSR Station Regional Connectivity Plan (includes existing conditions report, three regional visions, economic development report, multimodal and parking overlay, recommendations and implementation framework and strategy) Schedule Within 18 months of consultant NTP Within 18 months of consultant NTP

20 ATTACHMENT E PROFESSIONAL SERVICES CONTRACTS INSURANCE REQUIREMENTS PROFESSIONAL SERVICES CONTRACTS INSURANCE REQUIREMENTS CONTRACTOR shall provide and maintain insurance for the duration of this Agreement against claims for injuries to persons and damage to property which may arise from, or in connection with, performance under the Agreement by the CONTRACTOR, his agents, representatives, employees and subcontractors, if applicable. A. Minimum Scope & Limits of Insurance 1. Insurance Services Office Commercial General Liability coverage of $1,000,000 combined single Limit per occurrence (occurrence Form CG 00 01). If an annual aggregate applies it must be no less than $2,000, Insurance Services Office Form Number CA covering Automobile Liability, (any auto) of $1,000,000 per occurrence. If an annual aggregate applies it must be no less than $2,000, Workers Compensation insurance as required by the State of California, with Statutory Limits, and Employer s Liability Insurance with limit of no less than $1,000,000 per accident for bodily injury or disease. 4. Professional Liability (Errors and Omissions) Insurance appropriate to the CONTRACTOR S profession, with limit no less than $1,000,000 per occurrence or claim, $2,000,000 aggregate. B. Specific Provisions of the Certificate 1. CONTRACTOR must submit endorsements to the General Liability and Auto Liability reflecting the following provisions: a. The COUNTY, its officers, agents, officials, employees and volunteers are to be covered as additional insureds as respects: liability arising out of work or operations performed by or on behalf of the Contractor; or automobiles owned, leased, hired or borrowed by the CONTRACTOR. b. For any claims related to this project, the CONTRACTOR s insurance coverage shall be primary insurance as respects the COUNTY, its officers, agents, officials, employees and volunteers. Any insurance or self- insurance maintained by the COUNTY, its officers, agents, officials, employees or volunteers shall be excess

21 of the CONTRACTOR s insurance and shall not contribute with it. c. Each insurance policy required by this agreement shall be endorsed to state that coverage shall not be canceled by either party, except after thirty (30) days prior written notice has been provided to the County. 2. The Workers Compensation policy shall be endorsed with a waiver of subrogation in favor of the COUNTY for all work performed by the CONTRACTOR, its employees, agents and subcontractors. a. Waiver of Subrogation. The workers compensation policy shall be endorsed with a waiver of subrogation in favor of the COUNTY for all work performed by the contractor, its employees, agents and subcontractors. CONTRACTOR waives all rights against the County and its officers, agents, official, employees and volunteers for recovery of damages to the extent these damages are covered by the workers compensation and employers liability. C. Deductibles and Self-Insured Retentions The COUNTY Risk Manager must approve any deductible or self-insured retention that exceeds $100,000. D. Acceptability of Insurance Insurance must be placed with insurers with a current rating given by A.M. Best and Company of no less than A(-):VII and a Standard & Poor s Rating (if rated) of at least BBB and from a company approved by the Department of Insurance to conduct business in California. Any waiver of these standards is subject to approval by the County Risk Manager. E. Claims Made Form If any of the required insurance is written on a claims made form, the retroactive date must be before the date of the contract or the beginning of the contract work and must be maintained and evidence of insurance must be provided for at least five (5) years after completion of the contract work. F. Ver ification of Cover age Prior to approval of this Agreement by the COUNTY, the CONTRACTOR shall file with the submitting department, certificates of insurance with original endorsements effecting coverage and a copy of the declarations page from the policy in effect in a form acceptable to the COUNTY. Endorsements must be signed by persons authorized to bind coverage on behalf of the insurer. The COUNTY reserves the right to require certified copies of all required insurance policies at any time.
