2 BEFORE THE DEPARTMENT OF TRANSPORTATION WASHINGTON, DC DOT-OST Delux Public Charter, LLC Page 1 of 5 ) Application of Delux Public Charter, LLC ) For Authority to Conduct Passenger ) DOT-OST Operations as a Commuter Air Carrier ) Pursuant to 49 USC ) ) REQUEST FOR ENTRY OF FINAL ORDER AND ISSUANCE OF EFFECTIVE AUTHORITY On April 15, 2016, the Department of Transportation issued an Order to Show Cause Proposing Issuance of Commuter Air Carrier Authority 1 (the Order to Show Cause ) tentatively finding that Delux Public Charter, LLC ( Delux ) is a citizen of the United States and is fit, willing and able to conduct scheduled passenger operations as a commuter air carrier. The Order to Show Cause also granted Delux s request to shorten the time to file objections to 5 business days. That time has passed without any objections having been filed in opposition to the Order to Show Cause. Delux respectfully requests that the Department confirm its tentative conclusion and issue a final order confirming that Delux is fit, willing, and able under 49 U.S.C to provide scheduled passenger service as a commuter air carrier using small aircraft pursuant to Part 135 of the Federal Aviation Regulations. 2 Further, upon issuance of the Final Order, Delux respectfully requests that the Department make its commuter authority effective as soon as possible so that Delux can begin offering its new, innovative air service product as contemplated by its application. Accordingly, 1 Order (issued Apr. 15, 2016). 2 Id. at 8.
3 DOT-OST Delux Public Charter, LLC Page 2 of 5 Delux hereby submits the information requested in the Department s standard Terms, Conditions and Limitations confirming Delux s fitness. (a) A copy of the holder's Air Carrier Certificate and Operations Specifications authorizing such operations from the Federal Aviation Administration (FAA). Attached as Exhibit A. (b) A certificate of insurance on OST Form 6410 evidencing liability insurance coverage meeting the requirements of 14 CFR 205.5(b) for all of its aircraft. Attached as Exhibit B. (c) A statement of any changes the holder has undergone in its ownership, key personnel, operating plans, financial posture, or compliance history, since the date of the Show Cause Order in this case. Since the issuance of the Show Cause Order on April 15, 2016, Delux has not undergone any change in its ownership, key personnel, operating plans or compliance history. There also has been no material change in Delux s financial posture. An update on the payment of Delux s pre-operating expenses and third-party confirmation of the funds available is being provided in response to (d) below. (d) A revised list of pre-operating expenses already paid and those remaining to be paid, as well as independent verification that the holder has available to it funds sufficient to cover any remaining pre-operating expenses and to provide a working capital reserve equal to the operating costs that would be incurred in three months of operations. Delux is submitting a revised list of pre-operating expenses. While Delux projected that it would incur $917,781 in pre-operating expenses, it actually incurred $1,391,897 as depicted in the chart below. The majority of the cost overage is due to certification and commuter authority taking two months longer than planned. All of these additional pre-operating expenses have been paid.

In the Order to Show Cause, the Department found that Delux would require $3.44 million to satisfy the fitness test, which was comprised of $917,781 in pre-operating expenses minus $119,250 in pre-operating expenses already paid, $72,500 in aircraft deposits, and $2.57 million, which is one quarter of Delux s first-year projected expenses of $10.27 million. 3 Delux has now paid its pre-operating expenses, and it believes that the $2.57 million remains an accurate estimate of three-months of operating expenses during its firstyear. Moreover, while Delux has not prepared a balance sheet since Delux submitted one to the Department dated April 6, 2016, Delux can confirm that there have been no material changes to Delux s current liabilities. Indeed, Delux has maintained a substantial working capital surplus. As confirmed by the third-party bank statements submitted as Exhibit C, Delux has more than adequate working capital and cash to satisfy the Department s fitness test. 5 DOT-OST Delux Public Charter, LLC Page 4 of 5 million available in its two accounts, exceeding by over $1 million the amount that the Department has found will be necessary for Delux to satisfy the financial fitness test. 4 In consideration of the foregoing and in the absence of any objection to the Order to Show Cause, Delux Public Charter requests that the Department: (a) Confirm its tentative findings in the Order to Show Cause through the issuance of a Final Order; (b) Make the commuter authority effective as soon as possible thereafter; and (c) Grant such other relief as the Department finds is in the public interest. The working capital surplus exceeds by more than $1 million the amount Department tentatively found would be necessary to satisfy the financial fitness test, $3.44 million. In fact, the amount required is less than $3.44 million because Delux already has paid almost all, if not all, of its pre-operating expenses.
