1 Sephora Instagram Contest ( Rules ) 1. CONTEST PERIOD The Sephora Instagram Contest ( Contest ) will run from 11:00am on May 31, 2016 to 11:00am on June 1, 2016 ( Contest Period ). All times are Eastern Time. The Sponsor s clock is the time keeping device for this Contest. 2. CONTEST SPONSOR The Contest will be administered at Vaughan Mills, 1 Bass Pro Mills Drive, Vaughan, Ontario. The sponsor of the Contest is Ivanhoe Cambridge Inc. ( Sponsor ). 3. ELIGIBILITY No purchase or payment necessary. Except as set out in the following paragraph, the contest is open to any resident of Ontario who has a valid Instagram account and who at the time of entry is 18 years of age or older. The following are ineligible to participate in the Contest: (1) Employees, interns, contractors, directors, and officers of: (a) Sponsor, its subsidiaries, and/or its affiliates, and/or (b) any of the consulting, advertising, and promotional agencies and administrators used in connection with the Contest, and (2) members of the immediate families of those ineligible to participate under item (1). For the purpose of these Rules, immediate family members are parents, siblings, children, and spouses, regardless of place of residence. 4. HOW TO PARTICIPATE Only one entry per person per day permitted regardless of method of entry. For clarity, on each day during the Contest Period you can enter using Instagram, and the use of multiple accounts to enter more than once per day is not permitted. Any person who submits, or attempts to submit, more entries than permitted under these Rules may be disqualified in Sponsor s sole discretion. Using Instagram: Using your Instagram account, users are to like the Vaughan Mills Sephora Contest post, follow the Vaughan Mills Instagram and tag another user on instagram. Your Instagram account must be publicly viewable during the Contest Period and during the period after the Contest Period when the potential winners are selected (i.e., your account cannot be set to private) in order to be eligible to participate in the Contest. 5. ENTRY REQUIREMENTS Entries (Instagram posts) must: be in compliance with Instagram s Terms of Use (available at instagram.com/about/legal/terms) not contain any content, element, or material that violates a third party s publicity, privacy, or intellectual property rights

2 2 not contain any use of third party trade-marks, trade names, logos, slogans, or copyrights be original works that do not contain, incorporate, or otherwise use any content, material, or element that is owned by a third party not be derogatory, offensive, threatening, defamatory, disparaging, or libelous, and must not contain any content that is derogatory, offensive, threatening, defamatory, disparaging, libelous, inappropriate, indecent, sexual, profane, tortuous, discriminatory in any way, or that promotes hatred or harm against any group or person, or otherwise does not comply with the nature of the Contest not be unlawful, and must not contain content, material, or any element that is unlawful or otherwise contrary to any applicable law, by-law, or regulation not contain explicit language or content, images of violence, or promotion of violence or illegal activities not contain content that denigrates, disparages, or reflects negatively on any of the Released Parties (defined below) or shopping centres be the subject of, or related to, any actual or potential claim or other similar action not contain content showing identifiable individuals who have not (or, if such individuals are under the age of majority in the jurisdiction of their legal residence, whose parents or legal guardians have not) consented to the use of their images in connection with the Contest not contain personal information of individuals, including, but not limited to, names, phone numbers, and addresses, without the express consent of those individuals ( Entry Requirements ) 6. REPRESENTATION, INDEMNIFICATION, AND LICENCE By participating in the Contest, you represent and warrant that your Entry complies with the Entry Requirements and you agree to indemnify and hold Sponsor harmless from and against all loss, liability, claims, costs, and expenses arising in connection with your failure to comply with the Entry Requirements. As between Sponsor and the participant, the participant retains ownership of all intellectual and industrial property rights in and to his or her entry. By participating in the Contest, each participant (i) waives in whole all of his or her moral rights in respect of the entry, and (ii) grants Sponsor a perpetual, irrevocable, worldwide, transferable, royalty-free, and non-exclusive licence to use, reproduce, adapt, modify, publish, distribute, publicly perform, create a derivative work from, and publicly display the entry, for any purpose, without any attribution or compensation to the participant. Nothing herein will obligate Sponsor to make any use of any of the rights set forth herein. 7. PRIZES There is 1 prize available, with an approximate value of $ (each a Prize ). The Prize is:. One (1) $100 Gift Card to Sephora. Each Prize must be accepted as awarded and is not transferable, assignable, or convertible to cash, except as may be permitted by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to substitute a Prize or any part thereof with an item or items of equal or greater value, including, without limitation, and at Sponsor s sole discretion, a cash award. If a Prize is not claimed,

3 3 it will be forfeited. If a Prize cannot be awarded in accordance with these Rules, such Prize will not be awarded. 8. ODDS The odds of winning depend on the number of eligible entries submitted and received in accordance with these Rules. 9. POTENTIAL WINNER SELECTION On Wednesday, June 1, 2016 at Vaughan Mills, 1 eligible entry will be selected by random draw from among all eligible entries submitted and received in accordance with these Rules (regardless of method of entry) and the person who entered the corresponding entry will be the potential winner of the corresponding Prize ( Potential Winner ). For clarity, so long as these Rules are complied with, the content of your entry will not affect your chance of winning. All entries will be assigned a number (in no particular order) and 1 random draw from among such numbers will be conducted, with the entry corresponding to such drawn number being the selected entry. The order of the drawn numbers will correspond with the Prizes in the order of the list set out in section 7 above. 10. POTENTIAL WINNER NOTIFICATION Potential Winner used Instagram to enter, on Wednesday, June 1, 2016 at 2:00pm Vaughan Mills official Instagram account (@vaughan_mills) will post to the Sephora Contest post with a tagged user who will be named the Potential Winner with directions to privately provide his or her name and telephone number to Sponsor. Sponsor will then attempt to contact the Potential Winner using the information provided. In the event Sponsor is unable to contact a Potential Winner within 5 hours of the posting of notification, or such Potential Winner declines to continue his or her participation in the Contest for any reason, such Potential Winner may be disqualified at Sponsor s sole discretion, and Sponsor may, at its sole discretion and time permitting, hold another random draw to select another eligible entry from among the remaining eligible entries, in which event the provisions of this section will apply with respect to such newly selected entry. In the event of a dispute as to the identity or eligibility of an entrant corresponding to an entry, the entrant will be deemed to be the natural person who is assigned the applicable Instagram account by Instagram, Inc. respectively (or such other entity responsible for the assignment of Instagram or Twitter accounts). 11. PRIZE WINNER CONFIRMATION PROCESS Before being declared a confirmed Prize winner, a Potential Winner must successfully answer a skilltesting question unaided and unassisted, present government-issued photo identification verifying the residency and age of such Potential Winner, and complete, sign, and return Sponsor s contest release & acknowledgement form to receive the Prize, which, among other things, (i) confirms compliance with these Rules, (ii) acknowledges acceptance of the Prize as awarded, (iii) releases Sponsor, its affiliates, subsidiaries, prize suppliers, advertising/promotion agencies, Instagram, Inc., Twitter, Inc. and all entities and persons involved in the development, production, implementation, administration, and/or fulfillment of the Contest, and each of their respective officers, directors,

4 4 employees, agents, representatives, successors, and assigns (collectively, the Released Parties ) from any liability in connection with the Contest, and (iv) confirms the winner s agreement to the publication, reproduction, and/or other use of his or her name, address, voice, statements about the Contest, and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of Sponsor in any manner, including, but not limited to, print, broadcast, and/or the Internet (including, but not limited to, social media). If a Potential Winner: (a) fails to correctly answer the skill-testing question, (b) fails to return the properly executed Contest documents as outlined herein, (c) cannot accept, or is unwilling to accept, the Prize as awarded for any reason, (d) is not confirmed to be a winner by Tuesday, January 12, 2016, and/or (e) is determined to be in violation of these Rules, all as determined by Sponsor in its sole discretion, he or she may, in Sponsor s sole discretion, be disqualified (and if disqualified, will forfeit all rights to the Prize), and Sponsor may, in its sole discretion and time permitting, select an alternate potential winner in accordance with these Rules. 12. VERIFICATION OF ENTRIES All entries are subject to verification at any time and for any reason. Sponsor reserves the right, in its sole discretion, to require proof of identity and eligibility in a form acceptable to Sponsor, including, without limitation, government-issued photo identification (i) for the purposes of verifying an individual s eligibility to participate in the Contest, (ii) for the purposes of verifying the eligibility and/or legitimacy of any entry, and/or (iii) for any other reason Sponsor deems necessary, in its sole discretion, for the purpose of administering the Contest in accordance with these Rules. Failure to provide such proof to the satisfaction of Sponsor in a timely manner may result in disqualification in Sponsor s sole discretion. 13. GENERAL The Contest is not sponsored, endorsed, or administered by, or associated with, Instagram, Inc. or Twitter, Inc. The Contest is subject to all applicable laws, by-laws, and regulations. The Contest and the interpretation of these Rules are governed by the laws of Canada and Ontario. Sponsor s decisions with respect to all aspects of the Contest are final and binding on all participants without right of appeal. Anyone determined to be in violation of these Rules for any reason is subject to disqualification in Sponsor s sole discretion at any time. The Released Parties will not be liable for the failure of any entry and/or other information to be received, captured, or recorded. An attempt to undermine the legitimate operation of the Contest may be a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek remedies and damages as permitted by law. Sponsor reserves the right, in its sole discretion, to cancel, amend, or suspend the Contest, or to amend these Rules, without prior notice for any reason. Any personal information that is collected during this Contest will be used solely for the purpose of administering the Contest and will not be used for any other purpose without the consent of the participant. By participating in the Contest, each participant expressly consents to Sponsor, its agents, and/or representatives, storing, sharing, and using personal information collected only for the

5 5 purpose of administering the Contest and in accordance with Sponsor s privacy policy, available at: ivanhoecambridge.com/en/conditions-and-privacy, unless the participant agrees otherwise. By participating in the Contest, each participant automatically accepts these Rules and automatically releases the Released Parties from any liability arising in connection with the Contest. In the event of any discrepancy or inconsistency between these Rules and other materials, disclosures, or statements (including, but not limited to, Contest-related advertisements), the terms and conditions of these Rules will prevail.
