Your date(s) and time(s). The balance of your space rental fee is due fifteen (15) days prior to your event. Miscellaneous costs, such as bar, catering, furniture, and equipment rentals are due ten (10) days prior to your event. Please elect/check one of the following options: You provide a copy of your Special Event Liability Insurance (due no later than ten (10) days prior to your event). See Insurance section below for requirements of Special Event Liability Insurance. You execute Hold Harmless Form in favor of THE DUNN S (See Attachment A). Any additional costs that arise will be due within two (2) days of your event. Payments should be made to The Dunn s Events and Entertainment in cash, money orders and major credit cards are accepted. A CREDIT CARD AUTHORIZATION FORM (See Attachment B), last page of this contractual agreement. No refunds of the space rental fees will be paid fifteen (15) days prior to an event, as your agreement to rent THE DUNN S on this date may cause the loss of additional bookings or business. Reserved food and beverage catering, along with rentals and/or purchases necessary to produce your event, in THE DUNN S sole discretion, may not be refunded or may not be refunded in full if costs have been incurred toward that obligation. CONDITIONS AND RESPONSIBILITIES OF RENTER Please read the material below to make sure all parties understand the requirements of providing for everyone s safety and keeping The Dunn s a well maintained and safe location for future use.
2 DEPOSIT/RENTAL FEES A signed contract and date-hold deposit in the amount of TWO HUNDRED DOLLARS ($200.00) for each 5-hour rental period, must be received to reserve your date(s) and time(s). The balance of your space rental fee is due fifteen (15) days prior to your event. Miscellaneous costs, such as bar, catering, rentals, etc., are due ten (10) days prior to your event. any additional costs that arise will be due within two (2) days of your event. There are no terms which are implied or granted, and no work will be allowed to commence until full payment is received. Complete Property: $ Building Only: $ Patio/Backyard Only: $ NOTE: Complete Property rental time is six (6) hours. All taxes are included in prices. Please initial appropriate line. INSURANCE Special Event Liability insurance is required of ALL renters and is due no later than ten (10) days prior to your event. The insurance must, at renter s sole expense, provide and maintain public liability and personal property damage insurance, insuring THE DUNN S EVENTS AND ENTERTAINMENT RENTALS and SANBOY INVESTMENTS LLC employees, contractors and contracted vendors against all bodily injury, property damage, personal injury and other loss arising out of renter s use and occupancy of the premises, or any other occupant on the premises, including appurtenances to the premises and sidewalks. The insurance required hereunder shall have a single limit liability of not less than $1 million, and general aggregate liability of not less than $2 million SANBOY INVESTMENTS LLC shall be named as an additional insured of said policy. If alcohol is to be served please make sure that the policy includes Host Liquor Liability coverage to protect you against alcohol related accidents, as you are ultimately liable for the safety of your guests. Established catering Services may use their license and insurance to cover this. Any caterers and/or outside vendors, companies, and/or institutions MUST provide a copy of their certificate of insurance and catering License to THE DUNN S, naming THE DUNN S EVENTS AND ENTERTAINMENT RENTALS/SANBOY INVESTMENTS LLC as stated, and will be delivered at least one month prior to the event. LIABILITY Renter agrees to indemnify, defend, and hold THE DUNN S EVENTS AND ENTERTAINMENT RENTALS and SANBOY INVESTMENTS LLC, its landlord, building owners, officers, employees, and agents harmless of and from any liabilities, costs, penalties, or expenses arising out of and/or resulting from the rental and use of the premises, including but not limited to, the personal guarantee of provision, service, and dispensing of payment by renter, its employees, and agents of alcoholic beverages at THE DUNN S EVENTS AND ENTERTAINMENT RENTALS and SANBOY INVESTMENTS LLC. In the event THE DUNN S EVENTS AND ENTERAINMENT RENTALS and SANBOY INVESTMENTS LLC, its landlord, building owners, officers, employees and/or agents, are required to file any action in court in order to enforce any provisions of this agreement, renter agrees to pay THE DUNN S EVENTS AND ENTERTAINMENT RENTALS and SANBOY INVESTMENTS LLC, its officers, landlord, building owners, employees and/or agents, all reasonable attorney fees, court fees, and costs of suit incurred by THE DUNN S EVENTS AND ENTERTAINMENT RENTALS and SANBOY INVESTMENTS LLC, including all collection expenses and interest due. CATERING STANDARDS We highly recommend that a caterer from our THE DUNN S recommended caterers list be used for your event. Our recommended caterers have experience working at THE DUNN S and are familiar with our regulations, policies, and procedures. Use of caterers not on our recommended list may, in THE DUNN S sole discretion, result in an increased deposit and fee. Insurance/Credit card all caterers working at THE DUNN S are required to have a valid certificate of insurance and a credit card on file with THE DUNN S.
3 Kitchen Policy THE DUNN S kitchen is production space and is to be used for final food presentation, plating and bussing only. Please note that THE DUNN S does not provide dishes, glassware, pots, pans, knives or utensils. The kitchen production space will be provided in a clean condition and the space should be returned to a clean condition immediately following your event. a final walkthrough with a member of our event staff is mandatory at the close of your event. Please refer to check lists posted in the kitchen production area. Caterers must remove all trash, composting and recyclables from the site as we do not have adequate facilities. all trash, including sorted recyclables and properly sorted compostables, must be collected, properly bagged and removed by the caterer. Failure to remove or clean will result in additional fees to caterer and will be charged to the caterer s credit card on file. THE DUNN S EVENTS AND ENTERTAINMENT RENTALS and SANBOY INVESTMENTS LLC encourage those renting space to consider green, sustainable, fair trade, ecologically sound cleaning and zero waste solutions. THE DUNN S proudly commits to as close to zero waste events as possible. CAPACITY The Dunn s 12 at table, 70 in room seated, 70 to 90 standing reception Rear Patio/Backyard 75 seated on deck or 100 standing SITE DECORATION THE DUNN S wants to make every event here a special and welcome experience. Therefore, every effort will be made to allow renter to prepare decorations reflecting their creative requirements. we ask that only the staff of THE DUNN S rearrange and move any furnishings, including, but not limited to, artwork, or seating. no nails, screws, staples or penetrating items are to be used on our walls or floors. NO glitter or foil (non-paper) confetti is allowed on site. Only low tack tape is allowed on our floors and wall. any damage will be charged after your event. FURNISHINGS A choice of the following is included in the leasing fee and will be set up at your direction. Additional furnishings can be rented at an additional charge. Round tables: 5 (60-inch diameter) 10 tables, 4' (48-inch diameter) up to 12 tables Black padded banquet chairs: up to 80 Rectangular tables: 8' or 6 High cocktail tables (6) Preparation Kitchen complete with: Ice Machine, Food warming Box, Microwave, and Refrigerator. LIVE MUSIC/DJs/NOISE THE DUNN S encourages music and lots of dancing! However, please be aware that the premises are located near residential units and therefore neighborhood noise regulations do apply. in the event that renter s event creates a disturbance due to high noise volume, THE DUNN S onsite manager has full authority to ask the renter, DJ or live music presenter to turn the entertainment down and/or off. if repeated disturbances are created, at THE DUNN S EVENTS AND ENTERTAINMENT RENTALS and SANBOY INVESTMENTS LLC discretion, renter may be expelled from the premises or the offending noise will be ended. in the event of disturbances to the point of expulsion, no portion of the event costs will be refunded to renter. Loud music must end by 11 p.m. during weeknights (Monday thru Thursday) and by 1 a.m. on weekends (Friday and Saturday). additional time can easily be added provided the volume is modest and it cannot be heard beyond the boundaries of the property or by immediate neighbors.
4 Note: CHAPTER 368: REGULATION OF NOISE 1. No person shall produce or allow to be produced by any machine, or device, music or entertainment or any combination of same, on residential property over which the person has ownership or control, a noise level more than five dba above the ambient at any point outside of the property plane. 2. No person shall produce or allow to be produced by any machine, or device, music or entertainment or any combination of same, on multi-unit residential property over which the person has ownership or control, a noise level more than five dba above the local ambient three feet from any wall, floor, or ceiling inside any dwelling unit on the same property, when the windows and doors of the dwelling unit are closed, except within the dwelling unit in which the noise source or sources may be located CANCELLATION Date-Hold deposit is non-refundable from date of booking. Renter may change or move event date one time if dates and times are available. LOAD-IN/LOAD-OUT AND STORAGE All load-ins and load-outs must take place within the designated timeframe given by THE DUNN S. if there is an event prior to yours a timed delivery will be required. THE DUNN S is not responsible for checking in or handling any items brought into the venue by rental companies. all external items must be checked in and signed for by the client or client s representative. all excess material (such as bubble wrap, boxes, hangers, plastic, etc.) created by deliveries must be removed and disposed of by rental company, client, or client s representative. Limited storage is available upon request. Storage fees will be applied to any items left overnight or beyond normal load-in/loadout times. This also applies to items left post event for shipment out via courier. Note: It is not the responsibility of THE DUNN S to ensure that pick-ups are scheduled and executed. CLEANING, TRASH AND EQUIPMENT REMOVAL THE DUNN S will be in a clean condition prior to your event. We ask that all tables be cleared before you depart the space and THE DUNN S staff will complete all cleaning. THE DUNN S encourages those renting space to consider green, sustainable, fair trade, ecologically sound cleaning and zero waste solutions. All rental equipment from outside vendors must be removed immediately following your event. CITY, COUNTY, STATE AND FEDERAL LAWS Renter agrees to comply with all applicable city, county, State, and Federal laws and shall conduct no illegal act on the premises. This is a drug free and non-smoking facility at all times, NO EXCEPTIONS. Renter shall not sell alcohol on premises at any time. Renter may not serve alcohol to minors on the premises at any time. Renter agrees, for everyone s safety, to ensure alcoholic beverages are consumed in a responsible manner. THE DUNN S reserves the right, in its exclusive discretion, to expel anyone who in its judgment is intoxicated or under the influence of alcohol or drugs, or who shall in any manner do or participate in any act jeopardizing the rights, use permit, or insurability of THE DUNN S or the safety of its staff, guests, or building contents. ENTRY AND EXIT Renter agrees that THE DUNN S EVENTS AND ENTERTAINMENT RENTALS and SANBOY INVESTMENTS LLC staff may enter and exit premises during the event. A representative of THE DUNN S will be on site during your entire event and will be checking periodically with the responsible parties to insure everything is running smoothly. We will also be checking the bathroom, the overall premises, replenishing hand towels and toilet paper, and will be available for questions or to respond to needs or issues that may arise at any time.
5 LOST AND FOUND THE DUNN S EVENTS AND ENTERTAINMENT RENTALS and SANBOY INVESTMENTS LLC take no responsibility for personal effects and possessions left on premises during or after any event. We will, however, maintain a lost and found and will hold recovered items up to 10 days. Every attempt will be made to return any recovered item to its rightful owner. CONDUCT There is absolutely NO DRUG use or SMOKING of any kind tolerated on premises or within 75 feet of the building including loitering or congregating outside on the front porch at any time during the event. A designated smoking area will be the only acceptable smoking area on the property. Disparaging remarks or any type of physical violence will not be tolerated and will be cause for immediate expulsion. Renter and guests shall use the premises in a considerate manner at all times. During underage events, such as school dances, we prefer that underage individuals do not have in and out privileges. Conduct deemed disorderly at the sole discretion of THE DUNNS EVENTS AND ENTERTAINMENT RENTALS or SANBOY INVESTMENTS LLC staff shall be grounds for immediate expulsion from the premises and conclusion of the rental period. In such cases NO refund of the event costs shall be made. SECURITY A JSO officer must be present at all events held at THE DUNN S. All security fees will be the responsibility of the renter and paid in full ten (10) days prior to scheduled event. A representative from THE DUNNS will submit application and payment to the Jacksonville Sheriff s Office. PROMOTIONS AND COPYRIGHT It is important to us that you have a fantastic and successful event. Should THE DUNN S EVENTS AND ENTERTAINMENT RENTALS or SANBOY INVESTMENTS LLC be engaged in the promotion or co-production of your event, it is imperative that we see and approve all marketing messages and communications. THE DUNN S EVENTS AND ENTERTAIMENT RENTALS is our name, however, you would be allowed to shorten it to THE DUNN S Governing Law and Attorney s Fees. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its choice of law principles. The parties consent to exclusive jurisdiction and venue in the federal and state courts sitting in Duval County, Florida. In any action or suit to enforce any right or remedy under this Agreement or to interpret any provision of this Agreement, the prevailing party shall be entitled to recover its reasonable attorney s fees, costs and other expenses. Duty to Indemnify. RENTER hereby agrees to indemnify and defend THE DUNN S, its Affiliates, Partners, Successors and Assigns from and against all claims, demands, actions, proceedings, liabilities, costs, and expenses based on any claim that: (i) arises from an alleged breach of RENTER s obligations, representations or warranties under this Agreement; (ii) arises from RENTER s actions or omissions. Disputes. If a dispute arises under this Agreement,, the parties agree to submit the controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association (AAA), in accordance with the rules of Chapter 682 of the Florida Statutes (Arbitration Code) which rules are deemed to be incorporated by reference into this clause, and judgment on the award rendered by a single arbitrator shall be entered in the jurisdiction of Duval County, Florida. Costs of arbitration, including attorney fees, will be allocated by the arbitrator. The place of arbitration shall be Jacksonville, Florida. Notwithstanding the foregoing, either Party may bring proceedings in any court of any state for the purpose of seeking: (a) an Injunction, order or other non-monetary relief which could not be obtained by using ADR; or (b) any relief or remedy which, if it (or its equivalent) were granted by ADR and Chapter 682 of the Florida Statutes, would not be enforceable in such other state. Legal Effect.
6 A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Notices. Any notice, demand, or request with respect to this Agreement shall be in writing and shall be effective only if it is delivered by personal service, by air courier with receipt of delivery, or mailed, certified mail, return receipt requested, postage prepaid, to the address set forth above. Such communications shall be effective when they are received by the addressee; but if sent by certified mail in the manner set forth above, they shall be effective five (5) days after being deposited in the mail. Any party may change its address for such communications by giving notice to the other party in conformity with this section. Binding Effect. This Agreement shall be binding upon, and inure to the benefit of, the successors, executors, heirs, representatives, administrators and permitted assigns of the parties hereto. RENTER shall have no right to (a) assign this Agreement, by operation of law or otherwise, without THE DUNN S s prior written consent which may be withheld as THE DUNN S determines in its sole discretion. Any such purported assignment shall be void. Severability. If any provision of this Agreement shall be found invalid or unenforceable, the remainder of this Agreement shall be interpreted so as best to reasonably effect the intent of the parties. Entire Agreement. This Agreement, including the Attachments and the, constitutes the entire understanding and agreement of the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements or understandings, inducements or conditions, express or implied, written or oral, between the parties. Force majeure; legal restraint. If either THE DUNN S or RENTER is prevented from or delayed in performing any of its obligations under this Agreement by reason of statutes, regulations or orders of a governmental entity (including actions taken by a court or by law enforcement officials), or because of war, terrorism, acts of God, labor disturbances, civil unrest, or any cause beyond the reasonable control of such Party, that Party shall not be liable to the other Party for damages by reason of any delay or suspension of performance resulting from such legal restraints or force majeure. The Party invoking this Article, however, shall furnish the other Party with Subsequent Notice of same no more than two (2) Business Days after the onset of the conditions delaying or preventing performance. We are happy to provide professionally created images of our space for promotional materials. We hope you will refer others here and are happy to answer any questions you might have about the types of events we do. A representative of THE DUNN S and/or promotional materials and signage will be present at all events. 7 (ATTACHMENT A) WAIVER OF LIABILITY AND HOLD HARMLESS AGREEMENT In consideration for being allowed to use the Facility, the undersigned: Assumes all risks whether or not known or reasonably foreseeable, which may be associated with the permitted use. Shall hold harmless forever, indemnify and defend THE DUNN S EVENTS AND ENTERTAINMENT RENTALS and SANBOY INVESTMENTS LLC, its employees, representatives and agents against any claim, action, loss, damage, injury liability, cost and expense of whatsoever kind or nature (including but not by way of limitation, attorney's fees and court costs) arising out of injury (whether mental or corporeal) to persons, including death, or damage to property, arising out of or incidental to the use of THE DUNN S EVENTS AND ENTERTAINMNET RENTALS facilities. The renter(s) requesting permit for use of THE DUNN S grounds/facilities is hereby notified that the renter is exposed to liabilities as the sponsor of planned activities being permitted. The renter(s) may wish to contact an insurance representative of its choosing to discuss the planned activities, associated liabilities and availability of liability insurance for same. It is my express intent that this Waiver of Liability and Hold Harmless Agreement shall bind the members of my family, spouse and guest, if THE DUNN S alive, and my heirs, assigns and personal representative, if THE DUNN S deceased, and shall be deemed as a release, waiver, discharge and covenant not to sue the above-named releasees. I hereby further agree that this Waiver of Liability and Hold Harmless Agreement shall be construed in accordance with the laws of the State of Florida. THE DUNN S reserves the right to cancel the facility rental without notice due to unplanned emergencies or unforeseen events. Refunds may take 3 business days to process. In signing this release, I acknowledge and represent that I have read the foregoing Waiver of Liability and Hold Harmless Agreement, understand it and sign it voluntarily as my own free act and deed; no oral representations, statements, or inducements, apart from the foregoing written agreement, have been made; THE DUNN S at least eighteen (18) years of age and fully competent; and I execute this release for full, adequate and complete consideration fully intending to be bound by same. Please complete and sign this form to authorize THE DUNN S EVENTS AND ENTERTAINMENT RENTALS (SANBOY INVESTMENTS LLC) to make a debit(s) to your credit card listed below. This permission does not provide authorization for any unrelated debits or credits to your account.
