Instructions to Proposers Proposers are to read and understand all of the information contained in this RFP. The provisions of this RFP along with the proposal submitted will be part of the contract documents for this project. The City s Project Manager for this project is Ross Anderson. 2. The City is bounded on the north by El Segundo, on the east by Hawthorne, on the east and south by Redondo Beach, on the south by Hermosa Beach, and on the west by the Pacific Ocean. The City is a beach community with approximately 2.1 miles of beachfront. The City has a total land area of 1,788 acres (3.88 square miles). The city is generally bound by Rosecrans Avenue on the north, Aviation Boulevard on the east, Artesia Boulevard on the south and the Pacific Ocean on the west. Sepulveda Boulevard (State Highway 1) runs north-south through the middle of the City Introduction It is estimated that the City of Manhattan Beach has approximately 38 traffic signal locations, both as sole operator and as shared operator with neighboring cities (Caltrans signals excluded). The scope of this project is including the thirty (30) traffic signal locations not found on Sepulveda and Aviation Boulevards (See Appendix B). $1.1M has been budgeted in the CIP fund to replace traffic signal equipment in the Downtown area at the corners of Manhattan Beach Blvd. with Valley Drive/Ardmore Avenue, Highland Avenue with Manhattan Beach Blvd., 3

4 Manhattan Avenue with Manhattan Beach Blvd., 15 th Street with Highland Avenue and 15 th Street with Valley Drive/Ardmore Avenue. The condition of the traffic signal heads and poles at these locations were found to be extremely weathered. This prompted City staff to initiate an assessment of the condition of traffic signal equipment (all above ground equipment only) citywide (except those along Sepulveda Boulevard and Aviation Boulevard) and prepare a comprehensive maintenance program for all traffic signal equipment in the City. This effort will first focus on the five Downtown intersections. The results of the survey and prioritization of those poles and heads will determine what traffic signal equipment will be replaced immediately while the remainder of the citywide traffic signal installations are inventoried. Many of the poles are located in areas of limited space and heavy pedestrian usage. The design and subsequent construction should take into account the need for the lowest possible impact on the lives of the residents, visitors and business owners. The Project Engineer proposed for this project must be a registered Civil and/or Traffic Engineer in the State of California, with expertise in traffic signal equipment, inventory databases and construction methods. The requested services will require traffic engineering and civil engineering design plans, specifications, engineer s estimate (PS&E) and bidding documents. The tasks also include necessary project design management, bidder information, and professional design assistance to the City during construction. The City will make all available record documents (maps, plans, ordinances, resolutions, studies, etc.) available to the Consultant. City staff will provide guidance and assistance necessary to obtain the information required for completion of the project Contract Period It is estimated the term of the contract will be six months or until the completion of the project Single Point of Contact for Questions The contact person for all questions regarding this RFP is Ross Anderson. Mr. Anderson can be reached at or via at randerson@citymb.info with a copy to Gwen Eng, Purchasing Manager at geng@citymb.info. Proposers may not contact any other staff members with questions. Proposers must notify the City of any ambiguity, inconsistency or error they may find. All questions about the RFP must be submitted in writing to Mr. Anderson. Questions must be submitted via by the deadline. Any changes or corrections to the original RFP or any other information that will affect the completion of the award will be disseminated and posted on the City s website General Requirements Proposers must submit three (3) hard copies and one (1) electronic version of the proposal by the deadline contained herein. The electronic version must be on labeled media (company name) in searchable PDF format as a single document (optimized and compressed) to the locations specified on the coversheet on or before the closing date and time for receipt of 4

5 proposals. The naming convention for the file is company name. The electronic copy will not be accepted in-lieu of the hard copies required. Failure to comply with these instructions may render the proposal non-responsive. The proposal shall address all the items outlined in this Request for Proposal. 4. Scope of Services The firm selected for the project will be required to provide traffic engineering and civil engineering services to take the project from inception to completion. Downtown Traffic Signal Inventory (Phase 1A): The scope of work for the engineering firm for the Downtown Traffic Signal Inventory Task will consist of a field survey of the five (5) existing traffic signals in the Downtown area of the City of Manhattan Beach, the preparation of an inventory database with all necessary data and the provision of recommendations for the traffic signal equipment in greatest need of replacement. This task will culminate in a meeting with City staff to identify the downtown locations recommended for immediate action appropriate for the project budget Citywide Traffic Signal Inventory (Phase 1B): The scope of work for the engineering firm for the Citywide Traffic Signal Inventory Task will consist of a field survey of the twenty-five (25) remaining existing traffic signals in the City of Manhattan Beach not found on Sepulveda and Aviation Boulevards, the preparation of an inventory database with all necessary data and the provision of recommendations for the traffic signal equipment in greatest need of replacement. This task will culminate in a meeting with City staff to prioritize maintenance for the remaining traffic signal locations and ongoing budgetary recommendations for the maintenance of a robust traffic signal system. Design of Replacement of the Existing Signal Equipment (Phase 2): The scope of work for the Design of Replacement of the Existing Signal Equipment Task will consist of the preparation of PS&E, in accordance with City, County and State standards, methods and practices, including structural design of footings and ongoing budgetary recommendations for the maintenance of a robust traffic signal system. The work shall include, but is not limited to the following: Project Management and Meetings - Provide full oversight of the project scope and coordination with the City. The Firm shall provide project administration including necessary project meetings, meeting notes, separate cost accounting for the project, quality control and adherence to the project schedule. The Firm shall meet with the City to initiate the project and obtain a clearer understanding of the project elements. The Firm shall also meet with City staff as mentioned above after completing the survey, inventory and prioritization for the Downtown area to give direction to the design effort for the Design of Replacement of the Existing Signal Equipment Task. Conference calls shall be included in the scope of work without limitation. Deliverables shall be a draft and final output from the database; meeting agendas; meeting minutes; project schedule updates and a short report summarizing the traffic signal recommendations, any 5

6 alternatives based on input from Public Outreach, safety concerns or other criteria, the justification for their selection and a preliminary construction cost estimate. Project Survey, Inventory and Prioritization Conduct a phased field survey on all non- Caltrans traffic signals within the City not found along Sepulveda and Aviation Boulevards, listed in Appendix B. Populate the database or other platform with complete data sets of existing and proposed above-ground equipment necessary for an ongoing maintenance program for the City. Set priorities for the year-to-year maintenance effort the City must expend to achieve a traffic signal system in good repair per industry standards and prepare a budgetary projection for the next 20 years to maintain that standard. Deliverables include the inventory platform containing the data sets and a short report revealing the traffic signal recommendations, any alternatives based on input from Public Outreach, safety concerns or other criteria, the justification for their selection and a preliminary construction cost estimate. Project PS&E Package Prepare the project PS&E package for the replacement of existing signal equipment in the Downtown area. After the traffic signal recommendations have been identified, work shall begin on this design resulting in a constructible, sound and quality traffic signal installation. Deliverables shall be a complete plan set, comprehensive specifications and an appropriate cost estimate. Assume a PS&E package for 3-5 intersections for resource allocation planning and cost. Use State of California Section 86 for overall traffic signal design but follow Los Angeles County Public Works specifications for signal heads, wiring and battery back-ups. PS&E shall conform to City templates and formats. Any construction related work that may impact existing sidewalk, curb ramps, cross walks, etc. must be shown on the plans and specs to be upgraded to comply with the latest ADA requirements ensuring these improvements will be within verified existing public rights-of-way. The consultant must make adequate provisions to perform adequate existing utility research and potholing in order to prepare a good sound set of plans. Public Outreach The City prides itself on having extensive community outreach on projects which may impact the neighborhood. The Firm will be required to make presentations at two (2) community outreach meetings to be held in the evening time and at least three (3) City Council/and/or Commission meetings. More than two outreach meetings could be conducted, so the Consultant should provide costs for attending, preparing materials, and presenting the project for additional meetings. The first community outreach meeting should be considered after the Firm and City agree on the scope of the project and the critical project elements are determined. The subsequent community outreach meetings would be held during design development and when the plans are at 90% completion. It is important that the community participation occur at times when the public can influence project elements. The City Council presentations may occur at any time during the project. o Deliverables: Presentation, Handouts Project Specific Descriptions and Summaries for Staff Reports Summary of meeting comments and outcomes Bid and Construction Phase The Consultant shall answer questions regarding the Technical Provisions, the design drawings or conflicts in the design during the bidding 6

7 process and construction phase as well as assist the City in issuing Contract Change Orders regarding omissions or conflicts in the design, at no charge to the City. The Consultant shall assist the City, at no charge, in preparation of Addenda regarding omissions or conflicts in the design. The Consultant shall incorporate all redline comments prepared by the Contractor and project inspector on the signed design plans. The as-built drawings shall be provided to the City and approved prior to the release of the final progress payment. The City will be the owner of all original drawings, documents, and digital information. All digital and or computer generated drawings shall be the property of the City and a copy shall be submitted to the City on a CD-RW disk in AutoCAD and PDF formats. 5. Scope of Work Proposal The Consultant s Proposal shall be no more than 50 pages, excluding a cover letter of up to two (2) pages, dividers, matrix, schedule, and certificates. Proposals failing to provide sufficient information and assurances of performance to accurately assess each category of the required services and failing to comply with requirements and conditions of the RFP will not be given further consideration. The Consultant s Proposal shall include, at a minimum, the following information listed below in the same order as requested: a. Understanding Scope of Services Please describe your understanding of the scope of services to be performed. b. Methodology and Work Plan Please provide a description of the proposed work program and techniques to complete the scope of services. The work plan should demonstrate your firm s ability to conduct these services in a professional, timely, and efficient manner. c. Project Management Please describe how the Firm will manage the Project in terms of communication, coordination, meetings, work assignments, document management, work execution and quality assurance/control. A statement of qualifications applicable to this project including the names, qualifications and proposed duties of the Consultant s staff to be assigned to this project; a listing of recent similar projects completed within the last five (5) years including the client/agency name, as well as the name, title, telephone, and address of the contact person most familiar with the similar work. These references will be checked and may affect the award of the contract. The City of Manhattan Beach reserves the right to contact any of the organizations or individuals listed or any others that may stem from the inquiry. If one (1) or more of the Consultant s staff should become unavailable, the Consultant may substitute other staff of at least equal competence only after prior written approval by the City. The Consultant acknowledges and understands that the Consultant will not be allowed to change the sub-consultant without written permission from the City. 7

8 A resource allocation matrix must be submitted with the proposal. The resource allocation matrix must list detailed tasks in rows and the appropriate individual (Job Title Only) as well as the number of hours that these individuals will be working on each task listed, will be included in adjacent columns. The resource allocation matrix and the project design schedule are required of both the primary Consultant, as well as any subconsultant. In addition, the applicable Consultant support services must list the type and number of test, and hours being proposed, as well as the type and number of hours (resource allocation matrix) of survey work within the proposal. Failure to do so will result in the Consultant s Proposal being deemed incomplete and it will not receive further consideration. Project Schedule Please provide a project schedule of the major project activities and significant milestones in a weekly format. Assume start of work according to the Notice to Proceed date in this RFP. Contract Exceptions Please provide any proposed exceptions, additions, and/or deletions to the City s Request for Proposal. The City WILL NOT accept any proposed requested changes to the City s Professional Services Agreement including the ability to meet the stipulated insurance requirements and other contractual terms therein.. Please submit a proposal only if there is a clear understanding that your firm can execute the City s Professional Services Agreement without any changes. By submitting a proposal, the proposer represents they have an understanding of and will comply with the specifications and requirements of the RFP and any addenda, 6. Fee Proposal In a separate sealed envelope, submit fees to accomplish each task in a Not-to-Exceed Fee which must include conservatively estimated reimbursable expenses to complete the each major task as described in the Scope of Work. The cost proposal must be consistent with the Resource Allocation Matrix to provide a breakdown of approximate man-hours by classification in order to accomplish each task and subtask described in the Scope of Work. Meetings, either on-site or by telephone, shall be included as work within each task. Time to accomplish each task shall be expressed in calendar days. 7. Evaluation Process Selection of the Firm for interview (if interviews are held) with the City will be based on the contents of the written proposal. The proposal will be evaluated and ranked by a committee of selected City staff. The proposals will be rated according to the following selection criteria (in no particular order): a. Demonstrated understanding of City requested scope of services and overall successful project delivery (35 points) b. Key personnel (including sub consultants) qualifications and experience with traffic signal system projects (35 points) 8

9 c. Project management methods with emphasis on Project Manager s Day-to-Day direct Interaction Role with City Project Manager as well as quality control/assurance (20 points) d. Interview presentation and/or reference checks (10 points). Upon completion of the Proposer evaluation process, a short list will be established and the City will enter into negotiation with the top ranked Firm for the desired consulting services. Compensation for the subject services will be negotiated based on what is fair and reasonable to the City. Should City staff and the top-ranked Firm be unable to reach an agreement, negotiations with that Firm will be terminated and negotiations will commence with the next ranked firms in order of their evaluation ranking until an agreement is reached and a Firm is selected. 8. Award of Contract Following evaluation and rating by the proposal review committee, the City Engineer will recommend award of a contract to the most qualified proposer providing the best value to the City. The term of the contract will begin after the contract Agreement is fully executed, and all required bonds, insurance documents and contents of the Information Packet have been received and approved. 9. Payment To Consultant A. Once the contract is awarded, the City will pay the Consultant for work completed consistent with the Resource Allocation Matrix Cost Schedule as described in the Fee Proposal. B. Progress payments shall be based on tasks performed as identified in the Cost Schedule. Monthly invoices will specifically identify job title, person-hours, and costs incurred by each task. C. Sub-categorization of task is permitted to better define the task for payment. D. All tasks including labor and reimbursable costs shall have supporting documentation presented at the time payment is requested. E. The City will pay the Consultant for all acceptable services rendered in accordance with the Agreement for Professional Consultant Services. F. When the Consultant is performing, or is requested to perform, work beyond the scope of service in the Agreement for Professional Consultant Services, an Amendment to the Agreement will be executed between the City and 9

10 Consultant. G. Payment will be based on hourly rate for work completed associated with each applicable task as identified in the Consultant s proposal. 10. Insurance Requirements Contractor shall at all times during the term of this Agreement carry, maintain, and keep in full force and effect, insurance as follows: [ X ] A policy or policies of Comprehensive General Liability Insurance, with minimum limits of $2,000,000 for each occurrence, combined single limit, against any personal injury, death, loss, or damage resulting from the wrongful or negligent acts by Contractor. [ X] A policy or policies of Comprehensive Vehicle Liability Insurance covering personal injury and property damage, with minimum limits of $1,000,000 per occurrence combined single limit, covering any vehicle utilized by Contractor in performing the Services required by this Agreement. [ X ] Workers compensation insurance as required by the State of California. [ X ] A policy or policies of Professional Liability Insurance (errors and omissions) with minimum limits of $2,000,000 per claim and in the aggregate. Any deductibles or self-insured retentions attached to such policy or policies must be declared to and be approved by City. Further, Contractor agrees to maintain in full force and affect such insurance for one year after performance of work under this Agreement is completed. Other Insurance Provisions. The general liability and automobile liability policies are to contain, or be endorsed to contain, the following provisions: City, its officers, officials, employees, designated volunteers and agents serving as independent contractors in the role of City officials, are to be covered as additional insureds as respects: liability arising out of activities performed by or on behalf of Contractor; products and completed operations of Contractor; premises owned, occupied or used by Contractor; or automobiles owned, leased, hired or borrowed by Contractor. The coverage shall contain no limitations on the scope of protection afforded to City, its officers, officials, employees, designated volunteers or agents serving as independent contractors in the role of City officials which are not also limitations applicable to the named insured. For any claims related to this Agreement, Contractor s insurance coverage shall be primary insurance as respects City, its officers, officials, employees, designated volunteers and agents serving as independent contractors in the role of City officials. Any insurance or self-insurance maintained by City, its officers, officials, employees, designated volunteers or agents serving as independent contractors in the role of City officials shall be excess of Contractor s insurance and shall not contribute with it. Contractor s insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer s liability. Each insurance policy, except for the professional liability policy, required by this clause shall expressly waive the insurer s right of subrogation against City and its elected officials, officers, 10

11 employees, servants, attorneys, designated volunteers, and agents serving as independent contractors in the role of City officials. Each insurance policy required by this Agreement shall be endorsed to state: should the policy be canceled before the expiration date, the issuing insurer shall mail 30 days prior written notice to the City. If insurance coverage is canceled or reduced in coverage or in limits, Contractor shall within two business days of notice from insurer, phone, fax and/or notify the City via certified mail, return receipt requested, of the changes to or cancellation of the policy. The City s Risk Manager may, in writing, amend and/or waive any or all of the insurance provisions set forth herein. In such case, the Contractor shall comply with the insurance provisions required by the City s Risk Manager. The policy or polices required by this Agreement shall be issued by an insurer admitted in the State of California and with a rating of at least A-;VII in the latest edition of Best s Insurance Guide, unless waived in writing by City s Risk Manager. Contractor agrees that if it does not keep the aforesaid insurance in full force and effect, City may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, City may take out the necessary insurance and pay, at Contractor s expense, the premium thereon. All insurance coverages shall be confirmed by execution of endorsements on forms approved by City. The endorsements are to be signed by a person authorized by that insurer to bind coverage on its behalf. All endorsements are to be received and approved by City before services commence. As an alternative to City forms, Contractor s insurer may provide complete, certified copies of all required insurance policies, including endorsements affecting the coverage required by these specifications. Any deductibles or self-insured retentions must be declared to and approved by City, and shall not exceed $25,000. Contractor shall require each of its sub-contractors (if any) to maintain insurance coverage that meets all of the requirements of this Agreement. Indemnification. Contractor shall defend, indemnify, and hold harmless the City, its officials, and every officer, employee and agent of City (collectively City ) from any claim, liability or financial loss (including, without limitation, attorney s fees and costs), injuries to property or persons (including without limitation, attorney s fees and costs) arising out of any acts or omissions of Contractor, its officials, officers, employees or agents in connection with the performance of this Agreement, except for such claim, liability or financial loss or damage arising from the gross negligence, sole negligence, or willful misconduct of the City, as determined by final arbitration or court decision or by the agreement of the Parties. Contractor shall defend City, with counsel of City s choice, at Contractor s own cost, expense, and risk, and shall pay and satisfy any judgment, award, or decree that may be rendered against City. Contractor shall reimburse City for any and all legal expenses and costs incurred by each of them in connection therewith or in enforcing the indemnity herein provided. Contractor s obligation to indemnify shall not be restricted to insurance proceeds, if any, received by Contractor or City. All duties of Contractor under this Section shall survive termination of this Agreement. 11
