2 REQUEST FOR PROPOSALS SALE OF INDUSTRIAL AUTOMATION CONTROL SYSTEMS & PLCS SCOPE OF WORK The Jacksonville Port Authority seeking qualified companies or individuals to purchase surplus NEW and USED Industrial Automation Control Systems & PLCs, located at the Talleyrand Marine Terminal Storeroom, 2064 E. 11 th Street, Jacksonville, Florida The NEW and USED Industrial Automation Control Systems & PLCs surplus equipment is no longer useful to the Jacksonville Port Authority. Therefore, the purpose of this Request for Proposal (RFP) is to request proposal(s) about your company s or individual interest to acquire this surplus equipment and your ability to remove it as necessary and in accordance with specifications, terms and conditions listed herein. The Buyer must become fully aware of the condition of the surplus equipment and Scope of Work before submitting a sealed bid proposal. Failure to do so will not relieve a successful bidder of its obligation to purchase, remove and dispose of said surplus equipment at the price submitted in its Proposal Form. The Buyer expressly acknowledges that JAXPORT will accept no responsibility for the manner and method utilized by the Buyer or its Contractor to remove and dispose of the surplus equipment or any of its component parts from JAXPORT S property nor will JAXPORT assume any liability whatsoever as a result of such removal and disposal. All costs associated with the removal and transportation/shipping of the surplus equipment to its final destination shall be paid solely by the Contractor. REMOVAL OF SURPLUS EQUIPMENT In order to accommodate the Buyer s schedule for the removal of the surplus equipment from JAXPORT s property and to accommodate Buyer s need to prepare the surplus equipment for transportation to its final destination, JAXPORT will permit the surplus equipment to remain at JAXPORT, until December 31, The Buyer will remove the surplus equipment from JAXPORT s property and all costs of such removal shall be borne exclusively by the Buyer. In the event the Buyer does not remove the surplus equipment from the JAXPORT s property by December 31, 2016, Buyer shall be charged storage rental at the rate of Two Hundred Dollars ($200.00) per month to be considered as liquidated damages. If the surplus equipment has not been removed by February 28, 2017, the surplus equipment shall thereafter be considered Abandoned Property pursuant to Chapter 717, Florida Statutes, and JAXPORT may thereafter dispose of the surplus equipment at its discretion, irrespective of any payment made by Buyer hereunder. During this period, JAXPORT reserves the exclusive and unilateral right in its sole discretion to direct the relocation of the surplus equipment to a different place of rest on JAXPORT s property, based on operational necessities of JAXPORT or to a different place of rest requested by the Buyer, subject to approval by JAXPORT. The cost of such relocation shall be the sole responsibility of the Buyer. BUYER QUALIFICATIONS Buyer must become fully aware of the condition of the surplus equipment and technical specifications before submitting a sealed bid proposal. Failure to do so will not relieve a successful bidder of its obligation to accept and acquire surplus equipment at the price submitted in its response to this Request for Proposal. Buyer acknowledges and understands that the surplus equipment being Purchased is as is and where is and, Buyer expressly acknowledges that JAXPORT will accept no responsibility for the manner and method utilized by the Buyer to remove the surplus equipment or any of its component parts from JAXPORT s property nor will JAXPORT assume any liability whatsoever as a result of such removal. All costs associated with the removal and transportation of the surplus equipment to its final destination shall be paid solely by the Buyer and JAXPORT assumes no responsibility for the payment of any of these costs. 3 INSPECTION OF SURPLUS EQUIPMENT Any Buyer(s) interested in inspecting the surplus equipment prior to submission of a proposal, please schedule an appointment by contacting either Jerrie Gunder, Contract Specialist (904) / jerrie.gunder@jaxport.com or Dave Barber, Equipment Manager at (904) / david.barber@jaxport.com. It s the Buyer s responsibility to set up appointment and become fully aware of the condition and location of surplus equipment, prior to submission of a response to this Request for Proposal. Answers to questions will be released in an Addenda directed to all known prospective proposers and advertised on our bidding opportunities website at The deadline for questions will be TUESDAY, NOVEMBER 1, 2016 at 9:00AM (EST). AS IS - WHERE IS PURCHASE Buyer s previous opportunity for examination of the surplus equipment and the Buyer s determination to purchase the surplus equipment shall be irrefutable proof that the Buyer accepts the surplus equipment in the present condition as is - where is and that the surplus equipment is suitable for the Buyer s purposes. Buyer acknowledges that JAXPORT is conveying the surplus equipment in its present state as is, where is and with all faults condition, and has not made and does not make any warranties or representations, whether express or implied, with respect to the surplus equipment the value or marketability thereof, or its suitability for Buyer s intended use. Buyer acknowledges that it has made or will make all factual, legal, and other inquiries or investigations it deems necessary, desirable, or appropriate with respect to the surplus equipment and the value thereof, and in entering into and proceeding under this purchase agreement it has and will rely solely on such inquiries and investigations. Buyer agrees that upon closing this transaction, and subject to the limitations and provisions of Section , Florida Statutes, which limitations are not expanded, altered, or waived herein, it waives, releases, and discharges any claim it has or may have against JAXPORT with respect to the condition of the surplus equipment, either patent or latent, the actual or potential income or profits to be derived from the surplus equipment, the compliance with any environmental protection, pollution, or property use laws, rules, regulations, or requirements, and any other state of facts which exist with respect to the surplus equipment. RISK OF LOSS During the time the surplus equipment remains at the Talleyrand Marine Terminal Storeroom, JAXPORT accepts no responsibility for the care, maintenance or preservation of the surplus equipment. JAXPORT further assumes no responsibility or liability for any loss or damage occurring to the surplus equipment while it remains on JAXPORT s property whether or not such loss or damage results from any action of JAXPORT, its officers, employees, agents or assigns. At all times during the term of the Agreement, the Buyer assumes all risk of loss or damage to the surplus equipment. AWARD JAXPORT prefers to award this contract as ALL-OR-NONE to the Buyer offering the highest bid price consistent with terms and conditions set forth on this Request for Proposal. No sale will be made until all necessary inquiries have been made into the responsibility of the highest bidder and JAXPORT is satisfied that the Buyer is qualified to purchase the surplus equipment and has the necessary capital to execute a Sale Agreement. JAXPORT reserves the right to accept or reject any or all proposals, in whole or in part and reserves the right to award the contract to the Buyer submitting the highest bid proposal for the sale of NEW and USED Industrial Automation Control Systems & PLCs. JAXPORT will be the sole judge of which Proposal will be most advantageous, is in its best interest and its decision will be final. Prices offered shall be firm for a period of ninety (90) days from award date of this contract. RFP Page 3

4 RESPONSE TIME Sealed bid proposals will be received by JAXPORT until 2:00PM (EST), MONDAY, NOVEMBER 14, 2016, at which time they shall be opened by the Procurement Services Department in the Public Meeting Room of the Port Central Office. In order to be considered for award of this ALL-OR-NONE Surplus Equipment Sale, please submit a sealed envelope to the attention of: Jacksonville Port Authority Procurement & Contract Services Attn: Jerrie Gunder 2831 Talleyrand Avenue Jacksonville, Florida RETURNS All sales of said surplus equipment will be final. JAXPORT under no circumstances will accept a return of surplus equipment nor will refund the money collected for the sale of surplus equipment. PAYMENT The Buyer must be prepared to pay for the surplus equipment within ten-days (10) from execution of a Sale Agreement. The purchase and sale of the surplus equipment shall be completed and finalized upon receipt of full payment. Surplus equipment will not be released until full payment has been received by JAXPORT. Payments will be accepted via a Cashiers Check or Money Order ONLY, made out to the attention of the: Jacksonville Port Authority and mailed or delivered to: Jacksonville Port Authority Procurement & Contract Services 2831 Talleyrand Avenue Jacksonville, Florida WARRANTY JAXPORT disclaims any express or implied representations or warranties, including without limitation, warranties of fitness of the surplus equipment for any purpose. INDEMNIFICATION The Buyer agrees to indemnify, defend and hold JAXPORT, its agents, servants and employees harmless against any and all claims, actions, demands, injuries, losses, liabilities, judgments, costs, damages, fines, penalties and expenses of whatsoever kind and nature resulting from any act or omission of the Buyer including, but not limited to, personal injuries including death, property damage or any other loss arising out of, incidental to or in any way connected to the presence of the surplus equipment on JAXPORT s property, the presence of the Buyer, its subcontractors or anyone else acting for or on its behalf on JAXPORT s property or the removal of the surplus equipment or any of its component parts from JAXPORT s property except when such damage or injury is caused by the sole negligence of JAXPORT. Buyer shall perform, at his sole expense, any restoration or repairs to JAXPORT s property necessary to correct damage to said property caused by the transportation or removal of the surplus equipment by Buyer or any subcontractor or other entity acting for or on its behalf. This indemnity and hold harmless shall specifically include any environmental liability resulting from or occasioned by the release, leakage or spillage of any substance contained in the surplus equipment or any part thereof which is used or handled by the Buyer or any subcontractor of other entity acting on its behalf. Each party shall give to the other written notice of any claim made or suit instituted which, in any way, affects the other party or its insurers. RFP Page 4

5 Such notice shall be given within five (5) calendar days from the date of receipt of the claim or summons. The provisions of this Paragraph shall survive the duration of the Agreement as such provisions may relate to any claim or demand that arose during the time the Agreement was in force and effect. INSURANCE The Buyer and its subcontractors and/or any other entity acting for or on its behalf with regard to the transportation or removal of the surplus equipment shall procure and maintain insurance for the types of coverage and in the amounts set forth below at Buyer s sole expense. Such insurance will be written by a company or companies licensed to do business in the State of Florida and satisfactory to JAXPORT. Before entry onto JAXPORT s premises and prior to commencing any work authorized pursuant to this Request for Proposal, Buyer shall furnish certificates in a form acceptable to JAXPORT s Risk Manager evidencing the maintenance of said insurance at P.O. Box 3005, Jacksonville, Florida 32206, Attn: Risk Manager. I. WORKERS COMPENSATION/EMPLOYER S LIABILITY: a. Part I State Requirement b. The JAXPORT shall be named and endorsed as an additional insured. c. Policy shall contain a waiver of subrogation from Buyer s insurer in favor of JAXPORT. III. COMPREHENSIVE AUTOMOBILE LIABILITY: a. Coverage shall include all owned, non-owned or hired automobiles. b. Combined Single Limit of Liability $1,000,000 c.
