3 NORTH REGIONAL ZONE MASTER AUTOMATIC AID AGREEMENT FOR FIRE-RESCUE REPSONSES & SUPPORT ACTIVITIES WHEREAS, certain cities, districts and others located in San Diego County maintain as part of their service, an organized and equipped Fire Department charged with the duty of fire protection, emergency medical, and rescue services within the limits of said jurisdictions, referred to below as the "parties"; and WHEREAS, it would be to the benefit of the parties that the fire suppression, emergency medical, rescue services, incident management, fire investigation, support, and training services of each of their Fire Departments be, in some circumstances, extended outside of the limits of each party to this agreement; and into the limits of the other parties; and WHEREAS, the parties desire that in some circumstances the Fire Departments of the other parties will respond to fire suppression, emergency medical, and rescue incidents within the limits of their jurisdictions. NOW, THEREFORE BE IT RESOLVED: 1. The parties to this agreement, as set forth in Exhibit "A" have agreed to respond to emergency alarms and related support activities outside of their normal service area, and within the normal service area of the other parties in accordance with the terms and conditions hereinafter set forth. 2. Any parties may, upon determining mutual benefit, agree to provide resources without regard to political and/or jurisdictional boundaries, and adhere to the closest resource concept for determining response patterns as a part of this agreement. 3. The details as to the method of operations, procedures, and other planning as may be necessary to effectuate this Automatic Aid Agreement and type of units and responses shall be covered by the Operational Plan in effect between the Chiefs of the respective Fire Departments of the parties. 4. Cooperative planning and interdepartmental training IS necessary to support emergency incident activity. All resources covered by this Agreement should train together where appropriate to ensure safe and effective incident operations. Each party hereto shall bear its own costs incurred for training.

4 Page 2 5. Non-emergency support, training and education activities will be coordinated and agreed upon between th e Chiefs or designees of the respective Fire Departments of the parties. 6. Emergency medical patients requiring service or transport for medical care shall be billed for services provided, by the Agency providing the services, at the established rate of such agency. 7. There shall be an operational committee, which shall consist of the Chiefs or their designee of the respective Fire Department of the parties, for the purpose of implementing the provisions of this agreement relating to operational procedure. Each party shall furnish the others in writing the name and rank of all participating officers. 8. The duties of Incident Commander shall be assumed by the first arriving fire officer from a participating agency who is at the scene of the incident, regardless of which jurisdiction the incident occurs. There shall be an orderly transfer of command when an Officer from the jurisdiction in which the incident occurs arrives at the scene, if said Officer chooses to assume Incident Command. 9. All parties agree to indemnify the other parties for any liability imposed upon the other parties under Government Code Section 895.2, based upon a negligent or wrongful act or omission of the indemnifying party's officers, agents, or employees occurring in the performance of this agreement. This indemnification agreement is entered into pursuant to Government Code Section and is intended to eliminate the prorate right of contribution described in Government Code Section and distribute the joint and several liability described in Govenunent Code Section between the parties so that each party bears the liability and cost of its own negligence. 10. Each party to this agreement shall maintain proper Worker's Compensation Insurance covering its own employees without cost to the other parties, and each party shall be responsible for all salary and benefits for its own personnel without cost to the other parties. 11. Each of the parties shall be fully responsible for all repairs, maintenance and upkeep, including gas, oil, lubrications, parts replacement and repair of casualty damage, of all its own equipment used to pursuant to this agreement while said equipment is used outside of its service area, However, during prolonged suppression acti vities, the

5 Page 3 requesting party shall replenish chemical agents and fuel as needed; provide minor maintenance of fire suppression equipment; and provide for the well-being of personnel involved in the suppression activity. 12. The assurance of automatic aid set forth in this agreement shall constitute the sole consideration for the performance. It is, therefore, understood and agreed that no money payments shall be made between the parties, that no charges shall be assessed by any party against any other party, and that each party shall be fully responsible for all of its costs in connection with the performance of this contract except as provided for in Section 6. This provision shall not be construed to prevent billing patients, or their representative for ambulance transport and other emergency medical services, provided that billing rates shall be consistent with the adopted fee schedule of the agency providing the services. 13. Nothing in this agreement shall limit either party from participating III separate agreements with other fire jurisdictions and shall have no effect upon the existing San Diego County Mutual Aid Agreement. 14. This agreement shall become effective upon the execution by each of the parties hereto and shall continue until terminated by mutual agreement of each of the individual parties or until any party gives sixty (60) days written notice of intention to terminate to each of the other parties. No cause shall be required for any termination. Termination of this agreement by any party shall not terminate the agreement with respect to the remaining parties to the agreement, each of which may detennine their continued participation independently.

10 STANDARD INTER-AGENC Y SERVICES AGRE EMENT THIS AGREEMENT is entered into this day of, 20_, by and between the Palomar Community College District, 1140 W. Mission Rd., San Marcos, California ("District") and the Valley Center Fire Protection District, ("Agency"). RECITALS WHEREAS. under Government Code and Education Code 78021, Palomar Community College District desires to contract Agency as an independent contractor to the District; and WHEREAS, Agency has the personnel, expertise and equipment to provide the special services required herein, and WHEREAS, the public interest, convenience and general welfare will be served by this contract; TERMS AND CONDITIONS NOW THEREFORE, Agency and District agree as follows: I. Services - Agency shall diligently furnish to the District the services as set forth in Attachment A, hereby incorporated in this Agreement by this reference. 2. Duration, Modification & Termination of Agreement

11 J) The tenns of this agreement shall be for a five (5) year period commencing on Jaunary 20,20) 6 and ending on January 20, 2021; but may be tenninated at the close of any school year by either party hereto by serving notice in writing of the intention to so tenninate to the other party. 2) I f problems arise during the tenure of this agreement, the respective parties shall, by mutual consent, review the content and if necessary, revise the contract as deemed appropriate. Modifications are to be submitted in writing. Any amendments to this agreement shall be in writing, signed by both parties and made a part hereof. 3) Temlination of this agreement may be with or without cause by either party thereof, by delivery of thirty (30) days prior written notice of temlination to the other party. Valley Center, CA Agency fee and Expenses - The fee to be paid by the district for the services and materials to be supplied hereunder is $2.50 per student contract hour. The Agency shall invoice the District at the end of each semester, supplying mutually acceptable documentation of student contact hours. 4. The Agency shall indemnify, defend and save the District, agents and employees hannless from any and all claims and losses accruing or resulting to any and all contractors, subcontractors, laborers and any other persons, finns, or corporations furnishing or supplying work, services, materials or supplies who may be injured or 2

12 damaged by the Agency in the perfonnance of this Agreement, and from any and all claims and losses accruing or resulting to any person, fiml or corporation who may be injured or damaged by the Agency in the perfonnance of this Agreement. The Agency shall provide necessary worker's compensation insurance for its employees at Agency' s own cost and expense. 5. The District shall indemnify, defend and save the Agency, its officers, agents and employees harmless from any and all claims and losses accruing or resulting to any and all contractors, subcontractors, laborers and any persons, finn, or corporations furnishing or supplying work, services, materials or supplies who may be injured or damaged by the District in the perfomlance of this Agreement, and from any and all claims and losses accruing or resulting to any person, finn or corporation who may be injured or damaged by the District in the perfonnance of this Agreement. The District shall provide necessary worker's compensation insurance for its employees at District's own cost and expense. 6. The District may tenninate this Agreement and be relieved of any consideration to Agency should Agency fail to perform the covenants herein at the time and in the manner provided. In the event of such tennination the District may proceed with the work in any manner deemed proper by the District. The cost of the District shall be deducted from any sum due the Agency under this Agreement, and the halance, if any, shall be paid the Agency. 7. This Agreement is personal and shall not be assigned by Agency either in whole or in part. Any such purported assignment voids this Agreement. 3

Time is of the essence for each of the provisions of this Agreement, and all the provisions of this Agreement shall extend to and be binding upon and inure to the benefit of the heirs, executors, administrators, successors, and assigns of the respective parties hereto. 9. No alteration or variation of the tcrms of this Agreement shall be valid unless made in writing and signed by the parties hereto, and no oral understanding or agreements not incorporated herein, and no alterations or variations of the terms of this Agreements unless made in writing betwecn parties hereto, shall be binding on any of the parties hereto. 15 ATTACHMENT A INTER-AGENCY SERVICES TO BE PROVIDED BY: Valley Center Fire Protection District I. Teaching Approved Curriculum: All student contact hours submitted by the Valley Center Fire Protection District to Palomar Community College District shall be part of instruction that has either been approved by the college's Curriculum and Instructional Council, or has been accepted as a topics course and approved by the college's CbiefInstruetional Officer. 2. Instructor Qualifications: All student contact bours submitted by the Valley Center Fire Protection District to Palomar Community College District shall have been taught under the line of sight supervision of instructors who meet the college's minimum or equivalent qualifications for hiring as part-time Fire Technology Instructors. This expertise is furnished at the expense of the Valley Center Fire Protection District. The services include the use of their specialized equipment, facilities, all handouts, and instructors with specific expertise. 3. NOD-overlap with other funding sources: The above instructional hours are conducted as full time equivalent students(ftes) under courses through the Fire Technology Department at Palomar College. The Valley Center Fire Protection District certifies that no student contact hours will be submitted to Palomar Community College District wbich also have been or will be submitted for California Joint Apprenticeship Committee and/or JPT A funding. 4. Enrollment of Students: Palomar Community College District will supply current student enrollment forms to the Valley Center Fire Protection District. The Agency will return properly completed enrollment forms and enrollment fees to the 6

16 District prior to beginning instruction. The Agency recognizes that out-of-state tuitions fees will be charged for students who are not California residents. Students attendance and achievement records will be maintained by the Agency and be available for review at nomlal business hours. 5. Instructional Activities: The Administrators of Palomar Community College District and the Valley Center Fire Protection District (and/or their designees) will meet at mutually agreed intervals to plan, review class hours to meet perfomlance objectives, schedule and budget for instmctional activities; the joint consent of the District and the Agency shall precede any instructional activity and include supervision and evaluation of students and student withdrawal prior to completion of a course. 6. List of Course(s) or course topics: The college will make available to the Agency all courses listed in the course catalog and additional topics classes consistent with college standards for curriculum adoption. 7. Services: The college and the Agency will insure that ancillary and support services such as counseling, guidance, and placement assistance are available to all students and that enrollment in courses is open to any person who has been admitted to the college and has met applicable prerequisites. 7
