1 Haworth + Kvadrat Giveaway Official Rules IMPORTANT: Please read these Official Rules before entering the Haworth & Kvadrat Giveaway (the Giveaway ), sponsored and presented by Haworth, Inc. By entering the Giveaway, each entrant agrees to the terms of these Official Rules, which will govern in the event of any inconsistency with other Giveaway related materials or information. Failure to abide by these Official Rules will result in disqualification of any entry and forfeiture of any prize awarded. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. MAKING A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE THE CHANCE OF WINNING. 1. SPONSOR The sponsor of the Giveaway is Haworth, Inc. ( Sponsor ). Sponsor is responsible for the collection and processing of entries and the overall administration of the Giveaway. If for any reason the Giveaway is not capable of being conducted as described in these Official Rules, including but not limited to a computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other factor that corrupts or otherwise adversely affects the administration, security, fairness, integrity, or proper administration of the Giveaway, Sponsor may cancel, terminate, modify, or suspend the Giveaway in whole or in part. All decisions, determinations, and other actions of Sponsor regarding the Giveaway will be made and taken in Sponsor s sole and absolute discretion and will be final and binding on each entrant and not subject to appeal. Entrants should look solely to Sponsor to address any questions, comments, or concerns related to the Giveaway. ENTRY PERIOD The Giveaway begins at 9 AM (Eastern Time) on November 5, 2018 and ends at 11:50 PM (Eastern Time) on December 10, 2018 (the Entry Period ). 3. ELIGIBILITY The Giveaway is open to legal residents of the fifty (50) United States and the District of Columbia, who are 18 years of age or older at time of entry. Prizes will be awarded and/or delivered only to addresses within those locations. All federal, state, and local laws and regulations apply. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. LIMIT ONE ENTRY PER PERSON. ONLY ONE PRIZE WILL BE AWARDED PER ENTRY AND PER HOUSEHOLD.

2 The following persons are not eligible to enter the Giveaway: Sponsor and its parent companies, subsidiaries, affiliates, advertising and promotion agencies, suppliers, distributors, sales representatives, retailers, and agents, and their respective successors and assigns (collectively, Promotion Entities ); all officers, directors, and employees of each Promotion Entity; and their respective immediate family members (parents, stepparents, legal guardians, children, step-children, siblings, step-siblings, or spouses) and individuals living in their households (sharing the same residence at least three months a year). 4. PRIZES Grand Prize: Three (3) winners will receive a Poppy Chair upholstered in Melange Nap or Floyd (current retail list price of [$1,981]). Second Prize: Fifty (50) winners will receive one (1) tote bag in Kvadrat Melange Nap fabric (current retail list price of $[15]. Prizes cannot be transferred, redeemed for cash, or substituted by winner. Sponsor may award a substitute prize of equal or greater value if a prize described in these Official Rules is unavailable or cannot be awarded, in whole or in part, for any reason. Sponsor will not replace any lost, stolen, or damaged prize. Each prize winner will be solely responsible for all federal, state, and local taxes, fees, and surcharges relating to the prize and its award. Prizes awarded in sweepstakes and contests such as the Giveaway are considered taxable income, regardless of whether a prize is in the form of cash, merchandise, or trips. If a prize is valued over $600 as determined by Sponsor, IRS regulations require Sponsor to report the value to the winner and the IRS on a Form 1099-MISC. If a prize is valued under $600, the winner is still required to report the value as taxable income. The value of a prize as determined by Sponsor may not necessarily be its retail list price. If the value of a prize for tax purposes turns out to be less than the value determined by Sponsor, the difference will not be awarded in cash or any other property or benefit. SPONSOR MAKES NO AND DISCLAIMS ANY REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, CONCERNING THE APPEARANCE, SAFETY, PERFORMANCE, OR ANY OTHER ASPECT OF ANY PRIZE AWARDED. RESTRICTIONS, CONDITIONS, AND LIMITATIONS MAY APPLY. 5. HOW TO ENTER To enter the Giveaway, complete and submit during the Entry Period the online entry form found at haworth.com/kvadrat. Only online entries will be accepted. Automated or robotic entries will be void and disqualified. Internet entry must be made by the entrant listed on the entry form. If an entrant attempts to enter more than once, such as by using multiple or different addresses, identities, registrations, logins, or any other methods, all of the entrant s entries will be void and disqualified. 3 Sponsor is not responsible for incorrect or inaccurate entry of information by entrants; lost or late entries or transmissions; interrupted or unavailable network, server, or other connections; scrambled transmissions or other errors or problems of any kind whether mechanical, human, or electronic; technical malfunctions of any computer hardware, software, or any combinations thereof; or problems associated with any virus or any other damage caused to entrants systems. Incomplete or illegible entries will be void and disqualified. All entries become the property of Sponsor and will not be returned. 6. TERMS OF USE; PRIVACY All information submitted in connection with entry to the Giveaway will be governed by Sponsor s Terms of Use at and Privacy Policy at By entering the Giveaway, each entrant acknowledges that he or she has read and agrees to such Terms of Use and Privacy Policy. In addition, notwithstanding any provision of such Terms of Use or Privacy Policy, by entering the Giveaway, and for no additional consideration, each entrant grants to Sponsor the exclusive, worldwide, perpetual, royalty-free, and assignable license and right to use and disclose to other entrants and other persons the entrant s address and other personally identifiable information for any purpose related to the Giveaway or its administration, including but not limited to disclosing such information in a publicly available list of prize winners. 7. WINNER SELECTION AND NOTIFICATION The prize winner(s) in the Giveaway will be selected in a random drawing from among all eligible entries received throughout the Entry Period. The random drawing will be conducted on or about December 11, 2018 by Sponsor or its designated representatives. The odds of winning a prize will vary depending on the number of eligible entries received. Each prize winner will be notified by at the address provided in the winner s entry form. Each winner must respond to notification within ten (10) calendar days of receipt to accept the prize. Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive account(s), technical difficulties associated therewith, or a winner s failure to adequately monitor any account. Any winner notification not responded to or returned as undeliverable may result in prize forfeiture. In addition, to receive a prize, a winner may be required to complete, execute, and return to Sponsor an affidavit of eligibility, publicity consent, and/or release of liability, each of which will supplement these Official Rules. 8. WINNERS LIST Each eligible entrant may request a list of the names of prize winners by sending a stamped, self-addressed envelope by March 10, 2019 to Haworth, Inc., One Haworth Center, Holland, MI 49423, Attention: Holly Anderson. 4 In addition, as noted in Section 6 TERMS OF USE; PRIVACY above, Sponsor may elect to publish online a list of winners names and other personally identifiable information. In that event, Sponsor will provide eligible entrants notification of the availability of the list and the applicable website. 9. LIMITATION OF LIABILITY; INDEMNIFICATION Neither Sponsor nor any of Sponsor s parent companies, subsidiaries, affiliates, suppliers, advertising, promotion, and fulfillment agencies, and all of their respective directors, officers, and employees (collectively, Sponsor Affiliates ), assumes or will have any responsibility or liability for any of the following: (a) any injury to persons or damage to or loss of any property resulting in whole or in part, directly or indirectly, from the entrant s acceptance, possession, misuse, or use of a prize or participation in the Giveaway; (b) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (c) any unauthorized access to, or theft, destruction, or alteration of entries at any point in the operation of the Giveaway; (d) any malfunction, failure, error, omission, interruption, deletion, defect, or delay, regardless of cause, with respect to any equipment, systems, networks, lines, satellites, servers, camera, computers, or providers utilized in any aspect of the operation of the Giveaway; (e) inaccessibility or unavailability of any network or wireless service, the Internet, or website or any combination thereof; (f) suspended or discontinued Internet, wireless, or landline phone service; or (g) any injury or damage to an entrant s or any other person s computer or mobile device which may be related to or resulting from any attempt to participate in the Giveaway or download of any materials in the Giveaway. In addition, each entrant agrees to indemnify and hold Sponsor and each Sponsor Affiliate harmless against any damages, costs, expenses, liabilities, and losses relating to (i) any injury to persons or damage to or loss of property resulting in whole or in part, directly or indirectly, from the entrant s acceptance, possession, misuse, or use of a prize awarded in the Giveaway, or (ii) the entrant s entry and participation in the Giveaway, including but not limited to any incorrect or inaccurate information provided by entrant. 10. GOVERNING LAW; VENUE Any dispute or other matter relating to the Giveaway will be determined according to the laws of the State of Michigan, without reference to its choice of law or conflict of law principles. By entering the Giveaway, each entrant irrevocably consents to the personal jurisdiction of the state and federal courts located in Ottawa County, Michigan and Kent Co-Branding 4 of 5
