4 City of Baldwin City Minutes from the September 18, 2018 Regular Council Meeting The Baldwin City Council met in Regular Session at 7:00 p.m. at the Baldwin City Public Library, 800 7th Street, with Mayor Casey Simoneau presiding. Present were Council Members: Tony Brown, David Simmons, Brian Cramer, A.J. Stevens and Susan Pitts. Also, attending: Glenn Rodden-City Administrator; Laura Hartman, City Clerk; Ed Courton, Community Development Director; Brad Smith, Finance Director; Kenny Oshel, Public Works Director; Rob Culley, Electric Production Director; Chris Croucher, Utility Distribution Director; Clint Epperly, Police Department; and City Attorney, Blake Glover. A. Call to Order: Mayor Casey Simoneau called the regular council meeting to order at 7:00 p.m. B. Approval of Agenda: A.J. Stevens moved and Brian Cramer seconded to add Asphalt bids to New Business, Item 5. Motion carried with a vote of 5 yes and 0 no. A.J. Stevens moved and Susan Pitts seconded to approve the September 18, 2018 agenda. Motion carried with a vote of 5 yes and 0 no. C. Consent Agenda: Council considered Minutes of the September 4, 2018 meeting. A.J. Stevens moved and Brian Cramer seconded to approve the consent agenda. Motion carried with a vote of 5 yes and 0 no. D. Public Comment: No public comment given. E. Special Reports or Presentations: No reports or presentations given. F. Old Business: 1. Ordinance 1394, Subdivision regulation text amendment - A.J. Stevens moved and Brian Cramer seconded to approve Ordinance 1394, Subdivision regulation text amendment. Mayor Simoneau called for a roll call vote: Brown, aye; Pitts, aye; Stevens, aye; Simmons, aye; Cramer, aye. Motion carried with 5 aye and 0 nay. G. New Business: 1. Code Amendment - City Attorney, Blake Glover explained the Code for making appointments of certain staff and the consistency of the wording. Council ensued discussion. Council agreed to have the legislative committee review and bring

5 back a recommendation (a) - Council had discussion about amending the current Plan Document to grandfather current employees and discontinue employer contributions to the 401(a). Council asked for additional information. Brad will provide cost if everyone were receiving a 4% contribution. 3. Right-of-way parking - Jeff Boehn, 4574 Ohio Road, Wellsville made a request for parking in a right-of-way. Council ensued discussion with concerns with the right-of-way space that would be left if allowed. Mike Bosch, 713 High Street (RG Fiber) spoke to the laws that are in place that govern right-of-ways and protecting businesses and public safety. Brian stated he wasn t ready to act on this right now. A.J. said he was torn on which way to go with this. Susan Pitts agreed. A.J. said having a business that will bring in taxes is important as well. A.J. Stevens moved and Susan Pitts seconded to allow permanent parking within the City s rights-of-way to accommodate adjoining commercial development. Motion failed with a vote of 2 yes and 3 no. 4. Final Plat Resolution - Jeff Hill, 300 Flame Way spoke to this agenda item explaining the plan for this phase. Glenn expounded on this resolution. David asked for clarification. Susan Pitts moved and David Simmons seconded to approve Resolution final plat of Firetree Estates Phase 5a. Motion carried with a vote 5 yes and 0 no. 5. Asphalt mill and overlay bids- Kenny Oshel explained the bids for the mill and overlay for the Heritage and Sante Fe project. Kenny also added this is an item approved in the budget, but wasn t aware it needed to also go before Council and apologized for not doing so earlier. A.J. Stevens moved and Brian Cramer seconded to approve the bid from Killough in the amount of $107, Motion carried with a vote of 5 yes and 0 no. H. Committee Reports:

6 1. Budget and Finance - A.J. Stevens/David Simmons - no report 2. Community Development - David Simmons/Brian Cramer - Meeting Thursday at PUB and will discuss dog park and lotatorium. Concordia visited Baldwin to share how they worked with their project similar to the lotatorium space. Brian shared the visioning project for the lotatorium. Friday evening is a meeting to work with this visioning. 3. Public Health and Safety - Brian Cramer/Tony Brown - Met last Thursday and continued discussion mobile home park. 4. Public Works - David Simmons/Susan Pitts - Will meet at 7:00 a.m. tomorrow to discuss the pioneer cemetery. A citizen would like to make this a historical site. 5. Utilities - Susan Pitts/A.J. Stevens - Thursday meeting is cancelled. Glenn said we are meeting with the solar folks. He will also meet with the water folks to discuss the agreement to purchase water. 6. Legislative - Tony Brown/Susan Pitts - Committee will meet to discuss fee schedule and mayoral appointments ordinance. 7. Sidewalks and Trails - Susan Pitts/A.J. Stevens - No updates. I. City Administrator and Staff Comments : 1. Brad explained the fund balance calculations. Council ensued discussion. Brad asked for direction from the Council. A.J. said he is not convinced there isn t somewhere we can cut costs. Council continued discussion about rates and would like to look at spending a little closer. Brad talked about the water fund and cost and said it breaks even. Brad said the only cut is personnel. A.J. wanted it stated for the record, this Council is not looking at cutting personnel and has not discussed that at all. David said we need to be realistic about what the cost are. Tony agreed with David that we should be charging a fair rate. A.J. encouraged everyone to go to KRWA.net, they update water rates daily. Glenn said it all depends on where you purchase your water. A.J. wanted to be sure it is clear the Council is not discussing raising rates, but to have a serious discussion. Council will meet in a Council work session, Tuesday, September 25, 2018 at 7:00 p.m. at the American Legion. J. Council & Mayor Comments: Tony asked about a council retreat that was discussed earlier in the year. Brian said he was fine with a retreat here in Baldwin City. Council will have a retreat in October. Laura will send dates to Council members. K. Executive Session Personnel matters David Simmons moved and Brian Cramer seconded that the city council recess into executive session with Glenn Rodden, Laura Hartman and City Attorney, Blake Glover to discuss personnel issues pursuant to the non-elected personnel matter exception, K.S.A (b) (1). The open meeting will resume in this room at 9:12 p.m. Motion carried with a vote of 5 yes and 0 no.

7 Mayor Simoneau called the regular meeting to open session. Time: 9:12 p.m. David Simmons moved and Brian Cramer seconded that the city council recess into executive session with Glenn Rodden, Laura Hartman and City Attorney, Blake Glover to discuss preliminary discussions relating to the acquisition of real property, K.S.A (b) (6). 8 City of Baldwin City Minutes from the September 25, 2018 Special Council Meeting The Baldwin City Council met in Special Session at 7:00 p.m. at the Baldwin City Public Library, 800 7th Street, with Mayor Casey Simoneau presiding. Present were Council Members: Tony Brown, Brian Cramer, A.J. Stevens and Susan Pitts. Also, attending: Laura Hartman, City Clerk; Brad Smith, Finance Director; Kenny Oshel, Public Works Director and City Attorney, Blake Glover. David Simmons was absent. A. Call to Order: Mayor Casey Simoneau called the special council meeting to order at 7:00 p.m. B. New Business: Mayor introduce Mike Pattrick to the Council members. Mayor Simoneau made the appointment of Mike Pattrick as Interim Police Chief and asked for a motion. Brian Cramer moved and A.J. Stevens seconded to approve the appointment of interim police chief, Mike Pattrick. Motion carried with a vote of 4 yes and 0 no. C. Adjourn A. J. 33 Resolution A RESOLUTION ESTABLISHING AN INCENTIVE PROGRAM FOR NEW RESIDENTIAL CONSTRUCTION, FOR THE CALENDAR YEAR WHEREAS, new residential construction is a significant means of attracting new residents to Baldwin City, infilling residential developments, and creating work opportunities for Baldwin City companies; and WHEREAS, while there is some evidence that residential construction is increasing, that Baldwin City intends to remain competitive and this Resolution is intended to continue to encourage residential development, NOW, THEREFORE BE IT RESOLVED by the Governing Body of the City of Baldwin City, Kansas; Section 1. Development fees for new residential construction, including building permit fees, all inspections fees, water system connection fees, sewer system connection fees, sewer tap inspection, electric service installation, and park improvement fees, shall be reduced by half for the calendar year 2019, beginning January 1, Section 2. The calculation of all fees shall be calculated per normal guidelines, and when a final fee is determined, such fee shall be divided in half and all monies received shall be appointed appropriately to the relative funds. Section 3. For three residential permits issued to one builder, all costs associated with the fourth permit will be waived. Section 4. The incentive to waive all fees for the fourth residential permit is only valid one time during the calendar year. Section 5. This action is intended to be temporary in nature, done in the interest of encouraging new residential construction in 2019, and all fees shall return to normal as of January 1, ADOPTED AND APPROVED by the Governing Body of the City of Baldwin City, Kansas on of,. WHEREAS, the City of Baldwin City, Kansas (the Issuer ), has previously authorized certain internal improvements described as follows (collectively, the Bond Improvements ): Project Description Res. No. Authority Amount Construction of a public Charter Ordinance No. 19 and K.S.A. $3,200,000 utility building et seq. Sidewalks Charter Ordinance No. 19 and K.S.A. $1,000, et seq. 41 issuance of the Issuer's general obligation bonds, and it is desirable and in the interest of the Issuer that such funds be raised by the issuance of temporary notes of the Issuer; and WHEREAS, none of such temporary notes previously authorized have been issued and the Issuer proposes to issue its temporary notes to pay the costs of the Note Improvements; and WHEREAS, the Issuer has selected the firm of Springsted Incorporated, Kansas City, Missouri (the Municipal Advisor ), as municipal advisor for (a) one or more series of general obligation bonds of the Issuer to be issued in order to provide funds to pay the costs of the Bond Improvements and retire the 2017-A Notes, and (b) general obligation temporary notes to provide funds to temporarily finance the Note Improvements; and WHEREAS, the Issuer desires to authorize the Municipal Advisor to proceed with the offering for sale of said general obligation bonds and temporary notes and related activities; and WHEREAS, one of the duties and responsibilities of the Issuer is to prepare and distribute a preliminary official statement relating to said general obligation bonds and temporary notes; and WHEREAS, the Issuer desires to authorize the Municipal Advisor and Gilmore & Bell, P.C., Wichita, Kansas, the Issuer s bond counsel ( Bond Counsel ), in conjunction with the Clerk to proceed with the preparation and distribution of a preliminary official statement and notice of bond sale and to authorize the distribution thereof and all other preliminary action necessary to sell said general obligation bonds and temporary notes. BE IT RESOLVED BY THE GOVERNING BODY OF THE CITY OF BALDWIN CITY, KANSAS, AS FOLLOWS: Section 1. The Issuer is hereby authorized to offer for sale the Issuer s General Obligation Bonds, Series 2018-A (the Bonds ) and General Obligation Temporary Notes, Series 2018-B (the Notes ) described in the Notice of Sale, which is hereby approved in substantially the form presented to the Governing Body this date (the Notice of Sale ). All proposals for the purchase of the Bonds and Notes (collectively, the Obligations ) shall be delivered to the Governing Body at its meeting to be held on the sale date referenced in the Notice of Sale, at which meeting the governing body shall review such bids and award of the sale of the Obligations or reject all proposals. Section 2. The Mayor and Finance Director in conjunction with the Municipal Advisor and Bond Counsel are hereby authorized to cause to be prepared a Preliminary Official Statement relating to the Obligations (the Preliminary Official Statement ), and such officials and other representatives of the Issuer are hereby authorized to use such document in connection with the sale of the Obligations. Section 3. The Finance Director, in conjunction with the Municipal Advisor and Bond Counsel, is hereby authorized and directed to give notice of said sale by publishing a summary of the Notice of Sale not less than 6 days before the date of the sale in a newspaper of general circulation in Douglas County, Kansas, and the Kansas Register and by distributing copies of the Notice of Sale and Preliminary Official Statement to prospective purchasers of the Obligations. Proposals for the purchase of the Obligations shall be submitted upon the terms and conditions set forth in said Notice of Sale, and shall be delivered to the governing body at its meeting to be held on the sale date referenced in the Notice of Sale, at which meeting the governing body shall review such bids and shall award the sale of the Obligations or reject all proposals in the manner set forth in the Notice of Sale \SALEDOCS 2

42 Section 4. For the purpose of enabling the purchaser of the Obligations (the Purchasers ) to comply with the requirements of Rule 15c2-12 of the Securities and Exchange Commission (the Rule ), the Mayor and Finance Director or other appropriate officers of the Issuer are hereby authorized: (a) to approve the form of the Preliminary Official Statement and to execute the Certificate Deeming Preliminary Official Statement Final in substantially the form attached hereto as Exhibit A as approval of the Preliminary Official Statement, such official s signature thereon being conclusive evidence of such official s and the Issuer s approval thereof; (b) covenant to provide continuous secondary market disclosure by annually transmitting certain financial information and operating data and other information necessary to comply with the Rule to the Municipal Securities Rulemaking Board; and (c) take such other actions or execute such other documents as such officers in their reasonable judgment deem necessary to enable the Purchaser to comply with the requirement of the Rule. Section 5. The Issuer agrees to provide to the Purchaser within seven business days of the date of the sale of Obligations or within sufficient time to accompany any confirmation that requests payment from any customer of the Purchaser, whichever is earlier, sufficient copies of the final Official Statement to enable the Purchaser to comply with the requirements of the Rule and with the requirements of Rule G-32 of the Municipal Securities Rulemaking Board. Section 6. The Mayor, Finance Director and the other officers and representatives of the Issuer, the Municipal Advisor and Bond Counsel are hereby authorized and directed to take such other action as may be necessary to: (a) carry out the sale of the Bonds; and (b) make provision for payment and/or redemption of the 2017-A Notes from proceeds of the Bonds.
