1 SAMPLE CONTRACT FOR PUBLIC ENGAGEMENT GRANT SOCIETY & MEMBER + INSTITUTIONAL ADMINISTRATION OF GRANT DATED: 31 AUGUST 2013 (1) The British Psychological Society (2) Dr A N Academic AGREEMENT relating to the Project Title ( the project )
2 THIS AGREEMENT is made on BETWEEN: (1) THE BRITISH PSYCHOLOGICAL SOCIETY (Registered Charity Number ) of St. Andrews House, 48 Princess Road East, Leicester, LE1 7DR ( the Society ) AND (2) Dr A N Academic of the Department of Psychology, University of Somewhere, Somewhere, A1 1AB IT IS AGREED THAT: 1. Appointment and duration 1.1 The Society awards you the amount of 8,010 and you agree to fulfil the project as per the end date (3 March 2014) detailed in your application dated 30 June 2013 ( your application ), or by 31 December 2013, whichever is the latest, together with additional requirements as detailed in Section 2, duties and responsibilities. 1.2 You will, unless prevented by any periods of illness, injury or other incapacity, devote such of your time as may be reasonably necessary to perform your duties under this agreement in a proper manner, and you must use your best endeavours to promote the interests of the Society. 1.3 Your grant was approved on 22 July 2013 and this agreement will continue until the project has been completed in its entirety as outlined in your application, with any additional requirements as outlined in Section 2, duties and responsibilities. 2. Your duties and responsibilities 2.1 You will fulfil the project as detailed in your application. 2.2 You will place emphasis on developing and marketing the project s outcomes (web pages, blogs, social networking pages etc) as full and sustainable resources. The Society s Communications Team will be available to assist if required, provided adequate notice is given and resources are available. 2.3 You will work with the Society s Communications Team to provide introductory text on all of the project s resources. 3 2. Your duties and responsibilities continued 2.4 The project, any events, resources, and all supporting material must be branded so as to be clearly identifiable as funded by the Society. To this end, an electronic copy of the Society s logo will be provided, which should be prominently displayed on all web pages, promotional literature, booklets, materials, and any other medium used by the project. 2.5 Both parties will be granted full and free license to make use of all materials developed by the project. Issues of copyright will be shared and usage by a 3 rd party will be upon agreement by both parties. 2.6 You will keep the Society (and in particular the Policy Advisor Education & the Communications Team) promptly and fully informed every eight weeks (in writing/ if so requested) of the progress of the project. 2.7 You will maintain appropriate records of your activities associated with the project. 2.8 The Society will provide expertise to assist wherever necessary, provided that adequate notice is given and resources are available. 2.9 You will give the Society reasonable notice of any change of address or contact details during the term of this agreement You will advise the Society of any periods of illness, injury or other incapacity that will materially affect your ability to complete the project under this Agreement A detailed post project report must be submitted no more than three months after the end date as detailed in your application of the project. A copy of the post project report form will be provided by the Society. Your report must be in electronic format, and must include a fully detailed account of all expenditure, which should tally with the budget detailed in your application, and be supported by scanned invoices, and scanned receipts for any purchase items You have no authority (and shall not hold yourself out as having authority) to bind the Society, unless the Society has specifically permitted this in writing. 4 3. Funding 3.1 You shall submit an invoice to the Society for the full grant amount on, or before, 1 December The Society will pay such invoice within 30 days of receipt. 3.2 You will account to the relevant authorities for any Income Tax and National Insurance or other charges which may properly be levied on the monies granted by the Society under the terms of the agreement and you will indemnify the Society against any loss or expenses arising from your failure to do so. 3.3 Any variation in expenditure from the budget proposal agreed with the Society may not be made without the express permission of the Society. 3.4 Any monies not used in accordance with the budget proposal agreed by the Society or not accounted for in the final account of expenditure which must be substantiated with copies of all relevant receipts and invoices must be returned to the Society within 3 months of the agreed end date of the project. 3.5 Any expenditure on expenses must follow the Society s policy. The Society reserves the right to reclaim monies in excess of those permitted. 3.6 The management of the project must comply with the Society s policies on Bribery and Fraud. 4. Notice and termination 4.1 The Society reserves the right to terminate the agreement immediately and without notice if: You commit a serious breach of the terms and conditions of this agreement; You are incapacitated by illness or otherwise from completing the project before 31 December 2013 or the end date as detailed in your application. 5. Obligations upon termination 5.1 Should termination become effective, all monies paid must be returned to the Society. 6. Insurance and liability 6.1 You shall have personal liability for any loss, liability or costs (including reasonable legal costs) incurred by us in connection with the performance of your obligations under this British Psychological Society Public Engagement Grants 2013 Page 4 of 6
5 agreement and where necessary shall maintain in force during the period of this agreement adequate insurance cover with reputable insurers acceptable to the Society. 6.2 You shall have public liability insurance for any loss, liability or costs (including reasonable legal costs) in force where necessary during the period of this agreement. Such insurance to provide adequate cover with reputable insurers acceptable to the Society. 7. Status 7.1 Nothing in this agreement shall imply that you are an employee of the Society. 7.2 You shall be fully responsible for and indemnify the Society against any liability, assessment or claim for: taxation whatsoever arising from or made in connection with this agreement, where such recovery is not prohibited by law, any employment-related claim or any claim based on worker status (including reasonable costs and expenses) brought by you against the Society arising out of or in connection with your duties and responsibilities under this agreement except where such claim is as a result of any act or omission of the Society. 7.3 It is understood and agreed by the Society that the University of Somewhere will be administering the grant on behalf of the individual (Dr A N Academic). This will include employment of any staff on the project, providing invoices to the Society and insurance for Dr Academic s project activities. Any arrangement between the individual (Dr A N Academic) and the University of Somewhere is between those parties only and the Society is not liable for losses or additional costs arising from the management of the grant or the aforesaid arrangement. 7.4 The grant cannot be used to pay overheads of any kind to the University of Somewhere and the Society will not accept any charges for such. 8. Law and jurisdiction 8.1 This agreement shall be governed by the laws of England and Wales.
