3 3 ABOUT US 2001 Centotrenta was founded in 2001, following the enactment of the Italian securitisation law. Centotrenta started its operations with the establishment of the company Centotrenta Management s.r.l., whose main partner is Studio Angelelli dottori commercialisti e revisori contabili ( an accounting, advisory, and tax planning firm operating in Milan since In 2011 Centotrenta established Centotrenta Servicing S.p.a. as a financial intermediary. In October 2012 Centotrenta Servicing was authorised by the Bank of Italy to operate as a servicer. The authorisation process our firm went through was in line with the most recent legal guidelines that we are currently adhering to On July 2014 Centotrenta Mangement transferred its business to Centotrenta Servicing in order to provide services with a unique entity. Compared to the main competitors in the market, Centotrenta s experience is not limited to securitisation only. Our professionals have many years of experience in the accounting field and are able to support corporate and real estate companies (REOCO). Centotrenta offers a full range of services in the structuring and management of securitisation and finance transactions. Our firm is currently audited by Ernst & Young. On October 2016 Fitch Ratings assigned the operative rating to Centotrenta Servicing. 2016

4 4 CURRENT BUSINESS Centotrenta Servicing has been operating in the securitisation market since 2000 Our irm has played different roles in 124 securitisation transactions. Asset classes we manage include performing and non-performing loans, leasing, residential and commercial mortgages, consumer loans, credit card, commercial, public administration, and other receivables. Since receiving the authorisation to operate by the Bank of Italy in 2012, we have been appointed as Servicer for 85 transactions with 449 portfolio purchased. The assets that we currently manage as Servicer (December 2017) amount to million. The collateral managed by Centotrenta Servicing in various capacities amounts to (current 6.754) million.

5 5 THE ITALIAN MARKET The Italian market is currently characterised by the presence of a small number of independent competitors who provide master servicing services Compared to other jurisdictions, Italian entities qualified as Master Servicers are thoroughly regulated. The most recent regulations impose stringent requirements in terms of risk management, capitalisation and compliance. While entities such as master servicers are regulated by the Bank of Italy (banks follow a similar authorisation process), special servicers (entities responsible for the recovery activity) are, as a general rule, only required to obtain a Public Security license. Therefore they are not subject to any requirements as to minimum capitalisation, compliance, internal audit and Bank of Italy reporting provisions. Master Servicers are monitored by the Bank of Italy both operationally and financially; updated minutes of the boards of directors of Master Servicers must be submitted to the Bank of Italy on a constant basis.

7 7 THE IT PLATFORM Centotrenta Servicing has an exclusive IT platform available Centotrenta Servicing operates an IT platform developed by Indra, one of the major international information technology and defense systems companies ( The platform is tailored to monitor the performance of the special servicers and verify the performance of the portfolios so as to provide ad hoc reporting to the investors. The new IT system has been structured on the basis of the typical reporting requirements of international investors and can be easily adjusted to meet specific needs upon request.

11 OUR OFFER 11 Consulting and Structuring: thanks to the experience gained in the sector since 1999, Centotrenta provides assistance in the structuring phase as Sole or Co-Arranger. SPVs and directorship: in order to reduce time constraints, Centotrenta structures newly incorporated SPVs. Clients are free to opt for incorporating new vehicles, in which case we are happy to provide assistance. Directors may sit on the boards of SPVs upon request. All agency roles in the transaction: Servicer: the Servicer is the entity appointed to service the portfolio, collect receivables, provide cash and payment services, and monitor the compliance of the securitisation transaction with the applicable law and the prospectus. Corporate Services Provider: the Corporate Services Provider is the entity entrusted with the administrative, accounting, and tax compliance of the SPV. The CSP often coordinates the activities of other agents of the SPV. RoN: the RoN, i.e. the Representative of the Noteholders, acts as trustee of the noteholders and holds the security interests on their behalf. Calculation Agent: the Calculation Agent is the entity that prepares the payment reports and calculates the amounts due to the noteholders and the other creditors of the SPV under the terms and conditions of notes and other transaction documents. Monitoring and reporting: Centotrenta provides monitoring and reporting services on the portfolio, verifies the compliance with the initial business plan, and carries out analysis on potential discrepancies. Centotrenta reviews the business model even if it does not act as Servicer of the transaction. Web-Area: a dedicated web-area will be made available to the noteholders in order to grant easy and reliable access to the reporting documents of the transaction.

13 13 OUR TEAM Board of Directors Our staff is currently made up of 15 professionals with experience in all aspects of securitisation. All our people have strong skills in legal and regulatory compliance, auditing, controlling, and tax consulting. Our tax and accounting partner, Studio Angelelli, promptly provides us with additional support if required. The majority of Centotrenta Servicing s board of directors are independent professionals. MARIO BONGIORNI President of the Board of Directors independent He holds a Degree in Business Administration from Università Commerciale L. Bocconi (1993). Currently partner of Antares Private Equity. Adjunct Professor for Master in Merchant Banking, teacher under contract at LIUC (Libero Istituto Universitario Carlo Cattaneo, Castellanza Varese). Since 2003 founder and CEO of RGB Partners S.r.l. (Corporate Finance Advisory with focus on SMEs). From 2001 to 2003 director at Deloitte & Touche Corporate Finance with managing positions in both domestic and international transactions. From 1996 to 2001 manager at Ernst & Young Corporate Finance, managing assignments such as company valuation, business plans, and advisory services in corporate finance transactions with focus on SMEs. RAFFAELE FARAGÒ Chief Executive Officer Raffaele joined Studio Angelelli in 1997 and since 2001 has been fully dedicated to the securitisation sector. Expertise in securitisation transactions gained between 2001 and 2012 as sole director of Centotrenta Management S.r.l. A deep and long-lasting knowledge about all aspects of the securitisation process allow an effective general monitoring of transactions and the efficient organisation of internal resources.

In 2006 he joined Alicros Goup (holding Company with controlling interests in Campari SpA) as General Counsel and Head of investments. On January 2017 she joined Centrotrenta group holding the same task of the preceding role at Goldman Sachs.
