I t was proposed that methods of s t r e n g t h e n i n g t h e American banking system be c o n s i d e r e d and i n v e s t i g a t e d under the f o l l o w i n g r e l a t e d t o p i c s : A* Improvements i n the o r g a n i z a t i o n, f u n c t i o n s, a n d management o f banking i n s t i t u t i o n s and i n s u p e r v i s o r y methods; B* U n i f i c a t i o n of the banking system; a n d Cm C o n s o l i d a t i o n of t h e supervisory f u n c t i o n s of v a r i o u s Federal agencies d e a l i n g w i t h banks, i n c l u d i n g the l e n d i n g o r r e c a p i t a l i z a t i o n f u n c t i o n s of agencies which a s s i s t banks i n d i f f i c u l t i e s * The memorandum set f o r t h an o u t l i n e of recommended s t u d i e s under s i x t e e n major headings. A subcommittee drawn f r o m the s t a f f s o f v a r i o u s d i v i - sions o f the Board was c o n s t i t u t e d to prepare these studies* There have been submitted to you three memoranda growing out o f the work which has been done during the i n t e r v a l : " U n i f i c a t i o n o f the Commercial Banking System"; " C o n s o l i d a t i o n of Federal Supervision of Comm e r c i a l banks"; and "Branch and Group Banking"

2 - 2 - The need for -unification of the commercial hanking system and for consolidation of Federal supervisory agencies will be further developed by two other memoranda which are in process of preparation for submission to the Board on the subjects of: "Competition in Laxity Associated with Multiple Banking Jurisdictions"; and "Complexity of Banking Laws and Practices Relative to the Organization, Operation, and Supervision of Banks" The preparation of these five summary memoranda has been facilitated by a body of material collected and filed and by the following series of detailed memoranda which have been prepared: 1. "Study of Obsolete, Overlapping, Conflicting, Ambiguous, and Other Unsatisfactory Provisions in Existing Federal Banking Laws 11 (l60 pp.) These detailed memoranda are being revised after receipt of criticism and comments from members of the senior staff* The compilation of branch banking laws referred to under (S) above was published in the Federal Reserve Bulletin for November 193&* It is contemplated that basic statistical material produced on bank suspensions, classification of the banking s t r u c t u r e, e t c., may be p u b l i s h e d i n the B u l l e t i n f r o m time to time* On the following pages there given a brief description of the scope and contents of each of the detailed memoranda listed above*

4 - H Bank Suspensions, (111 pp*) (In process of revision) This memorandum gives detailed statistics on bank suspensions during * hy years and periods, classes of banks, States, size of banks, etc* Figures of suspensions are compared with figures of active banks, thereby establishing a "suspension rate" among the various classes and sizes of banks* Analyses are presented of losses sustained by depositors and stockholders of suspended banks and of expenses of liquidation by classes and size of suspended banks* Loans to banks by Governmental agencies, such as the War Finance Corporation and the Reconstruction Finance Corporation, and purchases of capital obligations of banks following the national banking holiday by the Reconstruction Finance Corporation are briefly summarized* An effort is made to evaluate the causes of bank suspensions and to distinguish between weaknesses in the banking structure and general economic factors contributing to the large numbers of bank suspensions in the past 15 years.

Ig90->1935 (50 PP#) ( I n process of r e v i s i o n ) T h i s memorandum shows changes, i n the r a t e of gross income, expenses, l o s s e s, and net p r o f i t s of hanks over a p e r i o d of years, and analyzes the source of income a n d items o f expense and losses* I t presents o p e r a t i n g r e s u l t s hy geographic regions, hy s i z e of towns and c i t i e s, by size o f banks, etc* I n d i c a t i o n s are developed as to the type o f bank which appears to have the best chance of making a s u f f i c i e n t p r o f i t i n normal times to p r o t e c t i t s deposit o r s and, a t the same time, to render a reasonable r e t u r n to s t o c k - holders* A b r i e f statement i s i n c l u d e d w i t h respect to recent develop^ ments a f f e c t i n g bank p r o f i t s, such as those r e s u l t i n g f r o m Govern^ mental p o l i c y, Government s e c u r i t i e s r e p l a c i n g other loans and i n - vestments, h i g h l i q u i d i t y o f banks, lower i n t e r e s t rates, s e r v i c e charges, etc*

6 ~ Classification of Banks in Operation on December Jl, 1935 T%0 PP#) (In process of revision) This memorandum is a part of a larger project analyzing (1) changes which have taken place in the banking structure during the period from the standpoint of number of banks in operation, by classes and by size of banks; (2) the changing character of bank assets and liabilities; and (3) the present banking structure* All of the information collected on these topics has not as yet been reduced to a formal memorandum* A formal memorandum has analyzed and classified banks in operation on December 31, 1935 according to (1) ratio of demand to total deposits, (2) size of banks, (3) population of towns and cities, (4) ratio of capital to deposits, (5) eligibility for Federal Reserve membership and for conversion into national banks, and (6) membership in Federal Reserve collection system. Another section of this project on which information has been assembled but not reduced to formal memorandum relates to the origin and development, number and importance and functions of quasi banking institutions (such as building and loan associations and credit unions) in an attempt to show the extent of competition by such institutions with banks for deposit3 and for loans and investments* A statement of the historical background of the American banking system, partly by way of introduction and partly to show the development of our present complex banking structure, is also part of the whole project*

7 ~ 7 - k - j h e Complexity f Banking Laws and P r a c t i c e s R e l a t i v e t o the Organization, Operation, and Supervision of Banks (2SS pp.) ( I n process of r e v i s i o n ) T h i s memorandum i s p r i m a r i l y concerned with, the c o m p l e x i t i e s a r i s - i n g from the d i f f u s i o n of banking r e g u l a t i o n and s u p e r v i s i o n among the various agencies of t h e Federal Government and the States. I t anal y s e s t h e problem f r o m the standpoint of c o n f l i c t i n g p r o v i s i o n s of law a r i s i n g f r o m t h i s d i f f u s i o n of a u t h o r i t y * I t also c i t e s c e r t a i n cases i n which such c o n f l i c t i n g laws or a d m i n i s t r a t i v e p o l i c i e s have produced confusion, although these cases a r e not as complete as they might be since they have n e c e s s a r i l y been c o n f i n e d to m a t e r i a l w i t h i n the B o a r d i s f i l e s and to cases w i t h which c e r t a i n members o f the Board's s t a f f are f a m i l i a r The memorandum i s d i v i d e d i n t o two p a r t s, the f i r s t d e a l i n g w i t h complexity w i t h respect to the o r g a n i z a t i o n and o p e r a t i o n o f banks, and the second d e a l i n g w i t h c o m p l e x i t y w i t h respect t o the s u p e r v i s i o n o f banks* Under the o r g a n i z a t i o n and o p e r a t i o n of banks, there are cons i d e r e d c o m p l e x i t i e s w i t h respect t o the s t a t u t o r y p r o v i s i o n s and the p r a c t i c e s r e l a t i n g to c h a r t e r i n g o f banks, t r u s t powers, establishment o f branches, c a p i t a l s t r u c t u r e, reserves against d e p o s i t s, loans, i n - vestments, banking premises, deposits, exchange and c o l l e c t i o n charges, management, r e l a t i o n s w i t h a f f i l i a t e d o r g a n i z a t i o n s, corporate changes ( c o n s o l i d a t i o n s, r e o r g a n i z a t i o n s, l i q u i d a t i o n s ) and c e r t a i n m i s c e l l a n e - ous m a t t e r s. The discussion of s u p e r v i s i o n deals c h i e f l y w i t h complexi t i e s w i t h respect to examinations, r e p o r t s of examinations, c o n d i t i o n r e p o r t s, and o t h e r r e p o r t s, w i t h some a n a l y s i s o f the s t a t u t o r y prov i s i o n s on these matters*

8 - 3 ~ 5 - Statutory Competition i& Laxity (151 pp.) (In process of revision) This memorandum analyzes the alterations in both federal and State banking statutes which reflect a competition in laxity between the different jurisdictions* Debates, committee reports, annual reports of the Comptroller of the Currency and of the Federal Reserve Board, etc*, were examined with respect to all amendments to the National Bank Act and the Federal Reserve Act which relaxed existing provisions. Amendments to Federal banking laws which are covered concern minimum capital requirements, branch banking, trust powers of national banks, real estate loans, reserves against deposits, limitation on loans to a single borrower, dealing in investment securities, national banks as insurance agents or real estate brokers, increase of capital through issuance of stock dividends, reports of condition, acceptances, conversion of State banks into national, indeterminate charters of national banks, foreign banking corporations, facilitating admission of State banks to Federal Reserve membership, etc. Investigation of alterations in State statutes arising from competition in laxity is difficult for several reasons* For example, records of legislative history in most of the States are not sufficiently complete to bring out the purposes behind specific enactments* 7/ith respect to New York, Maryland, Michigan, and California the annual reports of the State banking supervisory authorities were reviewed* Consideration is given, among other things, to the changes in the banking laws of these States which may have resulted from the authority conferred upon national banks to exercise trust powers and to the relaxations State bank reserve requirements following the reduction in national banjc requirements shortly after the enactment of the Federal Reserve Act.

9 A d m i n i s t r a t i v e Competition i n L a x i t y (112 p p. ) ( I n process of r e v i s i o n ) This memorandum reviews c o m p e t i t i o n i n laxit3^ i n the a d m i n i s t r a t i o n of laws and i n the exercise of d i s c r e t i o n a r y a u t h o r i t y hy the agencies charged d i r e c t l y w i t h the supervision of "banks as t h i s c o m p e t i t i o n has developed under the p a r a l l e l o p e r a t i o n of the n a t i o n a l and the Hg State banking systems. Part I sets f o r t h t y p i c a l views expressed b y several prominent men r e l a t i v e to the nature and extent of c o m p e t i t i o n between the banking systems, the competitive advantages of one system over the other, the p r a c t i c e s of banks i n s h i f t i n g from one j u r i s d i c t i o n to the other, and the l a x standards w h i c h r e s u l t. Part I I reviews the machinery of s u p e r v i s i o n f o r the purpose of i n d i c a t i n g some of the f a c t o r s making f o r a d m i n i s t r a t i v e c o m p e t i t i o n i n l a x i t y. I t sets f o r t h the methods of s e l e c t i o n of supervisory a u t h o r i t i e s and t h e i r q u a l i f i c a t i o n s, d u t i e s, powers, and r e s p o n s i - b i l i t i e s ; data concerning t h e i r examining s t a f f s ; the l a c k of power i n v a r y i n g degrees to f o r c e c o r r e c t i v e a c t i o n ; and other r e l a t e d m a t t e r s. I n Part I I I i l l u s t r a t i o n s are g i v o n of tho elements o f superv i s i o n i n which a d m i n i s t r a t i v e competition i n Injcity has been manif e s t e d, such as i n tho c h a r t e r i n g o f banks, the extension of t h e i r powers and operations, examinations, c o r r e c t i o n s of matters of c r i t i c i s m, e t c.

10 titled "Provisions in Effect under State and Federal law for the Improvement of Bank Management," prepared by Counsel** Office* Digitized for FRASER Bank Management (19*+ PP«t including appendices) (Revised March g, 1937) This memorandum reviews the principal weaknesses of hank management as well as possible methods for improvement* Part I brings together the views of prominent bankers and others relative to the principal weaknesses of bank management and resulting effects* Part II describes three important means by which bank management might be improved, namely, legislation, cooperative efforts of bankers, and selection and training of personnel* A description is included of the provisions of Federal and State laws relative to qualifications of directors and officers; liability of officers and directors and provisions for their removal from office for mismanagement or violations of the banking laws; duties, responsibilities, and powers of directors; restrictions on financial interest of^directors and officers in bank transactions; and other miscellaneous matters* Proposals with respect to licensing bankers are reviewed, particularly from the standpoint of the many problems which would be involved in the formulation and administration of a satisfactory licensing system if required by law* Somewhat less attention is devoted to the activities of bankers for the improvement of bank management through associations and regional conferences, as well as through the selection, education and training of per- 1 sonnel* This memorandum is arranged in such a manner that the views of cer^ tain prominent bankers and others, as well as important provisions of the law relating to the subject, are reflected in the body of the memorandum while the views of a great many other persons and more detailed references to pertinent provisions of the statutes are included in appendices, with appropriate references in the table of contents* The portions of the study relating to statutory provisions are drawn largely from a memorandum en-

11 g - Branch Banking i n the U n i t e d States (1U9 p p. ) ( I n process of r e v i s i o n ) This memorandum analyzes branch banking as a t y p e of banking o r g a n i z a t i o n i n the s t r u c t u r e of banking i n the U n i t e d States* I t develops the u n d e r l y i n g or b a s i c t a s k of the s t r u c - t u r e of banking i n a modern economy* The e v o l u t i o n, present s t a t u s, and experience thus f a r w i t h branch banking i n t h e U n i t e d States a r e described* The s t a t i s t i c a l status as of December 31* 1935 i s analyzed i n d e t a i l * Branch banking i s evaluated i n terms of i t s advantages and disadvantages as a type of banking organization* Cons i d e r a t i o n i s g i v e n to some of the problems as w e l l as to some of the issues t h a t would a r i s e i n connection w i t h p r o - posals f o r e n l a r g i n g the areas r i t h i n which branch banking might be permitted* As a part of the a n a l y s i s of the present s t a t u s of branch banking i n the U n i t e d States, the Boardts counsel i n cooperation w i t h counsel of t h e Federal Reserve banks analyzed the e x i s t i n g State s t a t u t e s w i t h respect to branch banking.

12 ~ 12 - SL ~ GroyP Banking in the United States (ijk pp#) (In process of revision) This memo random analyzes group hanking as a part of the hanking structure of the Uiiited States. It shows the extent, distribution, and development of group banking; points out some of the principal features of organization and operation of the groups; reviews the changes and suspensions in banking groups through 1935? points out the principal advantages and weaknesses of group banking as compared with unit banking and with branch banking. Tabulations and compilations in the study relating to group banks are limited to groups having three or more banks as of December 31, 1935* A large amount of the data relating to group banks has been obtained from voting permit files of holding company affiliate groups. Banking chains are not included in the tabulations since satisfactory data relating to them are not available. As a part of the analysis of the present status of group banking in the United States, the Board's counsel in cooperation with counsel of the Federal Reserve banks analyzed the existing State statutes with respect to the ownership of bank stock by corporations.

13 ~ Government Credit Agencies (In process of revision) (a) Investment in Capital Structure of Banks and Loans to Banks and Others by the Reconstruction Finance Corporation (32 pp.). - This memorandum brings out the terms under which the Reconstruction Finance Corporation invested in the capital structure of hanks, the investment by geographic areas and by types of banks, and the progress of retirement* Some consideration is also given to the ability of banks to carry and retire this stock under existing contracts* Loans by the Reconstruction Finance Corporation not only to banks but to other financial institutions, such as those to mortgage loan companies, insurance companies, and building and loan associations are reviewed as are also loans to agricultural financing institutions, to railroads, and for self-liquidating projects* (b) Federal Intermediate Credit flanks and Production Credit Associations (39 pp0* - This memorandum deals with the objectives of the Federal Intermediate Credit system, the source and cost of its funds, and the financing institutions using the system* The earnings of the system are reviewed* The Production Credit System, including both the corporations and associations, is dealt with at some length. An attempt is made to measure the importance of their lending activities as compared with commercial banks in agricultural communities and to assess the possibility of their surviving without Government subsidy*

14 -14- (c) Savings and Loan Associations -under the Federal Home Loan Bank Bparc (15 pp*)* - This memorandum describes the membership in the Federal Home Loan Bank system, the discount provisions and insurance arrangements of the system, and the capital subscriptions to associa^ tions made by the United States* Consideration is given to the problem of competition between Federal savings and loan associations and combiner cial banks* ( d ) Federal Lanft Banks and Federal Farm Mortgage Corporation (kj pp f ) This memorandum develops the history of Federal Land banks before the depression as well as their problems growing out of the depression, including the necessity of postponing principal and interest payments, strengthening of capital, and emergency refinancing of mortgages * It contains a review of the earnings experience of the banks, deals with the competitive relationship of the system with commercial banks, and attempts to measure the extent to which the Federal Farm Mortgage Corporation took over mortgages from banks and the extent to which banks have become investors in the guaranteed bonds of the Federal Farm Mortgage Corporation (e) Home Owners 1 Loan Corporation (30 pp*)* - This memorandum develops the organization and methods of financing of this Corporation, analyzes its loans and Investments, and describes the nature of loans to home owners* It reviews the collection and earnings experience of the Corporation and attempts to bring out the degree to which various types of mortgage lenders transferred their mortgage holdings to the Corporation and the extent to which commercial banks have becomc investors in the guaranteed bonds of this Corporation*

15 -15- ( f ) P o s t a l pavings System (56 p p. ). - This memorandum describes the n a t u r e of P o s t a l Savings operations, traces the growth of deposits, and compares the f a c i l i t i e s o f f e r e d by the System w i t h those of banks "by geographic regions. I t analyzes f a c t o r s r e l a t e d to the redeposit o f P o s t a l Savings funds i n banks and also deals w i t h the earnings and expenses of the P o s t a l Savings system. (Note: I n f o r m a t i o n has also been assembled on the subjects; Federal Housing A d m i n i s t r a t i o n, Loans of Federal Agencies to A g r i c u l t u r a l Cooperative A s s o c i a t i o n s, and Commodity Credit Corporation, Formal memoranda on these t o p i c s have not been p e r f e c t e d. )

16 ~ Study Obsolete, Overlapping. Conflicting, Ambiguous. and Other ^satisfactory Provisions in Existing Federal Banking lawq (160 pp*) (In process of revision) This memorandum analyses and collects to a certain extent provisions of Federal banking laws which are unsatisfactory primarily because of drafting or technical reasons, rather than because of any substantial reason of policy* TShile such provisions cannot be rigidly classified, they are considered in several groups* Under obsolete provisions are treated those which have not been specifically repealed but which are nevertheless of no effect and therefore are confusing* This may result from implied repeal, complete execution of the provision, or subsequent enactment bf more comprehensive provisions* Under overlapping provisions are treated those with respect to the same subject matter which appears to have a similar meaning and effect and therefore seems to involve unnecessary duplication* Under conflicting provisions are treated those relating to the same subject matter but inconsistent with each other* Under ambiguous provisions are treated those which do not clearly indicate the intent of Congress. Certain other provisions are considered which are technically unsatisfactory for other reasons such as the omission of necessary language* There is also suggested a rearrangement of the Federal banking statutes which would put these statutes in more understandable and readily available form*
