This is your last day to access Frontier Bank s Online Bill Payment Service. (See the Internet Business Banking section for more details.) This is your last day to make transactions at frontierbank.com. Please note that you will not have access to online banking again until April 11, Print or download your Frontier Bank bill payment history prior to this date. You can start using your new Union Bank Debit MasterCard BusinessCard upon activation. Please note: Online banking will not be available at frontierbank.com or unionbank.com. If you currently use Frontier Bank Business Online Banking, you will receive an with instructions to sign on to Union Bank Internet Business Banking and Online Bill Pay service for the first time. 4 Business ATM or debit card If you currently have a Frontier Bank Business ATM Card or VISA Business Debit Card(s), you will receive a new Union Bank Business ATM Card or Debit MasterCard BusinessCard to replace your existing card(s). However, your PIN will remain the same. Your new Union Bank Debit BusinessCard provides you with the same functionality as your previous Frontier Bank debit card and can be used at millions of retailers that accept the MasterCard Debit Card. You can also use your Union Bank Business ATM Card or Debit BusinessCard at over 600 Union Bank ATMs and at ATMs worldwide that display the MasterCard or STAR symbol. 1 Please note: As a Union Bank customer, you will be charged a fee when using any non-union Bank ATM, including the MoneyPass ATM Network. Your daily withdrawal and/or purchase limits on your Union Bank debit card will currently remain the same as they were with Frontier Bank. You can start using your new Union Bank card on April 9, 2011, after activation. Your new card and card activation instructions will be sent to you in early April. For your convenience and to help streamline business expense management, additional cards can also be ordered by contracting officers. Please visit a Union Bank banking office beginning April 11, 2011 for more information. As soon as you receive your new Union Bank card, please inform any third party or business initiating a charge to your Frontier Bank card of your new card number that will be effective April 9, With your new Union Bank Debit BusinessCard, you will also be eligible to participate in the MasterCard Easy Savings TM automatic rebate program with participating merchants in categories like travel and entertainment, office supplies, restaurants, and transportation. 5 Internet Business Banking NOTE: When your account(s) has moved to Union Bank, initially, only the designated Web Administrator on your account will have online access. On April 10, 2011, the designated Web Administrator will receive an with instructions to sign on for the first time beginning April 11, Once the designated Web Administrator signs on to Internet Business Banking for the first time and accepts the Business Online Banking Service Agreement, then all authorized users can access the service and register their User IDs and create a new password. Reminders Before April 8, 2011 Starting April 11, 2011 Make sure your online banking address is current at frontierbank.com (located on the MyProfile tab). During the conversion, we will you important information to ensure your online access continues without interruption. Print or download your Frontier Bank Statements and Transaction Detail information. Print or download your Frontier Bank bill payment history. If you receive ebills, request an alternative billing method from your ebill providers. Please note: The last day to access Frontier Bank s Bill Payment Service will be Thursday, April 7, All other online banking transactions may be made at frontierbank.com through Friday, April 8, The following Monday, April 11, 2011, all online banking activities will be conducted at unionbank.com. The designated Web Administrator will need to sign on to Internet Business Banking for the first time at unionbank.com to register their online User ID and password and to accept the Business Online Banking Service Agreement. (On April 10, 2011, the designated Web Administrator will receive an with instructions.) Familiarize yourself with the new service and select the account alerts you would like to receive. Verify that your account(s) from Frontier Bank, bill payment, and account transfer information have been transferred correctly. Update your browser bookmarks with unionbank.com. 6 Frontier s Bill Payment Service will not be available after April 7, Frontier Bank online banking will no longer be available after April 8, Online banking at both frontierbank.com and unionbank.com will not be available on April 9-10, You can begin using Internet Business Banking at unionbank.com on April 11, 2011, with the ability to: Transfer funds between all of your Union Bank accounts. (Note: Any scheduled/recurring transfers you have set up between your Frontier Bank accounts will be transferred to your Union Bank accounts.) Set up alerts to receive notifications of account activity on your or cell phone. Access statements and check images online. Access previous Frontier Bank estatements, including images (available beginning April 12). Please note that estatements produced after April 11 will not include check images as part of the estatement pdf file; however, images will be available online. Pay bills with Online Bill Pay service. Download your account information into QuickBooks or Quicken software when you access your accounts through Union Bank Internet Business Banking. Transaction history. As of April 11, 2011, 90 days of historical Frontier Bank account information will be available on Union Bank Internet Business Banking. Previous Frontier Bank estatements will be accessible online at unionbank.com in Adobe PDF format. 4 U n i o n B a n k

7 Online Bill Pay. All payees and scheduled/recurring payments that you ve set up with Frontier Bank s Bill Payment Service will be automatically transferred to the Union Bank Online Bill Pay service. Any payments you have scheduled for payment after April 15, 2011, will be paid through this new service. Payments scheduled prior to April 8 through Frontier Bank s Bill Payment Service for payment through April 15, 2011 will be paid through Frontier Bank s Bill Payment Service. On April 11, 2011, sign on and review the transferred information to make sure it is accurate. The automatic transfer of scheduled/recurring payments will proceed whether or not you sign on to your account. Bill payment history for transactions made prior to conversion will not transfer to Union Bank. This information will only be available at frontierbank.com until April 8, So be sure to print or download this information before April 8, At Frontier Bank, payments were debited on the date that you selected as the payment date. However, bills paid using Union Bank Online Bill Pay may be debited from your account as follows: two business days in advance of the payment date for payments made electronically and five business days in advance when paid by check. Union Bank does not currently offer ebills. If you currently use this service, please contact the companies from which you currently receive ebills and request a different billing method. 8 Questions and answers about signing on to Internet Business Banking. Beginning April 11, 2011: Where do I access my account online? Sign on at unionbank.com How do I sign on? Enter your User ID when prompted. (Your User ID for unionbank.com should be the same Login ID you used at frontierbank.com.) On April 10, 2011, you will receive an with instructions to sign on for the first time. The designated Web Administrator will need to sign on to Internet Business Banking for the first time to register the User ID and create a new password. What should I do when I first sign on? First, verify that your accounts and bill payment information have transferred and that all your information is correct. 10 Automated Telephone Banking As a Union Bank customer, our automated Telephone Banking 5 system gives you secure, convenient access to all your accounts whenever you need it. Without ever having to visit your banking office, you can use our automated Telephone Banking system 24 hours a day to access your account information and perform banking transactions. Please note: To access your account via telephone, you will need your Union Bank ATM/debit card or your Union Bank account number and PIN. Call Customer service at and you can do all of the following and more: Check account balances Review checking and savings account activity including current pending transactions Pay bills anytime, anywhere 6 Order copies of checks or statements Transfer funds Change your address and PIN Reorder checks Deactivate or reactivate your ATM/debit card Get information on loans and online banking Access new product or service information Request stop payments Locate a Union Bank ATM or branch near you 8 U n i o n B a n k

11 Business overdraft protection Union Bank offers a choice of products and services that may help you avoid overdrafts. If you have a Frontier Bank Reserve Line for overdraft protection, you have the option to convert to a Union Bank Business Cash Reserve Account. 7 (If you have this option, you should already have been notified in a previous mailing.) If you have a Reserve Line with Frontier Bank, but did not receive this notification, please contact your local banking office. BUSINESS CASH RESERVE ACCOUNT 7 Annual Fee Interest Benefits Transfer Fee Other Changes $25 annual fee, charged on June 1 of each year. For existing Frontier Bank Reserve Line customers converting to the Union Bank Cash Reserve Account, the annual fee will be waived for the first year and will be charged on June 1, 2012 and on June 1 of each year thereafter 16.8% fixed APR (Annual Percentage Rate) credit limit up to $5, % fixed APR (Annual Percentage Rate) credit limit of $5,000 or higher A revolving line of credit from which advances are made to cover checking account overdrafts $10 each day for advances of $10 or more (the transfer fee does not apply to Cash Reserve accounts originated in the state of Washington) Monthly minimum payment is 100% of the balance outstanding on the statement date, or if there are insufficient funds in the account to make that payment, the greater of $100 or 15% of the outstanding balance 15 days later. For existing Frontier Bank Reserve Line customers converting to the Union Bank Business Cash Reserve Account, from April 2011 through April 2012, the minimum monthly payment is 100% of the balance outstanding on the statement date, or if there are insufficient funds in the account to make that payment, the greater of $100 or 5% of the outstanding balance 15 days later. 12 If you have Frontier Bank overdraft protection coverage from a savings account, it will automatically convert to a Union Bank Business Savings Overdraft Protection Plan. 8 Please Note: For the purpose of overdraft protection, only one checking account and one savings account may be linked together. Union Bank checking accounts are not eligible as a source for overdraft protection. Union Bank money market accounts may not be linked for overdraft protection. Business accounts may only be linked to other business accounts. For example, business savings accounts may not be used to cover overdrafts on consumer accounts. 24 Other important updates Order of processing checks and other items. We pay or certify your checks and other items in any order, and we may establish different processing priorities and categories for checks and other items. We may change these priorities, categories, and orders at any time without giving you notice. Generally, we post Union Bank transactions and fees first, followed by ATM card and debit card items. We will post these items within each category, in ascending (low to high) order by amount. Checks, bill payments, electronic (such as ACH) debits, and other items will then be posted in descending (high to low) order by amount without regard to any specific category. Limitations on withdrawals. 25 Unlimited Transactions: Deposits ATM cash withdrawals and transfers (subject to Available Balance) Withdrawals or transfers made in person or by messenger at a Union Bank branch, or by mail (subject to Available Balance) Preauthorized transfers to repay your Union Bank loan (subject to Available Balance) If you exceed the transfer limits on more than an occasional basis, we are required to either convert your account to one not subject to transfer limitations or close your account. Excessive transfers during a single month or monthly statement cycle may result in account closure or conversion to another account type without prior notice to you. If we close or convert your account, you will receive a separate communication from us informing you of our actions. In addition, each time a transfer is paid against your account in excess of those allowed by federal regulation, you will be assessed a Bank excess activity charge. Problem resolution. For accounts or safe deposit boxes at a banking office in any state other than California, the following applies: To the maximum extent permitted by law, you and the Bank intentionally and deliberately give up the right to a trial by a jury to resolve all Claims, including all questions of law or fact relating thereto. If the waiver of jury trial set forth above is not enforceable for any reason, then the parties hereby agree that all Claims, including all questions of law or fact relating thereto, shall be determined by judicial reference pursuant to the applicable state statutes. Nothing in this paragraph shall limit the right of any party at any time to exercise self-help remedies, foreclose against collateral, or obtain provisional remedies. The parties shall bear the fees and expenses of the Referee equally, unless the Referee orders otherwise. The Referee shall also determine all issues relating to the applicability, interpretation, and enforceability of this paragraph. The parties acknowledge that a jury will not decide the Claims. 26 Governing law. Except as otherwise stated herein or required by law, the provisions of this Agreement are governed by, and interpreted according to, the laws of the state where your account is located and federal law. For accounts opened up online, your account will be governed by the laws of the state of California or federal law. Stop payments. The following are changes related to stop payments on your account: Stop payments expire 6 months after the date we process the order. If you wish to reactivate an expired or released stop payment order, you must place a new order. (If your account is on automated account analysis, the stop payment will automatically renew at 6-month intervals until you request its release.) Amendments. We may change (add to, delete, or alter) the terms of our Agreement with you at any time without notice to you, unless advance notice is required by law. After you have received notice as required by applicable law, you agree to these changes by not closing your accounts or by continuing to use a service. Safe deposit box. By maintaining and using safe deposit box services at Union Bank (the Bank ), you agree to the following: There may be a fee associated with this service. Access: You, your Authorized Signer, or any other renter you designate or is otherwise authorized by law (collectively the Renter ) may have access to the box upon acceptable identification. Access to safe deposit boxes is controlled and requires accompaniment by a Bank employee. For security purposes, boxes are equipped with two independent locks one that requires a key you keep in your possession and one that requires the Bank s key. 27 The Bank may refuse to allow more than two persons to enter the safe deposit vault at any one time, and may refuse to allow any person to remain in the vault area longer than is reasonably necessary for opening or closing the box. The Bank may require the Renter to carry the box to a private room or desk located outside the vault. The box may not be removed from the Bank s premises. Death of a Renter: If you or any co-renter dies, becomes bankrupt, or are incapacitated, we may permit access to the box as required by law. Upon death of one or more co-renters, any surviving co-renter or person establishing entitlement under law may access the box to the extent permitted by law. Adverse Claims: If we receive conflicting claims or demands regarding access to the box, we may refuse further access until we receive evidence, satisfactory to us in our sole discretion, of each claimant s right to access the box. Legal Process: You agree that we are authorized to comply with any legal process that we, in good faith, believe is valid. Fees may apply. Storage of Prohibited Property: The box may not be used for the storage of any liquids, gas, controlled substances, weapons, property of an explosive, dangerous, or offensive nature, currency in excess of $10,000, or property the possession of which would be a violation of law ( Prohibited Property ). If you store, or we have reason to believe that such Prohibited Property is stored, in your box, we may, without notice to you, forcibly access, remove, and inventory the contents of the box and turn the Prohibited Property over to the police or other legal authorities or permit those authorities to inspect any property stored in your box. The inventory shall be deemed conclusive evidence of the contents of the box. The Bank shall further have the right to disclose the name, address, and other identifying information of the Renter to the appropriate authority as it deems necessary under the circumstances, unless otherwise prohibited by law. 28 Safe Deposit Box Fees: The box is rented for a one-year period payable in advance through an automatic charge to your deposit account. Invoiced payment may be requested. The annual rental fee is determined by box size. If a payment is due, an automatic charge notice or invoice is sent approximately 30 days prior to the payment due date. Any increase in rental fees is included in the notice or invoice. If payment is delinquent, we may charge a fee and refuse access to the box until the overdue rent and fees are paid. The following fees may also apply: Key deposit...$20.00 Force box open... minimum $ Late payment fee (charged after 30 days)...$10.00 Union Bank s Responsibility: The Bank will exercise ordinary care to prevent access by any unauthorized person. In the event of any loss or damage to the box or its contents, the Bank will not be liable for any indirect, consequential, or incidental damages, nor for any loss or damage caused directly or indirectly, in whole or in part, by: The Renter s failure to abide by the terms of this Agreement Accidents, fires, flood, or water damage including, but not limited to, failure of fire suppression systems, burglary, civil unrest, war, acts of God, or any cause beyond the Bank s reasonable control In the event of any loss or damage for which the Bank is liable, the Bank reserves the right to: Pay the Renter the face value or fair market value of any property as of the date of the loss, or Replace the property Property you store in your box is not insured by the FDIC or us. Lost Keys: The Renter agrees to notify the Bank immediately if any key is lost or stolen. The Renter agrees to reimburse the Bank for any expense incurred in replacing lost keys or forcing open the box. 2 6 U n i o n B a n k

29 Termination or Amendment: We reserve the right to change or cancel this Agreement with you at any time for any reason by providing you written notice. The Renter may request to change box size at any time, subject to box availability. Applicable fees may change accordingly. The Renter may cancel this Agreement at any time by notifying us in writing. The Renter will not be entitled to any prepaid rent if the box rental is cancelled or transferred prior to expiration of the rental term. If the Bank or Renter cancels this Agreement, the Renter must remove all box contents and return all keys in person. If the Renter does not empty the box, the Bank has the right to forcibly remove the contents and dispose of them through the Bank s unclaimed property process. The Renter agrees to pay for any damage or cost incurred by the Bank to force open the box due to the Renter s failure to pay rent, empty the box, or return keys at termination. Escheat: We will notify you at your last address of record if your box remains in a delinquent payment status or your agreement with us is terminated. Thereafter, your box will be forcibly accessed and all of its contents will be removed, inventoried, and stored at our vault until claimed by you or turned over to the applicable state within the designated time frame as required by law, whichever occurs first. Relocation of Box: If the branch where a box is maintained is closed or consolidated with another branch, we have the right to transfer the box, including its contents, to another location. However, you must have a Webenabled cell or smart phone to use the Mobile Business Center. You may incur and are responsible for any charges assessed by your mobile service provider. Please consult your service provider for details. 4 If you have a mobile Internet browser and Internet access from your phone, it s likely you can use Mobile Business Center. Your mobile phone must support WAP (Wireless Application Protocol) 2.0 or higher, the international standard for applications using wireless communication. Most phones today support WAP. Display of your account information may vary depending on your phone. If you are using an older device that does not contain the required security features to use Mobile Business Center, you may need to upgrade to a newer device to use Mobile Business Center. 5 Access to Telephone Banking may not be available at certain times for the following reasons: l Bank Holidays Bank representatives may not be available on some bank holidays. l System Maintenance Scheduled system maintenance typically occurs between 2:00 a.m. and 4:00 a.m. (Pacific Time). There may be occasional periods of unscheduled system maintenance. l System Outages Due to major unforeseen events, such as earthquakes, computer failures or electrical outages. We are not responsible for any liability you may incur as a result of the unavailability of Telephone Banking. 6 Fee may apply. See Fee Schedule. 7 A Cash Reserve Account is a revolving line of credit available to customers meeting certain credit requirements. With a Business Cash Reserve Account, you authorize us to make automatic advances from your Cash Reserve Account to cover transactions presented against non-sufficient funds in your designated linked checking account. We charge $10 for each day that total advances of $10 or more are made (the transfer fee does not apply to cash reserve accounts originated in the state of Washington). A $25 annual fee is charged each June 1. Subject to credit approval. Financing available to businesses located in CA, OR, or WA. Terms and conditions subject to change without notice. See our Business Cash Reserve Account Disclosure and Agreement for full details. 8 With our Business Savings Overdraft Protection Plan, you authorize us to make transfers automatically from your eligible savings account to cover transactions presented against non-sufficient available funds in your checking account. Funds from your savings account will be automatically transferred to your designated checking account. We charge $5 for each day a transfer occurs from your savings account to cover transactions presented against non-sufficient available funds. Federal regulations limit certain types of transfers from a savings account (including Business Savings Overdraft Protection Plan transfers) to a total of six per month. If transfers exceed this limit more than occasionally, we will convert the account to a type not subject to transfer limits or close the account. A fee will be charged for each excess transfer paid against the account. Business Checking and Business MoneyMarket Accounts may not be linked to another checking account for the Business Savings Overdraft Protection Plan. 9 Subject to Available Balance. Other charges, such as overdraft fees, will still apply. 10 Requires a Signature Banking Basic Business Checking and a minimum balance of $10,000, which can be maintained in a combination of qualifying accounts. A regular monthly service charge will be assessed if the combined average monthly ledger balance falls below $10,000. A minimum deposit of $100 is required to open a new account.
