How We Will Calculate Your Daily Balance: We use a method called average daily balance (including new purchases). Billing Rights: Information on your rights to dispute transactions and how to exercise those rights is provided in your account agreement. Dear Customer: This Agreement will cover your Bank of Guam MasterCard and Visa credit card. In this Agreement, the words you, your and yours refer to each and all of those on the Account, any person responsible for paying the Account, and anyone you authorize to use, access or service the Account; may be referred to as Cardholder(s). The words we, us, our, ours and Bank refer to Bank of Guam. Card refers to the Bank of Guam credit card and any other access devices, duplicates, renewals, or substitutions, including convenience checks, the Bank of Guam issues you. Account means your MasterCard or Visa credit card limit or credit account with Bank of Guam. By accepting or requesting the Credit Card Account, you agree to the terms of this Agreement and that the Account will be subject to all rules and regulations of MasterCard International or Visa International as applicable, which are incorporated herein by reference. 1. USE OF CARD The card must be signed in order to use it. Your Account is to be used for personal, family or household purposes only. The Card may be used up to your approved credit limit to make purchases or services in person, over the Internet, by mail or telephone from merchants or others that accept MasterCard or Visa credit cards, and Cash Advances at a participating financial institution or Automated Teller Machine (ATM) with the use of a Personal Identification Number (PIN). Purchases and Cash Advances require authorization prior to completion of the transaction. In

2 some cases, you may be asked to provide identification. Also, for security reasons, we may block the use of your Card in certain countries, geographic areas or businesses. 2. YOUR AGREEMENT TO PAY You agree to pay us, when due, amounts you owe in U.S. dollars of all purchases and cash advances you or anyone you authorized to use your Account have made. You also agree to pay the Interest Charges and Other Charges due on the Account. You also agree to pay all costs and expenses, including reasonable attorney s fees that we incur in enforcing this Agreement. 3. OTHERS USING YOUR ACCOUNT You are responsible for all charges on your Account, including those done by authorized users. If you let anyone use your Account, that person is an authorized user. If you want to end that person s privilege, you must notify us immediately by telephone but also follow up your call in writing. If you do, we will close the Account and open a new Account with a different number. Cards with the new number will be sent to you. It is your responsibility to get any Cards, checks or any other means of access to your Account from the authorized user and destroy them or return them to us upon request. Your obligation to pay the amount owed on your Account continues until paid in full even though an agreement, divorce decree or other court judgment to which we are not a party may direct someone else to pay the account balance. If more than one person signs the application, each individually and all jointly are responsible for all amounts owed on the Account. Please note that for joint accounts (i.e. an account with both a Primary and Secondary account owner) all account owners must jointly authorize the addition or removal of an authorized user. 4. FOREIGN TRANSACTIONS Purchases and cash advances made in foreign currencies will be billed in U.S. dollars. The conversion rate in U.S. dollars will be either at the government mandated rate or a wholesale currency market rate determined by MasterCard or Visa for the processing cycle in which the transaction is processed. The conversion may occur after the date of the transaction and the conversion rate may be different from the rate in effect at the time of the transaction. You agree to pay us the amount as converted on the conversion date as well as any conversion charges that may be imposed. 5. YOUR CREDIT LIMIT Credit Limit means the maximum amount of credit we have approved for you on your Account. Your credit limit will appear on the accompanying card carrier and on your statements. You may not exceed or attempt to exceed your credit limit at any time. However, if your Account balance exceeds your credit limit for any reason, we will require that you pay us any such excess immediately on demand, rather than in monthly installments. If we have previously honored requests for credit over your credit limit, it does not mean that we will honor further over limit requests. You may request an increase to your credit limit, but such requests will be subject to our underwriting procedures and no guarantee of approval is given or implied. We may increase or decrease your credit limit, refuse to make an advance and/or terminate your Account at any time for any reason permitted by law. 6. LAW GOVERNING THIS AGREEMENT Except to the extent they are governed by federal laws, this Agreement and your Account with us are governed by the laws of the Territory of Guam, regardless of where you may reside or use your Account at any time. 7. HONORING YOUR CARD Bank of Guam, MasterCard International and Visa International will not have any responsibility to you if we do not approve a purchase or cash advance even if you have sufficient credit available, or if anyone refuses to honor a Card issued on your Account. We also reserve the right to limit the number of transactions that may be approved in one (1) day. We reserve the right to deny certain transactions for any reason and at our sole discretion, including for default, suspected fraudulent or unlawful activity, internet gambling or any indication of increased risk related to the transaction or the Account. You agree that we have no requirement to notify you of the specific reason we denied a transaction. If we detect unusual or suspicious activity on your Account, we may temporarily suspend your credit privileges until we can verify the activity or we may close your Account. 8. SECURITY FOR THIS ACCOUNT The Bank has no security for any amounts which become due under this Agreement, even though any other agreement you may have with us such as a mortgage may provide for such a security interest, UNLESS: a) Your credit card account debt is specifically mentioned in a mortgage or other agreement you have made with us in the past; or b) You have given us a specific security interest in connection with this Agreement. 9. PAYMENT Your Account will have time periods called billing cycles which is about one month in length. We will mail you a statement every month if your Account has a balance or if an activity occurred during the billing period. You agree to pay on or before the Payment Due Date shown on the billing statement the entire New Balance or the Total Payment Due. The Current Minimum Amount Due will be calculated as 3% of the New Balance or $15, whichever is greater, plus any unpaid interest charges and fees. The Total Payment Due is the Current Minimum Amount Due, plus any amount in excess of the established credit limit, plus any past due amounts. If the New Balance is $15.00 or less, you agree to pay it in full. Payments made to your Account will be applied first to any interest charge and other fees due, and then to the unpaid principal balance. If your payment exceeds the Total Payment Due shown on your billing statement, we will apply the excess amount first to the balances subject to the highest interest rate. This will result in balances with higher Annual Percentage Rate being paid before any other existing balances. We may accept checks marked Payment in Full or with words of similar effect without losing any of our rights to collect the full balance of your Account. For your Account to be considered current, you must pay at least the Total Payment Due by the due date shown on your statement. There may be a delay in crediting a payment if it is received at an address other than the address provided on the billing statement or if the

3 payment is received on a weekend or holiday. 10. AUTOPAY PROGRAM The AutoPay program helps you avoid missed payments by making a scheduled automatic payment to your Account. The program offers free automatic electronic draft payment options from your checking or savings account at a U.S. financial institution. You may choose to pay monthly your Full Statement Balance, Minimum Amount Due or Set Designated Amount on your payment due date. Enrolling in the AutoPay program excludes your participation in other offered credit card programs i.e. Skip Pay. If you participate in our AutoPay program, you agree to the terms and conditions set forth in the AutoPay Authorization Form. 11. IMMEDIATE REPAYMENT OF YOUR FULL BALANCE Your Account may be in default if any of the following applies: (a) we do not receive at least the Total Payment Due by the date due as shown on your billing statement; (b) you exceed your credit limit; (c) you fail to pay any amounts past due; (d) you fail to comply with the terms of this Agreement or any other agreement (loans) with us or one of our related companies; (e) we obtain information that causes us to believe that you may be unwilling or unable to pay your debts to us or to others on time; (f) you or your spouse file for bankruptcy; or (g) you become incapacitated or die. If your Account is in default, we may close your Account without notice and require you to pay your unpaid balance immediately to the extent permitted by law. If any legal action is required to enforce any provision of the Disclosure and Agreement or to recover money owed by you, you agree to pay all costs, including collection costs, attorney s fees, court costs, and any other charges incurred while enforcing our rights under this Agreement. Other conditions may cause the closure of the Account such as: (a) you have made false or misleading statements on the application of your Account; (b) an attachment, execution or levy against your property or you make an assignment for the benefit of creditors; (c) a guardian, conservator, receiver, custodian or trustee is appointed for you; (d) you are generally not paying your debts as they become due. 12. RE-EVALUATION OF CREDIT We can reinvestigate any information you provided on your credit application at any time and in the course of doing so, we may ask you for additional information, request credit bureau reports and/or otherwise verify your current credit standing. 13. INTRODUCTORY AND PROMOTIONAL RATE OFFERS At our discretion, we may offer you an introductory annual percentage rate for all or a part of the purchase and/or cash advance balances. The period of time for which the introductory rate applies may be limited. Any introductory rate, the corresponding periodic rates, and the period of time during which it is in effect will appear on a separate correspondence. We may also offer you a promotional annual percentage rate to encourage specific transactions, such as transferring balances from accounts you have with other credit card issuers. Any introductory or promotional rate will be subject to the terms of the offer and this Agreement. 14. HOW WE CALCULATE YOUR BALANCE AND INTEREST CHARGE ON BALANCES The Interest Charge is figured as of your statement closing date by multiplying the Average Daily Balance on your Account by the Monthly Periodic Rate as indicated below: Credit Card Type Monthly Periodic Rate Annual Percentage Rate Visa Classic 1.333% 16.0% Visa Gold 1.000% 12.0% MasterCard 1.500% 18.0% Gold MasterCard 1.333% 16.0% We figure the interest charge on your Account by applying the applicable Periodic Rate to the Balance Subject to Interest Rate which is the Average Daily Balance of your Account for each feature category, including certain current transactions. Feature categories include purchases, balance transfers, cash advances and promotional balances. These calculations may combine different categories with the same Monthly Periodic Rates. The Average Daily Balance for each feature category is arrived at by taking the beginning balance of such feature category each day and adding any new transactions to the balance, except we will not include new purchases if you have paid in full the New Balance on your previous statement by the Payment Due Date or if the New Balance on your previous statement was zero. Cash advances and balance transfers incur an interest charge from the date they are posted to your Account. We then subtract any payments or credits and unpaid interest or other Interest Charges allocated to the feature category balance for the day. This gives us the daily balance for each feature category. The daily balances for such feature category are then added together divided by the number of days in the billing cycle. The result is the Average Daily Balance for such feature category. The interest charge is determined by multiplying the Average Daily Balance by the monthly periodic rate. If your periodic rate is computed using an index, your periodic rate(s) may vary. The Payment Due Date will be no less than 21 days after we have sent you your current monthly statement. 15. FEES AND CHARGES Fees and charges that will be added are as shown in the disclosure table above. You agree to pay us these fees, which may be amended from time to time by us. You authorize us to charge your Account for fees due to us. We reserve the right to waive these fees from time to time. If we incur special expenses on your Account due to a request made by you, we may also charge you for these expenses. These fees are: (a) Annual Fee. An Annual Fee will be billed each year whether or not you use your Account, and you agree to pay it when billed. There is an annual fee for the primary account holder and for each additional cardholder. This annual fee is billed to your Account during the anniversary month of your card opening date each year. The annual fee is non-refundable unless you notify us that you wish to close your Account within 30 days of our providing the statement on which the annual fee is billed, and at the same time, you pay your outstanding balance in full.

If you are not making an inquiry for a billing error, the following fees will apply: Service Type Fee Per Hour (minimum one hour) Worked $25 Each Sales Slip/Draft Copy $20 Per Account Statement (Per Month) $10 NOTE: We will not charge these fees if you are making an inquiry about an error on your bill and you follow the procedures described on the back of your Periodic Statement. 16. PERSONAL IDENTIFICATION NUMBER (PIN) We may issue you with a Personal Identification Number (PIN). You are responsible for all transactions on your Account in which you or any authorized user makes in conjunction with your PIN. You agree to keep the PIN confidential. You also agree you won t write the PIN on the Card or anything you keep with Card. You agree that your use of the PIN and Card in getting a Cash Advance constitutes your signature for purposes of such a transaction. To obtain a PIN, call from your registered home or work phone. 17. COMMUNICATIONS If more than one person is responsible for this Account, we can provide billing statements and communications to any of you. Notice to one of you will be considered notice to all of you. You authorize us, or anyone acting on our behalf, to call, , or send a text message using information you provide or to any number where we reasonably believe we can contact you. These include calls to mobile, cellular, or similar devices, and calls using automatic telephone dialing systems and/or prerecorded messages. We may also send an to any address where we reasonably believe we can contact you. We may contact you for any purpose related to your Account. These include, but are not limited to: servicing of your Account, suspected fraud or identity theft, or obtaining information. If you are calling outside of Guam and you incur charges as a result, these charges will not be reimbursed by the Bank. 18. IF YOU CHANGE YOUR NAME OR ADDRESS If you change your contact information such as any mailing address, telephone number or address, you must notify us immediately in writing at the Bank s address shown on your billing statement. We may obtain mailing address and address information from you or third parties, and we may accept mailing address corrections from the United States Postal Service. 19. OUR RIGHT TO CANCEL YOUR ACCOUNT We can cancel or suspend your Account at any time without prior notice. We may also reissue a different Card at any time. If we cancel your Account, you agree to return or destroy all credit cards issued on your Account. You agree that the Card remains the property of the Bank. Each card we issue will have an expiration date. Upon expiration of your Card, your Account will automatically terminate; or we, in our sole discretion, may extend your Agreement and issue a new card with a new expiration date. If your Account is closed, expired, or your credit privileges are terminated or suspended, you will remain responsible for paying all amounts you owe us according to the terms of this Agreement and any amendments or change in terms. Without limiting the foregoing, we have the right to terminate your Account and to demand the destruction or return of all cards if we, in our sole discretion, feel that there is a risk to keep the card open due to (but not limited to) mismanagement of your Account, failing to safeguard any access device, creation of any credit balances by you that may expose the Bank to losses or failing to cooperate with us or others with regard to any claim of unauthorized use or any other defense to payment under applicable law. 20. CHANGE IN TERMS We can change the terms of this Agreement at any time in any way permitted by law. We will send you notice of the change at least 45 days before the start of the billing cycle in which the change takes effect. You agree that the change may cover all purchases and cash advances made on or after the effective date of the change and any outstanding unpaid balances at any time. We will provide you with the required advance notice of change in terms along with a toll-free number, BOG1 (2641), to call if you wish to cancel the Account as a result of these changes. We do not have to send a notice of the change if it favors you, such as by reducing rates, etc. Other Agreements: Use of your Card is subject to the terms of existing regulations governing deposit accounts and other agreements and disclosures, and any future changes. Receipts for ATM Transfers: You may get a receipt at the time you make any transfer at a Bank of Guam or Network ATM. Our Liability for Failure to Make Transfers: If we do not complete a transfer to or from your Account on time or in the correct amount according to our agreement with you, we will be liable for your losses or damages. However, there are some exceptions. We will not be liable, for instance: 1) If, through no fault of ours, the transfer would cause your account balance to exceed your credit limit, 2) If the terminal where you are making the transfer does not have enough cash, 3) If the terminal was not working properly and you knew about the breakdown when you started the transfer, 4) If circumstances beyond our control (such as fire or flood) prevent the transfer, despite reasonable precautions we have taken, or 5) If the money in your Account is subject to legal process or other claim. There may be other exceptions not specifically

5 stated here. Disclosing Account Information to Third Parties: We may disclose information to third parties about your Card or the transfers you make: 1) Where it is necessary for completing transfers, 2) In order to verify the existence and condition of your Account for a third party, such as a credit bureau or merchant, 3) In order to comply with government agency or court orders, or 4) If you give us your written permission. 21. LOST OR STOLEN CARDS: YOUR LIABILITY FOR UNAUTHORIZED USE Tell us AT ONCE if you believe your Card has been lost or stolen. Contacting us by phone is the best way of minimizing your liability. Unauthorized Use of Credit Card: Unauthorized use means the use of your Credit Card by a person, other than you, who does not have actual, implied, or apparent authority for such use, and from which you received no benefit. If you notice any unauthorized transactions on your Account, of if your Card is lost or stolen, remember to report it immediately to limit your liability. Your liability for unauthorized use of your Card will not exceed (a) $0 if the conditions set forth below have been met or (b) if those conditions have not been met, the lesser of $50 or the amount of money, property, labor, or services obtained by the unauthorized use before notification to us. Zero liability will apply only if: 1) You can demonstrate that you have exercised reasonable care in safeguarding your Card from risk of loss or theft; and 2) You have not reported two or more incidents of unauthorized use to us with the preceding 12 months; and 3) Your Account is in good standing. 22. Box 57-C Hagåtña, Guam Address: customerservice@bankofguam.com To report a lost or stolen card in the continental United States call CREDIT INVESTIGATION AND DISCLOSURE Notwithstanding any other provisions contained herein, you authorize us, both now and in the future, to check your credit and employment history and to release information about our credit experience with you in response to legitimate credit inquiries. You also authorize us, both now and in the future, to make available information relating to your financial condition, including reports prepared by credit agencies and information obtained from other creditors. You agree that we may release information to others, such as credit bureaus, regarding the status and history of your Account. However, we are not obligated to release any information unless we are required by law to do so. 24. COLLECTION You promise to pay all collections costs, including reasonable attorney s fees and court costs, permitted by law. 25. WAIVERS If for any reason we do not make use of any of our rights under this Agreement on a particular occasion that will not limit our rights in the future in any way. If we choose to give you a break, such as by not declaring the entire balance due when the minimum monthly payment has not been made on time, it does not mean that we have waived, or given up, our right to exercise any of our rights or remedies under this Agreement in the future. We are not required to use any particular kind of demand or notice in order to collect amounts due to us under this Agreement. 26. CREDIT CARD REWARDS PROGRAMS: TERMS AND CONDITIONS a. 1.5% CASH BACK PROGRAM PROVISIONS (applies only to Visa Classic and Visa Gold Accounts) i. The cash back reward will be paid monthly. There is a minimum cash rebate of $5.00 each month or the equivalent of $333 of net purchases. The maximum cash rebate per account per calendar year is $1, ii. The cash back reward will appear as a credit on the account statement. The cash back credit cannot be exchanged for cash. The cardholder is responsible for any outstanding balance owed on the Account after the credit is applied. Cash back reward(s) cannot be applied toward the payment amount owed on the Account. iii. Accrual of cash back reward may begin upon activation of the card and the first eligible purchase. iv. Cash back reward will not be earned or accumulated for cash advances, convenience checks, traveler s check purchases, balance transfers, ATM/PIN transactions, interest charges, late fees, annual fees, over-limit fees, any transaction fees and returned check (payment) fees. Additional exclusions may be included in the rules governing the program. v. The cash back reward cannot be bought, sold or transferred in any way (including upon death or as part of a domestic relations matter). vi. To receive the cash back reward, the account must be open (meaning not in dispute, not voluntarily closed, canceled or terminated for any reason); current (meaning there are no past-due balances on the account at the time of qualifying period); the account s outstanding balance must not be over the credit limit; account must not have a revoked, charged-off or bankruptcy status; and the account cannot have any other status preventing authorizations. vii. Bank of Guam and the administrator of the program shall have no liability for disagreements between cardholders regarding cash back rewards. Discrepancies about cash reward earnings are not treated as card billing disputes. Our decision regarding cash back rewards shall

6 be final. viii. Cash back amount cannot be offset against the Cardholder s obligation to the Bank. ix. Bank of Guam reserves the right to disqualify any cardholder from participation in the program and invalidate all points for abuse, fraud, or any violation of the program terms and conditions. Bank of Guam may make such a determination in its sole discretion. x. The program is void where prohibited by federal, state, or local law. xi. Bank of Guam reserves the right to change the terms and conditions of the program. Cash back rewards may be restricted, limited, or cancelled. b. MasterRewards PROGRAM PROVISIONS (applies only to MasterCard and Gold MasterCard Accounts) i. Eligible accounts earn one point for every one dollar in qualifying new purchases net of return. Please visit to view your reward choices, redeem your points, check your point balance, and track your orders. ii. Points cannot be transferred from one account to another. Points from multiple accounts cannot be added together. iii. In order to redeem points, the account must be open (meaning not in dispute, not voluntarily closed, or has not been canceled or terminated by the Bank for any reason); current (meaning there are no past-due balances on the accounts at the time of redemption request); the account s outstanding balance must not be over the credit limit; account must not have a revoked, charged-off or bankruptcy status; and the account cannot have any other status preventing authorizations. iv. Points can only be redeemed based on the points available and at v. Points are tracked and redeemable on a first-in, first-out basis. Points will expire three (3) years from the date of issuance. vi. Bank of Guam and its vendors cannot be held liable for any accident or injuries associated with an Award or use of Awards while participating in this program. vii. Bank of Guam reserves the right to disqualify any cardholder from participation in the program and invalidate all points for abuse, fraud, or any violation of the program terms and conditions. The Bank may make such a determination in its sole discretion. viii. Points may not be combined with any other loyalty/frequency award program. ix. Points will not be earned or accumulated for cash advances, convenience checks, traveler s check purchases, balance transfers, ATM/PIN transactions, interest charges, late fees, annual fees, over-limit fees, any transaction fees and returned check (payment) fees. At the Bank s option, additional exclusions may be included in the Rules governing the Points Program. x. Maximum accumulation of points is 120,000 in any consecutive twelve (12) month period. xi. The Bank reserves the right to award bonus Points to selected cardholders. xii. If Cardholders have more than one personal credit card account they will earn Points separately under each account. They may not combine Points from different accounts. xiii. Points are not the property of the Cardholder and cannot be bought, sold or transferred in any way (including upon death or as part of a domestic relations matter). xiv. Points are not redeemable for cash and cannot be offset against the Cardholder s obligation to the Bank. xv. The Points Program is void where prohibited by federal, state, or local law. xvi. Points must be redeemed by the Cardholder, but may be used for another person. xvii. The Bank reserves the right to change the terms and conditions of the Points Program. At the Bank s option, redemption of points may be restricted, limited, expired or cancelled at any time without prior notice. xviii. YOUR BILLING RIGHTS This notice tells you about your rights and our responsibilities under the Fair Credit Billing Act. What To Do If You Find A Mistake On Your Statement. If you think there is an error on your statement, write to us at: Bank of Guam Card Services P.O. Box 57-C, Hagåtña, Guam In your letter, give us the following information: Account information: Your name and account number. Dollar amount: The dollar amount of the suspected error. Description of problem: If you think there is an error on your bill, describe what you believe is wrong and why you believe it is a mistake. You must contact us: Within 60 days after the error appeared on your statement. At least 3 business days before an automated payment is scheduled, if you want to stop payment on the amount you think is wrong. You must notify us of any potential errors in writing [or electronically]. What Will Happen After We Receive Your Letter. When we receive your letter, we must do two things: 1. Within 30 days of receiving your letter, we must tell you that we received your letter. We will also tell you if we have already corrected the error. 2. Within 90 days of receiving your letter, we must either correct the error or explain to you why we believe the bill is correct. While we investigate whether or not there has been an error: We cannot try to collect the amount in question, or report you as delinquent on that amount. The charge in question may remain on your statement, and we may continue to charge you interest on that amount. While you do not have to pay the amount in question, you are responsible for the remainder of your balance. We can apply any unpaid amount against your credit limit. After we finish our investigation, one of two things will happen: 1. If we made a mistake: You will not have to pay the amount in question or any interest or other fee related to the amount. 2. If we do not believe there was a mistake: You will have to pay the amount in question, along with applicable interest and fees.

7 We will send you a statement of the amount you owe and the date payment is due. We may then report you as delinquent if you do not pay the amount we think you owe. If you receive our explanation but still believe your bill is wrong, you must write to us within 10 days telling us that you still refuse to pay. If you do so, we cannot report you as delinquent without also reporting that you are questioning your bill. We must tell you the name of anyone to whom we reported you as delinquent, and we must let those organizations know when the matter has been settled between us. If we do not follow all of the rules above, you do not have to pay the first $50.00 of the amount you question even if your bill is correct. YOUR RIGHTS IF YOU ARE DISSATISFIED WITH YOUR CREDIT CARD PURCHASES. If you are dissatisfied with the goods or services that you have purchased with your credit card, and you have tried in good faith to correct the problem with the merchant, you may have the right not to pay the remaining amount due on the purchase. To use this right, all of the following must be true: 1. The purchase must have been made in your home state or within 100 miles of your current mailing address, and the purchase price must have been more than $50. (Note: Neither of these are necessary if your purchase was based on an advertisement we mailed to you, or if we own the company that sold you the goods or services.) 2. You must have used your credit card for the purchase. Purchases made with cash advances from an ATM or with a check that accesses your credit card account do not qualify. 3. You must not yet have fully paid for the purchase. If all of the criteria above are met and you are still dissatisfied with the purchase, contact us in writing at: Bank of Guam Card Services P.O.
