1 MoreMoney ( MM ) User Terms & General Conditions: By applying for an MM account, you acknowledge reading and understanding the User Terms & General Conditions, and hereby accept, the terms of this Agreement.You acknowledge that ISPC shall at its sole discretion change these Terms and Conditions by adding thereto or deleting therefrom without prior notice to you and you agree to be bound by same.the Terms and Conditions as displayed on the website at any given time shall be final and binding on you for the account and services contemplated herein. 1. Introduction / Interpretation 1.1 In this Agreement the following capitalised words and expressions shall have the following meanings (and cognate expressions shall have corresponding meanings): Agent is a person or company who acts on behalf of an individual Agreement means this agreement and any and all appendices hereto including linked websites and other pages as referred to in this Agreement and any alterations as required from time to time; Authentication is the process of determining whether someone is, in fact, who they are declared to be Bank means and incorporates savings associations and credit unions; Credit card" means and includes all Visa and MasterCard-branded debit cards; Escrow is document kept in the custody of a third party and taking effect only when a specified condition has been fulfilled Fiduciary is involving trust, especially with regard to the relationship between a trustee and a beneficiary GSM means Global System for Mobile ISPC means ISP Cash (Proprietary) Limited, a private company incorporated according to the applicable legislation with registration number 2010/008832/ MM means the ISPC trade mark More Money forming part and parcel of ISPC s intellectual property

2 Merchant is any person, company, outlet or service provider involved in trading of goods or services and receiving payments via the More Money platform or any other form of payment More Money Account means a no interest bearing mobile money account opened in your name, issued and maintained by ISPC for ensuring usage of the account per these Terms and Conditions in order to permit and allow you to utilize the Services on your mobile phone MSISDN is the SIM Card cellphone number PIN is a unique private number used to access personal information like your More Money account RSA means the Republic of South Africa; Services means a person or entity utilising the MM Membership services, Sequestration is the action of legally taking of possessions of assets SIM means Subscriber Identity Module SMS is a Short Message Service Successful Registration is completing a More Money account sign up with a positive outcome Transaction/s means any money balances in your account including but not limited to money transfer payments and receipts, payments for goods and services, utility payments and deposits and withdrawals Trustee is an individual person or member of a board given control of administration of property in trust with a legal obligation to administer it solely for the purposes specified USSD means Unstructured Supplementary Service Data You" or "your" means any registered person or entity using the service ("users"); 1.2 The clause headings are for ease of reference and do not form part of this Agreement for the purposes of its construction or interpretation; 1.3 In this Agreement, unless the context clearly indicates otherwise: Words importing the singular include the plural and vice versa; A reference to any one gender includes the other genders;

3 1.1.5 A reference to a natural person includes a body corporate, company, close corporation, firm or association and vice versa. 1.4 Prior to being registered and approved as a member (user) or being granted any access and use of the MM, you must read, agree with, and accept all of the terms and conditions contained in this Agreement as MM as the Privacy Policy, which includes terms and conditions incorporated by reference. ISPC strongly recommend that, as you read this Agreement, you also access and read the ISP Cash Legal Notice and the information contained in the other pages and ISPC websites referred to in this document, as they may contain further terms and conditions that apply to you as amm user. Please note: Underlined words and phrases, excluding clause headings, are links to these pages and ISPC websites. 1.5 By accepting this Agreement, you also agree that your use of other ISPC websites and services will be governed by the terms and conditions posted on those applicable ISPC websites. 2 Eligibility 2.1 In order to use this service you must have a GSM Mobile device linked to a service provider (your own mobile network provider) and formally register for an MM account on eitherwww.moremoneysa.co.za; or by dialing *120*4902# and following the prompts; or call Our Services are only available to individuals or businesses that are empowered to form legally-binding contracts under applicable law of RSA and with a valid RSA ID or valid passport. 2.3 Our Service is not available to any persons who have been suspended from our Service, or to persons who present an unacceptable level of fraud or credit risk based on the appropriate checks being conducted, which you hereby authorise The Legal Relationship between You and ISPC ServiceProvider/Facilitator Relationship.ISPC acts as a facilitator to assist you in accepting payments from, and making payments to third parties. ISPC acts as your agent based upon your instructions and your requests to use our Services that require us to perform tasks for and on your behalf At all times, ISPC will hold your funds separate from its own corporate funds will not use your funds for its operating expenses or any other corporate purposes, and will not voluntarily make funds available to its creditors in the event of your sequestration or liquidation or for any other purpose whatsoever You acknowledge and confirm that:ispc is not a bank and the Service is a payment processing service rather than a banking service; ISPC is not acting as a trustee, fiduciary or escrow with respect to your funds which are held in trust, but is acting only as a third party payment processor.

4 2.3.5 You are not required to keep funds in the ISPC system (i.e. carry a balance in your MM account) to use the Service. Should you reflect a balance in your MM account, ISPC will pool your funds together with funds from other Users. Such funds will be held with an Official Registered Banking institution ( Bank ) You understand and agree that you will not receive any interest or other earnings on the funds that ISPC handles as your agent. ISPC may receive interest and/or a reduction in fees or expenses charged for banking services undertaken by the bank that holds your funds By initiating and sending payments through the Service or adding funds to your balance, you appoint ISPC as your agent to hold such funds on your behalf and to transfer the funds to the recipient that you designate or to the Pooled Account, subject to the terms and conditions of this Agreement ISPC will obtain the funds first by debiting your specific funds in the Pooled Accounts. If there are insufficient funds to settle your payment fully, ISPC will not process your request or any part thereof By receiving payments through the Service, you appoint ISPC as your Agent to deposit such funds on your behalf in the Pooled Accounts until you provide ISPC with further instructions about the transmission of your fundsvia SMS or USSD instructions from your mobile phone, or alternatively through the MM website or any other means as MM makes available from time to time. You may provide instructions to withdraw the funds or transfer the funds to a third party, in each case subject to the terms and conditions contained within this Agreement If you receive notification that a payment has been sent to you through MM but you have not registered for the Service, MM will not become your agent and you will have no claim to those funds unless and until you register for the Service. By registering for the service, you confirm your acceptance of the payment MM is only a Payment Service Provider and SMS marketer. MM acts as a payment service provider by creating, hosting, maintaining and providing our Service to you via the Internet and accessible via a mobile phone MM does not exercise any control over the products or services that are paid for by you with our Service. MM cannot guarantee that a buyer or a seller you are dealing with will actually complete the transaction. 3. Identity Authentication 3.1 MM use many different techniques to identify our users when they register on our MM website. Verification of Users is only an indication of increased likelihood that a User's identity is correct. 3.2 You authorize MM, directly or through third parties, to make any inquiries MM consider necessary to validate your registration. This may include ordering a credit report and performing other credit checks or verifying the information you provide against third party databases. However, because user verification on the Internet is difficult, MM cannot and does not guarantee any User's identity. Such information will however be kept confidential at all times and will not be disclosed to any third parties without your prior consent.

5 4. Release Should you raise a dispute with one or more users, you release ISPC (and all our officers, directors, agents, subsidiaries, joint ventures partners and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature howsoever arising or accruing out of or in any way connected with such disputes. 5. No Warranty ISPC, OUR EMPLOYEES AND OUR SUPPLIERS PROVIDE OUR SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS OR IMPLIED. ISPC, OUR EMPLOYEES AND OUR SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT subject to any restrictions imposed thereon required or provided by law. ISPC shall make reasonable efforts to ensure that requests for electronic debits and credits involving bank accounts, and credit or debit cards or other funds transfers are processed in a timely and diligent manner, but ISPC makes no representations or warranties regarding the amount of time needed to complete processing as our Service is largely dependent upon many factors outside of our direct control, including delays in the banking system, mobile telephone networks or internet. 6. Limitation of Liability UNDER NO CIRCUMSTANCES SHALL ISPC, OUR EMPLOYEES OR OUR SUPPLIERS BE LIABLEFOR LOST BUSINESS OR PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR ISPC SITE, OUR SERVICE, OR THIS AGREEMENT (HOWSOEVER ARISING, INCLUDING NEGLIGENCE). OUR LIABILITY, AND THE LIABILITY OF OUR EMPLOYEES AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE ARE SPECIFICALLY LIMITED TO DIRECT COSTS/FEES DISBURSED. 6.1 Indemnification: You agree to indemnify and hold ISPC, its parent, subsidiaries, affiliates officers, directors and employees (where applicable) harmless from any claims or demands (including legal fees) made or incurred by any third party due to or arising out of your breach of this Agreement including the documents it incorporates by reference, or your violation of any law or the rights of a third party relating to your use of the Service. 6.2 Liability for Violations of the Acceptable Use Policy: Should you choose to engage in the following behaviour, ISPCshall immediately terminate your registration and furthermore recover any losses incurred as a direct result of your breach, actual or negligent as explained below. 6.3 Acceptable Use Policy:

6 i. Using the ISPC service to receive and make payments for any narcotics, other controlled or illegal substances, steroids or prescription drugs. ii. Using the MM service to receive and make payments for illegal wagers, illegal gambling debts or illegal gambling winnings, regardless of the location. iii. Using the MM system to harass other users. iv. Using the MM service to launder money. v. Using the MM service for any act of terrorism, violence or harm You and ISPC agree that the damages that ISPCmay sustain as a result of your actions outlined above may be substantial, including (without limitation) fines, investigation suspensions and other related expenses from its payment processors and service providers, but such damages may be extremely difficult and impracticable to ascertain. Should you nevertheless elect to engage in such activities, then ISPC shall immediately suspend your registration/account, report the contravention to the authorities for investigation and assist and provide such authorities with any documentation or details they may request or require In addition if it is unlawful or illegal then the registration must be suspended pending the outcome of investigations ISP Cash may likewise be co-joined as an accessory if ISP could or should have been aware of the alleged activity and yet failed to prevent it or report it ISPC reserves the right to institute legal action against you to recover any and all losses incurred If you use the MM service in a manner that violates the Acceptable Use Policy, your account will be subject to immediate suspension and/or termination By selling goods or services (including access to content) in contravention of the Acceptable Use Policy or the Restricted Activities section of this User Agreement (currently Section 10.2), you acknowledge liability to ISPC for any and all damages suffered by ISPC. Without limiting the foregoing, you agree to reimburse ISPC for any and all costs, expenses, and fines levied on ISPC by its payment processors and/or service providers as a result of your activities You agree that, if either you or ISPC commences litigation or arbitration in connection with this paragraph, the party that succeeds is entitled to recover reasonable legal fees and any other costs incurred in such proceedings in addition to another relief to which the prevailing party may be entitled. Arbitration does not apply in criminal investigations only plea proceedings. 7. Fees All User fees are set forth in the Fee Schedule in the MM Website. Your account and all transactions are only made and displayed in South African Rand (RSA Rands) or ZAR. The USSD fees are 20c per 20 sec. These fees are charged by the network operator (Cell C / MTN / Vodacom / Telkom Mobile) and deducted directly off the users prepaid airtime or contract.

7 8. Receiving Payments 8.1 Credit Card / Debit Card Deposit By accepting a credit card or Visa/Mastercard Debit Card Deposit, you agree that you are responsible for the payment if it is reversed. If such reversal occurs on a credit card-funded deposit made to your account, MM will reverse the payment and debit your MM account balance to settle the reversal charge. If there are insufficient funds in your MM balance, you agree to reimburse ISPC through other means upon demand. 8.2 Transfers from another user If another MM user transfers funds from their MM account to yours, those funds are subject to reversal terms as contained in clause 8.1 above, if the original funds came from a Credit Card / Debit Card deposit. 9 Sending Payments and PIN security 9.1 Sending Payments MM users have an unlimited transaction limit per month, with an unlimited amount per month, excluding withdrawals,for all transactions depending on the account type that you have.this includes sending funds to other people with an MM account as well as purchases made via the ISPC services. Should you send funds to a registered mobile phone, and the user is not registered with ISPC, ISPC will contact the recipient and invite them to register. If they do not register within a reasonable time period, ISPC will transfer the funds back to you less a processing fee. 9.2 To validate your account or verify a transaction ISPC may phone you at random. Should the mobile phone you registered with at account setup not be available to receive such call, your account may be closed. 9.3 Refused Payments When you send a payment to a third party through our Service, the recipient is not obliged to accept the payment, even if the recipient is already registered with ISPC. The recipient is free to return payments or to use the ISPC systems to refuse payments that you have sent. Any payments sent through ISPC that are denied or unclaimed by a recipient will be returned to you on the earlier of: (a) the first working day after the date of such refusal, or (b) 30 (thirty) days after the date the payment is sent. 9.4 PIN It is your responsibility to keep your MM 5 (five) / 6 (six) digit code secure at all times. This includes but is not limited to your deleting any reference to the PIN which you might save to your phone memory after a transaction. 9.5 Withdrawals You can withdraw funds by direct deposit into the bank account you have on file with us. FICA clearance is however needed in order to process the transaction or alternatively you can withdraw funds from any ABSA ATM. There is a withdrawal limit of R (two thousand nine hundred Rand) per day for Cash Send. You may only withdraw funds from an ABSA ATM. 9.6 Loss and illegal use of your Mobile Phone

8 Should you lose your mobile phone, or if it is stolen, you must phone the MM call centre as soon as possible to advise us of the loss/theft. The MM operator will provide you with a reference number and the process applicable. 10 Your Information and *Restricted Activities* 10.1 Definition "Your Information" is defined as any information you provide to us or other users in the registration process, payment process, shops or other features of our Service. You are solely responsible for the safeguarding of Your Information, as ISPC act as a passive conduit for the online distribution and publication of Your Information Restricted Activities Your Information and your activities (including your payments and receipt of payments) on or through our Service shall not: (a) be false, inaccurate or misleading, (b) be fraudulent or involve the sale of counterfeit or stolen items, (c) consist of providing yourself a cash advance from your credit card (or helping others to do so), (d) be related in any way to illegal gambling and/or illegal gaming activities, including but not limited to payment or the acceptance of payments for illegal wagers, gambling debts or illegal gambling winnings, regardless of the location of gambling activity (including illegal online and offline casinos, illegal sports wagering and illegal office pools), (e) violate ISPC s Acceptable Use Policy, (f) infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy, (g) violate any law, statute, ordinance, contract or regulation (including, but not limited to, those governing financial services, consumer protection, unfair competition, anti-discrimination, or false advertising), (h) be defamatory, unlawfully threatening or unlawfully harassing, (i) (j) (k) (l) be obscene, vulgar, racist, demeaning or contain child pornography, contain any viruses, Trojan horses, worms, time bombs, cancel bots, Easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or other personal information. create liability for ISPC or cause ISPC to lose (in whole or in part) the services of our ISPs or other suppliers. cause, contribute to, support or condone any acts of terrorism, violence or harm to another. Should you use, or attempt to use, the Service for purposes other than sending and receiving payments and managing your account, including but not limited to tampering, hacking, modifying or otherwise corrupting the security or functionality of the Service, your account will be immediately terminated and you will be subject to civil action for damages and other penalties, including criminal prosecution where applicable.

9 10.3 License Solely to enable ISPC to use the information you supply us with, so that ISPC are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicense(through multiple tiers)to exercise the copyright, publicity, and database rights (but no other rights) you have in your information, in any media now known or not currently known, with respect to your information. ISPC will use and protect Your Information in accordance with our Privacy Policy Trademarks ISPC, My MM, MM make your money mobile and all related logos, products and services described in this ISPC Website are regarded as proprietary intellectual property and either trademarks or registered trademarks of ISPC, or its licensors, and (subject to the circumstances described below) may not be copied, imitated or used, in whole or in part, without the prior written permission of ISPC. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of ISPC and may not be copied, imitated, or used, in whole or in part, without the prior written permission of ISPC.Notwithstanding the above, HTML logos provided by ISPC through its Website Payments features may be used without prior written consent for the purpose of directing Web traffic to the Service. These Logos may not be altered, modified, or changed in any way, or used in a manner that is disparaging or harmful to ISPC or the Service. Logos may not be displayed in any manner that implies sponsorship or endorsement by ISPC. ISPC is a payment service, and no partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by this Agreement. 11. Privacy and Security 11.1 ISPC does not sell or rent your personal information to third parties. ISPC only uses Your Information as described in the Privacy Policy ISPC views protection of users' privacy as a critically important principle. ISPC understands clearly that you and Your Information are one of our most important assets. ISPC stores and processes Your Information on computers located in Cape Town that are protected by physical as well as technological security devices You should only log on to your ISPC account on a page which begins with or Do not use any other site that does not begin with that ISPC web address ISPCutilises third parties to verify and certify our privacy policies. Our current Privacy Policy is available at If you object to your information being used in alignment with this policy, please do not use our Services. 12. Termination or Closing Your Account 12.1 You can close your account at any time by phoning the MM Call Centre 12.2 When an account is closed on your instructions any pending transactions will be cancelled 12.3 Any funds that ISPC are holding for you at the time of closure, less any applicable fees, will be repaid/refunded to you within 30 (thirty) days as per your instructions, assuming all withdrawal-related authentication requirements have been fulfilled

10 12.4 You cannot use closure of your account as a means of evading investigation: if an investigation is pending at the time you close your account, ISPC may continue to hold your funds for up to 180 (one hundred and eighty) days as appropriate to protect ISPC against the risk of reversals. If you are later determined to be entitled to some or all of the funds in dispute, ISPC will release those funds to you 12.5 You will remain liable for all obligations related to your account even after such account is closed. If you do not access your account for a period of 3 (three) years, it will be automatically terminated After the date of termination, ISPC will use the information you provided to try to send you any funds that ISPC are holding for you. If that information is not correct, and ISPC are unable to complete the payment to you, your funds will be subject to applicable laws regarding the escheat (handing over) of unclaimed property ISPC reserves the right to classify your account as dormant should there have been no transactions conducted through your account for a period of 6 (six) months. You will be charged maintenance charges upon the expiry of the 6 (six) month period unless you request ISPC to reactivate your account. In the event that your account reaches a balance less than that required to meet applicable account closure charges, your account shall be closed and you will be informed thereof by way of sms. 13. Remedies and ISPC s Right to Collect 13.1 Without limiting other remedies, ISPC reserves the right to update inaccurate or incorrect information you provide or have provided, contact you by means other than electronically, immediately warn our community of your actions, place a hold on funds in your account, limit funding sources and payments, limit access to an account and any or all of the account's functions (including but not limited to the ability to send money or making withdrawals from the account), limit withdrawals, indefinitely suspend or close your account and refuse to provide our Services to you if: (a) (b) (c) (d) (e) you breach this Agreement or the documents it incorporates by reference; ISPC are unable to verify or authenticate any information you provide to us, ISPC believes that your account or activities pose a significant credit or fraud risk ISPC believe that your actions may cause financial loss or legal liability for you, our users or ourselves or your use of your MM account is deemed by ISPC to constitute abuse of the credit card system or a violation of credit card rules, including (without limitation), using the MM system to test credit card behaviours Even if transactions have been recorded as completed in the Recent Activity or History Transaction Log of your MM account, transactions are not considered completed until the funds have been charged to the customer's funding source (for payments) or posted to the customer's bank account (for withdrawals) In addition, ISPC reserves the right to hold funds beyond the normal distribution periods for any transactions it considers suspicious or for

11 accounts conducting high transaction volumes to ensure integrity of the funds Should ISPC decide to close your account, ISPC will provide you advance notice thereof and reimburse you for all of the unrestricted funds held in your MM account Additionally, to secure performance of your obligations and compliances in terms of this Agreement, you grant to ISPC a lien on and security interest in your account In addition, you acknowledge that ISPC may off-set against any accounts you utilise for any obligation you owe ISPC at any time and for any reason allowed by law. These obligations include both secured and unsecured debts and debts you owe individually or collectively with someone else. ISPC considers this Agreement as your consent to ISPC s asserting its security interest or exercising its right of set-off should any law require your consent The rights described in this section are in addition to, and apart from, any other rights. 14. Assignment of MoreMoney Account You are prohibited from transferring any rights or obligations you may have under this Agreement without the prior written consent of ISPC. ISPC reserves the right to transfer this Agreement or any right or obligation under this Agreement without your consent. 15 Legal Compliance You agree to comply with all applicable RSA and other international laws, statutes, ordinances, regulations, contracts and applicable licenses regarding your use of our Services. 16 Notices (Electronic Communications Act) 16.1 Electronic Communications You agree that this Agreement constitutes "writing signed by you" under any applicable law or regulation. To the fullest extent permitted by such applicable law, this Agreement and any other agreements, notices or other communications regarding your account and/or your use of the Service ("Communications"), may be provided to you electronically and you agree to receive all such Communications from ISPC in electronic form Electronic Communications may be posted on the pages of the MM Website and/or delivered to your address You may print a copy of any Communications and retain it for your records All Communications in either electronic or paper format will be considered to be in "writing," and to have been received no later than five (5) working days after posting or dissemination, whether or not you have received or retrieved the Communication ISPC reserves the right to provide Communications in paper format, but assumes no obligation to do so. 16.2Procedure

12 16.2.1Except as explicitly stated otherwise, any notices shall be addressed by postal mail to 71 Elevation Avenue, Randjesfontein, Midrand, 1683 in the case of ISPC, or to our online message centre or the address you provide to MM during the registration process (in your case) Notice shall be deemed to have been received within 24(twenty four) hours after transmission or is sent, unless the sending party is aware that the electronic communication was not received Alternatively, ISPC may give you notice by mail to the address provided by you to MM during the registration process. In such case, notice shall be deemed given 3 (three) days after the date of mailing. 17. Legal Disputes Should a dispute arise between you and ISPC,the intention is to provide you with a neutral and cost effective means of resolving the dispute expeditiously. Accordingly, you and ISPC agree that any controversy or claim at law or equity that arises out of this Agreement or ISPC s services ("Claims") shall be resolved in accordance with one of the mechanisms below, or as otherwise mutually agreed upon in writing by you and ISPC. Before resorting to these alternatives, ISPC strongly encourages users first to contact ISP Cash Mobile Wallet directly to seek a resolution. ISPC will consider all reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation, as an alternative to litigation. 18. General 18.1 This Agreement is governed by and interpreted under the laws of RSA as applied to agreements entered into and to be performed entirely within the borders of RSA Notwithstanding the aforementioned, all, applicable RSA laws, and all of relevant rules and procedures, shall govern Section 16 of this Agreement ISPC do not guarantee continuous, uninterrupted or secure access to our service, and operation of our site may be interfered with by numerous factors outside of or beyond our reasonable control. Should any provision of this Agreement be held to be invalid or unenforceable, that provision shall be deleted and the remaining provisions shall be enforced You confirm and agree that this Agreement and all incorporated agreements may be automatically assigned by ISPC, in our sole discretion, to a third party in the event of a merger or acquisition Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section If any part of these Terms and Conditions are adjudged illegal or inoperable for any treason, the same shall be severed from the remainder of this document and only that portion of this document that is specifically adjudged illegal or inoperable shall cease to govern the relationship between the parties Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches This Agreement and the documents it incorporates detail the entire understanding between the parties concerning its subject matter.

13 Sections (7) Fees, (4) Release, (6) Limitation of Liability, and (17) Legal Disputes shall survive any termination or expiry of this Agreement. 19. Responsibilities 19.1 USSD ISPCcannot be held responsible for the fees charged by the network operators. Nor can ISPC be held responsible for technical issues on the USSD platform, and the timeouts of the USSD session. 20.
