This Master Agreement is subject to acceptance, which acceptance shall be evidenced by your acceptance of the MH Products. I have been given information about the different types of subscriptions available, including the ability to purchase a subscription for one year only, and I was advised of the number of releases for the MH Product(s) ordered based on the most recent experience for that publication. 4 ADDITIONAL TERMS AND CONDITIONS 1. Entire Agreement. The Material Subscription Terms and Additional Terms and Conditions set forth herein together with any click-through terms and conditions are incorporated by reference and constitute the entire agreement (the Master Agreement ) between you and Martindale, LLC, dba Martindale- Hubbell, LLC ( Martindale-Hubbell ), with respect to the MH Products and supersede all prior understandings and agreements, oral, written or otherwise. If we accept a purchase order ( PO ) for the MH Products, then the terms and conditions of your PO will not apply or become part of this Master Agreement. 2. Returned Materials. If you return the MH Products, then such publications, DVD discs and software must be returned unused in the same condition as received and in accordance with the Material Subscription Terms. 3. Payment; Late Payment. All invoices are due and payable within 10 days from receipt of the invoice. Amounts which have not been paid within 30 days after the invoice date will thereafter, until paid, be subject to a late payment charge at a rate equal to 15% per annum (or, if less, the maximum rate permitted under law). Customer shall owe and we have the right to invoice for the then-current non-sufficient funds fee for all returned checks. We reserve the right to change payment terms by providing written notice to you for the period following notice. Fees should be paid in U.S. dollars. 4. Shipping and Handling; Taxes. The prices listed in this Master Agreement and its Order Form do not include fees for shipping and handling or taxes. These amounts will be included in your invoiced amount. 5. Warranties/Exclusive Remedies for MH Products. WE DISCLAIM ALL WARRANTIES WITH RESPECT TO THE MH PRODUCTS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND THOSE ARISING FROM A COURSE OF DEALING. WE DO NOT WARRANT THE ACCURACY, RELIABILITY OR CURRENTNESS OF THE MATERIAL CONTAINED IN THE MH PRODUCTS. WITH RESPECT TO A MH PRODUCT, WE WARRANT IT WILL BE FREE FROM DEFECTS IN MATERIAL AND WORKMANSHIP FOR A PERIOD OF 30 DAYS FROM RECEIPT. YOUR EXCLUSIVE REMEDY AND OUR SOLE OBLIGATION WITH RESPECT TO A DEFECTIVE MH PRODUCT SHALL BE THE RIGHT TO RETURN THE DEFECTIVE PUBLICATION FOR A REPLACEMENT COPY AT NO ADDITIONAL CHARGE. 6. Limitation of Liability for MH Products and Software. UNDER NO CIRCUMSTANCES WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES; OR FOR LOSS OF PROFITS, REVENUE, OR DATA; WHETHER IN AN ACTION IN CONTRACT, TORT, PRODUCT LIABILITY, STRICT LIABILITY, STATUTE OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES WITH RESPECT TO ANY MH PRODUCT OR SOFTWARE. OUR ENTIRE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THIS MASTER AGREEMENT OR RELATING TO ANY MH PRODUCTS SHALL BE LIMITED TO YOUR ACTUAL DIRECT DAMAGES NOT TO EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE MH PRODUCTS THAT GAVE RISE TO THE CLAIM IN THE 12 MONTH PERIOD IMMEDIATELY PRECEDING THE DATE OF THE CLAIM. 7. Default. We reserve the right to discontinue delivery of any Updates to your MH Products if you breach any of your obligations under this Master Agreement. 8. Collection Costs. In the event you fail to pay any amount when due, we reserve the right to terminate delivery of any MH Products and Updates and retain all sums paid by you. In addition, you are responsible for all collection costs incurred by us including, but not limited to, collection agency fees, reasonable attorneys fees and court costs. Restrictive endorsements or other statements on checks or other forms of payment accepted by us will not be enforceable. At our option, the entire amount due shall become due and payable upon your breach of any term, provision or condition of this Master Agreement. We retain a purchase money security interest in all MH Products and Updates until paid in full by you. 9. Title to MH Products. We and our licensors retain outright ownership of all content in the MH Products, including the Martindale-Hubbell Law Directory, regardless of format. 10. Assignment. You may not assign or transfer this Master Agreement or any of your rights or obligations u nd e r this Master Agreement without our prior written consent, which consent will not be unreasonably withheld. 11. Conflicts between Agreements. In the event of a conflict between this Master Agreement and the terms and conditions of any MH Product provided on disc, then the terms and conditions of this Master Agreement shall control over those for that particular MH Product. 12. Changes to the Agreement. From time to time, we may amend the existing terms and conditions of this Master Agreement. Changes to charges and payment terms may be made only upon 30 days prior written notice to you. This Master Agreement may be immediately terminated by you upon notice to us if any such change is unacceptable to you. Your continued use of the MH Products following notice to you of a change shall constitute acceptance of the respective change, but will not affect your foregoing termination rights. For termination under this Section 12 to be effective, it must be provided to us in writing within 90 days of the effective change. 13. Outside the 48 Contiguous States. In addition to the refund/return rights listed in the Material Subscription Terms the following rights also apply: Canada Full credit of the original price will be provided within 90 days of invoice date. Other International, Virgin Islands, Puerto Rico, Hawaii and Alaska Full credit will be provided within 120 days of invoice date.
