14 I/We the undersigned do hereby undertake and agree to execute and perform the whole of the work in connection with the Request for Tender document at the prices tendered and, subject to the Schedule of Compliance, in accordance with the Contract. The Tender Schedules required to be completed and submitted with this Tender have been inspected by me/us. In consideration of payable to me/us by WAF on demand, I/we the undersigned hereby agree that I/we will not withdraw this Tender before the expiry of the period 150 days from and after the date of closing of the Tender. I/we the undersigned do hereby warrant and represent that: 1. The Tenderer has fully acquainted itself with all the documents referred to in the tender documents and all related matters; 2. The Tenderer agrees to be bound by the General Terms & Conditions; 3. The Tenderer will comply with the request for tender, all tender documents and the Contract but for any details of any non-compliance which are set out in Schedule of Compliance; 4. All of the information in its Tender is true and correct; 5. it has made its own enquires and investigations and has obtained professional advice and all other relevant information so as to inform itself of all risks and contingencies that may affect its Tendered price and allowed for such risks and contingencies in its Tendered price; 6. neither it, nor its officers, employees, agents or advisers, have violated any applicable laws or WAF s policies regarding the offering of unlawful inducements in connection with the p reparation of its Tender; and 7. The Tender incorporates the following amendments, corrections and/or additional material provided by WAF in any Addendum:

16 Tenderers are required to demonstrate that they have the financial capacity to provide, over the term of the contract, all the requirements specified in this Tender. Accordingly, you are required to provide the following information. If the answer to any of the following questions is yes, provide an explanation. How many part and full time employees do you have in Pacific Region? How many part and full time employees do you have working in the Fiji? How many years has your business been in operation? What was the Tenderer's total revenue for the last financial year? What % of the Tenderer's total revenue was received from WAF for the last financial year? Are there any mergers/acquisitions either recent (within the past 12 months) or which are imminent? Are there any bankruptcy actions against a director of the Tenderer, its parent or associated entities, or has there been within the past five years? Are there any insolvency proceedings, actual or threatened (incl uding voluntary administration, application to wind up, or other like action) against the Tenderer, its parent or associated entities on foot, or have there been any within the past five years? In the past five years has the Tenderer had any judgments been awarded for/against it as a result of an action in any court?

17 Are there any proceedings, either actual or threatened, against the Tenderer, its parent or associated entities or any director of the Tenderer, its parent or associated entities or have there been any such proceedings within the past five years? Is the Tenderer, its parent or associated entities currently in default of any agreement, contract, order or award that would or would be likely to adversely affect the financial capacity of the Tenderer to provide the Goods and/or Services contemplated by this Tender? Are there any other factors which could adversely impact on the financial ability of the Tenderer to successfully perform the obligations contemplated by this Tender? Is the Tenderer insolvent and unable to meet its debts as and when they fall due in the normal course of business?

19 Tenderers shall provide a fixed price standing offer to Supply and Deliver Water Meters, Dirt Boxes, and Associated Components as and when required in accordance with the Contract. In submitting its schedule of rates, the Tenderer must have regard to the following conditions: In the event of a discrepancy between the amounts stated in any table for a line item, and the product of the quantity and the rate for the line item, the rate is deemed to be correct. In the event of any discrepancy between a stated total and the sum of the amounts to be included in the total, the total shall be the sum of the correct amounts for the line item. WAF shall not be obliged to make payment for goods and services not yet supplied to and received by WAF unless the Consultant provides security in a form acceptable to WAF in an amount equal to the payment claimed for the goods and services. Any anticipated or estimated volumes, quantities or frequencies stated in the Schedule of Rates section are indicative only. WAF does not provide any guarantee that those indicative numbers will be accurate during the Term of the Contract, and as a result, those indicative numbers should not be taken to be as a commitment by WAF to purchase a minimum amount of the goods and/or services. The prices are deemed to be all inclusive (but must exclude VAT). Unless specified otherwise, all prices are to remain firm for the duration of the initial Term of the Contract, and any price increases thereafter will be calculated in accordance with the Tender Terms and Conditions. The prices are deemed to include all costs to the Tenderer for performing all Services in accordance with the specification and contract including but not limited to: Supply of all additional or ancillary materials or consumables required that may be expected to be required as part of the supply of the Goods or Services, such as nuts, bolts, washers, gaskets, ball valves, adjustable couplings etc.. Attendance at all contract meetings and the completion of any reports required under the specification or the Contract; All general risks, liabilities and obligations set out or implied in the Contract and any costs associated with any extended or reduced periods of time required to perform its obligations under the Contract.

23 The General Conditions, Specification, Plans and Drawings (if applicable) and Tender Conditions included in the Tender Document have been read and understood, and the prices nominated in the Schedule of Rates cover all general risks, liabilities and obligations set forth or implied in the Documents. Agree Disagree Should the Tenderer disagree with the above declaration, any areas of non -compliance shall be specified in the following table (use additional pages if space insufficient) and an explanat ion given as to the reason for non - compliance. Enter details of ALL requirements of the General Specification, Technical Specification or any other Contract documents with which the Tenderer s offer does not comply. If the Tenderer offers specific makes and models of equipment, WAF shall rely on the Tenderer to list all non-compliances in this Schedule. The explanation shall be in sufficient detail to enable WAF to adequately assess the impact of the non - compliance on the tender evaluation process. If the Tenderer fails to record the impacts for full compliance, the Principal at its discretion may determine that the Tender is non-conforming or make its own assessment of the non-compliance(s)
